NON-DISCLOSURE AGREEMENT ACUERDO DE CONFIDENCIALIDAD

contained in this Agreement is held invalid, illegal
or unenforceable in any respect by any court of
competent jurisdiction, the validity, legality, or
enforceability of the remaining provisions will not
be affected. Failure or delay on the part of any
party to exercise any right under this Agreement
will not operate as a waiver. Any waiver must be
in writing and signed by the party granting such
waiver.

sobre el tema de este Acuerdo y substituye todos
los acuerdos, entendimientos y comunicaciones,
orales o escritos anteriores, entre las partes sobre
el objeto de este Acuerdo. Ninguna de las partes
puede atribuir este Acuerdo, no todo o en parte,
sin el consentimiento previo por escrito de la otra
parte, y cualquier intento de cesión sin ese
consentimiento será nulo. Si una o más de las
disposiciones que figuran en este Acuerdo se
considerada inválida, ilegal o inaplicable en
cualquier aspecto por cualquier tribunal de
jurisdicción competente, la validez, legalidad o
aplicabilidad de las demás disposiciones no serán
afectadas. La falla o atraso por parte de cualquier
parte en ejercer cualquier derecho bajo este
Acuerdo no funcionará como una renuncia.
Cualquier renuncia se debe hacer por escrito y
firmarla la parte que concede la renuncia.
Y, EN TESTIMONIO DE ELLO, las partes celebran
este Acuerdo Mutuo de Confidencialidad por sus
oficiales o representantes debidamente
autorizados, a partir de la fecha anteriormente
mencionada, por escrito.
