El presente acuerdo de confidencialidad (en
adelante también, el “Acuerdo”), de fecha 08 de
noviembre de 2021, se celebra entre DMC
MINING SERVICES CHILE SPA (“DMC”), Rol
Único Tributario N° 77.014.665-8, representada
por don Raul Antonio Chaparro Peña, cédula
nacional de identidad número 11.627.543-0,
ambos con domicilio en Isidora Goyenechea N°
3600, Piso 10, Las Condes, Santiago, Región
Metropolitana, por una parte y por la otra
SINDICATO DE EMPRESA TRABAJADORES
DMC MINING SERVICES CHILE SPA, Rol Único
Tributario N°06010938, debidamente
representada por don Arturo Galleguillos
Galleguillos, cédula de identidad 13.946.519-9,
ambos domiciliados para estos efectos en Calle
Santa Ana N°0178, Ciudad de Rancagua, Región
de O’Higgins (en adelante también, la
“Contraparte”; y conjuntamente con DMC en
adelante también las “Partes”).
1 Antecedentes
DMC posee cierta información de naturaleza
confidencial relacionada con sus antecedentes
financieros, legales y tributarios y está preparada
para entregar dicha información a la Contraparte
con el propósito de evaluar y negociar un proceso
de negociación colectiva para efectos del sindicato
(en adelante, el “Proceso” y dicha evaluación y
negociación, en adelante, el “Uso Permitido”) bajo
la condición de que esta última mantenga estricta
reserva y confidencialidad sobre la misma, y con
el entendimiento de que DMC no se obliga bajo
este Acuerdo a proporcionar a la Contraparte
ninguna información en particular y tampoco se
obliga a participar en, o continuar en ningún
momento, discusiones o negociaciones sobre el
Proceso.

The present confidentiality agreement (hereinafter
also referred to as the “Agreement”) dated on 08
de November de 2021, entered into between DMC
MINING SERVICES CHILE SPA (“DMC”),
Taxpayer Number 77.014.665-8, represented by
Mr. Raul Antonio Chaparro Peña, National
Identification Number 11.627.543-0, both
domiciled at Isidora Goyenechea No 3600, 10th
floor, Las Condes, Santiago, Metropolitan Region,
on the one hand, and on the other SINDICATO
DE EMPRESA TRABAJADORES DMC MINING
SERVICES CHILE SPA, Taxpayer Number
N°06010938, duly represented by Mr(s). Arturo
Galleguillos Galleguillos, National Identification
Number 13.946.519-9, both domiciled for these
purposes at Calle Santa Ana N°0178, Ciudad de
Rancagua, Región de O’Higgins (hereinafter also
referred to as the “Counterpart”); and jointly with
DMC, hereinafter also referred to as the “Parties”.
2 Overview
DMC holds certain information of confidential
nature related with financial, legal and taxes
background and it is prepared to hand over such
information to the Counterpart with the purpose
of assessing and negotiating a collective
bargaining for union purposes (hereinafter
referred to as the “Process” and such assessment
and negotiation, the “Permitted Use”) on condition
that the latter keeps in strict confidence and
confidentiality this information, and in the
understanding that this Agreement is not binding
in that DMC to hand over to the Counterpart any
particular information or to take part in, or
continue at any moment, discussions or
negotiations about the Process.

en este Acuerdo; o
iii. Deba ser revelada por la Contraparte
debido a un requerimiento de los tribunales
de justicia o de organismos fiscalizadores
competentes (la “Autoridad”).
2.4 Para los efectos de este Acuerdo, se
entiende por “Representantes Autorizados”
los asesores financieros, legales o técnicos
de la Contraparte que necesariamente
tendrán acceso a la Información
Confidencial para efectos de efectuar las
evaluaciones y análisis que requiera el
Proceso.
5 Obligaciones de confidencialidad
3.1 Respecto de la Información Confidencial
que reciba, la Contraparte se obliga a:
i. Mantener la confidencialidad de la
información recibida, la cual no podrá ser
revelada a ningún tercero, con excepción de
sus Representantes Autorizados, a quienes
se les hará extensivo y vinculante el
presente Acuerdo. La Información
Confidencial no podrá ser utilizada ni
transmitida por cualquier medio, para fines
distintos al Uso Permitido.
La Contraparte deberá advertir a sus
Representantes Autorizados de la existencia
del presente documento y deberá hacer que
éstos acepten por escrito cumplir con las
obligaciones del presente Acuerdo.
ii. No reproducir, en cualquier forma y por
cualquier medio, la Información
Confidencial recibida.

i. Such of public domain, provided that this
was not as a result of some undue disclosure
by the Counterpart;
ii. It was in possession of the Counterpart prior
to the date of the handing over of the
Confidential Information, while not breaching
the obligations of confidentiality herein
contained; or
iii. Must be disclosed by the Counterpart due to
a requirement from a court of justice or
competent supervisory body (the
“Authority”).
2.4 For the purposes of this Agreement, the
“Authorized Representatives” are the
financial, legal or technical advisors of the
Counterpart who will necessarily have access
to the Confidential Information to carry out
the assessments and analyses the Process
requires.
6 Obligation of Confidentiality
6.1 As per the Confidential Information received,
the Counterpart becomes bound to:
i. Keep the confidentiality of the information
received, which must not be disclosed to a
third party, except to its Authorized
Representatives, to whom this Agreement
becomes applicable and binding. The
Confidential Information shall not be used or
transmitted by any means, for purposes
other than the Permitted Use.
The Counterpart must warn its Authorized
Representatives of the existence of the
present document and shall make them
agree in writing to comply with the
obligations of the present Agreement.
ii. Not reproduce, by any means and in any
way, the Confidential Information received.
iii. Utilizar la Información Confidencial que se
reciba o proporcione únicamente para el
propósito de analizarla para fines
relacionados con el Proceso y el Uso
Permitido.
iv. Adoptar respecto de dicha Información
Confidencial un cuidado no inferior al que
un hombre juicioso emplea en la
administración de sus negocios
importantes.
v. La Contraparte se encuentra obligada a
mantener debidamente custodiada la
Información Confidencial. Dicha custodia
implica que la Contraparte conservará la
Información Confidencial sólo en las oficinas
que cumplan con las medidas de seguridad
adecuadas para estos efectos y a las que
sólo tendrán acceso sus Representantes
Autorizados.
3.2 Junto con el término del estudio y análisis
de la Información Confidencial, o en
cualquier tiempo y a simple requerimiento
de DMC, la Contraparte y sus
Representantes Autorizados deberán
devolver la Información Confidencial y
reproducciones que la contengan total o
parcialmente, sin retener para sí copia
alguna de ella, y deberán destruir cualquier
memorándum, estudio, análisis, nota,
presentación u otro material preparado por
los mismos sea que se trate de papel,
medios magnéticos, ópticos o correo
electrónico, debiendo otorgar a DMC
constancia escrita de dicha destrucción.
Asimismo, toda información oral continuará
sujeta a los términos de confidencialidad en
los términos del presente Acuerdo.
3.3 En el evento que la Contraparte se vea
obligada por la Autoridad a revelar la
Información Confidencial de propiedad de
DMC, deberá informar a DMC de esta
circunstancia, y adoptar todas las medidas
razonables que sean apropiadas para
impugnar tal requerimiento hasta el punto

iii. Use the Confidential Information that has
been received or handed over only to
analyze it for Process-related purposes and
the Permitted Use.
iv. Adopt, in regard to such Confidential
Information, no less care than a prudent
person employs in the administration of
his/her important businesses.
v. The Counterpart is bound to keep the
Confidential Information in due custody.
Such custody implies that the Counterpart
will keep the Confidential Information only
inside offices that comply with the security
measures adequate for these purposes, and
that will only be accessible by its Authorized
Representatives.
6.2 Along with the conclusion of the study and
analysis of the Confidential Information, or
at any moment and upon sole request of
DMC, the Counterpart and its Authorized
Representatives shall return the Confidential
Information and its partial or total
reproductions, without keeping for
themselves any copy whatsoever, and shall
destroy any memorandum, study, analysis,
note, presentation or other material
prepared by the former, whether they are in
paper, magnetic, optical means or electronic
mail, where the Counterpart shall provide
DMC with a written evidence about their
destruction. Furthermore, every oral
information will remain subject to the terms
of confidentiality herein stated.
6.3 In the event that the Authority enforced the
Counterpart to disclose the Confidential
Information owned by DMC, the Counterpart
must inform DMC about this circumstance
while adopting all reasonable measures
appropriate to challenge such requirement to
the extent of achieving its dismissal, where

contenido de este Acuerdo y el carácter
confidencial de la Información Confidencial
entregada, con el objeto de que el
requirente adopte los resguardos
pertinentes. Junto con lo anterior, la
Contraparte entregará copia a DMC de la
Información Confidencial que deba ser
entregada.
7 Plazos
La obligación de confidencialidad para la
Contraparte se mantendrá vigente:
i. En caso de que el Proceso no prospere,
hasta por un período de 2 años contados
desde el término del proceso de evaluación
de la Contraparte respecto del Proceso,
hecho que deberá ser certificado
conjuntamente por ambas Partes.
ii. En caso de que el Proceso prospere, por un
período de 5 años contados desde la fecha
del acuerdo respectivo por el cual se
materialice el Proceso.
9 Indemnidad
La Contraparte declara que indemnizará y
mantendrá a DMC libre de todo daño, pérdida,
costo o responsabilidad (incluyendo honorarios
legales y los costos asociados a hacer cumplir
esta obligación de indemnización) que surja o
resulte de cualquier uso o divulgación no
autorizada de la Información Confidencial
realizada por la Contraparte o sus Representantes

DMC can intervene in these proceedings
without limitation. If such challenge was not
successful or possible, the requested
information will be delivered only in the
extent strictly necessary to meet the
requirement imposed for these purposes,
under the same confidentiality terms. For
these purposes, when handing over the
Confidential Information to the Authority, the
Counterpart shall announce the existence
and content of this Agreement and the
confidential nature of the Confidential
Information, with the purpose that the
requirer adopts its relevant protection.
Additionally, the Counterpart will provide
DMC with a copy of the Confidential
Information that is to be handed over.
8 Validity
The obligation of confidentiality for the
Counterpart will remain valid:
i. In case the Process failed to prosper, up to a
period of 2 years from the end of the
assessment process by the Counterpart
regarding the Process; this fact shall be
jointly certified by both Parties.
ii. In case the Process prospered, for a period
of 5 years from the date of the relevant
agreement the Process was materialized
upon.
10 Indemnification
The Counterpart states that it will indemnify and
hold DMC harmless from all damage, loss, cost or
liability (including legal fees and associated costs
to enforce this obligation of indemnification) that
arises or results from any unauthorized use or
disclosure of the Confidential Information
performed by the Counterpart or its Authorized
Representatives, or from any other non-
Autorizados, o de cualquier otro incumplimiento
de sus obligaciones en virtud de este Acuerdo,
según corresponda.
11 Propiedad de la información
Toda la Información Confidencial es y se
mantendrá como exclusiva propiedad de DMC. En
caso de que el Proceso no prospere, cualquier
compilación de análisis, estudios u otros
documentos preparados por la Contraparte o sus
Representantes Autorizados, basados en la
revisión de la Información Confidencial y/o de las
visitas que realice a las dependencias de DMC,
deberán ser cedidos gratuitamente a ésta.
Nada en este Acuerdo deberá ser interpretado
como el otorgamiento de un título o derecho de
propiedad en favor de la Contraparte sobre los
derechos de propiedad intelectual o industrial,
presentes o futuros, de DMC. Asimismo, y en
virtud del presente Acuerdo, las Partes reconocen
que DMC no está otorgando licencia alguna, ni
ninguna otra clase de derecho sobre sus patentes,
derechos de autor, marcas o cualquier otra clase
de propiedad intelectual o industrial de su
propiedad a la Contraparte.
La Contraparte declara y acepta que no podrá
solicitar ningún tipo de derecho o privilegio
industrial, incluyendo patentes, que se relacionen
directa o indirectamente con la Información
Confidencial revelada por DMC. Asimismo, la
Contraparte no podrá solicitar ni registrar ningún
tipo de derecho de propiedad industrial o
intelectual que pudiera afectar los derechos de
DMC sobre la Información Confidencial.
Todos los resultados, desarrollos, creaciones o
documentos que surjan, se generen o creen por la
Contraparte o sus empleados o representantes, a
partir de o con ocasión de la Información
Confidencial, incluyendo pero no limitándose a,
dibujos, diseños, planos, fotografías, textos,
imágenes, creaciones, productos, desarrollos,
inventos, montajes, puestas en marchas,
customizaciones, trabajos, personalizaciones,
mejoras, descubrimientos y cualquier otro
material gráfico, audiovisual, de sonido o de

compliance with the obligations under this
Agreement, as appropriate.
12 Information Ownership
All the Confidential Information is and will remain
being of exclusive ownership of DMC. In case the
Process failed to prosper, any compilation of
analyses, studies or other documents prepared by
the Counterpart or its Authorized Representatives,
based on the review of the Confidential
Information and/or visits made to DMC premises,
shall be granted to the latter on a gratuitous
basis.
Nothing in this Agreement shall be interpreted as
the granting of a title deed or ownership right in
favor of the Counterpart over property,
intellectual or industrial rights, be them present or
future, of DMC. Additionally, and under this
Agreement, the Parties acknowledge that DMC is
not granting any license whatsoever, or any other
type of right over its patents, copyrights, brands
or any other type of intellectual or industrial
property under its ownership to the Counterpart.
The Counterpart states and accepts it will not be
able to request any type of industrial right or
privilege, including patents that directly or
indirectly relate with the Confidential Information
disclosed by DMC. Additionally, the Counterpart
will not be able to request or register any type of
industrial or intellectual property right that may
affect the rights of DMC over the Confidential
Information.
Every result, development, creation or document
that emerges, is generated or created by the
Counterpart or its employees or representatives
from or on occasion of the Confidential
Information, including but not limited to drawings,
designs, plans, pictures, texts, images, creations,
products, developments, inventions, assemblies,
start-ups, customizations, works, personalization,
improvements, discoveries and any other graphic,
audiovisual, sound or text material are to be

cederán en exclusivo beneficio de DMC (en
adelante las “Obras”).
Si por cualquier motivo, las Obras no pudieran ser
consideradas trabajo por encargo, la Contraparte
por este acto cede, a título gratuito,
irrevocablemente a DMC todo derecho e interés
sobre toda y cualquier propiedad intelectual sobre
las Obras y se obliga a suscribir con DMC y con
sus empleados o representantes cualquier cesión
o documento que resulte necesario para este fin.
13 Representaciones y Garantías
La Información Confidencial es provista a la
Contraparte bajo su responsabilidad, en el estado
en que se encuentra sin representación o
garantía, circunstancia que es expresamente
conocida y aceptada por la Contraparte. DMC (o
sus socios, directores, empleados, ejecutivos,
asesores, agentes u otra tercera parte en
representación de ésta o de sus Personas
Relacionadas) específicamente desconoce y no
representa ni garantiza, explícita o implícita, todo
cuanto guarde relación con la precisión,
integridad, utilidad o confiabilidad de la
Información Confidencial o cualquier parte de ella,
y la Contraparte deberá usar la Información
Confidencial a su propio riesgo.
La Contraparte declara reconocer el gran perjuicio
económico y comercial que causaría a DMC la
divulgación de la Información Confidencial. La
infracción a la obligación de confidencialidad será
considerada incumplimiento grave de las
obligaciones que impone el presente Acuerdo, y
sin perjuicio de cualquier otro derecho o recurso
que corresponda a DMC, la Contraparte acepta en

understood as an entrusted work, and all
intellectual and industrial property rights directly
or indirectly related, as well as the inventions,
discoveries, developments, concepts, patents,
copyrights, derivative works, domain names and
any other type of intellectual or industrial
property, including the rights of editing and
publication derived from the use of the
Confidential Information, belong or will be
assigned to the exclusive benefit of DMC
(hereinafter referred to as the “Works”).
If by any reason, the Works could not be
considered as entrusted works, the Counterpart in
this proceeding irrevocably grants, on a gratuitous
basis, to DMC every right and interest over any
and every intellectual property over the Works,
and is bound to subscribe with DMC and its
employees or representatives any transfer or
document that proves to be necessary for this
purpose.
14 Representations and Warranties
The Confidential Information is provided to the
Counterpart under its responsibility, as is, without
representation or warranty – circumstance that is
expressly known and accepted by the
Counterpart. DMC (or its partners, directors,
employees, executives, advisors, agents or other
third parties in representation of the latter or of
its Related Parties) does not particularly know or
represent and neither explicitly or implicitly
guarantees all that related to the accuracy,
integrity, usefulness or reliability of the
Confidential Information or any part of it, and the
Counterpart shall use the Confidential Information
at its own risk.
The Counterpart states to be aware of the great
economic and commercial damage the disclosure
of the Confidential Information would produce to
DMC. Any breach of this obligation of
confidentiality will be considered material breach
of the obligations imposed by the present
Agreement, and notwithstanding any other right
or action that corresponds to DMC, the

medidas precautorias o solicitud de orden de no
innovar. Adicionalmente, DMC tendrá el derecho a
exigir y la Contraparte quedará obligada a realizar
todas las conductas específicas y obligaciones de
hacer que resulten razonables y que tiendan a
revertir los daños y perjuicios ocasionados por el
incumplimiento de las obligaciones contenidas en
el presente acuerdo. La Contraparte deberá
notificar inmediatamente a DMC si tomase
conocimiento del extravío y/o uso no autorizado o
divulgación de la Información Confidencial y
estará obligada a colaborar en forma razonable
para ayudar a DMC a defender sus derechos.
15 Prohibición de Cesión
El presente Acuerdo no podrá ser cedido por la
Contraparte sin el consentimiento expreso de
DMC, otorgado por escrito.
17 Restricción de Contacto
La Contraparte no podrá contactar libremente ni
requerir Información Confidencial o antecedente
alguno a los ejecutivos, representantes,
empleados, asesores o personas relacionadas de
DMC en relación con el Proceso, debiendo todo
contacto, comunicación o solicitud de información
efectuarse, única y exclusivamente, a través de
los representantes indicados en la cláusula 10
siguiente.
19 Noticias y comunicaciones
Cualquier noticia y comunicación entre las Partes
con ocasión de este Acuerdo deberá ser realizada
a las siguientes personas:

Counterpart accepts that the indemnification
against damages does not represent enough
remedy when failing to comply with any of the
provisions of this Agreement by the Counterpart
and hence, every time a provision of this
Agreement becomes threatened or fails to be
complied with, DMC may file any type of appeal or
action (not needing a bail or other guarantee) to
stop or prevent such non-compliance, including
specific measures such as remedy of protection,
precautionary measure or a request of injunction
against further moves. Additionally, DMC will have
the right to demand, and the Counterpart
becomes bound to carry out all the specific
behaviors and obligations deemed reasonable that
tend to revert the damages produced upon failure
to comply with the obligations herein contained.
The Counterpart shall immediately notify DMC
whenever becoming aware about the loss and/or
unauthorized use or disclosure of the Confidential
Information and will be bound to help DMC to
defend its rights on a reasonable basis.
16 Prohibition against Transfer
The present Agreement shall not be transferred
by the Counterpart without express written
consent granted by DMC.
18 Restraint of Contact
The Counterpart may not freely contact the
executives, representatives, employees, advisors
or people related with DMC regarding the Process
or require Confidential Information or any
background information whatsoever, as every
contact, communication or information request
shall be solely and exclusively performed through
the representatives stated in Clause 10 below.
20 Notifications and Communications
Any news and communication between the Parties
on occasion of this Agreement shall be carried out

25 Validez de cláusulas
Si por cualquier motivo una o más disposiciones
de este Acuerdo fueran declaradas nulas,
inválidas o no exigibles, total o parcialmente,
dicha declaración no afectará la validez de las
demás disposiciones del mismo.
27 Modificación y renuncia
Los términos del presente Acuerdo sólo podrán
ser modificados o renunciados en virtud de un
instrumento escrito debidamente firmado por las
Partes.

24 Full Agreement
The present instrument contains the full
agreement between the Parties upon that matter
being dealt with, represents a full understanding
between the Parties and supersedes any previous
obligation regarding the Confidential Information
of the Process.
26 Clause Validity
If, due to any reason, one or more provisions in
this Agreement were deemed as void, invalid or
unenforceable on a total or partial basis, such
statement will not affect the validity of the
remaining provisions hereof.
28 Amendments and Waiver
The terms in the present Agreement can only be
amended or waived under a written instrument
