NON-DISCLOSURE AGREEMENT MADE AND
ENTERED INTO AND BETWEEN “ESPECTÁCULOS
MASIVOS INTERNACIONALES”, S.A. DE C.V.
(HEREINAFTER REFERRED TO AS “EMI”)
REPRESENTED BY MRS. ALEJANDRA GONZALEZ
ANAYA, AND __________________________________
(HEREINAFTER REFERRED TO AS “THE RECEIVER”)
ACCORDING TO THE FOLLOWING UNDERTAKINGS:
UNDERTAKINGS
WHEREAS the parties wish to enter into this Agreement
to define certain parameters of the future legal obligations
and are bound by a duty of Confidentiality with respect to
their sources and contacts, the parties hereby agree as
follows:
“EMI” declares it is a Mexican corporation duly organized
under the Mexican laws, its legal representative has the
faculties to enter into this Agreement, it has its main
corporate address in: Cerrada Santa Catarina #21 Col.
San Angel Inn Delegación Alvaro Obregon, Código
Postal 01060, Ciudad de México and wishes to enter
into this Agreement for the purpose of assessing potential
business ventures.
The “RECEIVER” declares it is Mexican corporation,
KREATTA FILMS S.C. declares it is a Mexican
corporation duly organized under the Mexican laws, its
legal representative has the faculties to enter into this
Agreement, it has its main corporate address in:
Amsterdam 33 int 1, Hipódromo de la Condesa, CP 06100,
Cuauhtémomc, CDMX it has the desire of assessing
potential business relationships or agreements with “EMI”
through which it will have access to Confidential
Information (as such term is defined below) owned by
“EMI” and/or its shareholders or holding companies and
affiliates, so agrees to the terms of this Agreement to
protect such information.
FIRST. Confidential Information.
For the purposes of this Agreement, the term confidential
information ("Confidential Information") means, in
particular, all information that is designated as confidential,
and in general, any information, including but not limited
to, all “EMI”-related information and/or of its shareholders,
affiliates and/or related companies or “EMI” business
activities related to its present and future shareholders,
affiliates and/or related Companies; all information,
documentation both technical and financial; financial
statements, software, services, employees, customers,
developments, inventions, designs, accounting,
marketing, information, sale policies, pricing, valuation,
data, market information, statistics, methods, programs,
business policies and practices including sales, promotion
and advertising, forecasts and financial plans and
business information regarding facilities, buildings and
equipment, including systems and software of “EMI”

INTERNACIONALES”, S.A. DE C.V. (EN LO
SUBSECUENTE “EMI”) REPRESENTADO EN ESTE
ACTO POR EL SRA. ALEJANDRA GONZALEZ ANAYA,
Y ___________________________________________
(DE AQUÍ EN ADELANTE, COMO “EL RECEPTOR”) AL
TENER DE LOS SIGUIENTES ACUERDOS:
ACUERDOS
CONSIDERANDO que las partes desean celebrar este
Acuerdo para definir ciertos parámetros de las
obligaciones legales futuras y están obligados por un
deber de confidencialidad con respecto a sus fuentes y
contactos las partes acuerdan lo siguiente:
“EMI” declara que es una Sociedad mexicana
debidamente constituida bajo las leyes mexicanas, su
representante legal tiene las facultades para celebrar este
Acuerdo, tiene su domicilio en: Cerrada Santa Catarina
#21 Col. San Angel Inn Delegación Alvaro Obregon,
Código Postal 01060, Ciudad de México, desea
celebrar este Acuerdo con el fin de evaluar posibles socios
comerciales.
El “RECEPTOR” declara ser una persona Moral basada
den México , KREATTA FILMS S.C. representado en esta
ocasión por Carlos Arturo Morelos Padilla y tiene plena
capacidad para llevar firmar este acuerdo, KREATTA
declara tener su domicilio en: Amsterdam 33 int 1,
Hipódromo de la Condesa, CP 06100, Cuauhtémomc,
CDMX, desea de evaluar las posibles relaciones
comerciales o acuerdos con “EMI” a través de los cuales
tendrá acceso a la Información Confidencial (como se
define a continuación el término) propiedad de “EMI” y/o
sus accionistas o compañías tenedoras y afiliadas, por lo
que acepta los términos de este Acuerdo para proteger
dicha información.
PRIMERA. Información confidencial.
Para los fines de este Acuerdo, el término información
confidencial (“Información confidencial”) significa, en
particular, toda la información que se designa como
confidencial y, en general, cualquier información, incluida,
entre otras, toda la información relacionada con “EMI” y/o
de sus accionistas, afiliados y/o compañías relacionadas
o actividades comerciales de “EMI” relacionadas con sus
actuales y futuros accionistas, afiliados y/o Compañías
relacionadas; Toda la información, documentación tanto
técnica como financiera; estados financieros, software,
servicios, empleados, clientes, desarrollos, invenciones,
diseños, contabilidad, mercadeo, información, políticas de
venta, precios, valoración, datos, información de mercado,
estadísticas, métodos, programas, políticas y prácticas
comerciales, incluyendo ventas, promoción y publicidad,
pronósticos y planes financieros e información comercial
sobre instalaciones, edificios y equipos, incluidos sistemas

computers and/or of its shareholders, affiliates and/or
related companies, as well as the legal procedures before
any authority, as well as formulas, drawings, plans and
specifications, including know-how, that is accessible to or
is received from “EMI” and/or its shareholders, affiliates
and/or related companies at any time from the date of
signature of this Agreement.
SECOND. Nature of the Relationship and Uses of the
Confidential Information.
The “RECEIVER” agrees to maintain and preserve as
confidential all Confidential Information and to use it
exclusively for the preparation of project called _
“Celebración Bicentenario Jalisco - 200 años
Libres y Soberanos"_ and/or work proposals that
will be submitted to “EMI” and/or its shareholders,
affiliates and/or related companies. To this end, the
“RECEIVER” shall take all necessary measures so that
Confidential Information is not diss “EMI” noted,
disclosed, published or otherwise made known to third
parties, when required by “EMI” and in any other case,
once the “RECEIVER” has completed the development of
the projects and/or labor proposals to be presented to
“EMI”, the “RECEIVER” must return and deliver
immediately all the “EMI” documents and materials
containing Confidential Information or portion thereof, and
any copy of such Confidential Information in its
possession.
THIRD. Effective date.
This Agreement shall enter into force as of the date of its
signature and shall remain so for as long as there is a
relationship between the Parties, and even so after such
relationship is terminated.
FOURTH. Breach.
The “RECEIVER” acknowledges that the Confidential
Information was designed by, so the “RECEIVER”
acknowledges that failure to comply with the obligations
would cause an important damage to “EMI”. Therefore,
the “RECEIVER” shall indemnify “EMI” for any breach of
the confidentiality obligations set forth in this Agreement
and will be liable for the damages of any kind and nature
that such breach generates to “EMI”. The Parties agree
that all the costs and expenses caused by a breach will be
covered by the “RECEIVER”.
FIFTH. General Provisions.
The delivery of the Confidential Information subject to this
Agreement does not grant the “RECEIVER” any industrial
or intellectual property rights over the industrial or
intellectual property rights of “EMI” and/or of its
shareholders and / or related companies. To this end, the
“RECEIVER” acknowledges that, given the nature of the
relationship that is implemented between the Parties under
this Agreement, it will have contact with industrial and
intellectual, including, without limitation, Copyrights,

y software de computadoras “EMI” y/o de sus accionistas,
afiliados y/o compañías relacionadas, así como los
procedimientos legales ante cualquier autoridad, así como
Fórmulas, planos, planos y especificaciones, incluidos los
conocimientos técnicos, accesibles o recibidos de “EMI”
y/o sus accionistas, afiliados y/o empresas relacionadas
en cualquier momento a partir de la fecha de la firma de
este Acuerdo.
SEGUNDA. Naturaleza de la relación y usos de la
información confidencial.
El “RECEPTOR” acuerda mantener y preservar como
confidencial toda la Información confidencial y utilizarla
exclusivamente para la preparación del proyecto
denominado __ “Celebración Bicentenario
Jalisco - 200 años Libres y Soberanos"___ y/o
propuestas de trabajo que se presentarán a “EMI” y/o sus
accionistas, afiliados y/o empresas relacionadas. En este
sentido, el “RECEPTOR” tomará todas las medidas
necesarias para que la Información confidencial no se
divulgue, publique o de otra manera se dé a conocer a
terceros, cuando sea requerido por “EMI” y en cualquier
otro caso, una vez que el “RECEPTOR” haya completado
el desarrollo de los proyectos y/o las propuestas laborales
que se presentarán a “EMI”, el “RECEPTOR” deberá
devolver y entregar inmediatamente todos los documentos
y materiales de “EMI” que contengan Información
confidencial o parte de ella, y cualquier copia de dicha
información confidencial en su poder.
TERCERA. Vigencia.
El presente Acuerdo entrará en vigor a partir de la fecha
de su firma y así permanecerá por todo el tiempo en que
haya relación entre las Partes y aun después de que
termine la misma.
CUARTA. Incumplimiento.
El “RECEPTOR” reconoce que la Información
Confidencial fue diseñada por “EMI” por lo que el
“RECEPTOR” reconoce que el incumplimiento de las
obligaciones causaría un daño importante para “EMI”. Por
ello, el “RECEPTOR” indemnizará a “EMI” por cualquier
incumplimiento de las obligaciones de confidencialidad
establecidas en este Acuerdo y será responsable de los
daños y perjuicios de cualquier tipo y naturaleza que
genere dicho incumplimiento a “EMI”. Las Partes
acuerdan que todos los costos y gastos causada por un
incumplimiento, serán cubiertos por el “RECEPTOR”.
QUINTA. Condiciones generales.
La entrega de la Información Confidencial sujeta a este
Acuerdo no otorga al “RECEPTOR” ningún derecho de
propiedad industrial o intelectual sobre los derechos de
propiedad industrial o intelectual de “EMI” y/o de sus
accionistas y/o partes relacionadas. Con este fin,
“RECEPTOR” reconoce que, dada la naturaleza de la
relación que se implementa entre las Partes en virtud del

Trademarks, Signs Badges, Domain Names, among
others.
Therefore, the “RECEIVER” undertakes to make a correct
and due use of such rights, expressly consenting to
indemnify “EMI” of any damages and consequences
arising from the wrong and/or negligent use of such
intellectual and industrial property.
The “RECEIVER” may not transfer its rights and
obligations set forth in this Agreement, neither in whole nor
in part. This Agreement contains the entire convention
between the parties and will prevail over any prior
agreement between them with the same object. This
Agreement may be amended only in writing signed by
“EMI” and the “RECEIVER”.
If any provision contained in this Agreement is legally
considered nonexistent or void, its compliance shall be
required to the greatest extent possible consistent with
applicable law and the validity of the remaining provisions
of this instrument shall not be affected or impaired.
The conclusion of this Agreement only documents the
obligation of confidentiality of the “RECEIVER” in relation
to the information received from “EMI” and/or from its
shareholders, affiliates and/or related companies.
All notices and notifications between the Parties will be
made in writing and will be delivered in person or sent by
certified mail sent to the addresses indicated on the
beginning of the hereto.
For the interpretation, implementation and enforcement of
this Agreement, the parties expressly submit themselves
to the applicable laws and jurisdiction and venue of courts
in Mexico City, Mexico, expressly renouncing any other
jurisdiction by reason of their addresses, present or future,
or for any other cause that may correspond.
Hence, the parties herein mutually agree on April, 11, 2023
date from which began its business relationship in Mexico
City.

presente Acuerdo, tendrá contacto con propiedad
industrial e intelectual, entre otros, derechos de autor,
marcas comerciales, distintivos de signos, nombres de
dominio, entre otros.
Por lo tanto, “RECEPTOR” se compromete a hacer un
uso correcto y debido de dicha propiedad, otorgando su
consentimiento expreso para indemnizar a “EMI” de
cualquier daño o consecuencia que surja del uso
incorrecto y/o negligente de dicha propiedad intelectual e
industrial.
El “RECEPTOR” no podrá transferir sus derechos y
obligaciones establecidos en este Acuerdo, ni en su
totalidad ni en parte. Este Acuerdo contiene el total
acuerdo entre las partes y prevalecerá sobre cualquier
acuerdo previo entre ellas con el mismo objeto. Este
Acuerdo puede ser modificado solo por escrito y firmado
por “EMI” y el “RECEPTOR”.
Si alguna disposición contenida en este Acuerdo se
considera legalmente inexistente o nula, se requerirá su
cumplimiento en la mayor medida posible de conformidad
con la ley aplicable y la validez de las disposiciones
restantes de este instrumento no se verá afectada o
menoscabada.
La conclusión de este Acuerdo solo documenta la
obligación de confidencialidad del “RECEPTOR” en
relación con la información recibida de “EMI” y/o de sus
accionistas, afiliados y/o empresas relacionadas.
Todos los avisos y notificaciones entre las Partes se harán
por escrito y se entregarán personalmente o se enviarán
por correo certificado enviado a las direcciones que se
indican en la declaración al inicio del presente documento.
Para la interpretación, implementación y cumplimiento de
este Acuerdo, las partes se someten expresamente a las
leyes, jurisdicción y los tribunales en la Ciudad de México,
renunciando expresamente a cualquier otra jurisdicción
por sus direcciones, presentes o futuras, o por cualquier
otra que les pueda corresponder.
Por lo tanto, las partes en este documento acuerdan
mutuamente el 11 de Abril del 2023 fecha a partir de la
cual comenzó su relación comercial en la Ciudad de
México.
