Mutual Non-Disclosure Agreement
This Mutual Non-Disclosure Agreement (the
“Agreement”) is made on the 15 of February 2022
(the “Effective Date”) by and between Nuvei
Payments Mexico, S.A. de C. V. whose registered
office is at Avenida Centenario No. Modulo 4 No. lnt
Local K PA, Zona Urbana Rio Tijuana, C.P 22010,
Tijuana, Baja California, Mexico (doing business as
“Nuvei”); and Servicios Inca S.R.L. a company
incorporated under the laws of Costa Rica whose
registered office is at San Jose Montes de Oca, San
Pedro, Los Yoses, Avenida 8 y 10, Calle 39, 2da
Oficina (the “Company”), hereinafter to be
collectively referred to as the “parties” and each a
“party”.
WHEREAS, the parties, for their mutual benefit,
may have exchanged and wish to further exchange
certain information in order that each of them may
evaluate such information for the purpose of
determining their respective interests in establishing
business relations between them (the “Business
Relations”); and
WHEREAS, in consideration of the mutual exchange
and disclosure of such information, the parties have
agreed that any and all Confidential Information (as
defined below) of one party shall be kept confidential
and otherwise treated by the other in accordance with
the terms of this Agreement;
NOW THEREFORE, in consideration of the mutual
covenants, terms and conditions set out herein, the
parties agree as follows:
1. Definitions. For the purposes of this Agreement:
1.1. “Affiliate” shall mean, in relation to a party,
any corporation, partnership, or other entity
that at any time during the term of this
Agreement, directly or through one or more
intermediaries, Controls, is Controlled by or
is under common Control with such party,
but only for so long as such relationship
exists. An entity shall no longer be an
Affiliate when, through loss, divestment,

Este Contrato de Confidencialidad Bilateral (el
“Contrato”) celebrado el 15 de Febrero 2022 (la
“Fecha Efectiva”) por Nuvei Payments México,
S.A. de C.V. con domicilio en Avenida Centenario
No. Módulo 4 Int Local K PA, Zona Urbana Río
Tijuana, C.P. 22010, Tijuana, Baja California,
México (“Nuvei”); y Servicios Inca S.R.L. una
sociedad constituida bajo las leyes de Costa Rica,
con domicilio en San Jose Montes de Oca San Pedro,
Los Yoses, Avenida 8 y 10, Calle 39, 2da Oficina (la
“Sociedad”), en su conjunto referidas como las
“partes” o cada una como una “parte”.
CONSIDERANDO que las partes, para su beneficio
mutuo, han intercambiado y desean seguir
intercambiando cierta información para que cada una
de ellas pueda evaluar dicha información con el fin
de determinar sus respectivos intereses en el
establecimiento de relaciones comerciales entre ellas
(las “Relaciones Comerciales”); y
CONSIDERANDO el intercambio mutuo y la
divulgación de dicha información, las partes han
acordado que toda la Información Confidencial
(según dicho término se define a continuación) de
una de las partes se mantendrá confidencial y será
tratada por la otra de acuerdo con los términos de
este Contrato;
POR LO TANTO, en consideración a los acuerdos
mutuos, términos y condiciones establecidos en el
presente, las partes acuerdan lo siguiente:
1. Definiciones. Para los propósitos de este
Contrato:
1.1 “Afiliado” significará, en relación con una

writing, orally or visually, and whether
disclosed or accessed in documentary,
electronic or other tangible or non-tangible
form or media, and whether or not identified
as “confidential,” including, without
limitation: (a) all information concerning
the past, present, and future business affairs
of the Disclosing Party, its Affiliates, and
their customers, suppliers, and any other
third parties, including, without limitation,
information concerning finances, customers,
suppliers, products, services, organizational
structure, internal practices, forecasts, sales,
financial results, financial records, budgets,
and business, marketing, development,
sales, and other commercial strategies; (b)
any unpatented inventions, ideas, methods,
discoveries, trade secrets, know-how,
unpublished patent applications, and other
intellectual property; (c) all designs,
specifications, documentation, components,
software, hardware, techniques, source
code, network, security architecture, product
information, reports and documentation,
inventions, know-how, trade-secrets,
structural, scientific, technical, intellectual,
algorithmic, pricing data, market reports and
other business affairs, object codes, images,
icons, audiovisual components and objects,
schematics, drawings, protocols, processes,
and other visual depictions, in whole or in
part, of any of the foregoing; (d) any third-
party confidential information included
with, or incorporated in, any information
provided by the Disclosing Party to the
Receiving Party or its Permitted Disclosees;
and (e) all notes, analyses, compilations,
reports, forecasts, studies, samples, data,
statistics, summaries, interpretations, and
other materials (the “Notes”) prepared by or
for the Receiving Party or its Permitted
Disclosees that contain, are based on, or
otherwise reflect or are derived from, in
whole or in part, any of the foregoing. The

desarrollo, ventas y otras estrategias
comerciales; (b) cualquier invención no
patentada, idea, métodos, descubrimientos,
secretos comerciales, know- how, solicitudes
de patentes no publicadas y cualquier tipo de
propiedad intelectual no registrada; (c) todos
los diseños, especificaciones, documentación,
componentes, software, hardware, técnicas,
códigos fuente, redes, arquitectura de
seguridad, información sobre productos,
informes y documentación, invenciones,
conocimientos técnicos, secretos
comerciales, datos estructurales, científicos,
técnicos, intelectuales, algorítmicos, de
precios, informes de mercado y otros asuntos
comerciales, códigos de objetos, imágenes,
iconos, componentes y objetos
audiovisuales, esquemas, dibujos,
protocolos, procesos y otras representaciones
visuales, en su totalidad o en parte, de
cualquiera de los anteriores; (d) cualquier
información confidencial de terceros incluida
o incorporada en cualquier información
proporcionada por la Parte Reveladora a la
Parte Receptora o a sus Receptores
Autorizados; y (e) todas las notas, análisis,
compilaciones, informes, previsiones,
estudios, muestras, datos, estadísticas,
resúmenes, interpretaciones y otros
materiales (las “Notas”) preparados por o

or control, directly or indirectly, of more

1.4. “Permitted Disclosee(s)” shall mean the
Receiving Party’s and its Affiliates
respective officers, directors, employees,
advisers, agents, suppliers or service
providers to whom disclosure of
Confidential Information is necessary
strictly for the purpose of the Business
Relations.
2. Confidentiality and Use. The Receiving Party
hereby covenants and warrants that:
2.1. The Confidential Information shall be
protected, kept and treated by it in strict
confidence and with at least the same degree
of care as the Receiving Party (or any third
party to which Confidential Information is
disclosed in accordance with this Section 2)
would use to protect its own Confidential
Information, but in no event with less than a
reasonable degree of care;
2.2. Unless the Disclosing Party’s prior written
consent is obtained, the Confidential
Information shall not be directly or
indirectly disclosed to any person or entity
other than the Receiving Party's Permitted
Disclosees who have been informed of its
confidential nature, are subject to
confidentiality obligations to the Receiving
Party that are no

1.4 “Receptores Autorizados” significará la
Parte Receptora y sus Afiliados, directores,
consejeros, asesores, agentes o proveedores a
quienes es necesario la divulgación de la
Información Confidencial para los propósitos
de la Relación Comercial.
2. Confidencialidad y Uso. La Parte Receptora se
compromete y garantiza que:
2.1 La Información Confidencial será protegida,
resguardada y tratada por ella de forma
estrictamente confidencial y con al menos el
mismo grado de cuidado que la Parte
Receptora (o cualquier tercero al que se le
revele la Información Confidencial de
acuerdo con esta Cláusula 2) utilizaría para
proteger su propia Información Confidencial,
pero en ningún caso con un grado de cuidado
inferior al razonable;
2.2 A menos que se obtenga el consentimiento
previo por escrito de la Parte Reveladora, la
Información Confidencial no será revelada
directa o indirectamente a ninguna persona o
entidad que no sean los Receptores
Autorizados de la Parte Receptora que hayan

confidential intellectual property; and
2.5. The Confidential Information shall not be
copied in any manner, in whole or in part,
except to the extent necessary for the
purposes of the Business Relations and any
copies, extracts or summaries of the
Confidential Information (in whatever form
or manner) made by the Receiving Party
shall clearly bear the proprietary markings
of the Disclosing Party or, as the case may
be, the latter’s licensor.
3. Ownership and Trading. Company represents
to Nuvei that neither it nor any of its subsidiaries
or affiliates beneficially owns, directly or

2.5 La Información Confidencial no se copiará
de ninguna manera, así sea en su totalidad o
en parte, excepto en la medida necesaria para
los fines de las Relaciones Comerciales y
cualquier copia, extracto o resumen de la
Información Confidencial (en cualquier
forma o manera) realizado por la Parte
Receptora deberá llevar claramente las
marcas de propiedad de la Parte Reveladora
o, según sea el caso, del licenciante de esta
última.
Sociedad declara a Nuvei que ni ella ni ninguna
de sus subsidiarias o afiliadas son propietarias,
directa o indirectamente, ni ejercen control sobre
ningún valor de Nuvei Corporation (una afiliada
de Nuvei y una entidad que cotiza en la bolsa de
valores y en el NASDAQ). La Sociedad
reconoce que es consciente que las leyes de
valores aplicables prohíben a cualquier persona
que tenga información privilegiada sobre una
entidad que cotiza en bolsa, como Nuvei
Corporation, negociar con valores de Nuvei
Corporation o cambiar un interés económico en
un instrumento financiero relacionado o revelar
dicha información a cualquier otra persona,
sujeto a las limitadas excepciones establecidas en
las leyes de valores aplicables.

5. Destruction or Return. At any time during or
after the term of this Agreement, at the
Disclosing Party’s written request, the Receiving
party and its Permitted Disclosees shall promptly
return to the Disclosing Party or destroy all
copies of the Disclosing Party’s Confidential
Information. Notwithstanding the foregoing, the
Receiving Party and its Permitted Disclosees
may retain copies of Confidential Information in
accordance with its and their respective bona fide
internal record retention policies for legal,
compliance or regulatory purposes, and copies of
computer records and files containing
Confidential Information that have been created
pursuant to automatic electronic archiving and
back-up procedures until such computer records
and files have been deleted in the ordinary
course. The Receiving Party and its Permitted
Disclosees shall continue to be bound by the
terms and conditions of this Agreement with
respect to such retained Confidential
Information.
6. Exclusions. The term "Confidential Information"
as used in this Agreement shall not include
information that: a) was already known to the

5. Destrucción o Devolución. En cualquier
momento durante o con posterioridad al término
de este Contrato, a petición por escrito de la
Parte Reveladora, la Parte Receptora y sus
Receptores Autorizados, deberán, de manera
inmediata, devolver a la Parte Reveladora o
destruir todas las copias de la Información
Confidencial de la Parte Reveladora. Sin
perjuicio de lo anterior, la Parte Receptora y sus
Receptores Autorizados podrán conservar copias
de la Información Confidencial de acuerdo con
sus respectivas políticas internas de buena fe de
conservación de registros con fines legales, de
cumplimiento o normativos, así como copias de
los registros y archivos informáticos que
contengan Información Confidencial que hayan
sido creados de conformidad con los
procedimientos automáticos de archivo y copia
de seguridad electrónicos hasta que dichos
registros y archivos informáticos hayan sido
eliminados en el curso ordinario del negocio. La
Parte Receptora y sus Receptores Autorizados
seguirán estando obligados por los términos y
condiciones de este Contrato con respecto a
dicha Información Confidencial retenida.
6. Excepciones. El término “Información
Confidencial” usado en este Contrato no
comprenderá la información que: a) era conocida
 Receiving Party or its Permitted Disclosees at the
time of disclosure hereunder; b) becomes
available to the Receiving Party on a non-
confidential basis from a third-party source,
provided that such third party is not and was not
prohibited from disclosing such Confidential
Information by a contractual obligation to the
Disclosing Party; c) was or is independently
developed by the Receiving Party or its
Permitted Disclosees, without reference to or use
of the Confidential Information or other breach
of this Agreement, as established by
documentary evidence; or d) at the time of
disclosure is or thereafter becomes publicly
known, other than due to a breach of this
Agreement by the Receiving Party or its
Permitted Disclosees.
