HUMCAR INTERNATIONAL CORP LIMITED, empresa
constituída bajo las normas de Hong Kong, registrada y
domicilio social en Room 1707, 17/F, Hartcourt House, 39
Gloucester Road, Wanchai, Hong Kong, representada en este
acto por HUMBERTO MARTÍN CAMACHO GARCÍA, en su
calidad de representante legal de la Sociedad.

representada en este acto por ......................, en su calidad de
representante legal de la Sociedad.
Se reconocerán en este acto de forma conjunta como LAS
PARTES y de forma individual como LA PARTE.
LAS PARTES, están explorando la posibilidad de participar en
uno o más negocios de beneficio mutuo. relaciones comerciales
(colectivamente, la "Relación Comercial"). Las Partes reconocen
que en el curso de sus discusiones para promover la Relación
Comercial, será necesario que cada Parte revele a la otra cierta
Información Confidencial (como se define a continuación). Cada
Parte desea establecer los términos que aplicar a dicha
Información Confidencial.
CONSIDERACIONES
Las Partes (en adelante las “Partes”) han convenido celebrar el
presente Acuerdo de Confidencialidad (en adelante el
“Acuerdo”) para consignar y establecer expresamente los
términos que rigen el uso y la protección de la Información
Confidencial (según este término se define más adelante) que
entregarán en virtud del proceso de

Como consecuencia de lo anterior, las Partes obtendrán o
tendrán acceso mutuo a la Información Confidencial de la
otra, incluyendo, pero sin limitarse a información técnica,
financiera y comercial, know-how, métodos y procesos de
trabajo empresariales.
Las Partes consideran necesario establecer explícitamente sus
acuerdos con respecto al manejo de la Información
Confidencial.
En consecuencia, las partes convienen en suscribir el siguiente
ACUERDO DE CONDIDENCIALIDAD:
i. Información Confidencial. - El Acuerdo de
Confidencialidad (el “Acuerdo”) tiene por objeto
proteger la información que las Partes se
entregarán con ocasión de la eventual celebración
de un negocio.
ii. Las Partes acuerdan que toda la información que
sea divulgada a la otra con el propósito de facilitar
el desarrollo del negocio comercial será tenida
como Información Confidencial, tal y como se
define en el presente acuerdo.
iii. Con excepción de lo dispuesto en los literales
(a), (b), (c), de esta cláusula, el término

Camacho García, in his capacity as legal representative of the

They will be recognized in this act jointly as THE PARTIES and
individually as THE PARTY.
The Parties are exploring the possibility of engaging in one or
more mutually beneficial business relationships (collectively, the
“Business Relationship”). The Parties acknowledge that, during
their discussions to further the Business Relationship, it will be
necessary for each Party to share certain confidential
information with the other Party. Each Party wishes to specify
the terms governing the Confidential Information.
Therefore, the parties hereby agree as follows:
THOUGHTFULNESS
The Parties (hereinafter the “Parties”) have agreed to enter into
this Confidentiality Agreement (hereinafter the "Agreement") to
consign and expressly establish the terms that govern the use and
protection of Confidential Information (as this term is defined
later) that they will deliver under the process of

Because of the foregoing, the Parties will obtain or have mutual
access to the Confidential Information of the other, including,
but not limited to, technical, financial and commercial
information, know-how, methods, and business work processes.

AGREEMENT:

facilitating the development of the commercial
business will be considered confidential

mercadeo o cualquier información relacionada
con las operaciones de negocios presentes o
futuros o condiciones financieras de los Partes;
en forma escrita u oral.
