VISTO:

La Actuaci6n Interna N° 30-00003493 del Sistema Electr6nico de

Gesti6n Administrativa de esta Fiscalia General;

Y CONSIDERANDO:

Que el articulo 124 de la Constituci6n de la Ciudad Aut6noma de

Buenos Aires Ie reconoce al Ministerio Publico autonomfa funcional yautarqufa,

10 que es reafirmado par el articulo 1° de la Ley N° 1903, Orgtmica del Ministerio

Publico.

Que, de acuerdo can el articulo 3° de la Ley N° 1903, el gobierno y

administraci6n del Ministerio Publico estan a cargo de sus titulares, senalando su

articulo 18 que la Fiscalia General y los demas ambitos del Ministerio Publico,

cad a uno en su respectiva esfera, ejercen los actos que resultaren necesarios

para el cumplimiento de las funciones encomendadas (inc. 2°).

Que mediante la Actuaci6n Interna referida en el Vista de la

presente, el Cuerpo de Investigaciones Judiciales dio inicio a las tratativas

tendientes a la suscripci6n de un Acuerdo para el Acceso Remota a CyberTipline

celebrado entre el Centro Nacional para Ninos Desaparecidos y Explotados

 Que cabe destacar que el NCMEC es una organizacion sin fines de

lucro con sede en los Estados Unidos de America. Esta institucion ha recibido

apoyo del Congreso de los EE.UU. con el fin de construir una respuesta

internacional coordinada e intercambiar informacion respecto a la problematica

de los ninos desaparecidos y explotados sexualmente. Asimismo, ha obtenido

autorizacion para establecer la CyberTipline, la cual proporciona un mecanisme

centralizado donde los proveedores de servicios de Internet reportan actividades

sospechosas relacionadas a la explotacion sexual de los ninos.

Que en este sentido se acompano el proyecto del acuerdo

mencionado, cuyo objeto consiste en definir los estandares para que este

Ministerio Publico Fiscal pueda establecer una conexion remota con la red virtual

interna privada (el "Servicio VPN") de NCMEC, con el fin especifico de descargar

informes de CyberTipline generados por la Division de Ninos Explotados de

NCMEC ("Ihformes CyberTipline").

Que conforme la clausula tercera, esta Fiscalia General se

compromete a utilizar el Servicio VPN unicamente para descargar los Informes

CyberTipline, pudiendo descargar los mismos inmediatamente despues de

recibir una notificacion via correo electronico de NCMEC en la que se informara

que esta habilitado a acceder a los mencionados documentos. No obstante 10

antedicho, esta Fiscalia General debera descargar y/o revisar todos los Informes

CyberTipline denominados "Informes Prioritarios CyberTipline" con la mayor

celeridad posible despues de recibir la notificacion en la que se informa que

NCMEC ha habilitado su acceso a los Informes Prioritarios CyberTipline.

Que mediante la clausula octava, se determina la confidencialidad

de la Informacion en relacion con el uso del Servicio VPN, comprometiendose

esta Fiscalia general a abstenerse de utilizar dicha informacion para un proposito

distinto de la investigacion de los delitos indicados en dicho acuerdo.

Que tomo intervencion la Oficina de Despacho, Legal y Tecnica de

la Secretarfa General de Coordinacion, a traves del Departamento de Asuntos

Jurfdicos, mediante el Dictamen DAJ N° 326/13, no encontrando reparos de

indole jurfdica a la rubrica del mentado acuerdo.

Que cabe destacar que el citado acuerdo no implica afectacion

presupuestaria para este Ministerio Publico Fiscal.

Que en consecuencia, el dia 11 de octubre de 2013 se suscribio el

mentado acuerdo.

Que en cuanto a la competencia para celebrar convenios, es dable

recordar 10 dispuesto en el articulo 124 de la Constitucion de la Ciudad

Autonoma de Buenos Aires y los articulos 1, 2, 3 Y concordantes de la Ley N°

1903 que habilitan al Fiscal General para la firma de este tipo de actos en

representacion del Ministerio Publico Fiscal.

Que por 10 expuesto, corresponde registrar mediante la presente el

Acuerdo para el Acceso Remoto a CyberTipline celebrado entre el Centro

Nacional para Niiios Desaparecidos y Explotados (NCMEC) y este Ministerio

Publico Fiscal.

Que la presente se dicta de conformidad con 10 dispuesto en el

- articulo 124 de la Constitucion de la Ciudad Autonoma de Buenos Aires y los

(NCMEC) y este Ministerio Publico Fiscal, suscripto con fecha 11 de octubre del

ana en curso, que se agrega como Anexo a la presente.

 Acuerdo para el Acceso Remoto a CyberTipline celebrado entre el Centro Nacional
para Ninos Desaparecidos y Explotados; y el Fiscal del Ministerio Publico de la Ciudad
de Buenos Aires, Argentina.

EI presente Acuerdo se celebra entre el Centro Nacional para Ninos Desaparecidos y

Explotados (en adelante "NCMEC") representado por Linda Kreig, con domicilio legal
en 699 Prince Street, Alexandria, VA 22314, Estados Unidos de America; y el
Ministerio Publico Fiscal de la Ciudad de Buenos Aires, representado por el Fiscal
General Sr. German Carlos Garavano, con domicilio en Av. Paseo Colon 1333, piso 12,
Ciudad Autonoma de Buenos Aires, Argentina, (en adelante "MFP").

Ambas partes acuerdan celebrar el presente sujeto a las siguientes c1ausulas:

PRIMERA.

EI objetivo de este acuerdo (el "Acuerdo") para el Acceso Remoto a CyberTipline, es

definir los estandares para que el MPF pueda establecer una conexion remota con la
red virtual interna privada (el "Servicio VPN") de NCMEC, con el fin especlfico de
descargar informes de CyberTipline generados por la Division de Ninos Explotados de
NCMEC ("Informes CyberTipline").

SEGUNDA.

EI presente Acuerdo entrara en vigen cia a partir de la fecha de su firma, y finalizara

cuando una de las partes comunique a la otra, par escrito, y con treinta (30) dias de
antelacion, su voluntad de rescindir el Acuerdo. EI MPF reconoce y acepta el derecho
de NCMEC a suspender, de forma parcial a total, el acceso de esta al Servicio VPN en
cualquier momento y por el periodo de tiempo que NECMEC disponga, incluidas
razones de cuestion tecnica a la violacion del Acuerdo por parte del MPF.

TERCERA.

• Informes CyberTipline. EI MPF usara el Servicio VPN unicamente para

descargar los Informes CyberTip/ine y podra descargar dichos Informes
CyberTip/ine inmediatamente despues de recibir una notificacion via correo
electronico de NCMEC en la que se informara al MPF que esta habilitado a
acceder a los mencionados documentos. No obstante 10 antedicho, el MPF
debera descargar y/o revisar todos los Informes CyberTip/ine denominados
"Informes Prioritarios CyberTip/ine" con la mayor celeridad posible despues de
I ,: recibir la notificacion en la que se informa que NCMEC ha habilitado su acceso a
! ( :1 los Informes Prioritarios CyberTip/ine.

V\ "Judiciales (en adelante CIJ) es un organismo que ha sido creado por la Ley N°

 2896 Y depende organicamente del MPF, quien garantiza y se compromete a
cumplir funciones con probado conocimiento, competencia y autoridad, conforme
a la legislaci6n y la normativa por las que se rige dicho MPF.

• Usuarios Autorizados. EI CIJ acepta designar al menos un (1) equipo de

trabajo especializado y un (1) equipo de respaldo para efectuar la descarga de
los Informes CyberTipline ("Usuario Autorizado", respectivamente). EI MPF
debera proveer al NCMEC la informaci6n de contacto de cada Usuario
Autorizado para que el NCMEC proceda a la creaci6n de credenciales de inicio
de sesi6n. EI MPF debera notificar al NCMEC si el designado principal estara
fuera de la oficina 0 si no estara disponible por period os de tiempo prolong ados
o si existe alguna demara anticipada en la descarga de los Informes
CyberTipline. EI MPF reconoce y acepta su responsabilidad frente a cualquier
acci6n u omisi6n por parte de los Usuarios Autorizados, y que cualquier acci6n u
omisi6n par parte de los Usuarios Autorizados constituira una violaci6n a los
terminos y condiciones del presente Acuerdo. EI MPF procurara informar a todos
los Usuarios Autorizados acerca de las c1ausulas del presente Acuerdo y que
dichos Usuarios Autorizados cumplan con 10 dispuesto en las mismas.

• Estatus. EI MPF se compromete y garantiza ser una agencia con probado

conocimiento, competencia y autoridad, conforme a la legislaci6n y la normativa
par las que se rige para investigar y enjuiciar la explotaci6n sexual de menores,
incluida la tecnologia que facilita los crimenes en contra de ninos.

• Retroalimentaci6n. En la medida que sea posible, el MPF se compromete a

enviar comentarios al NCMEC acerca del estado y/o utilidad de determinados
Informes CyberTipline.

• Capacitaci6n. Una vez habilitado el acceso al Servicio VPN, los Usuarios

Autorizados del MPF participaran en una actividad introductoria virtual de la
CyberTipline con personal del NCMEC. Asimismo, el MPF procurara que el
Usuario Autorizado tenga disponibilidad para capacitarse en materia de
actualizaciones tecnol6gicas relacionadas con el Servicio VPN 0 el uso de la
CyberTipline.

• Solicitudes de otras Fuerzas de Seguridad. Cuando un Informes CyberTipline

incluya una anotaci6n que indique que la materia de este es una solicitud de otra
fuerza de seguridad del mismo territorio nacional que el del MPF, este ultimo
debera: (a) enviar dicho Informes CyberTipline a la fuerza de seguridad que
corresponda y (b) infarmar al NCMEC la fecha de envio del Informe
CyberTipline en cuesti6n.
 • Proteccion de contrasena. EI MPF utilizara en todo momento 10 mas altos
estandares tecnol6gicos en 10 referente a la protecci6n de los nombres y
contraseiias de sus usuarios utilizados para acceder al Servicio VPN. Siempre
que no implique una limitaci6n a 10 antedicho, el MPF acepta: (a) abstenerse de
revelar contraseiias, PINS, 0 c6digos de acceso a personas ajenas al personal
autorizado necesario, (b) utilizar medidas de seguridad en los puestos de trabajo
y (c) notificar inmediatamente al NCMEC cuando sospeche que la seguridad de
su contraseiia este en riesgo.

• Software de Proteccion Antivirus. EI MPF se responsabiliza de garantizar la

implementaci6n y el mantenimiento de softwares de protecci6n antivirus y
antimalware exhaustivos, incluidos los paquetes de actualizaci6n y parches,
conforme a los estandares de la industria, sobre cualquier sistema que
interactue con el Servicio VPN del NCMEC.

• Firewall Personal. El MPF se responsabiliza de garantizar la implementaci6n y

el mantenimiento de un firewall de gran alcance y sus paquetes de actualizaci6n,
parches y versiones actuales sobre cualquier sistema que interactue con el
Servicio VPN del NCMEC.

• Computadora fuera de red. Siempre que sea posible, el MPF accedera a los
Informes CyberTip/ine utilizando una computadora fuera de red.

• Acceso a Internet. Se requerira que el MPF tenga una cuenta con un Proveedor
de Servicios de Internet (PSI), ya que dicha conexi6n Ie permitira acceder al
Servicio VPN.

• Equipamiento. EI MPF se responsabiliza de la obtenci6n, configuraci6n y

mantenimiento de equipos compatibles necesarios para establecer la conexi6n
al Servicio VPN.

• Contenido. EI MPF adoptara todas las medidas de seguridad necesarias para

procurar reducir al minimo la exposici6n de informaci6n sensible contenida en
los Informes CyberTipline al personal que no este directamente vinculado con
las tareas de descarga 0 de investigaci6n asociadas.

QUINTA.

EI MPF acepta abstenerse de los siguientes usos prohibidos:

Utilizar el Servicio VPN para cuestiones que difieran de la mera descarga de

Informes CyberTipline.

Acceder a datos y/o redes no autorizados para el MPF.

 • Alterar, falsear 0 modificar de alguna manera el Servicio VPN 0 la tecnologia del
NCMEC utilizada para proveer el Servicio VPN.

• Permitir el acceso al Servicio VPN a Usuarios no autorizados.

• Modificar, publicar, transmitir, transferir 0 vender, reproducir, crear obras

derivadas, distribuir, ejecutar, vincular, exponer 0 explotar de alguna manera el
contenido de la base de datos del NCMEC.

• Utilizar 0 intentar utilizar el Servicio VPN con posterioridad a la finalizacion del

presente Acuerdo.

• Cargar, publicar, distribuir via correo electronico, transmitir de algun otro modo 0
publicar accesos directos 0 vinculos de acceso a material que contengan virus
informaticos, troyanos, bombas de tiempo, trampas (trap doors) 0 cualquier otro
tipo de codigo informatico, archivo 0 programa 0 pedidos reiterados de
informacion diseiiada para interrumpir, destruir 0 Iimitar la funcionalidad de
cualquier computadora 0 software 0 equipamiento de telecomunicaciones 0
datos del MPF 0, respecto del Servicio VPN, reducir su nivel de calidad,
interrumpir 0 afectar su normal rendimiento y funcionamiento.

• Utilizar el Servicio VPN para conectar una red LAN 0 cualquier otro tipo de red a
red del NCMEC.

• Utilizar el Servicio VPN con fines ilegales.

SEXTA.

Todos los recursos tecnologicos adquiridos, contratados, diseiiados, creados,

administrados 0 gestionados por el NCMEC ("Propiedad del NCMEC") son
considerados propiedad legitima del NCMEC. Toda informacion electronica creada,
enviada, recibida 0 almacenada en dominios del NCMEC 0 que este bajo su custodia y
control es considerada propiedad legitima del NCMEC.

SEPTIMA.

EI MPF no tendra ninguna expectativa razonable de privacidad en la informacion

enviada, recibida, almacenada, transmitida a terceros, 0 a la cual se haya accedido
mediante la Propiedad del NCMEC, independientemente de su naturaleza, sea esta

 materiales en sus sistemas ni confiere derechos de privacidad al MPF respecto de
mensajes y archivos que este reciba, almacene 0 transmita mediante el Servicio VPN.

OCTAVA.

EI MPF reconoce que cierto material e informacion que pueda lIegar a su poder 0
conocimiento en relacion con su uso del Servicio VPN puede ser de caracter
confidencial 0 de propiedad exclusiva del NCMEC ("Informacion Confidencial"). EI MPF
acuerda mantener dicha Informacion Confidencial en la mas estricta confidencialidad y
abstenerse de utilizar dicha informacion para cualquier proposito que no sea la
investigacion de delitos relacionados con la explotacion sexual de menores. Asimismo,
se compromete a revelar su contenido unicamente a personal autorizado que requiera
dicha Informacion Confidencial y abstenerse de revelarla 0 exponer su contenido a
terceros. EI MPF acepta implementar medidas de proteccion fisicas, electronicas y
administrativas para evitar el acceso no autorizado a la Informacion Confidencial.

Independientemente del propio uso interno que realice el MPF de la Informacion

Confidencial para conducir investigaciones de delitos relacionados con la explotacion
sexual de menores, el MPF acuerda abstenerse de recabar, almacenar, vender 0
distribuir todo tipo de Informacion Confidencial recabada 0 derivada del uso que haga
del Servicio VPN. EI incumplimiento de la presente c1ausula por parte del MPF puede
derivar en la inmediata suspension del acceso al Servicio VPN u otras acciones
punitivas adoptadas por terceros.

NOVENA.

EI acceso al Servicio VPN es "como es", sin garantias de ninguna c1ase. EI NCMEC
rechaza expresamente toda garantia legal incluida, sin limitacion alguna, las garantias
de comercializacion, idoneidad para un fin en particular y no infringir en los derechos de
propiedad.

DECIMA.

Bajo ninguna circunstancia el NCMEC asumira la responsabilidad del usc, el uso

inadecuado, 0 la confiabilidad en el Servicio VPN por parte tanto del MPF como de
cualquier Usuario Autorizado 0 de terceros. En caso de que estos hechos surjan como
consecuencia de una accion legal relacionada con el presente Acuerdo, 0 el contenido
de este, el NCMEC no sera responsable por danos y perjuicios directos, indirectos,
rccesorios, consecuenciales, especiales, punitivos y ejemplificados, ya sea que dicha
accion legal se base en garantia, contratacion, hecho ilicito (incluso negligencia) 0 de
btro tipo (incluso en el hipotetico caso de que NCMEC haya sido informado de la
~ r\J~9sibilidad de dichos danos y perjuicios). EI MPF no hara responsables a NCMEC 0
v~s empleados de esos danos y acuerda colaborar de manera integral con NCMEC y

sus consejeros juridicos para resolver esos reclamos 0 disputas. Dicha Iimitaci6n sera
aplicable independientemente de cualquier incumplimiento del prop6sito fundamental
de cualquier reparaci6n limitada y en la mayor medida legalmente permitida.

EI NCMEC rechaza todas y cada una de las responsabilidades u obligaciones relativas

a la precisi6n, contenido, producto final, legalidad, confiabilidad, funcionamiento,
disponibilidad de informaci6n 0 material que estem expuestos y accesibles por medio
del servicio. EI NCMEC rechaza toda responsabilidad vinculada a la eliminaci6n, el no
almacenamiento, la falta de envio 0 el envio a destiempo de cualquier informaci6n 0
material. EI NCMEC rechaza toda responsabilidad relativa a cualquier dano producto
de la descarga 0 el acceso a cualquier informaci6n 0 material cargado al internet
mediante el Servicio VPN.

DECIMOPRIMERA.

En caso de que surgieren controversias en cuanto a la interpretaci6n 0 implementaci6n

del presente Acuerdo, las partes se comprometen a solucionarlas y resolverlas
mediante negociaci6n directa entre el MPF y el NCMEC. Si no se lIegara a una soluci6n
satisfactoria, las partes se someteran al procedimiento de arbitraje, designando cada
una de las partes a un arbitro y ambas de comun acuerdo al tercero.

En prueba de conformidad, el MPF y NCMEC declaran conocer y aceptar los terminos

y condiciones que 10 componen y por 10 tanto se suscriben dos (2) ejemplares del
mismo tenor y a un solo efecto.

 CyberTipline Remote Access Agreement executed by The National Center for Missing
and Exploited Children and the Prosecutor Public Ministry of the City of Buenos Aires,
Argentina.

This Agreement is entered by and between The National Center for Missing and
Exploited Children (hereinafter "NCMEC") represented' by Linda Krieg, with legal
domicile in 699 Prince Street, Alexandria, VA 22314, USA, and the Prosecutor Public
Ministry of the City of Buenos Aires, represented by the General Prosecutor Mr.
German Carlos Garavano, with domicile in Av. Paseo Co16n1333, 1zth Floor, Ciudad
Autonoma de Buenos Aires, Argentina, (hereinafter "MPF").

Both parties mutually agree to execute this Agreement, subject to the following:

FIRST.

The purpose of this CyberTipline Remote Access Agreement (the "Agreement") is to

define standards for the MPF to remotely connect to NCMEC's internal virtual private
network (the "VPN Service") for the limited purpose of downloading CyberTipline reports
generated by NCMEC's Exploited Children Division ("CyberTipline Reports").

SECOND.

This Agreement shall stay in effect from the date of the last signature until one of the
parties notifies the other in writing with thirty (30) days in advance, its intention to
terminate this Agreement. MPF hereby acknowledges and agrees that NCMEC has the
right to suspend MPF's access to the VPN Service, in whole or in part, at any time and
for any period of time, for any reason, including technical reasons or MPF's violation of
this Agreement.

THIRD.

• CyberTipline Reports. The MPF shall solely use the VPN Service in order to
download CyberTipline Reports and shall download CyberTipline Reports promptly
following receipt of an email notification that NCMEC has made a CyberTipline Report
accessible to the MPF. Notwithstanding the foregoing, the MPF shall download/review
all CyberTipline Reports designated as "Priority CyberTipline Reports" as quickly as
possible following receipt of a notification that NCMEC has made a Priority CyberTipline
Report accessible.

\ Center of Judicial Investigations. The Center of Judicial Investigations, (hereinafter

rJ: the "CJI") is an organism created by Law N° 2896 depending organically of the MPF,
\ Iwho represents and warrants that it will comply with demonstrated knowledge, capability
\ i and authority under the laws and regulations governing the MPF.

 • Authorized Users. CJI agrees to designate at least one (1) dedicated personnel and
one (1) designated back-up to download CyberTipline Reports (each an "Authorized
User"). The MPF shall provide NCMEC with contact information for each Authorized
User in order for NCMEC to create login credentials. The MPF shall notify NCMEC if the
primary designee is out of the office or unavailable for any extended period of time or if
there is an anticipated delay in the downloading of CyberTipline Reports. The MPF
acknowledges and agrees that it shall be responsible for all acts and omissions of
Authorized Users, and any act or omission by an Authorized User which, if undertaken
by the MPF, would constitute a breach of this policy, shall be deemed a breach of this
Agreement by the MPF. The MPF shall undertake reasonable efforts to make all
Authorized Users aware of the provisions of this Agreement and shall cause Authorized
Users to comply with such provisions.

• Status. The MPF represents and warrants that it is an agency with demonstrated
knowledge, capability and authority under the laws and regulations governing it to
investigate and prosecute child sexual exploitation, including technology facilitated
crimes against children.

• Feedback. When possible, the MPF agrees to provide NCMEC with feedback
regarding status and/or usefulness on specific CyberTipline Reports.

• Training. Upon activation of access to the VPN Service, MPF's Authorized User will
participate in an introductory online demonstration of the CyberTipline with NCMEC
staff. Moreover, the MPF will also make the Authorized User available to learn about
any online technological updates that will impact the VPN Service or the use of the
Cyber Tipline.

• Requests from Other Law Enforcement Agencies. When a CyberTipline Report

contains a notation that it is the subject of a request from another law enforcement
agency within MPF's country, the MPF will: (a) provide the CyberTipline Report the
requesting law enforcement agency; and (b) provide NCMEC with the date that the

FOURTH.

• Protection of Password. The MPF shall at all times use the highest industry
standards related to the protection of user names and passwords used to access the
VPN Service. Without limiting the foregoing, the MPF agrees to: (a) refrain from
disclosing passwords, PINS, or access codes, except to essential personnel, (b) use
\ reasonable workstation security measures, and (e) notify NCMEC immediately if the

• Personal Firewalls. The MPF is responsible for ensuring a comprehensive firewall,

including upgrades, patches, and current versions consistent with industry standards, is
implemented and maintained on any systems interacting with NCMEC's VPN Service.

• Stand-alone Computer. Whenever possible, the MPF shall access the CyberTipline
Reports on a stand-alone computer.

• Internet Access. The MPF is required to maintain an account with an Internet Service
Provider (lSP). The ISP connection will enable MPF to connect to the VPN Service.

• Equipment. The MPF is responsible for obtaining, configuring, and maintaining

compatible equipment necessary to connect to the VPN Service.

• Content. The MPF will exercise all possible precautions to minimize the exposure to
the sensitive content contained in CyberTipline Reports to personnel not directly
downloading or investigating associated leads.

FIFTH.

The MPF agrees to refrain from the following prohibited uses:

• Use of the VPN Service for means other than downloading the CyberTipline Reports.

• Accessing any data and/or networks to which the MPF does not have authorization to
access.

• Altering, tampering, or otherwise modifying the VPN Service or the NCMEC

technology used to provide the VPN Service.

• Providing access to the VPN Service to non-Authorized Users.

• Modifying, publishing, transmitting, transferring or selling, reproducing, creating

derivative works from, distributing, performing, linking, displaying or in any way
exploiting any content from any NCMEC database.

• Using or attempting to use the VPN Service after termination of this Agreement.

interfering with the performance of, or impairing the functionality of the VPN Service.

• Use of the VPN Service to connect a LAN or other network to NCMEC's network.

• Use of the VPN Service for any unlawful purpose.

SIXTH.

All information technology resources purchased, leased, invented, created,

administered, or managed by NCMEC ("NCMEC Property") is considered the legitimate
property of NCMEC. Electronic information created, sent, received, or stored on
NCMEC Property or otherwise under the custody and control of NCMEC is considered
the legitimate property of NCMEC.

SEVENTH.

The MPF has no reasonable expectation of privacy in the information sent, received,
stored, transmitted to others, or accessed through NCMEC Property, regardless of
whether that information is personal or business-related. Authorized NCMEC
representatives may monitor the use of its information technology resources, including,
but limited to, MPF's use of the VPN Service. The use of NCMEC Property constitutes
consent to all the terms and conditions of this Agreement. Application of passwords or
other security measures does not in any way diminish NCMEC's right to monitor and
access materials on its systems, nor does it create any privacy rights for MPF in the
messages and files it receives, stores, or transmits via the VPN Service.

EIGHTH.

The MPF acknowledges that some of the material and information that may come into
its possession or knowledge in connection with its use of the VPN Service may be
confidential or proprietary to NCMEC ("Confidential Information"). The MPF agrees to
hold all such Confidential Information in strictest confidence and not to make any use of
such Confidential Information for any purpose other than to investigate crimes of child
sexual exploitation, to release it only to authorized employees requiring such
Confidential Information, and not to release or disclose it to any other party. The MPF
agrees to implement physical, electronic, and managerial safeguards to prevent

unauthorized access to Confidential Information.

NINETH.

Access to the VPN service is provided "as is," with no warranties whatsoever.
NCMEC expressly disclaims to the fullest extent permitted by law all express, implied,
and statutory warranties, including, without limitation, the warranties of merchantability,
fitness for a particular purpose, and non-infringement of proprietary rights.

TENTH.

Under no circumstances shall NCMEC be liable to the MPF, any Authorized User, or
any third party on account of use or misuse of or reliance on the VPN service, arising
from any claim relating to this Agreement, including an alleged or actual breach by
Agency, or the subject matter hereof. Such limitation of liability shall apply to prevent
recovery from NCMEC of direct, indirect, incidental, consequential, special, exemplary,
and punitive damages whether such claim is based on warranty, contract, tort (including
negligence), or otherwise, (even if NCMEC has been advised of the possibility of such
damages). The MPF shall hold NCMEC and its employees harmless from all such
damages and agrees to cooperate fully with NCMEC and its legal counsel in resolving
any claims or disputes. Such limitation shall apply notwithstanding any failure of
essential purpose of any limited remedy and to the fullest extent permitted by law.

NCMEC disclaims any and all responsibility or liability for the accuracy, content,
completeness, legality, reliability, or operability or availability of information or material
displayed in or accessible through the service. NCMEC disclaims any responsibility for
the deletion, failure to store, misdelivery, or untimely delivery of any information or
material. NCMEC disclaims any responsibility for any harm resulting from downloading
or accessing any information or material on the internet through the VPN service.

ELEVENTH.

In the case of any conflict related with the interpretation or implementation of this
Agreement, the parties agree to solve and overcome it by means of direct negotiation
between both parties, i.e., MPF and NCMEC. If the parties fail to reach a satisfactory
solution, they both agree to submit themselves to an arbitration process where each
~ party will designate an arbitrator and jointly will appoint another.
