1. Section 303 (f) allows a debtor in an involuntary case to continue to operate its business and
to use or dispose of estate property until the order for relief is granted. However, once the
order for relief is granted and a trustee is appointed, the trustee can use section 549 to
overturn any transfers made by the debtor unless they were approved by the court or they
satisfy the requirements of section 549 (b).

2. Overdue principal and, to the extent permitted by Law, overdue interest in respect of each
Advance and any other overdue amount payable by a Borrower hereunder, shall bear interest
at a rate per annum equal to the rate which is 2.00 % above the Interest Rate, in each such
case accruing from the date on which such amount was due, with such overdue amount
payable on demand.

3. Article 536 deals with the closing of bankruptcy due to lack of assets and, on the basis of
such provision, the courts can decide to put an end to the bankruptcy process, when the assets
recovered are not sufficient to cover the liquidation and administration costs. Article 536
provides that the immediate consequence of this court decision is that "creditors recover their
individual rights against the person and the assets of the insolvent entity" .

4. El presente préstamo deberá cancelarse en dólares estadounidenses. Queda aclarado que, si

por cualquier causa se afectara, suspendiere o modificara la paridad cambiaria existente a la
fecha el Prestatario se compromete expresamente a cancelar sus obligaciones emergentes del
presente mediante dólares estadounidenses, adquiridos conforme a la paridad oficial o no, en
el mercado local u otro del extranjero. Si existiera imposibilidad de operar en dólares, se
considerarán cumplidas las obligaciones del Prestatario entregando la cantidad de Bonos
Externos de la República Argentina (u otros valores) que permitan adquirir en la plaza de
Montevideo (o en su defecto en cualquier otra) la cantidad de dólares estadounidenses
necesarios para adquirir dólares y cancelar las cuotas más sus intereses y accesorios.

5. Los armadores serán responsables por pérdida o avería de las mercaderías, por demora en la
entrega de las mercaderías únicamente en caso de que la pérdida, avería o demora hayan sido
causadas por un estibaje inadecuado o negligente de las mercaderías (salvo que el estibaje lo
hayan efectuado los cargadores o sus estibadores o dependientes), o por falta del personal de
la debida diligencia de parte de los armadores o su gerente en poner al buque en condiciones
de navegabilidad en todo sentido.
