OFERTA PARA FORMALIZAR CONTRATO
TRASLATIVO DE DOMINIO IRREVOCABLE

Irrevocable de la naturaleza jurídica que en su oportunidad se
determine de conformidad con las Leyes Mexicanas vigentes,
en relación a los derechos de propiedad sobre el inmueble
arriba descrito, pactándose como precio o contraprestación,
la cantidad total de $__________ USD, cantidad ésta que se
abonará en la forma, términos y condiciones que más
adelante se establecen, en el momento de formalizar mediante
la firma de la Escritura Pública correspondiente, el contrato
cuya celebración se ofrece por medio de la presente.

3.-PRICE AND PAYMENT TERMS:
THE OFFERER herein offers THE OWNER to enter into an
Irrevocable Transfer of Domain Contract of legal nature that
will be determined in accordance with the Mexican Laws in
force and in effect, with regard to the ownership rights in
relation to the immovable above described in the total
amount of $__________ USD; said amount will be paid in
the manner, terms and conditions hereinafter specified, upon
formalizing by means of the signing of the corresponding
Public Deed, the contract which formalizing is herein
offered.
4.-IRREVOCABLE CONDITIONAL DEPOSIT:

Con la finalidad de garantizar el cumplimiento de las
obligaciones que se deriven de la presente oferta, “EL
OFERTANTE” depositará, dentro de los 5 dias siguientes a
la fecha de RECEPCION DE LA ESCRITURA PUBLICA
donde el PROPIETARIO acredita la titularidad de los
derechos que en este acto compromete, la cantidad de $0.00
USD, con el propósito de constituir un Depósito Condicional
Irrevocable. Este pago será aplicado a la cuenta de la Notaría
________________________________ en la fecha de la
formalización del presente contrato como anticipo de los
gastos de escrituración, como parte del precio acordado.
Previamente al Depósito, las partes deberán suscribir el
Contrato de Deposito Condicional Irrevocable, el que se
entenderá como parte integrante del presente instrumento, y
deberá contener las Condiciones referidas en el mismo.
El deposito aquí mencionado sera realizado unicamente si la
presente oferta es aceptada por el PROPIETARIO.
5.- CONDICIÓN(ES) INDISPENSABLE(S) PARA LA
VALIDEZ DE LA PRESENTE OFERTA :
Aún cuando la presente oferta fuera aceptada por “EL
FIDEICOMISARIO VENDEDOR” dentro del término de
vigencia que más adelante se establece, la validez de la misma
se supedita a la(s) siguiente(s)condición(es) indispensable(s),
la(s) cuál(es) deberá(n) ser totalmente satisfecha(s) dentro del
término establecido para ello y a entera satisfacción de “EL
OFERTANTE”; de lo contrario, la presente Oferta se tendrá
por cancelada, quedando, por consiguiente, las partes liberadas
de cualquier obligación derivada de la misma.
5.1.- Que “EL OFERTANTE” obtenga, a su cargo, y antes del
día ___ de _________ del año ________, la confirmación de
que va a obtener el financiamiento para adquirir INMUEBLE;
en el entendido de que si no obtiene la mencionada
confirmación, la presente condición se tendrá por insatisfecha
y la presente oferta quedará cancelada, quedando, por lo tanto,
liberadas las partes de cualquier obligación derivada de la
misma.
A fin de verificar si la(s) condición(es) indispensable(s) aquí
estipulada(s) ha(n) sido o no satisfecha(s), “EL
OFERTANTE” deberá informar ese hecho por escrito
personalmente o vía correo electrónico a las empresas de
bienes raíces que intermedian en esta operación, a más tardar
el día ___ de ______, del año ______, en el entendido de
que si dicha comunicación no se recibe antes de dicha fecha,
la(s) condición(es) aquí especificada(s) se tendrá(n) por NO
satisfecha(s).
6.- FECHA DE FORMALIZACIÓN, DESIGNACIÓN DE
NOTARIO PUBLICO:

In order to guarantee the fulfillment of the obligations
derived from the present offer, “THE OFFERER” will
deposit within 5 days after the Copy of RECEPTION OF
THE REGISTERED DEED from the OWNER, with which
he certifies the ownership of the rights compromised herein,
the amount of $0.00 USD, to constitute an Irrevocable
Conditional Deposit. This downpayment for the closing fees
until formalizing of this contract, at which date it will be
given to ____________________ as part of the total
purchase price.
Previously to the Deposit, the parties will execute the
Irrevocable Conditional Deposit Contract, which will be
understood as part of the present instrument, and should
include the conditions referred in it.
The deposit mentioned here will be done only if the present
offer is accepted by THE OWNER
5.- INDISPENSABLE CONDITION(S) FOR THE
VALIDITY OF THE PRESENT OFFER:
Even if the present offer is accepted by “THE
FIDEICOMMISSARY SELLER” within the term of effect
specified, the validity of said is subject to the fulfillment of
the following indispensable condition(s), which shall be
entirely fulfilled within the term set forth at “THE
OFFERER”´s satisfaction; on the contrary, the present offer
shall be considered canceled and the parties will be,
therefore, liberated from any obligation derived from said.
5.1.- That “THE OFFERER” obtains at her(their) expense
and prior to ___ of ________ year ______, the confirmation
that he will obtain the needed financing to acquire the
PROPERTY; with the understanding that, if the mentioned
confirmation is not obtained, this condition will be
considered unsatisfied, the present offer will be canceled and
the parties will be, therefore, liberated from any obligation
derived from said.
To verify if the condition(s) herein stipulated has (have) or
has (have) not been satisfied, “THE OFFERER” shall inform
said fact in writing personally or via email to real estate
agencies that intermediate in this transaction, before ___ of
_____, ________ with the understanding that if said
communication is not received before said date, the
condition(s) herein specified will be considered NOT
satisfied.
6.- THE FORMALIZATION DATE AND
DESIGNATION OF THE PUBLIC NOTARY:

Habiendo aceptado EL PROPIETARIO la presente oferta,
dentro del término de vigencia que más adelante se estipula y
satisfechas las condiciones indispensables de validez
estipuladas en el párrafo anterior, las cuáles deberán ser
satisfechas en su totalidad; la formalización del contrato
definitivo se llevará a cabo el día ___ de ________ del año
______ (“FECHA DE FORMALIZACION”), contra:
A.- El Pago a EL PROPIETARIO se hara en una sola
exhibición a traves de la cuenta escrow con quien se
constituirá el depósito condicional, para lo cual el
OFERTANTE deberá depositar en dicha cuenta previo al
Cierre, los fondos totales referidos en los términos del
presente instrumento.
B.-Pago a EL PROPIETARIO la cantidad de $__________
USD.
C.-Firma de la Escritura Pública correspondiente en favor de
EL OFERTANTE o de la persona física o moral que éste
designe en su oportunidad.
D.-Entrega de la posesión jurídica y material del inmueble
libre de inquilinos u ocupantes.
E.-Dicha Escritura Pública se celebrará ante la Fe de Notario
Publico que designe en su momento el OFERTANTE.
7.-DEMORA EN LA “FECHA DE FORMALIZACIÓN”:
En caso de demora por causas no imputables a las partes,
debidos a los procedimientos burocráticos necesarios para la
firma de la Escritura Pública correspondiente el dia ___ de
________ del año _______, dicha fecha quedaría
automáticamente extendida hasta el ___ de _________ del
año _______.
8.- GASTOS DE ESCRITURACIÓN, IMPUESTO
SOBRE LA RENTA Y HONORARIOS
INMOBILIARIOS:
Los gastos, impuestos, y honorarios notariales, que origine la
formalización del la Escritura Publica correspondiente, los
cuales se denominan comúnmente como “GASTOS DE
ESCRITURACIÓN”, serán por cuenta de “EL
OFERTANTE; debiendo pagar EL PROPIETARIO el
impuesto sobre la renta que se origine por la formalización,
así como los honorarios de mediación del 8% más IVA.
9.-REQUISITOS PRELIMINARES PREVIOS A LA
FORMALIZACIÓN DEL CONTRATO DEFINITIVO:

THE OWNER having accepted the present offer, within the
term of force that is stipulated further on and once the
necesssary conditions are satisfied as stipulated for its
validity in the aforesaid paragraph, which must be satisfied in
its totality; the formalization of the definitive contracts will
be completed on ___ of ________ year ______ (“THE
FORMALIZATION DATE”), subject to:
A.- The Payment to THE OWNER will be done in one
exhibition through the escrow account, with whom the
escrow Account was opened; and for the effect the
OFFERER will have to fund the mentioned account, with the
amount needed to pay the purchase price.
B.-Payment to THE OWNER in the amount of $__________
USD.
C.-Signature of the corresponding Public Deed in the favor
of THE OFFERER or to a physical or moral person that may
be appointed.
D.-Deliver of the judical and physical possession of the real
estate matter free of renders or occupants.
E.-The mentioned Public Deed will be held before the Faith
of a Public Notary chosen by the OFFERER later on.
7.-DELAY ON “THE FORMALIZING DATE”;
In case of delay for causes not imputable to the parties, due
to bureaucratic procedures necessary for the signature of the
corresponding Public Deed on ___ of ________ year ______
this date will be automatically extended until ___ of
________ year ______.
8.- CLOSING COSTS, CAPITAL GAINS TAX AND
REAL ESTATE FEES:
All expenses, notarial fees related to the formalization of
the corresponding Public Deed of will be paid by THE
OFFERER. The capital gains tax on the sale of the
property will be paid by THE OWNER, as well as the
mediation fees of 8% plus IVA.
9. PRELIMINARY REQUIREMENTS PRIOR TO
THE FORMALIZING OF THE DEFINITIVE
CONTRACT:

En caso de ser aceptada la presente oferta por EL
PROPIETARIO dentro del término de vigencia que se
establece para ello y habiéndose cumplido las condiciónes
indispensables para su validez establecidas en el párrafo
correspondiente:
A.-Tanto EL OFERTANTE como EL PROPIETARIO deberán
entregar al Notario Público designado con toda diligencia,
aquellos datos y documentación que el mismo directamente o
por conducto de los intermediarios le solicite para el buen
cumplimiento de su encargo.
B.-EL OFERTANTE deberá establecer de inmediato con
dicho Notario Público un depósito suficiente a cuenta de los
“GASTOS DE ESCRITURACION” a fin de poder llevar a
cabo dentro del término establecido los trámites
correspondientes y previo a la “FECHA DE
FORMALIZACIÓN” y la “DEMORA EN LA “FECHA DE
FORMALIZACION”.
10.-LIBERTAD DE CARGAS O GRAVÁMENES Y
DEMÁS OBLIGACIONES:
10.1-La transmisión de dominio operará en la “FECHA DE
FORMALIZACIÓN”, libre de todo cargo, gravamen,
obligación fiscal, laboral, sindical, demanda o litigio; al
corriente en el pago del impuesto predial y toda clase de
contribuciones, impuestos, cooperaciones, o plusvalías; al
corriente asimismo en el pago de los consumos por servicios
de agua, teléfono, electricidad (si estos servicios existieran en
LA PROPIEDAD) así como honorarios bancarios, en caso de
fideicomiso.
10.2-EL PROPIETARIO será responsable de cualquier
obligación laboral derivada de los empleados domésticos o
no que presten o hayan prestado sus servicios en el inmueble
objeto de la presente con anterioridad a “LA FECHA DE
FORMALIZACIÓN”; y será asimismo responsable del
despido y pago de la indemnización que corresponda a los
mismos. Dicha liquidación se llevará a cabo ante la Junta
Local de Conciliación y Arbitraje, proporcionando a “EL
OFERTANTE” antes de la formalización del contrato
definitivo constancia y fecha reciente de dicho pago.
11.-CONDICIÓN GENERAL Y ESTADO DE USO Y
FUNCIONAMIENTO. INCLUSIONES.
La posesión material del inmueble se entregará en el mismo
estado y condición general en que se encontraba en la fecha
de la inspección que se realizó por EL OFERTANTE, el día
___ de ________ del año _______.
12.-CONTRATO BILATERAL OBLIGATORIO:
12.1.-A la aceptación de la presente oferta por EL
PROPIETARIO mediante su firma al calce y dentro del
término de vigencia que se establece, la presente propuesta

In case that the present offer is accepted by THE OWNER
within the term of force that is established for that fact, and
having accomplished the necessary conditions for its
validity established in the correspondent paragraph:
A.-The OFFERER as well as the OWNER must provide
the designated Public Notary with diligence all the
information and documentation that may be directly
needed or by way of the agents in order to complete the
paper work.
B.-The OFFERER must establish immediately with the
appointed Public Notary a deposit for the account of the
“CLOSING COSTS” in order to carry out corresponding
procedures within the established time and prior to “THE
FORMALIZATION DATE” and the “DELAY ON “THE
FORMALIZING DATE”.
10.-FREE OF ANY LIENS, ENCUMBRANCES AND
OTHER LIABILITIES:
10.1-The transmission of domain will operate on the
“DATE OF FORMALIZATION”, free of any charge,
fiscal obligations, labor matters, labor unions or law suits;
must be current in the payment of the corresponding
property taxes, all types of contributions, donations or
increases; must also be current in the payment of water
consumption, gas, telephone, electricity and cablevision (if
these services exist on THE PROPERTY) as well, the
bank fees in the case of a fideicomiso.
10.2-THE OWNER will be responsible for any laboral
obligation derived from those persons that were employed
in the real estate matter of the present, with a date
before“THE DATE OF FORMALIZING”; and will also be
responsible for the dismissal and the payment of the
liquidation that may correspond to the same. The
mentioned liquidation will be carried out in the Labor
Court and a reliable proof of the payment will be given to
the OFFERER before the formalization of the definitive
contract.
11.-PROPERTY CONDITION AND STATE OF USE
AND FUNCTIONING:
The physical possession of the real estate matter will be
delivered in the same shape and general condition that the
OFFERER has seen at the time of the inspection which
was done on ___ of ________ year ______.
12.-BILATERAL COMPULSORY CONTRACT:
12.1.-The acceptance of the present offer by THE OWNER
through his visible signature and within the term of force
that it is established, the present unilateral proposal will be

ambas partes, las cuales se regirán por los términos y
condiciones aquí estipulados; quedando tanto EL
OFERTANTE como EL PROPIETARIO, obligados a
concurrir en la fecha establecida por si, por Apoderado o por
medio del representante Fiduciario si ese fuera el caso, a la
firma de la Escritura Pública correspondiente, siempre y
cuando las condiciónes indispensables para la validez de la
presente oferta hayan sido satisfechas.
12.2.-Dicha Escritura se celebrará en los términos
establecidos en la presente oferta y contendrá los elementos y
clausulas de validez que establezcan las Leyes Mexicas en
vigencia para este tipo de contrato.
12.3.-Si la presente OFERTA es aceptada por EL
PROPIETARIO, las condiciones suspensivas indispensables
a las cuales se supedita su validez fueran satisfechas; y no
obstante, una de las partes incumpliera los condiciones o
terminos de la presente oferta o bien decidiera o se viera
impedida de formalizar el contrato definitivo, la parte
responsable obonara a la otra la cantidad de $0 PESOS como
es descrito en los terminos del parrafo anterior, en el
“PRECIO Y CONDICIONES DE PAGO” como pena
convencional o indemizacion por gastos, daños, perjuicios y
servicios prestados.
12.4.-En caso de que se causara, dicha penalidad se
distribuira con los intermediarios en calidad de honorarios,
gastos y servicios prestados, recibiendo estos el 30% treinta
porciento del importe total.
12.5.-En el evento de que la penalidad aplicara a cargo de EL
PROPIETARIO, el importe del Depósito Condicional
Irrevocable le será reembolsado de inmediato a EL
OFERTANTE de conformidad con los términos del presente
contrato. En este caso, EL OFERTANTE podrá a su elección
exigir a EL PROPIETARIO el pago inmediato de la
penalidad estipulada o bien el cumplimiento forzoso del
contrato convenido.
12.6.-El pago de dicha pena convencional liberará
automáticamente a las partes de cualquier otra obligación o
responsabilidad derivada de la presente oferta.
12.7.-Si la presente oferta no fuera aceptada por EL
PROPIETARIO dentro del término de vigencia que a
continuación se especifica; o bien, las condiciónes a las
cuales se supedita su validez no fueran satisfechas, ésta
quedará automáticamente rescindida de pleno derecho y
considerados nulos todos sus efectos; quedando las partes
automáticamente liberadas de cualquier otra obligación o
responsabilidad presente o futura derivada de la misma. Y
todos los depositos deberán ser devueltos a El OFERTANTE
sin que aplique ningun cargo o costo a este.

turned into a bilateral obligatory contract for both parties,
which will be directed by the terms and conditions herein
stipulated; being that THE OFFERER as THE OWNER
are obligated to the established date, by the legal
representative or by the fiduciary representative, in this
case, at the time of the signature of the Public Deed if the
conditions for the validity of the present offer had been
satisfied.
12.2.-The mentioned Public Deed will be held by the
established terms in the present offer and will contain the
elements and clauses of validity that establish the Mexican
Law in force for this kind of contract.
12.3.-If the present OFFER is accepted by THE OWNER,
the necessary suspensive conditions under which this
present offer is subject to in its validity will have been
satisfied. Even though one of the parties does not fulfill
the conditions of the present offer or he decides not to
accomplish the conditions set out in the present offer, the
responsible party will provide a penalty payment to the
defaulted party in the amount of The $0 Pesos as
Described in the “PRICE AND PAYMENT TERMS”, as a
conventional penalty and liquidation for the expenses,
damages and services given.
12.4.-In the event that such a penalty is caused it will be
distributed in the agents as their honorary, expenses and
delivered services, receiving 30% of the total amount.
12.5.-In the event that the penalty is applied to THE
OWNER, the Irrevocable Conditional Deposit will be
returned immediately to THE OFFERER from the
desinated title company in accordance to the terms of the
present offer. In this case, THE OFFERER will be able to
ask THE OWNER for immediate payment of the stipulated
amount set out herein or the fulfillment by force of the
present offer.
12.6.-The payment of the conventional penalty will
automatically liberate both parts of any other obligation or
responsibility derived from the present offer.
12.7.-If the present offer has not been accepted by THE
OWNER within the period of force that is specified or the
conditions which the present offer is subject to in its
validity is not satisfied, this present offer will immediately
be rescinded by right and all the effects will be considered
as nonexistent, the parties will automatically be liberated
of any kind of derived obligation or responsibility that may
arise from the same in the present or in the future, and all
the deposits will be given back to THE OFFERER without
any cost or charge to this.

Corte y Tribunales de Bahía de Banderas, Nayarit, México,
renunciando al fuero que pudiera corresponderles en virtud
de sus domicilios presentes o futuros.
15.1.-For the interpretation and execution of the present
OFFER, the parties h-erein will be subject to the
jurisdiction of the Courts and Tribunals of the Valle de
Banderas, Nayarit, Mexico, waiving to those that may
correspond to them by virtue of their present or future
addresses.
