 FORM OF AGREEMENT
THIS CONTRACT (hereinafter, the “Contract’)
IS MADE on XX day of XXXXXXXX 201X (here-
inafter, the “Contract Date”).
BETWEEN :-
(1) MARCOBRE S.A.C., a company incorpo-
rated in Perú under company number RUC
N° 20508972734 whose registered office is
at Jr. Giovanni Batista Lorenzo Bernini Nro.
149 Int. 501A Urb. San Borja, San Borja
District, Province and Department of Lima
(hereinafter, the “Company”) .
(2) XXXXXXXXX S.A.C a company registered
in Perú under company number RUC N°
XXXXXXXXX whose registered office is at
XXXXXXXXXXXXXXX, Province of XXXXX
and Department of XXXXX (hereinafter, the
“Contractor”); and
WHEREAS:-
(A) The Contractor has represented to the
Company that it has, and his Personnel
has, relevant knowledge capacity and ex-
perience to execute the work under the
Contract.
(B) The Company wishes to engage the Con-
tractor to perform the Works in accordance
with the terms and conditions of this Con-
tract.
(C) The Contractor has agreed to provide En-
gineering, Procurement and Construction
works to the Company in connection with
this project.
NOW IT IS HEREBY AGREED as follows:
1. Contract Documents
1.1. The parties agree that the Contact Docu-
ments are contained or referred to in the
following Schedules which are appended to

EL PRESENTE CONTRATO (en adelante, el
“Contrato”) SE CELEBRA a los XXX días del
mes de XXXXXXXX del 201X (en adelante, la
“Fecha de Inicio del Contrato”).
ENTRE :-
(1) MARCOBRE S.A.C., compañía estableci-
da en Perú con RUC N° 20508972734,
domiciliada en Jr. Giovanni Batista Lorenzo
Bernini Nro. 149 Int. 501A Urb. San Borja,
Distrito de San Borja, Provincia y Departa-
mento de Lima (en adelante, la “Compa-
ñía”).
(2) XXXXXXXXX S.A.C, compañía establecida
en Perú con RUC N° XXXXXXXXX, domici-
liada en XXXXXXXXXXXXXXX, Provincia
de XXXXX y Departamento de XXXXX (en
adelante, el “Contratista”); y
CONSIDERANDO QUE:-
(A) El Contratista ha declarado expresamente
ante la Compañía que tanto él como su
personal, tienen la capacidad, conocimien-
to y experiencia necesarios para ejecutar el
trabajo contemplado en el Contrato.
(B) La Compañía requiere contratar al Contra-
tista para que este último ejecute los Tra-
bajos, de acuerdo con los términos y con-
diciones establecidos en el presente Con-
trato.
(C) El Contratista ha acordado ejecutar traba-
jos de Ingeniería, Procura y Construcción
para la Compañía en relación con este
Proyecto.
POR LO TANTO, SE ACUERDA lo siguiente:
1. Documentos del Contrato
1.1. Las partes acuerdan que los Documentos
del Contrato están incluidos o menciona-
dos en las siguientes Secciones que con-

iii. Section C – General Conditions of
Contract and Annexures
iv. Section D - Scope of Work and An-
nexures
v. Section E – Drawings
vi. Section F – Specifications
vii. Section G – Documentation and data
requirements.
viii. Section H – Schedules, including at-
tachments.
1.2. This Form of Agreement and the Sched-
ules together form the Contract Documents
as referred to in Section C (General Condi-
tions of Contract).
1.3. The order of precedence or priority of the
Contract Documents shall be as stated in
Section C (General Conditions of Contract).
1.4. The documents listed above will be taken
as mutually explanatory and anything con-
tained in one but not in another will be
equally binding as if contained in all.
1.5. The contractor will perform and supply the
work under the Contract to construct,
achieve and deliver to the Company the
Works in accordance with the conditions
and provisions of this Contract and as more
specifically detailed in the Scope of Work.
2. Contact Award Date and Date of Com-
mencement of the Contract
2.1. The Contact Award Date shall be the date
of this Form of Agreement; or, when the
Letter of Award is issued by the Company
stating an earlier date as Contract Award

1.2. La presente Acta de Contrato y los Anexos
constituyen en conjunto los Documentos
del Contrato, tal como se indica en la Sec-
ción C (Condiciones Generales del Contra-
to).
1.3. El orden de precedencia o prelación de los
Documentos del Contrato será el que se
indica en la Sección C (Condiciones Gene-
rales del Contrato).
1.4. Los documentos arriba mencionados se-
rán interpretados en forma conjunta y todo
lo mencionado en uno de estos documen-
tos pero no en otro, deberá ser considera-
do como obligatorio en todos los demás.
1.5. El Contratista ejecutará y suministrará el
trabajo contemplado en el Contrato, para
construir, lograr y entregar a la Compañía
los Trabajos según las condiciones y re-
quisitos del presente Contrato y que se de-
tallan de manera más específica en el Al-
cance del Trabajo.
2. Fecha de Adjudicación del Contrato y
Fecha de Inicio del Contrato
2.1. La Fecha de Adjudicación del Contrato
será la fecha de esta Acta de Contrato; o,
cuando una Carta de Adjudicación es emi-
tida por la Compañía declarando una fe-
cha anterior como Fecha de Adjudicación,

3. Publicity
3.1. No announcement, circular, advertisement
or other publicity in connection with the
matters contemplated by this Contract, or
any ancillary matter shall be made or is-
sued by or on behalf of the Contractor or
any Sub-Contractor (save as required by
Law) without the prior written consent of
the Company.
4. Counterparts
4.1. This Agreement may be executed in any
number of counterparts and by the Parties to
it if on separate counterparts each of which
when executed and delivered shall be
deemed to constitute an original, but all
counterparts shall together constitute one
and the same instrument.
This Contract embodies the entire agreement
between Company and Contractor and
supersedes all other writings. The Parties
shall not be bound by or be liable for any
statement, representation, promise,
inducement or understanding not set forth
herein.

3. Publicidad¡Error! Marcador no definido.
3.1. Ningún aviso, circular, anuncio u otra pu-
blicidad que se relacione con los asuntos
contemplados en este Contrato o cualquier
asunto conexo podrá ser emitido o realiza-
do por o en representación del Contratista
o cualquier Subcontratista (salvo según lo
estipulado por Ley) sin el consentimiento
previo y por escrito de la Compañía.
4. Contrapartes¡Error! Marcador no definido.
4.1. Este Acuerdo podrá ser suscrito por cual-
quier número de contrapartes y por las
Partes en él establecidas en caso de con-
trapartes separadas, cada uno de los cua-
les, una vez suscritos y entregados se
considerarán que constituyen un original,
pero todas las contrapartes constituirán
conjuntamente un único y mismo docu-
mento.
Este Contrato incorpora el acuerdo integral
entre la Compañía y el Contratista y reemplaza
todos los demás escritos. Las Partes no
estarán obligadas por cualquier declaración,
representación, promesa, incentivo o
entendimiento no incluido en el presente
Contrato.
