Registry 900352469-5, domiciled in the city of Bogotá, DC., Colombia, declares
that we are interested in initiating and initiating negotiations with the Buyer
or his agent (Buyer Mandate), with respect to the provisions of this FCO.

disposiciones de este FCO.

INSPECTION: The inspection will be carried out by SGS or any Laboratory chosen
by the buyer to determine the quality and quantity/weights at the port of
loading at the buyer's expense. A certificate issued by the inspection agency
will be part of the documents together with the BL, the invoice, etc.

MUTUAL AGREEMENTS SET FORTH HEREIN, BOTH PARTIES UNDERSTAND AND AGREE ON THE
TERMS AND CONDITIONS FOR THE SALE AND PURCHASE OF MINERAL THERMAL COAL, B TYPE,
11.000 BTU/LB AND MORE, HEREINAFTER REFERRED TO AS "THERMAL COAL" OR
"MERCHANDISE", AS FOLLOWS:
EN BUENA CONSIDERACIÓN DE LAS GARANTÍAS, AL ACEPTAR ESTA OFERTA, PROMESAS Y
ACUERDOS MUTUOS ESTABLECIDOS EN ESTE DOCUMENTO, AMBAS PARTES ENTIENDEN Y
ACUERDAN LOS TÉRMINOS Y CONDICIONES PARA LA VENTA Y COMPRA DE CARBÓN TÉRMICO
MINERAL, TIPO B, 11.000 BTU/LB Y MÁS, EN LO SUCESIVO DENOMINADO "CARBÓN TÉRMICO"
O "MERCANCÍA", DE LA SIGUIENTE MANERA:
WHEREAS, the Seller and its authorized representatives whose signatures appear
herein, received the full corporate authority of their respective company to
enter into this complete corporate offer of sale (hereinafter, "FCO"), and have
duly complied with all legal formalities and requirements of the laws of their
respective countries for this type of FCO, and further agree to be bound by
the International Chamber of Commerce (ICC), Paris and other internationally
applicable commercial laws in matters relating to disputes and contract
resolution.
CONSIDERANDO QUE, el Vendedor y sus representantes autorizados cuyas firmas
aparecen en este documento, recibieron la plena autoridad corporativa de su
respectiva compañía para celebrar esta oferta corporativa completa de venta
(en adelante, "FCO"), y han cumplido debidamente con todas las formalidades
legales y requisitos de las leyes de sus respectivos países para este tipo de
FCO, y además aceptan estar obligados por la Cámara de Comercio Internacional
(ICC), París y otras leyes comerciales aplicables internacionalmente en
asuntos relacionados con disputas y resolución de contratos.
WHEREAS, both parties, the companies and their authorized representatives whose
signatures appear herein, received full corporate authority from their
respective companies to enter into this complete corporate offer of sale
(hereinafter, "FCO"), and have complied with all legal formalities and
requirements of the laws of their respective countries for this transaction.
CONSIDERANDO QUE, ambas partes, las compañías y sus representantes autorizados
cuyas firmas aparecen en este documento, recibieron plena autoridad corporativa
de sus respectivas compañías para celebrar esta oferta corporativa completa de
venta (en adelante, "FCO"), y han cumplido con todas las formalidades legales
y requisitos de las leyes de sus respectivos países para esta transacción.

WHEREAS, the above-mentioned parties and their respective signatories wish to
enter into and execute this FCO for the Sale and Purchase of THERMAL COAL
(hereinafter, "Product") based on the specific description, terms and
conditions set forth below;
CONSIDERANDO QUE, las partes mencionadas anteriormente y sus respectivos
signatarios desean celebrar y ejecutar este FCO para la Venta y Compra de
THERMAL COAL (en adelante, "Producto") en base a la descripción específica,
los términos y condiciones establecidos a continuación;
WHEREAS, CEO OF THE SELLER, the Seller is duly designated by the SELLING COMPANY
as the Seller's Signatory.
CONSIDERANDO QUE, CEO DEL VENDEDOR, el Vendedor es debidamente designado por
la EMPRESA VENDEDORA como Signatario del Vendedor.
WHEREAS, by accepting this offer, the buyer wishes to purchase THERMAL COAL
from the Seller under the Agreement for the agreed price and the terms agreed
herein.
CONSIDERANDO QUE, al aceptar esta oferta, el comprador desea comprar THERMAL
COAL al Vendedor en virtud del Acuerdo por el precio acordado y los términos

WHEREAS; The Seller, under full authority and responsibility, declares that it
has the clear and qualified right to sell the THERMAL COAL at its free disposal
and that it guarantees that it has the means and/or sources to legally export
the Product to any other Origin of the Buyer's choice, including North America.

WHEREAS; Buyer and Seller agree that this FCO is fully executed only after
Buyer endorses this FCO. On the basis of this FCO Standard Purchase Agreement,
SPA will be duly signed with the Bank's Coordinates on both sides.

the following terms and conditions with clean, freely negotiable funds and not
of criminal origin.
MIENTRAS QUE; Al aceptar este FCO, el comprador declara bajo plena autoridad y
responsabilidad que tiene los fondos disponibles y puede facilitar una
capacidad financiera para comprar el Producto y desea comprar el CARBÓN TÉRMICO
bajo los siguientes términos y condiciones con fondos limpios, libremente
negociables y no de origen criminal.
WHEREAS; Buyer and Seller agree that this FCO is Non-Transferable, Not
Assignable by Buyer or Seller.
MIENTRAS QUE; El Comprador y el Vendedor acuerdan que este FCO es
Intransferible, No Asignable por el Comprador o el Vendedor.
WHEREAS; Buyer and Seller acknowledge that they had an adequate opportunity to
read and study this Agreement, to consider it, to consult with attorneys if
they so wished.

NOW THEREFORE: In mutual consideration of the parties' covenants and the terms
and conditions contained herein, the parties agree as follows:

2. PAYMENT TERMS

2.1. SWIFT or Ledger shall make the full Payment of each Product to Ledger to
Ledger to/at the bank designated by the Seller, in clean and clear US dollars
of non-criminal and non-terrorist origin, paid without delay upon receipt of
the reservation list that releases the FOB cargo at the Port with the customs
and tax costs paid.
2.2. The Seller shall transfer the respective ownership upon payment of the
agreed contract price for the total quantity of COAL accepted after Receipt of
the Shipment.
2.3. The payment documents shall be as follows:
2.3.1 Test report from SGS and customs manifest receiving the goods in
conformity.
2.3.2 Commercial invoice issued by the Seller in accordance with the SGS Report.
2. TERMINOS DE PAGO
2.1.SWIFT o Ledger realizará el Pago completo de cada Producto a Ledger a

Ledger a/en el banco designado por el Vendedor, en dólares estadounidenses
limpios y claros de origen no delictivo y no terrorista, pagados sin demora al
recibir la lista de reserva que libera la carga FOB en el Puerto con los costos
aduaneros e impositivos pagados.
2.2. El Vendedor transferirá la propiedad respectiva tras el pago del precio
del contrato acordado por la cantidad total de CARBÓN aceptada después de la
recepción del Envío.
2.3. Los documentos de pago serán los siguientes:
2.3.1 Informe de prueba de SGS y manifiesto aduanero que recibe las mercancías
en conformidad.
2.3.2 Factura comercial emitida por el Vendedor de acuerdo con el Informe SGS.
3. DOCUMENTS.
Seller shall provide the following documents to Buyer with each shipment:
3.1.1 Commercial Invoices in favour of the Buyer
3.1.2 Certificate of Origin
3.1.3 Certificate of Ownership
3.1.4 SGS Report Certificate
3.1.5 Customs declaration form supplied by the Buyer
3.1.6 Declaration that the Goods are free and clear and of non-criminal origin,
free of encumbrances and free of any encumbrances, transferable and
exportable, all product’s applicable national taxes payed.
3.1.7 Export Permits.
3.1.8 Original copy of the reservation list with customs charges and taxes
paid.

3. DOCUMENTOS.
El Vendedor proporcionará los siguientes documentos al Comprador con cada

envío.:
3.1.1 Facturas comerciales a favor del Comprador
3.1.2 Certificado de origen
3.1.3 Certificado de propiedad
3.1.4 Certificado de informe de SGS
3.1.5 Formulario de declaración de aduanas suministrado por el Comprador
3.1.6 Declaración de que los Bienes son libres y claros y de origen no criminal,
libres de gravámenes y libres de gravámenes, transferibles y exportables,
todos los impuestos nacionales aplicables al producto pagados.
3.1.7 Permisos de exportación.

4. DUE DILIGENCE
In order for the proper execution of this FCO and other SPAs by the Buyer and
the Seller, the Buyer may designate its Representative to hold a face-to-face
or virtual meeting with the Seller and/or the Seller's Representatives to
perform due diligence.
4. DEBIDA DILIGENCIA
Para la correcta ejecución de este FCO y otros SPA por parte del Comprador y
el Vendedor, el Comprador puede designar a su Representante para que celebre
una reunión cara a cara o virtual con el Vendedor y / o los Representantes del
Vendedor para realizar la debida diligencia.
5. PROCEDURE FOR TRANSACTION:
5.1. The buyer and seller run the SPA by email.

5.2. The Buyer's Representative and the Seller endorse the SPA and the SPA is
fully executed.
5.3. Buyer / Buyer Representative can come to COLOMBIA to preview, inspect,
verify and test the THERMAL COAL in our own facilities in COLOMBIA if you wish.
5.4. The Buyer will then issue an OPERATIONAL, UNCONDITIONAL AND IRREVOCABLE
ESCROW, BG, DLC or SBLC via MT700 / MT760 (See ANNEX A for Verbiage) from a
Prime Bank to the Seller's Designated Account (TOP 20 AMERICA PRIME BANK) for
two (2) 60.000 MT trial shipments. Then The Buyer will then issue an REVOLVING,
OPERATIONAL, UNCONDITIONAL AND IRREVOCABLE DLC via MT700 from a Prime Bank to
the Seller's Designated Account (TOP 20 AMERICA PRIME BANK) for sixty (60)
60.000 MT monthly shipments.
5.5. The Seller will obtain all necessary Export Documents and will send/deliver
copies to the Buyer, as well as the estimated time of Departure and the
estimated time of Arrival at the Buyer's Destination. but remains the property
of the Seller until full payment is made to the Seller by transferring MT103
bank funds.
5.6. The Seller shall send the Buyer the final commercial invoice based on the
SGS report submitted by the designated laboratory.
6. PROCEDIMIENTO PARA LA TRANSACCIÓN:
5.1. El comprador y el vendedor gestionan el SPA por correo electrónico.

5.2. El Representante del Comprador y el Vendedor respaldan el SPA y el SPA se
ejecuta en su totalidad.
5.3. El Comprador / Representante del Comprador puede venir a COLOMBIA para
previsualizar, inspeccionar, verificar y probar el CARBÓN TÉRMICO en nuestras
propias instalaciones en COLOMBIA si lo desea.
5.4. El Comprador emitirá un DEPÓSITO EN GARANTÍA OPERATIVO, INCONDICIONAL E
IRREVOCABLE, BG, DLC o SBLC a través de MT700 / MT760 (consulte el ANEXO A para
verborrea) desde un Prime Bank a la Cuenta Designada del Vendedor (TOP 20
AMERICA PRIME BANK) para dos (2) envíos de prueba de 60.000 TM. Luego, el
Comprador emitirá un DLC REVOLVENTE, OPERATIVO, INCONDICIONAL E IRREVOCABLE a
través de MT700 desde un Prime Bank a la Cuenta Designada del Vendedor (TOP 20
AMERICA PRIME BANK) para sesenta (60) 60.000 TM envíos mensuales.
5.5. El Vendedor obtendrá todos los Documentos de Exportación necesarios y
enviará / entregará copias al Comprador, así como la hora estimada de Salida y
la hora estimada de Llegada al Destino del Comprador. pero sigue siendo
propiedad del Vendedor hasta que se realice el pago completo al Vendedor
mediante la transferencia de fondos bancarios MT103.
5.6. El Vendedor enviará al Comprador la factura comercial final basada en el
informe de SGS presentado por el laboratorio designado.
6. TITLE OF GOODS

6.1. Title to the Goods shall pass from the Seller to the Buyer or to the
Buyer's Designated Entity once payment of the Price is made in accordance with
this SPA.
6.2. The Seller confirms and warrants that the Title of the Products to be sold
herein shall be free and free from any and all encumbrances and/or encumbrances
and of legal origin.
6. TITULARIDAD DE LOS BIENES

7. WARRANTIES BY THE SELLER AND BY THE BUYER:

since 60.000 Metric Tons up to 180,000 Metric Tons.
7.2. The Seller undertakes to sell and deliver to the Buyer under the Terms of
this Agreement the delivery of THERMAL COAL, shipping as mutually agreed by
the Buyer and the Seller. This will be upon receipt and verification of the
Buyer's funds to pay the agreed amount of THERMAL COAL.
7.3. The Seller warrants that the THERMAL COAL is legally acquired, and that
there was no infringement or violation of any of the laws and / or regulations
of the country of origin or any other country that may apply to the history of
transfer of ownership of mining and production to the current owner, and until
such time as the ownership of THERMAL COAL passes to the Buyer.
7.4. The Seller undertakes that the THERMAL COAL to be sold is of the
internationally accepted standard standard.
7. GARANTÍAS DEL VENDEDOR Y DEL COMPRADOR:
7.1. El Vendedor garantiza que el CARBÓN TÉRMICO puede ser enviado PARA SER
NEGOCIADO, de acuerdo con una Capacidad Estándar de Buques Minerales y
disponibilidad de Ventanas de Puerto desde 60.000 Toneladas Métricas hasta
180,000 Toneladas Métricas.
7.2. El Vendedor se compromete a vender y entregar al Comprador bajo los
Términos de este Acuerdo la entrega de CARBÓN TÉRMICO, el envío según lo
acordado mutuamente por el Comprador y el Vendedor. Esto será al recibir y

verificar los fondos del Comprador para pagar la cantidad acordada de CARBÓN
TÉRMICO.
7.3. El Vendedor garantiza que el CARBÓN TÉRMICO está adquirido legalmente, y
que no hubo infracción o violación de ninguna de las leyes y / o regulaciones
del país de origen o cualquier otro país que pueda aplicarse a la historia de
transferencia de propiedad de la minería y la producción al propietario actual,
y hasta el momento en que la propiedad de CARBÓN TÉRMICO pase al Comprador.
7.4. El Vendedor se compromete a que el CARBÓN TÉRMICO que se venderá sea del
estándar internacionalmente aceptado.
8. GENERAL CONDITIONS / SARLAFT PROTOCOL:
The SELLER and the BUYER mutually declare that the THERMAL COAL offered herein
for sale, and the origin of the funds used for the purchase of the THERMAL COAL
product, do NOT contravene:
8.1. The Drug Trafficking Offences Act 1986,
8.2. The Criminal Offence Act 1988, the Prevention of Terrorism (Temporary
Provisions) Act 1989,
8.3. The Criminal Justice (International Cooperation) Act 1990, the Criminal
Justice Act 1993, Swiss criminal laws, and,
8.4. The Money Laundering Regulations of 1993 and the USA Patriot Act of 2001-
2006, or any other law relating to any illegal or criminal activity. And,
accordingly, each party to this agreement indemnifies each other against any
accusations that may or may not be made in the future. And
8.5. To the best of its knowledge, each Party declares that no specially
designated nation, terrorist groups or organizations or governments promoting
terrorism, specially designated drug traffickers, terrorist organizations,
pirate terrorist groups operating in the seas or oceans around America, Africa
and Asia, blockaded persons or target countries, as designated by the United
States Office of Foreign Assets Control, is now or will hereinafter be (1) a
party to this transaction or (2) participates in any benefits of the payments
from this transaction. And, none of these parties will receive any financial
support from the payment of this transaction from THERMAL COAL.
8. CONDICIONES GENERALES / PROTOCOLO SARLAFT:
El VENDEDOR y el COMPRADOR declaran mutuamente que el CARBÓN TÉRMICO aquí

ofrecido para la venta, y el origen de los fondos utilizados para la compra
del producto CARBÓN TÉRMICO, NO contravienen:
8.1. Ley de delitos de tráfico de drogas de 1986,
8.2. Ley de delitos penales de 1988, Ley de prevención del terrorismo
(disposiciones temporales) de 1989,

8.3. La Ley de justicia penal (cooperación internacional) de 1990, la Ley de
justicia penal de 1993, las leyes penales suizas, y
8.4. El Reglamento de Lavado de Dinero de 1993 y la Ley Patriota de los Estados
Unidos de 2001-2006, o cualquier otra ley relacionada con cualquier actividad
ilegal o criminal. Y, en consecuencia, cada parte de este acuerdo se indemniza
mutuamente contra cualquier acusación que pueda o no hacerse en el futuro. Y
8.5. A su leal saber y entender, cada Parte declara que ninguna nación
especialmente designada, grupos u organizaciones terroristas o gobiernos que
promuevan el terrorismo, narcotraficantes especialmente designados,
organizaciones terroristas, grupos terroristas piratas que operen en los mares
u océanos alrededor de América, África y Asia, personas bloqueadas o países
objetivo, según lo designado por la Oficina de Control de Activos Extranjeros
de los Estados Unidos, es ahora o será en el futuro (1) una parte de esta

the quality and characteristics of the Arbitration Sample, shall be considered

conclusive and binding on the Parties.
En caso de que se objete la calidad de la carga de carbón térmico tipo B en el

sitio de recolección, las objeciones deben hacerse dentro de los tres (3) días
calendario posteriores a la recepción del informe de inspección emitido por el
laboratorio. En ese caso, la muestra de arbitraje se enviará a un laboratorio
