EZVIZ DEALER PARTNER PROGRAM AGREEMENT

ACUERDO DEL PROGRAMA EZVIZ DEALER PARTNER – GOLD

This agreement (“Agreement”) made and entered into as of 1/10/2020 (Hereinafter referred to as “Effective Date”),
establishes the EZVIZ Dealer Partner Program (“Dealer Partner Program”) between the following parties:
Este acuerdo (“Acuerdo”) realizado y con inicio a partir de 1/10/2020 (en adelante referido como “fecha efectiva”),
establece el Programa Dealer Partner de EZVIZ (“Programa Dealer Partner”) entre las siguientes partes:

The undersigned parties hereby agree to the following provisions as conditions of the Dealer Partner Program:
Las partes abajo firmantes acuerdan a las siguientes disposiciones como condiciones del Programa Dealer Partner:

SECTION 1 — Program Outline

SECCIÓN 1 — Resumen del Pograma

1.1 The Dealer Partner Program will be named “EZVIZ Dealer Partner Program”, for purchasing EZVIZ surveillance
products and accessories.
1.1 El Programa Dealer Partner será llamado “EZVIZ Dealer Partner Program”, con el objetivo de comprar
productos y accesorios de vigilancia EZVIZ.

1.2 Dealer Partner Program will commence on the date as the Effective Date of the Agreement, and will
automatically renew for three (3) months, based upon criteria being met per Section 2 below. Qualifying purchased
will be reviewed by EZVIZ on a month basis to determine validity of renewal. Both parties may submit in writing,
their intent to terminate said agreement with 30-day prior notice.
1.2 El Programa Dealer Partner comenzará su fecha de vigencia a partir de la fecha efectiva del acuerdo, y se
renovará automáticamente por tres (3) meses, en base al cumplimiento de los criterios establecidos en la Sección
2 abajo. La calificación de las compras será revisada por EZVIZ en este mes para determinar la validez de la
renovación. Ambas partes deben presentar por escrito su intención de terminar el dicho acuerdo con una
anticipación de 30 días.

SECTION 2 — Program Criteria

SECCIÓN 2 — Criterios del Programa

2.1 Dealer Partner is invited by EZVIZ to participate in the Dealer Partner Program with the net product purchase
target amount of USD 3,000.00 quartly and will receive all program benefits as a Gold Dealer Partner.

2.1 Dealer Partner está invitado por EZVIZ a participar en el Programa Dealer Partner con la cantidad de compra
mensual neta de productos de USD USD 3,000.00 trimestral y recibirá todos los beneficios del Programa como
Gold Dealer Partner.

2.2 The Dealer Partner shall provide to EZVIZ monthly the purchase report by product and parts to each ND,
regardless of whether or not they reach the committed target. Based on this report, EZVIZ will manage the
generation of the corresponding credit note with the ND.
2.2 El Dealer Partner proveerá a EZVIZ el reporte de compras mensuales a cada mayorista por producto y piezas,
independientemente de llegar a o no a la meta comprometida. Basado en este reporte, EZVIZ gestionará con el
mayorista la generación de la nota de crédito correspondiente.

SECTION 3 — Program Management

SECCIÓN 3 — Administración del Programa

3.1 The Dealer Partner Program will be managed by EZVIZ using correlated purchasing data from our approved
distribution channel partners.
3.1 El Programa Dealer Partner será administrado por EZVIZ usando datos de compras correlacionados desde
nuestros canales de distribución autorizados.

SECTION 4 — Confidentiality
SECCIÓN 4 — Confidencialidad

4.1 All information that involves the Dealer Partner Program, directly or indirectly, shall be considered
Confidential. Neither company may share this Confidential Information with any third party without the written
consent of all parties.
4.1 Toda la información que involucre el Programa Dealer Partner, directa o indirectamente, deberá ser
considerada confidencial. Ninguna de las partes listadas en este acuerdo puede compartir esta información
confidencial con terceros sin la autorización escrita de todas las partes.

4.2 During the Term of the Agreement, Dealer Partner would prefer to purchase the EZVIZ product.
4.2 Durante el término del Acuerdo, Dealer Partner preferirá comprar los productos EZVIZ.

SECTION 5 — Intellectual property

SECCIÓN 5 — Propiedad Intelectual

5.1 All Intellectual Property remains property of EZVIZ. EZVIZ hereby authorizes Dealer Partner to use the Trade
Marks listed in Appendix B in the Territory on or in relation to the Products for the purposes only of exercising its
rights and performing its obligations under this Agreement.
5.1 Toda la propiedad intelectual permanecerá propiedad de EZVIZ. Por la presente, EZVIZ autoriza a Dealer
Partner a usar las marcas registradas listadas en el Apéndice B en el territorio de o con relación a los productos,
únicamente para ejercer sus derechos y desempeñar sus obligaciones bajo este Acuerdo.

5.2 Dealer Partner shall ensure that each reference to and use of any of the Trade Marks by the Dealer Partner
is approved by EZVIZ and accompanied by an acknowledgement, in a form approved by EZVIZ, that is the same
with a trade mark (or registered trademark) of EZVIZ.
5.2 Dealer Partner se asegurará de que cada referencia hacia y/o uso de cualquiera de las marcas registradas
por Dealer Partner sea aprobado por EZVIZ y acompañada de un reconocimiento, en una forma aprobada por
EZVIZ, que es lo mismo que una marca (o marca comercial registrada) de EZVIZ.

SECTION 6 — Jurisdiction
SECCIÓN 6 — Jurisdicción

6.1 This Agreement is subjected to the laws and regulations of the P.R.China without giving effect to the
principles of conflict of laws thereof. Any dispute, controversy or claim arising out of or in connection with this
Agreement, or the interpretation, breach, termination or validity hereof, shall be submitted to Arbitration Center of
the Chamber of Commerce of Lima in Lima for arbitration in accordance with its rules as in effect at the time of the
arbitration. The award of the arbitration tribunal shall be final and binding upon the Parties.
6.1 Este Acuerdo está sujeto a las leyes y regulaciones de la República Popular China sin dar efecto a los
principios de conflicto de leyes de los mismos. Cualquier disputa, controversia o reclamo que surja de o en conexión
con este Acuerdo, o la interpretación, incumplimiento, terminación o validez del mismo, se presentará al Centro de
Arbitraje de la Cámara de Comercio de Lima en Lima para su arbitraje de conformidad con sus Reglas vigentes en
el momento del arbitraje. El laudo del tribunal de arbitraje será definitivo y vinculante para las Partes.

We, the undersigned, agree to all the provisions listed above, and sign this document of our own free will.
Nosotros, los abajo firmantes, estamos de acuerdo a todas las disposiciones mencionadas anteriormente, y
firmamos este documento de nuestra propia voluntad.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized
representatives, as of the day and year latest written up.

EN FE DE LO CUAL, las partes se comprometen a la ejecución de este acuerdo por intermedio de sus representantes
respectivos debidamente autorizados a tal efecto, a partir del día y año escrito arriba.

This agreement has been translated into Spanish language. In case there is any discrepancy between English version
and Spanish version, the English version shall always prevail.
Este acuerdo se ha traducido al español. En caso de que exista alguna discrepancia entre la versión en inglés y la
versión en español, la versión en inglés prevalecerá siempre.

• EZVIZ official promotions are announced through your partnered distributor.

• Las promociones oficiales de EZVIZ serán anunciadas a través de su distribuidor asociado.

• EZVIZ supports distributors with Dealer Partner rebate program. The actual purchase price and rebate amount will be
determined by your partnered distributor. Rebate will only be offered once the purchase target is achieved by Dealer Partner.
Rebate will be offered with credit notes from Distributor to Dealer Partner.
• EZVIZ brinda soporte a los Distribuidores con el programa de reembolso Dealer Partner. El reembolso sólo será ofrecido
solamente en el caso que se haya alcanzado la meta de compra mensual por parte del Dealer Partner. El reembolso será
ofrecido a través notas de crédito desde Distribuidor a Dealer Partner.

• Actual financial support will be managed and agreed by your partnered distributor based on your credit history.
• El soporte financiero real será manejado y acordado por su distribuidor asociado basado en su historial de crédito.

• For EZVIZ, purchase in all the lines and products available in country will apply for the indicated rebate.
• Para EZVIZ, la compra en todas las líneas y productos disponibles para el país aplicarán para el rebate indicado.

• Only the following EZVIZ product lines procurement is included in this Dealer Partner Program agreement.
• Co-marketing support will be decided by EZVIZ on a case by case basis. Co-marketing support includes, but not limited to:
sponsorship for events, special marketing materials or gifts, participation opportunity at EZVIZ or EZVIZ partner's events. Actual
support will be provided based on EZVIZ’s criteria.

• El soporte de co-marketing será decidido por EZVIZ caso por caso. El apoyo de co-marketing incluye, sin limitarse a: patrocinio
para eventos especiales, materiales de marketing, regalos u oportunidades de participación en eventos EZVIZ o de los socios de
EZVIZ. El soporte real se proporcionará en base a los criterios de EZVIZ.

• On-site training support will be decided by EZVIZ on a case by case basis.

• El soporte para entrenamiento in-situ será decidido por EZVIZ caso por caso.
