INTERCOMPANY SERVICES AGREEMENT
THIS INTERCOMPANY SERVICES AGREEMENT (the
"Agreement"), executed on 1ST August 2021, is entered into
by and between:
T&G Chile SpA (the "Services Provider"), a company
incorporated and in force under the laws of the Republic of
Chile, Tax ID Number 76.790.114-3 duly represented by Mr.
Franco Eduardo Pruzzo Fuentes, ID number 15.640.951-0,
and Mr. Heriberto Jara Navarrete, ID number 13.884.419-6,
all domiciled for these purposes at Estoril Street N° 200,
office N° 429, Las Condes, Santiago; and,
Delica Limited, (the "Beneficiary”), a company incorporated
and in force under the law of New Zealand, Tax ID Number
96-421-894; duly represented by Mr. Douglas James Bygrave,
both domiciled for these purposes at 1 Clemow Drive, Mt
Wellington, Auckland, 1060, NZ.
RECITALS
A. Whereas, the Services Provider and the Beneficiary (both
collectively named as the “Parties”) are members of the
same business group (the “T&G Group”), under the
control of T&G Global Limited.
B. Whereas, the Beneficiary requires the specific knowledge
and experience of the Service Provider to obtain the
appropriate execution of certain services, which will be
provided totally or partially in Chile (the “Services”).
C. Whereas the Services will directly benefit the
Beneficiary's business.
D. Whereas, the Service Provider will provide the Services,
identified and described in Section III of this Agreement,
making use of its experience and knowledge of the local
market, in favor of the Beneficiary.
E. Whereas, the Parties have agreed that the Services will
be paid at fair market value, applying the “Arm’s
Length” Principle and applicable Transfer Pricing laws
and regulations, including the OECD Transfer Pricing
Guidelines.
F. Whereas, the Services and the agreed fee may be
periodically reviewed by the Parties.
G. Whereas, this Agreement reflects the long-term
understanding of the Parties and the current business
policies of the T&G Group.
NOW THEREOF, and in consideration of the mutual promises,
covenants, representations and warranties made in this
Agreement and of the mutual benefits to be derived
therefrom, the Parties hereby agree as follows:

CONTRATO DE SERVICIOS INTERCOMPAÑÍA
ESTE CONTRATO DE SERVICIOS INTERCOMPAÑIA (el
“Contrato”), de fecha 01 de agosto de 2021, es suscrito
entre:
T&G Chile SpA (el “Prestador de Servicios”), una sociedad
constituida y vigente bajo las leyes de la República de Chile,
Rol Único Tributario N° 76.790.114-3; debidamente
representada por don Franco Eduardo Pruzzo Fuentes, C.I. N°
15.640.951-0 y don Heriberto Jara Navarrete, C.I.N°
13.884.419-6; todos domiciliados para estos efectos en Calle
Estoril N° 200, Oficina N° 429, Las Condes, Santiago; y,
Delica Limited, (el “Beneficiario”), una sociedad constituida y
vigente bajo las leyes de Nueva Zelanda, Número de
identificación tributaria 96-421-894; debidamente
representada por don Douglas James Bygrave, ambos
domiciliados para estos efectos en 1 Clemow Drive, Mt
Wellington, Auckland, 1060, NZ.
CONSIDERANDO
A. Que tanto el Prestador de Servicios como el Beneficiario
(ambos en conjunto denominados como las “Partes”) son
miembros del mismo grupo empresarial (el “Grupo
T&G”), bajo el control de T&G Global Limited.
B. Que el Beneficiario requiere el conocimiento específico y
la experiencia del Prestador de Servicios para obtener la
apropiada ejecución de determinados servicios, que
serán prestados total o parcialmente en Chile (los
“Servicios”).
C. Que los Servicios beneficiarán directamente al negocio
del Beneficiario.
D. Que el Prestador de Servicios prestará los Servicios,
identificados y descritos en la Sección III de este
Contrato, haciendo uso de su experiencia y
conocimiento del mercado local, en favor del
Beneficiario.
E. Que las Partes han acordado que los Servicios serán
pagados a valor de mercado, aplicando el Principio
“Arm’s Length” y las leyes y regulaciones sobre Precios de
Transferencia aplicables, incluyendo las directrices sobre
Precios de Transferencia de la OCDE.
F. Que los Servicios y la contraprestación pactada podrán
ser revisados periódicamente por las Partes.
G. Que este contrato refleja el entendimiento a largo plazo
de las Partes y las políticas de negocio vigentes del
Grupo T&G.
POR LO TANTO, y en consideración a las promesas mutuas,
consideraciones, declaraciones y garantías establecidas en
este Contrato y que derivan en beneficios mutuos, las
partes acuerdan lo siguiente:
I. DEFINITIONS
For purpose of this Agreement, the following terms will have
the following meanings:
A. Agreement – The present agreement that contains the
terms, conditions, representations and warranties that
the Parties have agreed for the performance and
payment of this agreement.
B. Beneficiary - Delica Limited, which is the Party acquiring
the Services agreed in this Agreement.
C. Calendar Month - Month within a Calendar Year
understood for these purposes independently from the
specific amount of days within each month.
D. Calendar Year - A period, comprehended between
January 1 and December 31, divided in twelve months.
E. Chilean Growers – Chilean producers of Produces that
are to be sold to Clients.
F. Clients – Acquirers of the Produces.
G. Fee - Amount charged by the Services Provider to the
Beneficiary for the Services as defined in Section IV of this
Agreement.
H. Parties - T&G Chile SpA and Delica Limited.
I. Produces - Goods (such as berries, cherries, grapes, etc.)
produced by Chilean Growers aimed to be sold into
overseas markets.
J. Services - Those services detailed in Section III of this
Agreement.
K. Services Provider - T&G Chile SpA.
L. T&G Group - Each company that is part of the business
group of T&G, whose ultimate parent company is T&G
Global Limited.
II. PURPOSE OF THE AGREEMENT
The purpose of this Agreement is to provide the Services
established in Section III to the Beneficiary by Services
Provider, according to the terms and conditions contained in
this Agreement.
III. SERVICES
The services to be rendered by Services Provider to
Beneficiary are the following:
A. Commercial and management advisory services in
respect to the purchase and sale of goods, which include:
• Identification of suppliers and customers;
• Definition of provision programs;
• Development and follow up of the logistic chain;
• Control of good practices exercised in the
execution of the sale and purchase agreements;
• Permanent advice to suppliers and customer;

I. DEFINICIONES
Para los propósitos de este Contrato, los términos a
continuación tendrán los siguientes significados:
A. Contrato - El presente contrato, que contiene los
términos, condiciones, declaraciones y garantías que
las Partes han acordado, para el desarrollo y pago de
este contrato.
B. Beneficiario - Delica Limited, quien es la Parte que
adquiere los Servicios acordados en este Contrato.
C. Mes Calendario - Mes dentro de un año calendario,
sin tomar en consideración el número específico de
días que comprenda cada mes.
D. Año Calendario - Periodo de tiempo, comprendido
entre el 1 de enero y el 31 de diciembre, dividido en
doce meses.
E. Productores Chilenos - Productores chilenos de los
Productos que son vendidos a Clientes.
F. Clientes – Adquisidores de los productos.
G. Contraprestación – Cantidad cobrada por el Prestador
de Servicios al Beneficiario, por los Servicios definidos
en la Sección IV de este Contrato.
H. Partes - T&G Chile SpA y Delica Limited.
I. Productos - Frutos (tales como bayas), cerezas, uvas,
etc.) producidos por Productores Chilenos que se
pretende vender en los mercados.
J. Servicios - Aquellos servicios descritos en la Sección III
de este Contrato.
K. Prestador de Servicios - T&G Chile SpA.
L. Grupo T&G - Cada empresa que forma parte del grupo
empresarial T&G, cuya última empresa controladora
es T&G Global Limited.
II. OBJETO DEL CONTRATO
El objeto de este Contrato es prestar los Servicios definidos
en la Sección III, al Beneficiario, por parte del Prestador de
Servicios, de acuerdo con los términos y condiciones
establecidos en este Contrato.
III. SERVICIOS
Los servicios que el Prestador de Servicios prestará al
Beneficiario son los siguientes:
A. Servicios de asesoría comercial y gestión, relacionados
con la compraventa de productos, que en particular
incluyen:
• Identificación de proveedores y compradores;
• Definición de programas de abastecimiento;
• Desarrollo y seguimiento de cadenas logísticas;
• Control de cumplimiento de buena ejecución de
contratos de compraventa;
• Asesoría continua a proveedores y clientes;
 • Operation of the invoicing and collecting
process.
B. Technical Assistance on the export and import of
products. In this regard, Services Provider will assist
Chilean Growers in the export service, advising the
Chilean Grower on transportation methods, storing
requirements, insurance to be contracted; assistance of
filing requirements, support upon emergencies in the
transport or storing of the Produces; until products are
shipped overseas.
As well, Services Provider will support Clients on the
import of the Produces, and will manage quality claims
according to T&G Group’s up-to-date policies.
C. Marketing, auxiliary and other support services. These
services include:
• Advice on Chilean market condition for the
development of the T&G Group’s business in Chile
and abroad;
• Guide and advice on relevant issues for entering into
the Chilean Growers’ market, as required by the
Beneficiary and the T&G Group business policies.
Beneficiary will implement and decide on the
strategies and instructions to follow for purposes of
entering into the Chilean market;
• Advisory for purposes of expanding the market of
Produces that Beneficiary expects to acquire in Chile
and resell abroad;
• Provide support to the Beneficiary on the
implementation of strategic plans in the acquisition
of Chilean Produces and their corresponding resale;
• Updated and contingent studies of the Chilean
market conditions for the T&G Group, and particular
analysis of each relevant productive region;
• Participation in direct meetings with Chilean
Growers and Clients, currently or potentially
business third-party partners, of the Beneficiary, for
marketing purposes, researching and obtaining
information of the market, for purposes of assisting
the Beneficiary in improving and expanding its
business. Advice on Chilean market conditions for
the development of the T&G Group’s business in
Chile and abroad.
D. All other type of auxiliary or preparatory services that the
Parties may deem necessary for developing and
expanding operations in Chile and abroad.

• Operación de los procesos de facturación y
cobranza.
B. Asistencia técnica en la exportación e importación de los
Productos. En este sentido, el Prestador de Servicios
prestará asesoría a los Productores Chilenos en la
exportación, aconsejándolos en cuanto a medios de
transporte, requerimientos de almacenamiento, seguros
por contratar; así como también los asistirá técnicamente
la presentación de requerimientos ante las autoridades;
servicios de soporte en emergencias en el transporte o
almacenamiento; hasta que los Productos sean
embarcados.
Asimismo, el Prestador de Servicios T&G Chile apoyará a
los Clientes en la importación de los Productos, y
gestionará reclamos de calidad de acuerdo con las
políticas actualizadas del Grupo T&G.
C. Servicios de asesoría de marketing y otros servicios
auxiliares de apoyo. Que en particular incluyen:
• Asesoría en las condiciones de mercado en Chile
para el desarrollo de los negocios del Grupo T&G en
Chile y en el extranjero;
• Guía y asesoría en cuestiones relevantes para
ingresar al mercado de Productores Chilenos, según
es requerido por el Beneficiario y las políticas de
negocio del Grupo T&G. El Beneficiario decidirá e
implementará las estrategias e instrucciones que se
deberán llevar a cabo con el objetivo de entrar en el
mercado chileno;
• Asesoría dirigida a expandir el mercado de los
Productos que el Beneficiario proyecta adquirir en
Chile y revender en el extranjero.;
• Prestar apoyo al Beneficiario en la implementación
de planes estratégicos respecto a la adquisición de
Productos chilenos y su respectiva reventa;
• Actualización y estudios relevantes de las
condiciones de mercado chilenas respecto del Grupo
T&G, y análisis particular sobre cada región
productiva;
• Participación de forma directa en reuniones con
Productores Chilenos y Clientes Asiáticos, con
actuales o potenciales terceros socios comerciales,
del Beneficiario, con el propósito de cumplir
objetivos de marketing, investigación y obtención de
información del mercado para asesorar al
Beneficiario en mejorar y expandir su negocio.
Asesorar sobre las condiciones de mercado chilenas
para el desarrollo de los negocios del Grupo de T&G
en Chile y en el extranjero.
D. Todo otro tipo de servicios auxiliares o preparatorios que
las partes determinen como necesarios para el desarrollo
y la expansión de las operaciones en Chile y en el
extranjero.
IV. FEE AND PAYMENT CONDITIONS
A. The Beneficiary shall pay to the Services Provider a Fee
equal to that obtained by the following formulae:
The Services Provider’s Operating Expenses, plus an
arm’s length mark-up on those Operating Expenses;
plus
Any fees or recharges from a T&G Group entity that are
not in relation to providing the services to the
Beneficiary;
Where,
Operating Expenses are the sum of all costs incurred by
the Services Provider in relation to providing the services
to the Beneficiary, excluding fees or recharges from a
T&G Group entity not in relation to providing the services
to the Beneficiary, financing costs and tax.
For the avoidance of doubt, the following costs are
excluded from the calculation of Operating Expenses:
a) The costs incurred by the Services Provider in the
provision of Management Services to Enzafruit Peru;
and
b) The service fee charged to the Services Provider by
Enzafruit Peru in relation to the provision of Back
office services.
B. The Services Provider will invoice Beneficiary within the
course of 15 days after the end of each quarter. The
invoice shall detail the Services rendered and the
corresponding fee.
C. The Fee shall be paid by the Beneficiary within 20
calendar days after the Beneficiary effectively receives
the corresponding invoice. The payment shall be made
according to instructions included in the corresponding
invoice.
D. In the case of any dispute or disagreement of the Fee, the
Parties must negotiate in good faith a solution to the
conflict, in the term of 15 business days counted as of the
date in which one Party gives notices to the other of the
dispute or disagreement in said amounts.
E. The Fee set above is exclusive of any Value Added Tax
(“VAT”) that is imposed on the Services Provider for the
Services provided under this agreement. If any VAT is
imposed, the Beneficiary must pay the Services Provider
the amount equal to the Fee plus any VAT imposed.
V. EXPENSES REIMBURSEMENT
A. The Beneficiary shall reimburse to the Services Provider,
whilst the Services Provider shall reimburse the
Beneficiary, any reasonable expenses required by
Services Provider or Beneficiary, which are expressly not
under the scope of this Agreement, prior written
approval of the Service Provider or Beneficiary.

IV. CONTRAPRESTACIÓN Y CONDICIONES DE PAGO
A. El Beneficiario pagará al Prestador de Servicios una
cantidad obtenida por la siguiente fórmula:
Los gastos operativos del proveedor de servicios, más un
margen de mercado en esos gastos operativos;
más
Cualquier tarifa o recarga de una entidad del Grupo T&G que
no esté relacionada con la prestación de los servicios al
Beneficiario;
Donde,
Los Gastos Operativos son la suma de todos los costos
incurridos por el Proveedor de Servicios en relación con la
prestación de los servicios al Beneficiario, excluyendo las
tarifas o recargas de una entidad del Grupo T&G que no están
relacionadas con la prestación de los servicios al Beneficiario,
los costos de financiamiento y los impuestos.
Para evitar dudas, los siguientes costos se excluyen del cálculo
de los gastos operativos:
a) Los costos incurridos por el Proveedor de Servicios
en la prestación de Servicios de Gestión a Enzafruit
Perú; y
b) La tarifa de servicio cobrada al Proveedor de
Servicios por Enzafruit Perú en relación con la
prestación de los servicios de Back office.
B. El Proveedor de Servicios facturará al Beneficiario dentro
de los 15 días posteriores al final de cada trimestre. La
factura detallará los Servicios prestados y la
contraprestación correspondiente.
C. El Contraprestación deberá ser pagado por el Beneficiario
dentro de los 20 días calendario siguientes a la recepción
efectiva de la factura correspondiente por parte del
Beneficiario. El pago se realizará según las instrucciones
incluidas en la factura correspondiente.
D. En el caso de cualquier disputa o desacuerdo sobre el
Contraprestación, las Partes deberán negociar de buena
fe una solución al conflicto, en el término de 15 días
hábiles contados a partir de la fecha en que una Parte
notifique a la otra la disputa o desacuerdo en dichos
montos.
E. La Contraprestación establecido anteriormente no
incluye ningún impuesto al valor agregado ("IVA") que se
imponga al proveedor de servicios por los servicios
prestados en virtud de este acuerdo. Si se impone algún
IVA, el Beneficiario debe pagar al Prestador de Servicios
el monto equivalente al Contraprestación más cualquier
IVA impuesto.
V. REEMBOLSO DE GASTOS
A. El Beneficiario reembolsará al Prestador de Servicios, y el
Prestador de Servicios reembolsará al Beneficiario,
cualquier gasto razonable requerido por el Prestador de
Servicios o el Beneficiario, que no se encuentren
expresamente contemplados dentro del alcance de este
Contrato, previa aprobación escrita del Prestador de
Servicios o del Beneficiario.
 B. For these purposes, the Beneficiary grants an
authorization to the Services Provider; and likewise, the
Services Provider grants an authorization to the
Beneficiary, to incur under its own name, but on behalf
of the latter, any expenses agreed in letter A.
C. For these purposes, the Services Provider and Beneficiary
shall follow the procedure detailed below:
(i) The amounts paid to third parties under this section
shall be recorded by the Services Provider/Beneficiary in
separate records detailing the fact of being the Services
Provider/Beneficiary who is economically chargeable for
such expenses.
(ii) Each expense shall be evidenced through original
receipts and records, and the Services
Provider/Beneficiary shall provide to the Services
Provider/Beneficiary copy of these records and original
receipts.
(iii) If any reimbursements for this purpose is required,
these expenses shall be clearly distinguished in the
invoice that the Services Provider issues to the
Beneficiary, clearly differentiating between the part
corresponding to the reimbursement of expenses from
the part corresponding to the value of the services
rendered.
VI. TERM
The term of this Agreement is 2 years, and the parties declare
and acknowledge that it entered into force on December 1,
2020. After this term, this Agreement will be automatically
renewed for successive 1-year terms, unless either Party gives
the other Party written notice of its intent to terminate the
Agreement, with no less than three months prior to the end
of the current term.
VII. FURTHER OBLIGATIONS OF THE PARTIES
A. The Services Provider shall render the Services identified
and detailed in the Section III of this Agreement, directly
or indirectly through its own employees, in Chile or
abroad.
B. If workers of the Services Provider need to travel to the
Beneficiary domicile for purposes of rendering Services
not comprehended under this Agreement, the travel,
housing and food expenses, will exclusively be borne by
the Beneficiary, under the rules established in Section V
of this Agreement
VIII. TERMINATION
This Agreement may be terminated under any of the
following circumstances:
A. Immediately, upon written notice from the non-
breaching Party due to the occurrence of any substantial
breach of this Agreement. Substantial breach includes
any breaches to Sections III and IV of this Agreement, for
a term exceeding 120 days.

B. Para estos efectos, el Beneficiario confiere un Poder
Especial al Prestador de Servicios; e igualmente, el
Prestador de Servicios otorga una autorización al
Beneficiario, para que realice a nombre propio, pero en
beneficio del otro, los gastos acordados en la letra A
anterior.
C. Para estos propósitos, el Prestador de Servicios y el
Beneficiario deberán seguir el siguiente procedimiento:
(i) Los montos pagados a terceras partes en virtud de esta
Sección deberán registrarse por el Prestador de
Servicios/Beneficiario en cuentas separadas que detallen
que es el Prestador de Servicios/Beneficiario quien
asume económicamente tales gastos.
(ii) Cada gasto se acreditará por medio de documentación
y recibos originales, y el Prestador de Servicios/
Beneficiario deberá hacer entrega al Prestador de
Servicios/ Beneficiario copia de dicha documentación y
recibos originales.
(iii) En caso de existir reembolsos por este concepto,
éstos deberán distinguirse claramente en la factura que
el Prestador de Servicios emita al Beneficiario,
diferenciándose claramente la parte correspondiente a
reembolso de gastos de aquella correspondiente al valor
de los servicios prestados.
VI. PLAZOS
El término de este Acuerdo es de 2 años, y las partes declaran
y reconocen que éste comenzó a regir con fecha 1 de enero
de 2020. Después de este término, este Acuerdo se renovará
automáticamente por períodos sucesivos de 1 año, a menos
que cualquiera de las Partes notifique por escrito a la otra
Parte su intención de rescindir el Acuerdo, con no menos de
tres meses antes del final del período actual.
VII. OBLIGACIONES ADICIONALES DE LAS PARTES
A. El Prestador de Servicios prestará los Servicios
identificados e individualizados en la Sección III de este
Contrato, directa o indirectamente a través de sus
propios empleados, en Chile o en el extranjero.
B. En caso de que trabajadores del Prestador de Servicios
deban desplazarse al domicilio del Beneficiario para
efectos de prestar servicios fuera del alcance de este
Contrato, los gastos de traslado, alojamiento y
alimentación serán de cargo exclusivo del Beneficiario,
según las reglas establecidas en la Sección V de este
Contrato.
VIII. TERMINACIÓN
Este Contrato puede ser resuelto por cualquiera de las
siguientes circunstancias:
A. Inmediatamente, mediante notificación escrita de la
Parte que no se encuentra en incumplimiento, ante la
concurrencia de cualquier incumplimiento substancial de
este Contrato. Incumplimientos substanciales incluyen
cualquier incumplimiento a las Secciones III y IV de este
Contrato, por un plazo que exceda los 120 días.
 B. 90 days after written notice of breach, from the non-
breaching Party, of any other provision of this
Agreement, if such breach remains uncured; or
immediately, upon written notice of termination, if the
breach is one that has occurred a second time in a six
month period following notice of breach. Termination
will be effective upon written notice of termination by
the non-breaching to the other Party, which notice will
specify the breach, the date of notice and, if applicable,
the reasons the attempted cure is not satisfactory.
C. Upon the determination of any one of the Parties, if the
other has become notoriously insolvent or has declared
its bankruptcy.
D. After expiration of the original term or any extension of
it, provided either Party gives written notice of
termination not less than three months prior to the end
of the then current term.
IX. GENERAL PROVISIONS
A. CONFIDENTIALITY
a. The Parties shall keep confidential and not disclose
to any person or entity other than those employees
of the Parties who have a need to know, any of the
following:
(i) The prices, remunerations, or terms set out in this
Agreement or in any agreements between the
Services Provider and the Beneficiary.
(ii) Financial or logistic information of the Parties.
(iii) Other Confidential Information.
b. For purposes of this Agreement, “Other Confidential
Information” shall be defined to mean all
information regarding Chilean Growers and third-
party foreign buyers, including Clients, to whom they
have had access as a consequence of this Agreement
and in general any other information of both
strategic or economic value for the Parties.
c. Confidential information will not include that
information which:
(i) Is in the public domain prior to the disclosure.
(ii) Is lawfully in the recipient’s possession prior to
the disclosure.
(iii) Becomes part of the public domain by publication
or otherwise through no unauthorized act or
omission on the part of the recipient.

B. 90 días después de la notificación escrita de
incumplimiento contractual, emitida por la Parte no
incumplidora, de cualquiera de las otras Secciones
estipuladas en este Contrato, si dicha Sección
permanece incumplida; o inmediatamente, mediante
notificación escrita de la resolución contractual, si el
incumplimiento se ha repetido dos veces en un periodo
de seis meses seguidos a la notificación escrita. La
resolución del Contrato producirá efectos desde la
notificación del término del Contrato por la Parte que
no se encuentra en incumplimiento a la otra, debiendo
la notificación de terminación especificar el
incumplimiento, la fecha de notificación y, de ser
aplicable, la razón por la cual el remedio propuesto no
es satisfactorio.
C. A la determinación de cualquiera de las Partes, si la otra
se ha vuelto notoriamente insolvente o ha declarado su
quiebra.
D. Después de la expiración del plazo original, o cualquier
extensión del mismo, y en el entendido de que
cualquiera de las Partes notifique por escrito la
terminación con no menos de tres meses antes del final
del término actualmente en curso.
IX. DISPOSICIONES GENERALES
A. CONFIDENCIALIDAD
a. Las Partes deben mantener la confidencialidad y no
divulgarán a ninguna persona o entidad que no sea
los empleados de las Partes que tengan la
necesidad de conocer, la siguiente información:
(i) Los precios, remuneraciones o términos
establecidos en este Contrato o en cualquier
acuerdo entre el Prestador de Servicios y el
Beneficiario.
(ii) Información financiera o de logística de las
Partes.
(iii) Otra Información Confidencial.
b. Para fines del presente Contrato, se definirá "Otra
Información Confidencial" como toda la
información sobre Productores Chilenos y terceros
compradores extranjeros, incluyendo a los Clientes,
a los que tengan acceso en razón de este Contrato y
en general cualquier otra información de valor
estratégico o económico para las Partes.
c. La información confidencial no incluirá aquella
información que:
(i) Es de dominio público antes de su divulgación.
(ii) Se encuentra legalmente en posesión del
destinatario antes de la divulgación.
(iii) Pasa a formar parte del dominio público
mediante publicación o de otra manera a través de
acciones u omisiones no autorizadas por parte del
receptor.
 (iv) Is independently developed by an employee of
the recipient with no access to such confidential
information.
(v) Is required to be disclosed by law or court order.
d. The Parties will assure that all of its employees and
agents will be bound by, and comply with, the
obligations set out in this section. This
confidentiality section will survive the termination of
this Agreement.
B. NO PARTNERSHIP AGREEMENT
a. It is understood and agreed by the Parties that in the
provision of the Services described in this
Agreement, the Services Provider shall act as an
independent party, not being an agent or
representative of the Beneficiary.
b. In no case shall a permanent establishment of the
Beneficiary be established or understood as
established, both from a commercial criteria and
from the criteria defined in the Article 5 of the
Agreement between the Republic of Chile and New
Zealand to Avoid Double Taxation and to Prevent Tax
Evasion in relation to income taxes currently inforce.
c. According to the foregoing, this Agreement shall not
be deemed nor shall have the objective of creating a
partnership or a joint entity, by which any of the
entities could be responsible of any obligation or
debt due by the other Party.
C. PERSONNEL LIABILITY
a. The personnel of the Services Provider used in the
provision of the Services shall not be deemed to be
Beneficiary’s workers, and consequently, neither
subordination nor dependence link shall be
established between them and the Beneficiary, as
both are independent Parties as defined, letter B
herein.
b. Services Provider shall comply with all obligations
and responsibilities regarding the abovementioned
personnel, according to applicable law.
c. As well, Services Provider will hold the Beneficiary
harmless before any claim, suit, or complaint made
directly or indirectly by any of the Services Provider’s
workers.
D. LIMITATION OF LIABILITY
To the maximum extent permitted by mandatory applicable
law, any “aggregated liability” regarding any advised or
assisted commercial operation by the Services Provider is fully
assigned to itself, which by this act fully liberates and releases
to the Beneficiary of any kind of “aggregated liability”, such
as those arising from agreements subscribed with third party
acquirers of the exported Produces, other agreements,
warranties, torts (extended to negligence), strict liability,

(iv) Es desarrollado independientemente por un
empleado del destinatario sin acceso a dicha
información confidencial.
(v) Requiere ser divulgada por ley u orden judicial.
d. Las Partes se asegurarán del hecho de que todos
sus empleados y agentes se encontrarán obligados
por, y cumplirán con, las obligaciones establecidas
en esta Sección. Esta disposición sobrevivirá la
terminación del Contrato.
B. ACUERDO DE NO ASOCIACIÓN
a. Queda entendido y acordado por las Partes que, en
lo que respecta a la prestación de los Servicios
descritos en este Contrato, el Prestador de Servicios
actuará como una parte independiente, y no como
agente o representante del Beneficiario.
b. En ningún caso se constituirá o se entenderá
constituido un establecimiento permanente del
Beneficiario, tanto para efectos comerciales como
para los definidos en el artículo 5 del Convenio
entre de la República de Chile y Nueva Zelandia
para Evitar la Doble Imposición y para Prevenir la
Evasión Fiscal con relación a los impuestos a la
renta actualmente vigente.
c. De conformidad a lo anterior, el presente Contrato
no será considerado ni tendrá por objetivo la
creación de una empresa o entidad conjunta, por
medio de la cual cualquiera de ellas deba afrontar o
ser responsable de las deudas y obligaciones
asumidas por la otra Parte.
C. RESPONSABILIDAD DEL PERSONAL
a. El personal que el Prestador de Servicios destine
para prestar los Servicios no tendrá la calidad de
trabajadores del Beneficiario y, en consecuencia, no
existirá ningún vínculo de subordinación o
dependencia entre este personal y el Beneficiario,
en cuanto ambas son Partes independientes según
fue definido en la letra B de este Contrato.
b. El Prestador de Servicios se obliga a cumplir, con
respecto al mencionado personal, con todas y cada
una de las obligaciones y responsabilidades de
acuerdo con la ley aplicable.
c. Asimismo, el Prestador de Servicios se obliga a
mantener indemne al Beneficiario frente a
cualquier reclamo, demanda y/o denuncia de
carácter laboral deducida directa o indirectamente,
por cualquiera de sus trabajadores.
D. LIMITACIÓN DE RESPONDABILIDAD
De la forma más amplia permitida por la ley aplicable,
cualquier “responsabilidad agregada” con respecto a
cualquier operación comercial asesorada o asistida por el
Prestador de Servicios es asignada totalmente a sí mismo, por
este acto, liberando completamente al Beneficiario de
cualquier tipo de “responsabilidad agregada”, como las
derivadas de contratos suscritos con terceras partes
adquirentes de los Productos exportados, otros contratos,
Produces liability, professional liability, indemnity,
contribution or any other cause of action.
E. ASSIGNMENT
a. The Parties may not assign or otherwise transfer
their respective interests in this Agreement without
the express and written consent of the other Party.
b. However, the Parties may transfer their respective
interests in this agreement to a related company
where the owner of the transferor holds at least 50%
of the interest in the transferee.
F. FORCE MAJEURE
a. If an event of Force Majeure causes any of the
Parties to be unable to perform an obligation under
this Agreement, the affected Party will not be
relieved of its obligations hereunder, but the time
for performance of the affected Party's obligations
will be extended for the duration of the Force
Majeure, if the latter continues for a maximum 120
days terms. If the Force Majeure continues for more
than 120 days, either Party will have the right to
terminate this Agreement.
b. For the purposes of this Agreement, "Force Majeure
or Fortuitous Event" will be defined as set out in
article 45 of the Chilean Civil Code.
c. Upon occurrence of Force Majeure, the Parties will
promptly notify the other Party, describing the
nature, cause, and probable duration of the Force
Majeure event. Said affected Party will exercise due
diligence to remedy and overcome the Force
Majeure event.
G. GOVERNING LAW AND DISPUTE RESOLUTION
a. This Agreement shall be governed by and construed
in accordance with the Laws of Chile, without giving
effect to conflicts of laws principles that could
require the application of laws of another
jurisdiction.
b. All disputes arising out of or in connection with this
Agreement shall be finally settled under arbitration
pursuant to the Rules of Arbitration Procedure of the
Santiago Arbitration and Mediation Center in effect
at the time of its initiation. The Parties confer an
irrevocable special power of attorney upon the
Santiago Chamber of Commerce so that it may, at
the written request of any of the Parties, appoint an
arbitrator from among the members of the
arbitration corps of the Santiago Arbitration and
Mediation Center, who will be empowered to act as
arbitrator-at-law regarding the substance of the
dispute and as ex aequo et bono with regard to the
procedure. There shall be no remedy against the
arbitrator's resolutions. The arbitrator is especially
empowered to resolve any matter relating to his/her
competence and/or jurisdiction.

negligencia), responsabilidad objetiva, responsabilidad por
los Productos, responsabilidad profesional, indemnización,
contribución o cualquier otra causa de acción.
E. CESIÓN
a. Las Partes no pueden ceder o transferir de ninguna
forma sus respectivos intereses en este Contrato sin
el consentimiento expreso y por escrito de la otra
Parte.
b. Sin embargo, las Partes pueden transferir sus
intereses respectivos en este Contrato a una
empresa relacionada en la que el propietario del
cedente posea al menos el 50% de los intereses del
cesionario.
F. FUERZA MAYOR
a. Si un evento de Fuerza Mayor causa que alguna de
las Partes no puedan cumplir una obligación bajo
este Contrato, la parte afectada no será relevada de
sus obligaciones derivadas de este Contrato, pero el
tiempo para el cumplimiento de las obligaciones de
la Parte afectada se extenderá por la duración de la
Fuerza Mayor, en el caso de que esta continuara por
un máximo de 120 días. Si la Fuerza Mayor continúa
durante más de 120 días, cualquiera de las Partes
tendrá derecho a rescindir este Contrato.
b. Para los efectos del presente Contrato, se entenderá
por "Fuerza Mayor o Evento Fortuito" lo establecido
en el artículo 45 del Código Civil de Chile.
c. Ante la ocurrencia de un evento de Fuerza Mayor, las
Partes notificarán inmediatamente a la otra Parte,
describiendo la naturaleza, causa y probable
duración del evento de Fuerza Mayor. Dicha Parte
afectada ejercerá la debida diligencia para remediar
y superar el evento de Fuerza Mayor.
G. LEY APLICABLE Y RESOLUCIÓN DE CONFLICTOS
a. Este Contrato se encontrará vigente y se regirá por
las leyes aplicables de la República de Chile, sin darle
aplicación a conflictos de principios legales que
pudieran requerir la aplicación de las leyes de otra
jurisdicción.
b. Todos los conflictos que surjan con relación a este
Contrato serán resueltos mediante arbitraje que se
regirá por las Reglas del Procedimiento de Arbitraje
del Centro de Arbitraje y Mediación de Santiago que
se encuentren en vigencia al momento en que se
inicie el arbitraje. Las Partes confieren un poder
especial irrevocable a la Cámara de Comercio de
Santiago para que, mediante solicitud por escrito de
cualquiera de las Partes, designe un árbitro elegido
dentro de la nómina de árbitros del Centro de
Arbitraje y Mediación de Santiago, quien tendrá el
poder de actuar como árbitro en derecho en cuanto
a la sustancia del conflicto y como árbitro arbitrador
en cuanto al procedimiento del arbitraje. No habrá
recursos en contra de las resoluciones del árbitro. El
árbitro tiene poder especial para resolver cualquier

c. Any arbitration proceeding conducted pursuant to
this Agreement shall take place in Chile and shall be
conducted in English. The arbitrator shall be a
qualified attorney with extensive knowledge and
experience (and in any event a minimum of five
years’ experience) in the area subject to dispute.
Each Party shall be entitled to reject the designation
of a maximum of three arbitrators appointed by the
Santiago Chamber of Commerce pursuant to letter
b. above.
TOTAL AGREEMENT
This Agreement constitutes the entire Agreement of the
Parties and supersedes all prior Agreements, relating to the
scope of the Services.
H. EFFECT OF INVALID PROVISIONS
The invalidity or unenforceability of any particular provision
of this Agreement will not affect other provisions hereof and
the Agreement will be construed in all respects as if such
invalid or unenforceable provisions were omitted.
I. NON-WAIVER PROVISION
Failure by any Party to enforce any covenant or section hereof
or to require to the other Party to abide by any provision or
requirement will not be deemed a waiver of said covenant,
section or requirement and will not affect in any way any
Party´s subsequent right to enforcement.
J. MODIFICATIONS
No modification, future representation, promise or
Agreement in connection with the subject matter of this
Agreement shall be valid unless made in writing and signed by
the Parties.
K. COUNTERPARTS
This Agreement shall be signed in counterparts, one for each
Party.
L. AUTHORITY
Each individual executing this Agreement represents that it
has full authority to bind the entity that it represent in respect
to all terms, conditions, obligations, right, representations
and warranties arising from the Agreement. Each of the
Parties hereto represents that it has full individual,
partnership or corporate authority to enter into this
Agreement. Each Party agrees to provide evidence of such
authority upon request by the other Party.
X. MISCELLANEOUS PROVISIONS
A. ADDRESSES
Should either Party change its business address, it will notify
the other Party within 30 days of the date of such change.

c. Cualquier procedimiento arbitral que se lleve a cabo
producto de este Contrato, se llevará a efecto en
Chile y en idioma Ingles. El árbitro deberá ser un
abogado calificado con basto conocimiento y
experiencia (experiencia de al menos cinco años) en
el área material de disputa. Cada parte tendrá el
derecho a rechazar un máximo de tres de los árbitros
designados por la Cámara de Comercio de Santiago,
según lo dispuesto en la letra b. de esta sección.
H. ACUERDO COMPLETO
Este Contrato constituye el Acuerdo completo entre las
Partes y se superpone a cualquier acuerdo previo
relacionado con el alcance de los servicios.
I. EFECTO DE LAS PROVISIONES INVÁLIDAS
La invalidez, vicio de nulidad o no ejecutabilidad de
cualquiera de las provisiones o términos de este Contrato,
no afectarán el resto de sus provisiones, y se entenderá
como si tal provisión inválida o nula, nunca fue escriturada.
J. PROVISIÓN DE NO RENUNCIA
El que una Parte no exija el cumplimiento de una condición
o sección del Contrato, o la imposibilidad para una Parte
de lograr que la otra acate una provisión o requerimiento
de éste, no significa que haya renunciado al cumplimiento
de tal condición, sección, provisión o requerimiento y no
afectará el derecho de las Partes a hacerlo exigible.
K. MODIFICACIONES
Ninguna modificación, futura revisión, promesa o acuerdo en
relación con el objeto del presente Contrato será válido
excepto si se realiza por escrito y firmado por las Partes.
L. COPIAS
Este Contrato será firmado en dos copias originales, una por
cada parte.
M. PODERES
Cada individuo ejecutando este Contrato declara tener
poder suficiente y completa autoridad para obligar a la
entidad que representa, respecto de todos los términos,
condiciones, obligaciones, derechos, declaraciones y
garantías emanadas de este Contrato. Cada una de las
Partes aquí declara disponer de plena autoridad individual,
de sociedad o corporativa, para celebrar este Acuerdo.
Cada Parte acuerda que pondrá a disposición prueba de
tener el poder correspondiente que le fue otorgado ante
la solicitud de la otra Parte.
X. DISPOSICIONES MICSELANEAS
A. DIRECCIONES
Si cualquiera de las Partes cambia su dirección comercial,
notificará a la otra parte dentro de los 30 días posteriores a la
