Auren e Vivo assinam contrato para constituição de

joint-venture com foco em comercialização de energia no mercado livre

Auren Energia S.A. (“Auren” ou “Companhia”) (B3: AURE3), na forma e para os fins da Resolução CVM nº
44/2021, informa aos seus acionistas e ao mercado em geral que, por meio de sua controlada Auren
Comercializadora de Energia Ltda., em 18 de dezembro de 2023, a Companhia e a Telefônica Brasil S.A.
(“Vivo”) (B3: VIVT3; NYSE: VIV), firmaram acordo de investimento para a constituição de uma joint-venture
focada na comercialização de soluções customizadas em energia em todo o Brasil (“Operação”).
A joint-venture reunirá a experiência de duas marcas-chave em seus segmentos: a Auren, referência em
geração de energia renovável e líder em comercialização de energia no país; e a Vivo, destaque no mercado
brasileiro de telecomunicações e referência no oferecimento de serviços digitais.
Ao associar o know-how da Auren na geração e comercialização de energia à capacidade de distribuição em
escala da Vivo, a joint-venture pretende se posicionar no mercado livre de energia do Brasil, cuja abertura vem
sendo implementada de forma gradativa e, a partir de janeiro de 2024, estará acessível a clientes do setor
empresarial ligados à rede de alta tensão com demanda inferior a 500 kW. O potencial mercado de atuação
da Operação é estimado em cerca de 72 mil empresas, entre fábricas, escritórios e estabelecimentos
comerciais.
A exploração deste novo potencial será o foco desta joint-venture, que irá atuar no segmento de empresas
com demanda inferior à 500 kW, preparando-se, inclusive, para atuar no segmento de baixa tensão e
residencial em um cenário de abertura total do mercado de eletricidade brasileiro.
A Operação representa um importante avanço na estratégia de crescimento e no objetivo de longo-prazo da
Companhia, que visa manter sua posição de liderança em comercialização de energia no Brasil. Essa parceria
de grande valor combina capilaridade, excelência com clientes e capacidade de customização de produtos de
comercialização de energia.
A conclusão da Operação está sujeita à obtenção das autorizações antitruste aplicáveis, sendo que apenas
após tais autorizações a Auren e a Vivo constituirão a joint-venture, na qual cada uma deterá 50% de
participação societária. Após a devida constituição, a nova empresa iniciará os procedimentos necessários
para obtenção das respectivas licenças e autorizações para o desenvolvimento dos seus negócios, e contará
com uma equipe própria e totalmente independente.
A Companhia manterá os seus acionistas e o mercado em geral informados sobre a evolução do assunto objeto
deste Comunicado ao Mercado, de acordo com a regulamentação em vigor.

Auren and Vivo sign contract for the establishment of a joint venture
focusing on energy trading in the free market

Auren Energia S.A. ("Auren" or the "Company") (B3: AURE3), in accordance with and for the purposes of CVM
Resolution No. 44/2021, informs its shareholders and the market in general that, through its subsidiary Auren
Comercializadora de Energia Ltda., on December 18, 2023, the Company and Telefônica Brasil S.A. ("Vivo")
(B3: VIVT3; NYSE: VIV) signed an investment agreement for the establishment of a joint venture focused on
marketing customized energy solutions throughout Brazil ("Operation").

The joint venture will bring together the expertise of two key brands in their respective segments: Auren, a
reference in renewable energy generation and a leader in energy trading in the country; and Vivo, a standout
in the Brazilian telecommunications market and a reference in providing digital services.
By combining Auren's know-how in energy generation and trading with Vivo's large-scale distribution
capability, the joint venture aims to position itself in Brazil's free energy market, which is gradually opening
up and, starting in January 2024, will be accessible to business sector clients connected to the high-voltage
network with demand below 500 kW. The potential market scope of the Operation is estimated to include
around 72 thousand companies, including factories, offices, and commercial establishments.
The exploration of this new potential will be the focus of this joint venture, which will operate in the segment
of companies with demand below 500 kW, preparing, even, to operate in the low-voltage and residential
segment in a scenario of total opening of the Brazilian electricity market.
The Operation represents a significant advancement in Auren's growth strategy and long-term objective,
aiming to maintain its leadership position in energy trading in Brazil. This valuable partnership combines reach,
customer excellence, and the ability to customize energy marketing products.
The completion of the Operation is subject to obtaining applicable antitrust authorizations, and only after such
authorizations will Auren and Vivo establish the joint venture, in which each will hold a 50% ownership stake.
After proper establishment, the new company will initiate the necessary procedures to obtain the respective
licenses and authorizations for the development of its business and will have its own, entirely independent
team.
The Company will keep its shareholders and the market in general informed about the progress of the matter
addressed in this Notice to the Market, in accordance with current regulations.
