Es grato diriginne para saludarle cordialmente y a la vez informarle que la Agencia de

Cooperación Internacional de Corea (KOICA), el Consejo de Ciencia, Tecnología e Innovación

Tecnológica (CONCYTEC) y la Agencia Peruana de Cooperación Internacional CAPel) han

suscrito el RO del Proyecto señalado en el asunto.

En ese sentido, KOICA entrega 02 ejemplares del RO. Una versión en español y otra

versión en inglés debidamente firmados por el Director de KOICA Perú, el Sr. Jung Wook Lee

y el Director Ejecutivo de ArCI, José Antonio González Norris.

El presente documento establece el "Registro de Discusiones" para la parte coreana, y el "Acuerdo

colectivamente "las Partes", bajo los siguientes "Términos de Referencia":

Como resultado del trabajo y consulta mutua, las partes celebraron reuniones de coordinación para
definir los Términos de Referencia del Proyecto y sus Anexos y especificar las responsabilidades que
asumirán las Partes; que forman parte de este Registro de Discusiones.

Las partes señalan que el presente Registro de Discusiones se enmarca en el "Convenio Básico de
Cooperación Económica, Científica y Técnica entre el Gobierno de la República del Perú y el
Gobierno de la República de Corea", firmado en Lima el18 de diciembre de 1981.

Las Partes declaran que el presente documento se suscribe en el marco de sus competencias
funcionales, se interpreta y ejecuta conforme a sus respectivas legislaciones nacionales y no genera
obligaciones jurídicas internacionales para la República del Perú o la República de Corea.

Suscrito en la ciudad de Lima, República del Perú, el 11 de diciembre de 2020 por los representantes
de cada Parte, en tres (3) ejemplares en español e inglés, siendo los textos igualmente válidos. En
caso de divergencia, prevalecerá la versión en inglés.

 TÉRMINOS DE REFERENCIA DEL PROYECTO

l. ANTECEDENTES

Con fecha 15 de diciembre de 2016 se suscribió el "Registro de Discusiones" conocido bajo ese
nombre para la parte coreana y como "Memorándum de Entendimiento" para la parte peruana,
entre KOICA, CONCYTECy el GOBIERNO REGIONAL DE AREQUIPA para el proyecto "PROYECTO
PARA EL FORTALECIMIENTO DE LA INNOVACiÓN Y EL EMPRENDIMIENTO TECNOLÓGICOBASADO
ENTIC PARA LA REGiÓN AREQUIPA" con el objetivo de promover la competitividad de la promoción
de la innovación y el emprendimiento tecnológico basado en las TIC a través de una contribución
no reembolsable de KOICA.

En la ejecución del referido proyecto se presentaron dificultades para la continuidad del mismo,
razón por la cual, a través de una serie de consultas entre los organismos pertinentes y visitas de
viabilidad de expertos coreanos. KOICA, CONCYTECy APCI analizaron la sostenibilidad del proyecto
y concluyeron que el plan y la estructura original del mismo debían ser modificados de acuerdo
con la situación actual y ampliar el ámbito de ejecución a las regiones de Lima y La Libertad que
permitiría que el impacto del proyecto sea más amplio y aumentar el número de beneficiarios.
Para hacer esto y debido a la falta de apoyo de una de las partes, el RD anterior fue oficialmente
terminado por KOICA con una comunicación enviada a APCI y luego APCI envió una notificación a
las otras partes para anunciar que el RD anterior fue oficialmente terminado.

En ese sentido, se determinó que los componentes del proyecto también se cambien a fin de
contribuir a establecer la infraestructura pública a nivel nacional, fortaleciendo la capacidad de
startups basadas en TIC, incluyendo Lab Ventures de universidades y fomentando oportunidades
para hacer crecer el emprendimiento en el país, de esta manera se revitalizará el ecosistema de
startups innovadoras en Perú.

En atención a lo señalado, de acuerdo con la redirección del proyecto, las Partes consideran que
resulta necesario firmar un nuevo Registro de Discusiones (RD) que plasme el nuevo plan para el
proyecto. El cual no incluye como parte al Gobierno Regional de Arequipa.

11.ALCANCE DEL PROYECTO

1. Título: "Proyecto para fortalecer la innovación y emprendimiento basado en TICs"

2. Objetivo General: Fortalecer la Innovación y emprendimiento basados en las TIC y la

competitividad en Lima, Arequipa y La Libertad a través de la mejora de la Capacidad de Innovación
y su Sistema en Perú.

3. Periodo: Se prevé que el período del proyecto se ejecutará durante un período de cinco (5)
años contados a partir de la firma del presente Documento.

4. Componentes del proyecto: El proyecto tendrá impacto nacional con énfasis en las regiones
de Lima, Arequipa y La Libertad.

COMPONENTE 1: 1. Establecimiento de infraestructura pública para apoyar Startups
Innovadoras

1.1. Establecimiento del Centro de Innovación Pública (Centro de Innovación)

• Creación de Centro de Innovación y Nodo & Sitio en Lima (Universidad Nacional de

Ingeniería - UNI) que sería el principal Centro de Innovación Pública, esto a propuesta
de KOICA.
• Creación de Centro de Innovación y Nodo & Sitio en Arequipa.
• Creación de Centro de Innovación y Nodo & Sitio en La Libertad (después del
establecimiento de Lima, Arequipa y de acuerdo con las disponibilidades del
presupuesto del proyecto).
• Establecer el estado legal del Centro de innovación dentro del marco del proyecto y las
guías de operación.

1.2. Programa de Operación para el Centro de Innovación Pública

• Desarrollo del Programa de Operación De Nodo y Sitio.

• Desarrollo del programa de capacitación y certificación de RRHH(instructor, Acelerador
(coordinador)).
• Desarrollo del programa para actores del ecosistema emprendedor (foro y festival).

1.3 Infraestructura para el Centro de Innovación Pública

• Remodelación del Centro de Innovación Pública.

• Configuración de las instalaciones del sistema de videoconferencia y suministro de
equipos.
• Configuración de las instalaciones para la construcción de plataformas en línea (para
operación virtual).

COMPONENTE 2: Fortalecer la capacidad del startup

2.1. Entrenamiento por invitación en Corea

• Reanudar / planificar / establecer operaciones.

• Formación y práctica innovadora de startups.
• Visita/reunión con el modelo de Startup Innovadora Coreana.

2.2 Capacitación y Taller Local en Perú para instructores y aceleradoras (coordinadores)

• Capacitación local - Programa ToT para Instructores.

• Capacitación local- Programa Acelerador (Coordinador).
• Taller local (evaluación anual y plan el próximo año).

2.3. Despliegue de expertos

 Asesoramiento innovador en la política de incubación.
• Asesoramiento político sobre comercialización de tecnología.
• Proporcionar consultoría al Gobierno y a las entidades públicas.

COMPONENTE 3: Fomento de oportunidad de crecer al emprendimiento

3.1. Programa de Lab Startup (Lab to Market)

• Planificación / PR / Convocatoria / Selección.

• Capacitación / mentoría / pitching final/apoyo financiero.
• Planificación conjunta / operación / análisis de desempeño.

3.2. Programa de Aceleración

• Planificación/apoyo operativo.
• Inversión en marketing/atracción de inversiones.
• Planificación conjunta/operación/análisis de rendimiento.

3.3. Sistema de asesoramiento

• Establecimiento del plan operativo/piscina de asesoramiento.

• Funcionamiento del programa.
• Consultoría para el sistema de asesoramiento de startups innovadoras.

5. Beneficiarios del proyecto

5.1 Entidades peruanas y otras organizaciones involucradas en este proyecto.

5.2 Universidades de Lima, Arequipa y La Libertad involucradas en el proyecto y Universidades
que tienen la intención de unirse y/o sean evaluadas y seleccionadas para la incubación de
nuevas startups.
5.3 Profesores y estudiantes de universidades e instituciones educativas en Lima, Arequipa y
La Libertad.
5.4 Emprendedores tecnológicos con startups basadas en TIC, empresas basadas en TIC,
directivos y funcionarios de incubadoras.

6. Presupuesto del proyecto y programación

6.1 LAS PARTESconvienen en precisar que tanto la celebración como la ejecución del presente
Registro de Discusiones no generará transferencias de recursos financieros de ninguna índole,
sino la colaboración eficaz que contribuya al cumplimiento de sus fines.
6.2 KOICA se compromete a proporcionar una contribución no reembolsable hasta un monto
máximo de USO $8,000,000.00, (ocho millones y 00/100 dólares americanos) monto que
incluye la valorización correspondiente de equipos que serán donados por KOICA para la
implementación del proyecto, de acuerdo con su normativa vigente, la misma que
gestionará de manera directa con los beneficiarios. Dicha contribución no implica
transferencia presupuestal a favor de ONCYTEC.

6.3 En el caso de los compromisos que irroguen gastos monetarios estos serán ejecutados siempre
y cuando se cuente con el presupuesto disponible por LAS PARTES,para lo cual previo a su
ejecución el Comité Directivo deberá contar con la opinión favorable sobre la disponibilidad
presupuestal de la PARTEa cargo de la actividad a desarrollar. En caso que no se cuente con
ello la actividad no se podrá desarrollar hasta que se cuente con el financiamiento respectivo
sin ser responsabilidad de ninguna de LAS PARTES.
6.4 CONCYTEC gestionará los procedimientos adecuados para la ejecución de acciones a su
cargo de conformidad con la normativa presupuestal vigente.
6.5 La Matriz de Diseño de Proyectos y el calendario general de ejecución del proyecto forman
parte del presente documento como Anexo 1 y Anexo 2, respectivamente. Los detalles se
decidirán posteriormente, previa consulta y de mutuo acuerdo entre las partes.

7. Organismos ejecutores

7.1 Por la parte coreana: KOICA.

7.2. Por el lado peruano: CONCYTEC.

8. Comités de Coordinación

Se conformará un Comité Directivo a fin de monitorear, coordinar y tomar decisiones respecto a la

implementación de las actividades del proyecto, y estará conformado por las siguientes autoridades:

En representación de KOICA: Director de KOICA, o su representante.

En representación de APCI: Director Ejecutivo, o su representante.
En representación de CONCYTEC:Presidenta, o su representante.

Asimismo, se conformará un Comité Técnico que estará integrado por representantes que
designen las Partes y se encargará del seguimiento de las actividades realizadas en el marco del
proyecto, así como de coordinar actividades conjuntas a nivel técnico y asegurar la
disponibilidad e intercambio de información.

Los miembros del Comité Directivo y del Comité Técnico podrán ser designados y sustituidos por
cada Parte y serán informados por escrito entre ellas.

111.RESPONSABILIDADES DE LAS PARTES

1. KOICA

• Designar un/una representante para el Comité Directivo del Proyecto y el Comité Técnico
del Proyecto.
• Implementar el proyecto de acuerdo a los componentes del proyecto y el Calendario
General, Anexo 2, manteniendo las directrices y la limitación presupuestaria de KOICA.
• Designar a la empresa consultora a cargo de la administración de los recursos del proyecto.
• Brindar consultoría en el marco del proyecto a fin de colaborar con el establecimiento de
una política de innovación competent al Gobierno y a las entidades públicas para sostener
y promover el ecosistema de startups n Perú.

• Apoyar a CONCYTEC en las actividades de diseño y realización del programa de puesta en
marcha de acuerdo con las directrices, y dentro de las limitaciones presupuestarias
establecidas en la Cláusula 11,sección 6 .
• Seleccionar 6 universidades (nodos y sitios) en Lima y Arequipa para empezar con la
ejecución del proyecto en el 2020, basado en un criterio desarrollado por los expertos de la
empresa consultora contratada por KOICA y aprobada por el equipo técnico de CONCYTEC.
• Desde 2021, seleccionar el resto de las universidades que participaran en el proyecto,
mediante un proceso y en consulta con CONCYTEC, para la implementación del proyecto.
• Apoyar a las Universidades para operar programas de startup, capacitaciones, eventos
abiertos, proporcionar espacios para el proyecto y expertos, y ampliar las redes de startups
en las regiones con acuerdos separados. Las universidades designadas estarán abiertas a
otras universidades y/o público en general para que los resultados del proyecto puedan ser
utilizados por más entidades.
• Cofinanciar el proyecto, de ser el caso, en consonancia con los estándares de calidad del
Sistema Nacional de Ciencia, Tecnología e Innovación Tecnológica (SINACYT) organizado por
CONCYTEC, de acuerdo a la necesidad y a través de la consulta mutua.
Proveer una inducción al equipo de sistemas de CONCYTEC, acerca del código fuente de
la plataforma a implementarse como parte del componente 1.3.3. Así mismo, Koica
brindara la inducción y entregará la documentación así como el código fuente completo para
el uso y mantenimiento por el CONCYTEC.
• Proveer la documentación para gestionar la devolución del Impuesto General a las Ventas
(IGV) y del Impuesto de Promoción Municipal (IPM), según lo prevé la legislación peruana
aplicable relativa a la devolución de impuestos pagados en las compras de bienes y servicios
efectuadas con financiación de donación y cooperación técnica no reembolsable.
Gestionar con la debida anticipación la adscripción de expertos ante la APCI.
• El suministro de equipos al que se hace referencia en el Componente 1.3 del presente Acuerdo,
serán donados directamente por KOICA a las universidades seleccionadas a través de la
suscripción de los Acuerdos Específicos correspondientes.

2. CONCVTEC

De acuerdo con la legislación vigente en la República del Perú, y considerando el marco de sus
competencias, CONCYTEC asumirá las siguientes medidas para la implementación exitosa del
proyecto:

A. Medidas administrativas generales

• Llevar a cabo los procedimientos necesarios y cumplir con los procedimientos respectivos
con las autoridades pertinentes para asegurar la correcta implementación y sostenibilidad
del Proyecto.
• Designar un/una representante para el Comité Directivo del Proyecto y el Comité Técnico.
• Llevar a cabo la coordinación necesaria con otros sectores y entidades gubernamentales que
están indirectamente involucrados con el proyecto.
• Coordinar y cooperar activamente con la Empresa Consultora (Profesionales de Consultoría
e Implementación de Proyectos) selecci ada por KOICA responsable de la implementación
del proyecto.

• Encargar a la Sub Dirección de Innovación y Transferencia Tecnológica (SDITI) del CONCYTEC
que trabaje en el proyecto, unidad orgánica que cuenta con el perfil necesario para la
ejecución del proyecto y que coordine directamente con la Empresa Consultora contratada
por KOICA. CONCYTEC garantizará la permanencia activa de la unidad de trabajo durante
todo el período de ejecución del proyecto. La SDITI designará recursos humanos para la
ejecución del convenio en lo que respecta a la coordinación de actividades operativas y
siempre en relación a la disponibilidad presupuestal de la institución .
• Alojar, operar y administrar la plataforma que será construida por el equipo coreano y
entregada a CONCYTEC como parte del componente 1.3.3., así como resolver cualquier
problema o inconveniente que esta pueda presentar.
• Asegurar el correcto uso y sostenibilidad de la plataforma, aún incluso después de
terminado el proyecto.
Establecer las alianzas necesarias de cooperación con las instituciones vinculadas al
proyecto para asegurar la sostenibilidad, continuidad y adecuado desarrollo del proceso de
integración y articulación de actividades.
• Tratar de establecer líneas de acción de innovación relacionada para mantener los
productos y resultados del Proyecto.
• Hacer un esfuerzo para conectar los resultados de este proyecto a otro programa
gubernamental para la promoción de la puesta en marcha.
Hacer un esfuerzo por promover se elaboren leyes como la Ley de Promoción de la
Innovación para promover la comercialización de la tecnología y los startups de alta
tecnología.
• Recomendar las universidades de (Noreste o Loreto/San Martín o región amazónica) como
Sitios del Cuerpo de Innovación y proporcionar programas de fortalecimiento de
ca pacidades basados en la cooperación entre 3 Nodos de Lima, Arequipa y La Libertad.
• Apoyar la difusión de programas de inicio de laboratorio a otras universidades a través de
los centros de innovación de universidades seleccionadas.

B. Medidas para la cofinanciación de instrumentos de política (fondos competitivos)

• Desarrollar los programas establecidos en este documento en coordinación con las

instituciones pertinentes con el apoyo de expertos de KOICA estableciendo los niveles de
cofinanciación que serán necesarios para los beneficiarios finales (universidades,
incubadoras, aceleradoras, etc.)
• Todas las subvenciones concedidas en virtud del presente documento podrán exigir
contrapartidas de los beneficiarios. CONCYTEC ayudara a definir los niveles de
cofinanciación, los cuales se definirán en los acuerdos específicos.
• Proporcionar a KOICA la información necesaria para la evaluación del progreso de las
actividades siempre y cuando CONCYTEC haya tenido acceso a la misma.

C. Medidas sobre los equipos suministrados por KOICA

• Informar a KOICA sobre la ubicación de los equipos para los laboratorios (laboratorio 10T y
Laboratorio Móvil) en la universidad, siempre que dicha autorización este establecida en los
acuerdos que suscriba KOICA con las un' ersidades y se permita a CONCYTEC efectuar la
verificación.

 • Supervisar el uso exclusivo de los equipos para los proyectos en las universidades para lo cual
KOICA establecerá dicha autorización en los acuerdos que suscriba con ellos.
• El CONCYTECdesarrollara informes que puedan publicarse y comunicarse al SINACYT, en base a
la información suministrada por las universidades y KOICA, para establecer una estrategia de
promoción de los servicios tecnológicos y tecnologías desarrolladas en el proyecto, así como el
portafolio de equipos y laboratorios disponibles para investigación; este proceso durara por 3
años posteriores a la finalización del Proyecto con KOICA.
• El CONCYTECdará soporte a la región Arequipa u otra que la requiera para poder facilitar el uso
del Canon y de otros fondos regionales, de ser requerido por las Universidades o de contar con
dichos fondos; con el objetivo de permitir el mantenimiento y mejora de los equipos; así como
potenciar el desarrollo de las líneas de investigación desarrolladas durante el proyecto con KOICA.

Tomar las medidas apropiadas y necesarias, con respecto a la seguridad de expertos coreanos e
invitados a tiempo completo en la sede de CONCYTECy/o en las universidades elegidas, con el
fin de proporcionar la asistencia necesaria en caso de emergencia durante el desarrollo de las
actividades del proyecto en Perú en las sedes de CONCYTEC.
• Proporcionar la información necesaria como informes, datos, estadísticas y documentos, entre
otros que los expertos coreanos puedan requerir para la ejecución del trabajo y las actividades
del proyecto, en tanto se encuentre en posesión de CONCYTEC.
• Proporcionar el apoyo necesario para la protección del personal coreano contra cualquier acción
discriminatoria o mala conducta contra su integridad y seguridad durante las actividades
relacionadas con el proyecto en las oficinas de CONCYTEC,excepto aquellas que resulten una
mala conducta intencional o negligencia del personal coreano.
• Proveer el plan de trabajo de los expertos que trabajaran en las oficinas de CONCYTEC,un mes

:.iJ~!,,:'",:a.C::~li. Supervisar que las entidades relevantes designen profesionales calificados que cumplan con los
...:...::::,;:...... perfiles previamente establecidos, y recomendar a KOICA los participantes para el
entrenamiento hasta un mes antes de la implementación del programa.
• Cooperar con la supervisión que los beneficiarios repliquen y difundan los conocimientos
proporcionados por KOICA para el desarrollo de actividades relacionadas con proyectos después
de su capacitación.

3. APCI

De conformidad con la legislación nacional vigente de la República del Perú y en el marco de

sus competencias, la APCI se compromete a lo siguiente:

• Designar a un/una representante para el Comité Directivo y Comité Técnico del Proyecto.
• Velar por la adecuada implementación del Proyecto.
• Facilitar el diálogo entre las Partes en caso de discrepancias o incumplimiento de los
compromisos de las mismas, con el fi de colaborar con la correcta implementación y
sostenibilidad del Proyecto.

• Proveer soporte administrativo y colaborar con las entidades respectivas en los procedimientos
y gestiones necesarios con la finalidad de obtener los beneficios tributarios que correspondan
(Vgr. devoluciones de IGV e IPM) conforme a la legislación nacional en la materia.
• Colaborar con KOICA y CONCYTECcon los procedimientos que correspondan; para garantizar la
adecuada estancia del personal coreano (expertos, entre otros) en el Perú durante la ejecución
del proyecto y sus actividades conexas.

IV. VIGENCIA

El presente Registro de Discusiones surtirá efectos a partir de la Firma de las Partes y permanecerá
vigente hasta que se completen todas las obligaciones a cargo de las mismas.

V. ACUERDOS ESPECíFICOS

Además, con el fin de promover las actividades necesarias para alcanzar los objetivos del proyecto,
cualquiera de las partes podrá establecer suscribir acuerdos específicos con socios pertinentes
como universidades, sobre el mutuo acuerdo de las Partes. CONCYTECapoyará activamente en la
ejecución y la implementación de estos objetivos. Estos acuerdos por ejemplo tendrán en
consideración como uno de sus puntos la asignación de fondos, la administración de equipos o la
recepción de donaciones, así como otras acciones que contribuyan a la implementación de los
objetivos del presente Acuerdo.

VI. MONITOREO y EVALUACiÓN

Un equipo conjunto designado por las partes será responsable de la evaluación del proyecto.
De acuerdo con los resultados de dicha evaluación, las Partes adoptarán las medidas necesarias
de conformidad con la consulta mutua.

1. Las partes investigarán y seleccionarán los indicadores de impacto y resultados que

permitirán la gestión y el seguimiento eficientes de los proyectos.
2. Las partes llevarán a cabo dos (2) evaluaciones; evaluaciones intermedia y final del proyecto.
3. CONCYTEC será responsable de monitorear los resultados del proyecto, una vez
completado.
4. CONCYTEC continuará recopilando información sobre los indicadores del proyecto que se
determinará más adelante, de mutuo acuerdo de las partes, durante al menos tres (3) años
después de la finalización del proyecto.

VII. PROTOCOLO COVID 19 y SUS ACTIVIDADES EXTENDIDAS

Debido a la emergencia sanitaria mundial, todas las actividades del proyecto deben realizarse
en estricto cumplimiento de los protocolos de seguridad sanitaria que resulte aplicable,
establecidos por las autoridades peruanas competentes. En este sentido, algunos componentes
podrían ejecutarse de manera online (virtualmente) si se considera necesario debido a razones
de salud, para mantener el calendario o si esto sería mejor para la ejecución del proyecto

Asimismo, las partes acuerdan acelerar las actividades de cooperación para contribuir a las
respuestas al COVID19, aprovechando los recursos técnicos y financieros adquiridos del
proyecto como la celebración de cursos especiales para la respuesta, actividades en Lab,
programa de estadística y Programa de Aceleración. Así como, cooperar con el Instituto
Nacional de Salud en Perú u otras entidades para la respuesta a la pandemia, que serán
definidos bajo consulta mutua para programas de inicio de laboratorio.

VIII. PROMOCiÓN DEL CONOCIMIENTO Y APOYO AL PROYECTO

1. Con la promoción del Proyecto y sus actividades, CONCYTECtomará las medidas necesarias
para dar a conocer el proyecto entre los ciudadanos de la República del Perú.

2. Las Partes celebrarán una ceremonia oficial que represente la finalización del proyecto.
Mayores detalles serán decididos de mutuo acuerdo entre las Partes.

IX. PROMOCiÓN DE LA COOPERACiÓN TRIANGULAR

Las partes podrán fomentar la cooperación triangular, para la difusión de los resultados
exitosos que deriven del presente proyecto con los países de América Latina. Para lo cual
acordaran las acciones para la cooperación técnica y el presupuesto a destinar bajo consulta
mutua entre las partes.

X. MODIFICACiÓN Y SOLUCiÓN DE DIFERENCIAS

Las Partes acuerdan que cualquier modificación del presente documento se realizará mediante
acuerdo escrito entre las mismas a través de Adendas.

Las Partes convienen que cualquier diferencia que se suscite en la interpretación y/o
implementación del proyecto será resuelto mediante de común acuerdo entre las mismas. En
caso de retraso o incumplimiento por cualquiera de las Partes, la Parte que alegue este retraso
o incumplimiento, notificará a la otra Parte a fin de realizar la consulta correspondiente para
lograr una solución satisfactoria para ambas Partes. Si no se acuerda una solución satisfactoria
entre las Partes, será posible proceder con la terminación del Proyecto.

XI. TERMINACiÓN DEL REGISTRO DE DISCUSIONES

Si no se alcanza una solución satisfactoria entre las partes en la aplicación de este acuerdo
como se menciona en la cláusula X, las partes podrán dar por terminado el acuerdo, mediante

una comunicación escrita no inferior a 3 meses antes de la fecha prevista de su resolución, por
las siguientes razones:

A. Incumplimiento injustificado de las responsabilidades establecidas en este acuerdo por

cualquiera de las Partes. Para ello, se requerirá que no exista subsanación de las omisiones
incurridas dentro del plazo que se otorgue.
B. Si el proyecto se paraliza de manera injustificada por un periodo mayor a 6 meses.
C. Por devenir imposible su objeto o compromisos por razones de caso fortuito o fuerza mayor
debidamente sustentadas. En este caso, la parte que incumple quedará exenta de cualquier
responsabilidad. La resolución surtirá plenos efectos en la fecha que cualquiera de las Partes lo
comunique por escrito a la otra.
D. De mutuo acuerdo por las Partes para lo cual suscribirán un Acta dándolo por terminado.

XII. PROTOCOLO DE COMUNICACiÓN

Las notificaciones previstas en virtud del presente Registro de Discusiones, y en particular

aquellas que tengan por objeto su modificación, interpretación o comunicaciones relativas a la
ejecución de sus componentes técnicos, deberán ser dirigidas:

A efectos de asegurar la ejecución del proyecto toda comunicación debe ser respondida en un
plazo no mayor de 2 semanas, contados desde la recepción del proyecto. El principal medio de
comunicación deben ser documentos oficiales.

The following document establish the "Record of Discussions" for the Korean party, and
"Interinstitutional Agreement" for the Peruvian party, in accordance with the nationallegislation of
each Party, which includes the Terms of Reference of the Project, signed by and between the Korea
International Cooperation Agency of the Republic of Korea (hereinafter referred as "KOICA"), the
Peruvian Agency for International Cooperation (hereinafter "APCI"), and the National Council of
Science, Technology and Technological Innovation of Peru (hereinafter "CONCYTEC") and
hereinafter collectively referred to as "the Parties", under the following "Terms of Reference":

As a result of mutual work and consultation, the Parties held coordination meetings to define the
Project Terms of Reference and its Annexes and to specify the responsibilities the Parties would
assume; which are part of this Record of Discussions.

The Parties acknowledge that the present Record of Discussions is in the framework of the "Basic
Agreement on Economic, Scientific and Technical Cooperation between the Government of the
Republic of Peru and the Government of the Republic of Korea", signed in Lima on 18 December
1981.

The Parties declare that this document subscribes within the framework of their functional
competences, is interpreted and enforced in accordance with their respective national laws and
does not crea te internationallegal obligations for the Republic of Peru or the Republic of Korea.

Subscribed in the city of Lima, Republic of Peru, on the 11th of december 2020 by the
representatives of each Party, in three (3) copies in Spanish and English, being the texts equally
valid. In the event of any divergence, the English version shall prevail.

Ouring the execution of this project some difficulties to proceed with the project appeared for the
continuity of the project and through a series of consultation between the relevant agencies and
feasibility visits of Korean experts. KOICA, CONCYTECand APCI analyzed the sustainability of the
project and concluded that the original project plan and structure needed to be modified according
to the actual situation and be expanded to Lima and La Libertad Regions that allows the impact of
the project to be wider and to increase the number of beneficiaries. In order to do this and due to
the lack of support of one of the Parties the previous ROwas officially terminated by KOICA with a
communicate sent to APCI and then APCI sent a notification to the other Parties to announce the
previous ROwas officially terminated.

In this sense, it was determined that the project components should also be changed to contribute
to establish public infrastructure at the national level, strengthening the capacity of startups ICT
y based, including lab ventures of universities, and encouraging opportunities to grow

11.SCOPE OF THE PROJECT

1. Title: "Project for Invigorating ICT based Innovation-and Entrepreneurship"

2. General Objective: To invigorate ICT research-based innovation and entrepreneurship and the
competitiveness in Lima, Arequipa and La Libertad through improving Innovation Capacity and its
System in Peru.

3. Period: It is expected that the Project will be executed in a period of five (5) years, starting
after the signature of this documento

4. Components of the project: The project will have national impact with emphasis in the
regions of Lima, Arequipa and La Libertad.

6, Project budget and Schedule

6.1. The Parties agree that the Record of Oiscussion does not impose any responsibility of
transferring financial resources, of any kind, it is aiming at promoting effective
collaboration to achieve purpose of the Project.
6.2. KOICA will provide a non-reimbursable contribution (donation) no higher than USO
$8,000,000.00, (eight million and 00/100 dollars) for the implementation of the project,
amount that ineludes the cost of the equipment that will be donated for the project
implementation in accordance with its current regulations, it will be managed directly with
the beneficiaries. The contribution does not imply any budget transference directly to
CONCYTEC.
6.3. In the case of commitments that cause monetary expenses these will be implemented as
long as there is budget available by the Parties, for which prior to its implementation the
High Level Committee must have a favorable opinion on the budgetary availability of the
PARTYin charge of the activity to be carried out. In the event that this is not available, the
activity may not be carried out until the re ective funding is available, without being this

 responsibility of either PARTY.
6.4. CONCYTECwill manage the appropriate procedures for the execution of actions at its expense
in accordance with its current budget regulations.
6.5. The Project Design Matrix and the general schedule for project implementation is part of
this document as Annex 1 and Annex 2, respectively. The details shall be decided later,
subject to prior consultation and by mutual agreement between the Parties.

7. Executing agencies

7.1. On behalf of the Korean side: KOICA

8. Coordination Committee

A High Level Committee will be formed to monitor, coordinate and make decisions regarding
the implementation of project activities, and will consist of the following authorities:

On behalf of KOICA: Director of KOICA, or its representative

On behalf of APCI: Executive Director, or its representative
On behalf of CONCYTEC:President, or its representative

A Technical Committee will also be formed and composed of representatives appointed by the
Parties and will be responsible for monitoring project activities within the framework of the
projeet, as well as coordinating joint activities at the technicallevel and ensuring the availability
and exchange of information.

The members of the High Level Committee and the Technical Committee may be appointed
and replaced by each Party and shall be informed in writing between them.

111. UNDERTAKINGS OF THE PARTIES

1. KOICA

• Appoint a representative to the Projeet High Level Committee and the Project Technical
Committee.
• Implement the project followed by components of the project and the General schedule as
Annex 2 keeping guidelines and budget Iimitation of KOICA.
• Appoint the consulting company in charge of managing project resources
• Provide consulting within the project framework to collaborate with the establishment of a
competent innovation policy to the Government and public entities to sustain and promote
startup eco system in Peru.
• Support CONCYTECin the activities to design and conduct startup program in accordance with
the guidelines, and within the budgetary constraints set out in Clause 11, section 6.
• Seleet 6 universities (nodes and sites) in Lima and Arequipa to start the execution of the
project in 2020, based on a criterion made by the experts from the consulting company hired
by KOICA and approved by CONCYTECteeh ical team.

• Since 2021, select the rest of the universities that will participate in the project, through a
process in consultation with CONCYTEC,for the implementation of the project.
• Support the Universities to operate startup programs, trainings, open events, provide spaces
for the project and experts, and enlarge startup networks in the regions with separated
agreements. The designated universities would be opened to other universities and/or
general public so that the Project output could be utilized by more entities.
• Co-finance the project, if needed, in alignment with the quality standards of the National System
of Science, Technology and Technological Innovation (SINACYT) arranged by CONCYTEC,
according to the necessary and through the mutual consultation.
• Provide a training to CONCYTEC system team about the source code of the platform that will be
implemented as part of component 1.3.3. Moreover, KOICAnot only be in charge of training but
also will deliver the documentation and the complete source code for use and maintenance by
CONCYTEC.
• Provide the documentation to manage the refund of the General Sales Tax (IGV) and the
Municipal Promotion Tax (IPM), according to Peruvian legislation regarding the refund of taxes
paid on purchases of goods and services made with grant financing and non-reimbursable
technical cooperation.
• Manage with due anticipation the appointment of experts to the APCI.
• The supply of equipment referred to in Component 1.3 ofthis Agreement will be donated directly
by KOICA to the selected universities through the signing of the corresponding Specific
Agreements.

2. CONCYTEC

In accordance with the legislation in force in the Republic of Peru, and considering the
framework of CONCYTEC'scompetences, CONCYTECwill assume the following measures for
the successful implementation of the project:

A. General Administrative Measures

Carry out the necessary procedures and comply with the respective procedures with the
relevant authorities to ensure the correct implementation and sustainability of the Project.
Appoint a representative to the Project High Level Committee and the Technical Committee.
• Carry out the necessary coordination with other sectors and governmental entities that are
indirectly involved with the project.
• Coordinate and cooperate actively with the Consulting Company (Project consulting and
implementation professionals) selected by KOICA responsible for the implementation of the
project.
• Appoint the Sub Direction of Innovation and Technological Transference (SDITI) in
CONCYTECthat will work in the project, that match the profile needed for the execution of
the project and that will coordinate directly with the Consulting Company hired by KOICA.
CONCYTECwill ensure the active permanence of the Task Team throughout the project

B. Measures for the co-financing of policy instruments (competitive funds)

• Develop the programs established in this document in coordination with relevant

institutions with the support of KOICA experts by establishing the levels of co-financing that
will be required for the final beneficiaries (universities, incubators, accelerators etc.)
• AII subsidies granted under this document may require undertakings from the beneficiaries.
CONCYTECwill help to define the Co-financing levels the specific agreements.
• Provide KOICAthe information required for the evaluation of the activities progress, as long
as CONCYTEChave had access to this information.

Inform KOICA about the location of equipment for laboratories (IOT laboratory and Mobile
Laboratory) at universities, after being authorized by the related universities based on the
separated agreements which will be signed by KOICAand the universities.

use of the Canon and other regional funds, if required by universities or to have such funds; with
the aim of enabling the maintenance and improvement of equipment; as well as enhance the
development of the research Iines developed du ing the project with KOICA.

 D. Measures for the sta y of Korean experts and guests.

• Make the appropriate and necessary arrangements, regarding the safety of Korean experts and
full-time guests at CONCYTECheadquarters and/or at the universities chosen, in order to provide
the necessary assistance in case of emergency during the development of project activities in
Peru in the offices of CONCYTEC.
• Provide the necessary information such as reports, data, statistics and documents, among others
that Korean experts may require for the execution of work and activities of the project, as long
as CONCYTEChas access to this information.
• Provide the necessary support for the protection of the Korean staff against any discriminatory
action or misconduct against his/her integrity and security during project-related activities at
CONCYTEC'soffices, except those that prove willful misconduct or negligence on Korean staff.
• Provide the work plan for the experts that will work in CONCYTECs facilities, one month before
the arrival of the experts, for the VISA issuance.

E. Measures for the training program in Korea

• Supervise that the relevant entities designate qualified professionals who meet the previously
established prefiles, and recommend KOICA the participants of the training up to one month
prior to the implementation of the programo
• Cooperate with supervising that beneficiaries replicate and disseminate the knowledge provided
by KOICAfor the development of project-related activities after its training

3. APCI

In accordance with the current nationallegislation of the Republic of Peru and within the framework
of its competences, APCI commits to:

remain in effect until all obligations under the Parties are completed.

Additianally, in arder to promote the activities necessary to achieve the project objectives any of
the Parties can sign specific agreements with relevant partners such as universities, based on the
mutual agreement of Parties. CONCYTECwill actively support the execution and implementation
of these objectives. These agreements, for example, will take into consideration as one of their
paints the allocation of funds, the management of equipment or the receipt of donations, as well
as other actions that contribute to the implementation of the objectives of this Agreement.

1. The Parties will investigate and select the impact and outcome indicators that will enable
efficient project management and monitoring of the project.
2. The Parties will carry out two (2) evaluations; mid-term and final evaluations of the project.
3. CONCYTECwill be responsible for monitoring the results of the project, after its completion.
4. CONCYTECwill continue collecting information about the project indicators that will be
determined later, by mutual agreement of the Parties, for at least three (3) years after the
completion of the project.
5. CONCYTECwill support the evaluations of the project, designating the appropriate staff
and providing the required information for the project
6. CONCYTECwill provide official information and statistics for the evaluation of the project
indicators
7. CONCYTECwill provide a project monitoring report every six months to KOICA.

VII. COVID 19 PROTOCOL ANO IT5 EXTENDED ACTIVITIE5

Due to the global health emergency, all the activities of the project should be done in strict
compliance of health safety protocols, established by the Peruvian competent authorities. In
this regard, some components could be implemented online if it is considered necessary due
to health reasons, to keep the schedule or if this would be better for the execution of the
project

Also, the Parties agree to accelerate the cooperated activities to contribute to responses to the
COVID19, taking advantages of the technical and financial resources acquired from the
project such as holding special courses for the response, activities in Lab, stat up program and
Acceleration Programo As well as, cooperate with the National Institutes of Health in Peru or
other entities in order to give response to the pandemic, which will be defined by mutual
consultation for lab startup programs.

 VIII. KNOWLEDGE PROMOTION AND PROJECT SUPPORT

1. For the purpose of promoting the Project and its actívities, CONCYTECshall take necessary
measures to publicize the project among the citizens of the Republic of Peru.

2. The Partíes shall hold an official ceremony representing the completion of the
project. Further details may be decided by mutual agreement between the Parties.

IX. PROMOTION OF TRIANGULAR COOPERATION

The Parties will agree that any modification of this document will be made by written
agreement between them through Addendums.

The Parties agree that any difference in the interpretation and/or implementation of the
project will be resolved by mutual agreement between them. In case of delay or non-
compliance from any of the Parties, the Party that c1aimsthis delay or non-compliance, shall
notify the other Party in order to make the corresponding consultation to achieve a satisfactory
solution for both Parties. If no satisfactory solution is agreed between the Parties, it shall be
possible to terminate the Project.

XI. TERMINATION OF THE RECORD OF DISCUSSION

If no satisfactory solution is reached between the Parties in the implementation of this

agreement as mentioned in the c1auseX, the Parties may terminate the agreement, by means
of a written communicatíon no less than 3 months in advance of the scheduled date of its
