WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bound by a duty of Confidentiality
with respect to their sources and contacts. This duty is in accordance with the International Chamber of Commerce and Bogotá Chamber of Commerce.
CONSIDERANDO que el abajo firmante desea entrar en este Acuerdo a fin de definir determinados parámetros de las futuras obligaciones legales, están obligados
por un deber de confidencialidad con respecto a sus fuentes y contactos. Esta obligación está en conformidad con la Cámara de Comercio Internacional y la Cámara
de Comercio de DUITAMA.
WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto, including their affiliates,
subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (hereinafter referred to as And any kind of commercial
associative. “Affiliates”).

G. For the sale of this agreement, it does not matter whether information obtained from a natural or a legal person. The parties also undertake not to
make use of a third party to circumvent this clause.

H. That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal
monetary penalty equal to the maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all
legal costs and expenses incurred to recover the lost revenue. Without any advice or consideration

I. All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the parties in the Agreement,
relating to any and all transactions will be allocated as mutually agreed.

J. This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in All Commonwealth
Countries, European Union Countries, Canada, United kimdom, USA Courts, Colombia, Spain and Republic of South Africa, Courts or under Swiss Law
in Zurich, in the event of dispute, the arbitration laws of states will apply.
J. El presente Acuerdo es válido para todas y cada una de las transacciones entre las partes, el presente documento se regirá por la ley exigible en
todos los países de la Commonwealth, países de la Unión Europea, Canadá, reino unido, tribunales de EE.UU., y de Colombia y España y República de
Sudáfrica en virtud de la legislación Suiza en Zúrich, en caso de litigio, en el arbitraje se aplicarán las leyes de los estados aquí mencionados.
K. The signing parties hereby accept such selected jurisdiction as the exclusive venue. The duration of the Agreement shall perpetuate for one (1) years
from last date of signing.

L. The present agreement will be valid only if THE COMPANY SELLER will program and provide an official appointment in their Corporate offices, in
order to perform the Purchase Agreement with THE COMPANY BUYER, to which the present agreement refers to; if does not receive this invitation,
within this lapse of time, this agreement will be VOID and null to all legal actions and Beneficiaries named herewith irrevocably renounces to demand
indemnity by this or any other cause..
L. El presente Contrato tendrá validez solo si, LA EMPRESA VENDEDORA. Programa y emite la invitación para la cita en sus oficinas, para definir el
contrato de compra de Carbón a LA EMPRESA COMPRADORA Del que trata el presente Contrato, si no recibe esta invitación, este Contrato no tendrá
validez y se considerará nulo para todo efecto legal y los Beneficiarios en el identificados, declaran renunciar irrevocablemente a reclamar
indemnización por esta o cualquier otra causa.
2. AGREEMENT TO TERMS / 2. Acuerdo a los términos

admissible for all purposes as may be necessary under the terms of the Agreement.

EDT ( Electronic Document Transmissions )
EDT (Electronic Document Transmissions) shall be deemed valid and enforceable in respect of any provisions of this Contract. As applicable, this agreement shall be:-
Incorporate U.S. Public Law 106-229, ‘‘Electronic Signatures in Global and National Commerce Act’’ or such other applicable law conforming to the UNCITRAL Model
Law on Electronic Signatures (2001) and ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May 2000) adopted by the United Nations Centre for
Trade Facilitation and Electronic Business (UN/CEFACT). EDT documents shall be subject to European Community Directive No. 95/46/EEC, as applicable. Either
Party may request hard copy of any document that has been previously transmitted by electronic means provided however, that any such request shall in no manner
delay the parties from performing their respective obligations and duties under EDT instruments.
ESP (Transmisiones Electrónica de Documentos) se considerará válida y exigible respecto de cualquier disposición de este Contrato. En caso de ser aplicable, este
acuerdo serán los siguientes: -Incorporado a Ley Pública 106-229 de EE.UU., ''Las Firmas Electrónicas en el Comercio Mundial y la Ley Nacional'' o cualquier otra
legislación aplicable conforme a la Ley Modelo de la CNUDMI sobre las Firmas Electrónicas (2001) y - ACUERDO DE COMERCIO ELECTRÓNICO (ECE/TRADE/257,
Ginebra, Mayo de 2000), aprobada por el Centro de las Naciones Unidas para la Facilitación del Comercio y Comercio Electrónico (UN / CEFACT). ESP estos
documentos estarán sujetos a la Comunidad Europea la Directiva N º 95/46/CEE, según sea el caso. Cualquiera de las Partes podrá solicitar copia de cualquier
documento que haya sido previamente transmitido por medios electrónicos, siempre y sin embargo, que cualquier solicitud de este tipo no sea de ningún modo la
demora de las partes en el ejercicio de sus respectivas obligaciones y deberes en virtud de instrumentos ESP.

1. The aforementioned transaction involves the purchase of SEVENTY THOUSAND Metric Tons (70,000 MT) or more of Type B Coal, (SEE ATTACHED CARD)
originated in Colombian with a contract of five years or more, starting with a first shipment of (70,000 MT) and increasing in the third month to (300,000 Tm)
monthly until reaching a supply of THREE MILLION SEVEN HUNDRED FORTY THOUSAND (3,740,000 MT) or more of type B coal (see attached sheet originated in
Colombian during the months until completing sixty (60) monthly months or more. The next thing that appears is the protection of the commissions; a contract
that must be executed and consumed under the terms and conditions mutually agreed upon by the directors or agents of its mandate.
1. La mencionada transacción implica la compra de SETENTA MIL Toneladas Métricas (70.000 TM) ó más de Carbón tipo B, (VER FICHA ADJUNTA) de origen
colombiano con contrato a cinco años ó más, iniciando con un primer despacho de (70.000 TM) e incrementándose en el tercer mes a (300.000 Tm) mensuales
hasta llegar a un suministro de TRES MILLONES SETECIENTOS CUARENTA MIL (3.740.000 TM) ó más de carbón tipo B (ver ficha anexa) de origen Colombiano
durante los meses restantes hasta completar sesenta (60) meses mensuales ó más. Lo siguiente que figura es la protección de las comisiones; de un contrato que
debe ser ejecutado y consumado en los términos y condiciones mutuamente acordados por los directores o agentes de su mandato.
2 Now, therefore, we the SELLER, acting with corporate authority and responsibility, do herewith, without recourse, guarantee to pay a total Commission
Fee of TWO DOLLAR (USD 2.00) per Metric Ton of COAL TYPE B MORE DETAILS ATTACHED delivered under the terms of the transaction referenced above.
This Agreement is issued pursuant to and in acknowledgment of the BUYER responsibilities under any present contract.
2. Ahora, por lo tanto, nosotros el VENDEDOR, garantizamos y pagamos la comisión total de DOS DÓLAR de los EE.UU. (USD 2.00) por Tonelada Métrica de
carbón de tipo TERMICO tipo B. VER FICHA ADJUNTA, sin recurrir a la autoridad corporativa, entregados en virtud de los términos de la transacción arriba
mencionada. El presente Acuerdo se expide de conformidad con y en el reconocimiento de la responsabilidad del VENDEDOR en el presente contrato.
3 The SELLER further agrees that the Commission Fees stated herein are compensation for services rendered by the Intermediaries listed below, and are
irrevocable, irretrievable and unconditionally guaranteed to be paid within 2 (two) international banking days and in conjunction with the transfer of the
BUYER’s payment to the Seller via the BUYER’s Bank Payment instrument relating to each and every delivery/loading of each and every shipment of the
commodity referred to in this Agreement including any possible rollovers and extensions.
3. El VENDEDOR además del acuerdo con la Comisión, declara que las COMISIONES descritas en este documento son la compensación por los servicios
prestados por los intermediarios, que se enumeran a continuación, y son irrevocables, irremediable y garantizadas incondicionalmente a pagar
simultáneamente con el pago al vendedor dentro bancarios internacional y en conjunción con la transferencia del COMPRADOR para efectuar el pago al
vendedor a través del Banco del COMPRADOR, con los instrumentos de pago en relación con todos y cada una de las entregas o envíos de la carga o
mercancía a que se refiere el presente Acuerdo, incluida cualquier posible renovaciones y extensiones.
4 The Commission Fees are to be free of legal impediment and free of any deductions, excluding bank transfer fees and routine banking delays, for this and
all subsequent transactions with the Buyer. Payment of the Commission Fees will be made at each and every shipment until the total contract amount
between the BUYER and SELLER has been closed in full, including all subsequent contract extensions, additions, rollovers, modifications or renewals thereof.
This includes any and all other commodity the parties herein may offer each other.

4. La Comisión y tasas que sea libre de impedimento legal y libre de cualquier deducción, con excepción de las tasas de transferencia bancaria y los retrasos
de rutina bancaria, para esta y todas las transacciones con el comprador. Pago de Tasas, la Comisión se dará por todos y cada uno de los envíos o despachos
de la mercancía hasta que el importe total del contrato sea recibido por el COMPRADOR y el VENDEDOR; y el contrato sea cerrado en su totalidad, incluyendo
todas las prórrogas del contrato, adiciones, renovaciones o modificaciones del mismo. Esto incluye cualquier y todos los demás productos básicos que una de
las partes del presente documento pueden ofrecer unos a otros.
5 The SELLER agrees to execute and place a bank certified Irrevocable Bank Pay Orders (IBPO), or a Bank Assignment of Funds Agreement, in full force with
the paying bank or entity for the purpose of payment to each of the Paymasters listed below within 2 (two) international banking days from the date of the
contract being executed between the BUYER and SELLER.
5 El VENDEDOR se compromete a colocar y ejecutar un certificado bancario irrevocable, órdenes de pago bancario (IBPO), o asignar los fondos a un Banco
de común Acuerdo, en pleno acuerdo con el banco pagador o entidad encargada del pago a cada uno de los beneficiarios que figuran a continuación;
simultáneamente con el pago a los vendedores partir de la fecha en que se ejecuten los términos del contrato, entre el COMPRADOR y el VENDEDOR.
6 Failure to adopt the procedure of the before item, the Buyer agrees to provide bank trust contract, where the former guarantees the payment of the
payments and expenses inherent in the implementation of the contract and its performance, including the payment of brokers' commissions
6 En caso de no adoptar el procedimiento de la cláusula anterior el Comprador se compromete a constituir contrato bancario de fiducia, donde garantiza el
pago respecto a los pagos y gastos inherentes a la ejecución del contrato y su cumplimiento, incluyendo el pago de las comisiones de los beneficiaros como
se relacionan a continuación.
7 Fiduciary mandate In order to give effect to the purpose of this contract, once the buyer pays the Paymasters, the fiduciary will conduct the payment of the
commissions to each of the intermediaries of each group for this commercial business. The value of the commission fee to be paid to each of the
intermediaries will appear in the fee distribution chart correspondent to each group.
7 Encargo Fiduciario: En aras de darle cumplimiento al objeto de este contrato, una vez el comprador le pague al Pagador Principal el fondo fideicomitido
realizara el pago por concepto de comisiones a cada uno de los intermediarios de cada grupo de esta transacción mercantil. El valor de la comisión, que debe
ser pagado a cada uno de los intermediarios, se indica en el cuadro de distribución de comisiones correspondiente a cada grupo.

9. It is agreed that the SELLER will cause the above listed bank to issue bank certified copies of a Letter of Receipt of this Agreement to all Paymasters listed
below within TWO (2) international banking days from the execution of the SELLER’s IBPO.

todos los fondos que figuran a continuación dentro de los DOS (2) días de la banca internacional, a partir de la ejecución de la IBPO del VENDEDOR.
10. All Parties agree that they are bound by the Non-Circumvention Non-Disclosure Agreement that they have entered into with regard to the above transaction
and hereby agree that they will not circumvent, avoid, bypass or obviate each other directly or indirectly to avoid payment of commissions or fees in any
transaction pending, or in the future, for as long as a contract shall remain in force between Buyer and Seller. At no time shall either Party disclose or
otherwise reveal to any third party any confidential information, code or reference, or any such information advised to the other Party as being confidential or
privileged without the formal written permission of the other Party. In particular, Seller and Buyer agree not to circumvent Intermediaries or commissioners
with respect to any COAL TYPE B (More details attached) supplier or buyer identified by Intermediaries who may be introduced to Seller or Buyer, now or in
the future.
10. Todas las Partes convienen en que éstos estén vinculados por la no elusión acuerdo de no divulgación que han realizado con respecto a la transacción y
acuerdan que no van a eludir, evitar, unos a otros, directa o indirectamente, a fin de evitar el pago de comisiones u honorarios a la espera de cualquier

intermediarios que pueden entregarse al vendedor o comprador, ni ahora ni en el futuro.

12. The total Commission Fee is divided in to the rates entered in the Paymaster Group’s below in the name of each Paymaster who are the legal Seller’s and
Buyer’s Agent for the disbursement of the amount due to each Intermediary Payee in the Paymaster’s “INTERMEDIARY GROUPS” listed below, based on their

individual Commission Fee rate, which is multiplied by the number of MT of product delivered for each shipment. The BUYER’s Bank under a standing,
Irrevocable and Confirmed Banker’s Pay Order or Bank Assignment of Funds Agreement, shall immediately and automatically disburse to each Intermediary
Payee each Commission Fee payment. The value of the commission fee to be paid to each of the intermediaries, will appear in the Intermediary fee distribution
chart correspondent to each group.
12. El total del valor de las comisiones se divide en dos grupos, y las comisiones que sean recibidas por cada Pagador del Grupo, serán transferidas a nombre de
cada Pagador, quien es el Agente legal del COMPRADOR, para el desembolso de la cantidad adeudada a cada intermediario beneficiario, que a continuación se
enumeran. Sobre la base de sus tasas de comisión, que se multiplica por el número de toneladas métricas de producto entregado por cada envío. El Banco del
COMPRADOR en virtud de una permanente, irrevocable y confirmada orden de pago bancaria, asignará Fondos al banco del Acuerdo, el cual inmediatamente y
automáticamente deberá desembolsar a cada intermediario beneficiario de cada Comisión el pago correspondiente. El valor de la comisión, que debe ser pagado
a cada uno de los intermediarios, aparecen el cuadro de distribución de comisiones para Intermediarios dé cada grupo.
13. The present agreement will be valid only if THE COMPANY SELLER will program and provide an official appointment in their Corporate offices, in order to
perform the Purchase Agreement with THE COMPANY BUYER to which the present agreement refers to, within a maximum time lapse of 30 habit continuous
calendar days of the legalization of this agreement with the notary; if said invitation is not received within this lapse of time, this agreement will be VOID and
null to all legal actions and Beneficiaries named herewith irrevocably renounces to demand indemnity by this or any other cause.

ENERGY GROUP S.A.S Y XXXXX y deberá incluir las posibles prórrogas, ampliaciones, renovaciones, adiciones o cualquier nuevo contrato de transferencia que de
cualquier forma se origine a partir de esta transacción, o de los intermediarios nombrados, así se cambien los códigos del contrato inicial celebrado entre el
comprador y vendedor.
This master fee protection agreement and any subsequently issued pay orders shall be assignable, transferable and divisible and shall not be amended without
the express written and notarized consent of the receiving beneficiary. All parties agree neither to circumvent nor to attempt circumvent either for the
transaction of this current contract or in the future for a period three (3) years from the date of the execution of this fee protection agreement. This document
binds all parties, their employees, associates, transferees and assignees or designees.
Esta tasa, de acuerdo maestro de protección y cualquier orden de pago publicado posteriormente se incluirán, transferible y divisible y no podrá ser modificado
sin el consentimiento expreso y por escrito ante notario; el consentimiento de los beneficiarios que reciben. Todas las partes están de acuerdo ni para eludir ni
intentar eludir ya sea para la operación actual de este contrato o en el futuro para un período tres (3) años y sus extensiones a partir de la fecha de la ejecución

signed and in any number of counterparts all of which shall be taken together and shall constitute as being one and the same instrument.

Any party may enter into this document and the agreement constituted thereby by signing any counterpart any time, date or period mentioned in any provision
of this document shall only be amended by agreement in writing and signed off by all parties concerned.

Furthermore, we agree that any and all commissions due shall be paid to the beneficiary as a result of any extension or rolls of the contract and that we shall
effect all necessary documentation with our bank without any undue delays to ensure such commissions and paid within the terms of the agreement.
Por otra parte, estamos de acuerdo en que cualquier y todas las comisiones se abonarán al beneficiario como consecuencia de la ampliación o rollos de contrato y
que vamos a efecto toda la documentación necesaria con nuestro banco sin demoras indebidas para garantizar las comisiones y pagado dentro de los términos

The illegality, invalidity and non-enforceable provision of this document under the laws of any jurisdiction shall not affect its illegality, validity or enforceability

the parties and the rules of the IAC shall apply.
Todas las partes acuerdan remitir las controversias entre las partes que se deriven de o en conexión con este acuerdo que incluya alguna pregunta con respecto a
su existencia, validez o terminación de normas de arbitraje de la CAMARA DE COMERCIO DE BOGOTA. El árbitro designado celebrará el procedimiento en
cualquier país elegido por las partes y las normas de la IAC se aplicarán y fallará en derecho.

This document constitutes a guaranteed, irrevocable, unconditional and not retractable Payment order issued to the beneficiaries named herein, given with full
corporate responsibility, by which I hereby instruct my bank as specified herein, to simultaneously pay, without any protest and/or delay, upon the closing of
each and every transaction, until the transaction under the above entered codes is totally completed including any and all rollovers and extensions, the
compensation to the beneficiaries' bank accounts, as stipulated herein.
Este documento constituye una garantía, irrevocable, incondicional y no retractable de la orden de pago a los beneficiarios que se citan a continuación, dada con
plena responsabilidad de las empresas, por la que tengo el honor de instruir a mi banco, tal como se especifica en este documento, a pagar al mismo tiempo, sin
ningún tipo de protesta y / o el retraso, a la clausura de todas y cada transacción, hasta que la operación en virtud de lo anterior entró códigos es totalmente
terminado incluyendo cualquier y todas las renovaciones y ampliaciones, la indemnización a los beneficiarios de cuentas bancarias, conforme a lo estipulado en
