CONTRATO DE LICENCIA DE USO Y
SERVICIO AUDAPLUS
En Santiago de Chile, a ____ de ______ de
2010_entre, AUDATEX NORTH AMERICA
INC., en adelante el “PROVEEDOR”, representada
según se acreditará por don XXXXXXXXXX,
ambos domiciliados para estos efectos en
____________, Estados Unidos de Norteamérica,
por una parte y, por la otra
-----------------------------------------------------------, en
adelante “EL CLIENTE”, RUT N°
________________, representada según se acreditará
por don _______________________, cédula de.
Identidad Nº ________, ambos domiciliados en
______________________, se ha convenido el
siguiente contrato de prestación de servicios (el
“Contrato”):
PRIMERA. OBJETO DEL CONTRATO.
En este acto y por el presente instrumento, el
PROVEEDOR, representado en la forma indicada
en la comparecencia, otorga al CLIENTE, por quien
acepta su mandatario compareciente, la licencia de
uso, personal, no exclusivo e intransferible, del
programa [especificar para cada caso],de cómputo
AUDAPLUS, en adelante también el “Sistema
AUDAPLUS” o el “Sistema”, que podrá utilizar,
durante la vigencia del presente Contrato, única y
exclusivamente para valorizar los daños en
automóviles.
El PROVEEDOR se obliga a entregar al CLIENTE,
quien acepta en este acto, todos y cada uno de los
servicios que se describen en el presente Contrato, y
a cumplir con sus demás obligaciones bajo el
presente Contrato de manera profesional, diligente y
técnicamente satisfactoria.
Por su parte, el CLIENTE se obliga a pagar al
PROVEEDOR el precio convenido, en la forma y
términos acordados en el presente Contrato, y a
cumplir diligente y profesionalmente con los
requerimientos de información, disponibilidad y
documentación que sean procedentes, conforme a los
términos del presente Contrato y en los plazos
requeridos para cumplir con las distintas etapas del
proceso.
SEGUNDA: CAPACITACIÖN.
El CLIENTE deberá asegurar que todos y cada uno
de sus empleados y colaboradores contratados para
utilizar el Sistema, reciban del PROVEEDOR la
capacitación mínima suficiente, de acuerdo al
número de instalaciones que se realicen y previo a la
instalación del Sistema.
TERCERA.- INFORMACIÓN CONTENIDA EN
AUDAPLUS END USER LICENSE AND
SERVICES AGREEMENT
This End User License and Services Agreement
(the “Agreement”) is entered into in Santiago de
Chile on this ____ of _____, ______ by and
between, AUDATEX NORTH AMERICA INC.,
hereinafter referred to as “SUPPLIER”
represented as evidenced herein, by Mr.
XXXXXXXXXXXXX both domiciled for these
purposes in ____________, United States of
America on the one part and on the other part
________________________________, hereinafter
referred to as “CLIENT” Tax Payer ID (RUT) N°
_______________, represented as evidenced
herein by Mr. ____________________ national
identity card number _____________. both
domiciled in ____________.
FIRST. PURPOSE.
SUPPLIER, represented as set forth above,
hereby grants CLIENT, and CLIENT accepts,
through its appearing agent, from SUPPLIER,
the non-exclusive and non-transferable end user
license for the software AUDAPLUS[ ],
hereinafter also referred to as “AUDAPLUS
System” or the “System”, which it may use,
during the term hereof, only and exclusively for
the purposes of assessing the damage caused to
automobiles.
SUPPLIER hereby undertakes to deliver to
CLIENT, and CLIENT hereby ACCEPTS from
SUPPLIER, each and all of the services described
herein, and to comply with all its other
obligations under this Agreement in a
professional, diligently and technically
satisfactory manner.
In turn, CLIENT undertakes to pay SUPPLIER
the agreed price, in the form and pursuant to the
terms agreed hereunder, and to diligently and
professionally comply with all appropriate
requirements regarding information, availability
and documentation pursuant to the terms of this
Agreement and within the terms required to
comply with the different stages of the process.
SECOND: TRAINING.
CLIENT shall ensure that each and all of its
employees and hired staff, in order to use the
System, receive from SUPPLIER a minimum
sufficient training, according to the number of
installations to be performed and prior to the
installation of the System.
THIRD.- INFORMATION CONTAINED IN

EL SISTEMA.
El Cliente reconoce y acepta que :
(i) los contenidos del Sistema (la “Información”)
están basados en la información recibida de terceros,
en particular pero no limitadamente, de fabricantes y
compañías de seguros y que dicha Información es
recopilada por el PROVEEDOR y por Audatex
GmbH..
(ii) No es obligación ni responsabilidad del
PROVEEDOR verificar la Información del Sistema.
(iii) La Información es proporcionada “as is” y que el
PROVEEDOR no será, en ningún caso, responsable
de la autenticidad del contenido de la Información
CUARTA.- ACTUALIZACIÓN DE LA
INFORMACIÓN.
EL PROVEEDOR actualizará periódicamente la
base de datos del Sistema, con las marcas y modelos
de automóviles, las partes que los componen, las
referencias de precios y tiempos de trabajo editados
por sus fabricantes, mediante:
(i) Entrega mensual vía dispositivo magnético y/o
internet.
(ii) Conexión semanal y el último día de cada mes, al
servidor del PROVEEDOR vía Internet.
En el evento que el CLIENTE no actualice el
Sistema AUDAPLUS, éste quedará suspendido hasta
su actualización, para evitar que el Sistema entregue
información no actualizada. El CLIENTE será el
único y exclusivo responsable por todos los daños y
perjuicios que pudiere causar a terceros como
consecuencia de la no actualización del Sistema.
QUINTA.- OBLIGACIONES DEL CLIENTE.
Son obligaciones del CLIENTE:
1. Operar el Sistema sólo con personal debidamente
capacitado y designado para su uso, y
exclusivamente para la valorización de vehículos
siniestrados.
2. Cumplir con todas y cada una de las condiciones y
plazo de pago estipulados en la cláusula sexta
siguiente.
3. Mantener actualizado el Sistema AUDAPLUS y
sus equipos, de acuerdo a los requerimientos del
Sistema.
El CLIENTE en ningún caso podrá:
1. Hacer copias totales o parciales del Sistema
THE SYSTEM.
CLIENT acknowledges and accepts that :
(i) the contents of the System (the “Information”)
are based on the information received from third
parties, in particular but not exclusively, from
manufacturers and insurance companies, and
that said Information is gathered by SUPPLIER
and by Audatex GmbH.
(ii) SUPPLIER shall not be responsible for and shall
not have the obligation to verify the System’s
Information.
(iii) That the information is provided “as is” and that
SUPPLIER shall, in no event, be responsible for the
authenticity of the Information contents.
FOURTH.- UPDATE OF INFORMATION.
SUPPLIER shall periodically update the System’s
database, with automobiles makes and models, the
parts forming the same, the price references and the
working time edited by the manufacturers, through:
(i) Monthly delivery by means of a magnetic
device and/or the Internet.
(ii) Weekly connection and on the last day of each
month, to SUPPLIER’S server through the
Internet.
In the event that CLIENT fails to update the
AUDAPLUS System, it shall be suspended until it
is updated, so as to prevent the System from
delivering out-of-date information. CLIENT shall
be solely and exclusively liable for any damage
and harm which might be caused to third parties
as a result of its failure to update the System.
FIFTH.- CLIENT’S OBLIGATIONS.
CLIENT shall have the following obligations:
1. To operate the System only by means of duly
trained and selected staff, and for the exclusive
purpose of assessing damaged vehicles.
2. To comply with each and all of the payment
terms and conditions established in Clause Sixth
below.
3. To keep the AUDAPLUS System and its
equipment updated pursuant to the System’s
requirements.

AUDAPLUS, salvo, única y exclusivamente, la
necesaria para respaldo de seguridad, en los equipos
específicamente designados.
2. Adaptar, alterar o modificar de cualquier forma, el
Sistema.
3. Descompilar, desensamblar o desproteger el
Sistema.
4. Explotar, comercializar, copiar o desarrollar el
Sistema AUDAPLUS, incluyendo sin limitación las
imágenes, audio, texto y subprogramas incorporados
al Sistema AUDAPLUS, y cualquier copia del
SOFTWARE del Sistema, todos los cuales son del
uso exclusivo del PROVEEDOR.
5. Poner a disposición de terceros los resultados o
contenidos generados por el Sistema AUDAPLUS.
El incumplimiento de cualquiera de las obligaciones
o prohibiciones a que se refiere esta cláusula,
facultará al PROVEEDOR para poner término
inmediato al Contrato, sin necesidad de ulterior
juicio, y sin perjuicio del derecho del PROVEEDOR
a ejercer los demás derechos y acciones legales que
le franquea la ley.
SEXTA.- PRECIO.
El CLIENTE se obliga a pagar las cantidades
establecidas en el “ANEXO 1” que forma parte
integrante del presente Contrato para todos los
efectos legales.
Los precios se actualizarán anualmente previo
acuerdo de las partes, para lo cual el PROVEEDOR
deberá notificar al CLIENTE por escrito las
condiciones de la renovación del Contrato
acompañando la factura correspondiente al mes
anterior al de renovación del Contrato.
El PROVEEDOR enviará dentro de los primeros
cinco días hábiles de cada mes una factura con el
detalle del monto correspondiente, con el número y
monto de valuaciones correspondientes al mes
inmediatamente anterior y/o meses anteriores que no
se hubiesen facturadoen los términos especificados
en el Anexo N° 1. El CLIENTE pagará el servicio
dentro de los 8 días siguiente a la recepción de la
factura. El no pago oportuno de la factura, facultará
al PROVEEDOR para suspender el servicio o poner
término anticipado al Contrato, sin perjuicio de las
demás acciones que pueda tener.
CLIENT shall under no circumstance:
1. Make total or partial copies of the AUDAPLUS
System, except in the only and exclusive case of
the necessary back-up copies, in the equipments
specifically designed to such effects.
2. In any manner adapt, alter or modify the
System.
3. De-compile, disassemble or unprotect the System.
4. Exploit, sell, copy or develop the AUDAPLUS
System, including but not limited to the images,
audio, text and subprograms incorporated into
the AUDAPLUS System, And any copy of the
System’s SOFTWARE, all of which are of
exclusive use of SUPPLIER.
5. To put at the disposal of third parties the
results or contents generated by the AUDAPLUS
System.
Non-compliance with any of the obligations
referred to in this clause shall entitle SUPPLIER
to immediately terminate the Agreement, without
any subsequent judicial action, and
notwithstanding SUPPLIER’S right to bring all
other legal actions and remedies to which it might
be entitled.
SIXTH.- PRICE.
CLIENT undertakes to pay the amounts
established in “EXHIBIT 1”, which is an integral
part hereto to all legal effects.
Said prices shall be annually updated upon prior
agreement by the parties, for which purposes
SUPPLIER shall notify CLIENT in writing the
conditions for the renewal hereof, attaching the
invoice for the month preceding the renewal of
the Agreement.
SUPPLIER shall deliver, within the first five
business days of each month, and invoice
containing the number anddetail of the
corresponding, under the terms and conditions of
Annex N° 1 amount of the assessments pertaining to
the immediately preceding month and/or any other
previous months for which no invoice has been sent.
CLIENT shall pay for the service within 8 days
following receipt of the invoice. Failure to timely
pay the invoice shall entitle SUPPLIER to
suspend the services o early terminate the
Agreement, notwithstanding any other remedies
to which it might be entitled.

El retardo del CLIENTE en el pago del precio, dará
derecho al PROVEEDOR a exigir sobre el capital
adeudado, el interés máximo convencional para
operaciones reajustables, según la tasa de interés
mensual dada por el Banco Central de Chile. La
forma de cálculo considerará el período que medie
entre la fecha prevista para la cancelación
correspondiente y la fecha efectiva de pago. Ello sin
perjuicio del derecho del PROVEEDOR a perseguir
la ejecución forzada del Contrato o su resolución, en
ambos casos con indemnización de perjuicios.
SEPTIMA. RELACION LABORAL.
Las partes reconocen que son contratantes
independientes y que no son empleados, agentes,
socios, ni están vinculados bajo ningún concepto entre
sí. En consecuencia, en ningún caso se entenderá que
existe vinculación laboral entre el CLIENTE y el
personal empleado por el PROVEEDOR.
Este Contrato y las relaciones establecidas por el
presente por y entre las partes no constituyen una
sociedad, asociación, consorcio, joint venture,
contrato de representación o agencia ni contrato de
trabajo entre las mismas.
OCTAVA.- PROPIEDAD INTELECTUAL DEL
SISTEMA Y SOFTWARE.
Las Partes declaran que, salvo indicación expresa en
contrario contenida en este Contrato, la totalidad del
Sistema y el software individualizado en el presente
Contrato y demás equipamiento considerados y
requeridos para la debida y adecuada ejecución del
presente Contrato, son de propiedad única y
exclusiva del PROVEEDOR.
NOVENA.- OBLIGACIONES RESPECTO DEL
SOFTWARE.
El CLIENTE asume las siguientes obligaciones
respecto del software del Sistema:
1. No podrá transferir todo o parte del equipo ni el
software a otras personas naturales o jurídicas, sin
previa autorización escrita del PROVEEDOR.
2. No podrá alterar, modificar o mejorar el software,
desensamblar o descompilar en otros términos que
no sean los pactados en el presente Contrato.
3. Salvaguardar y proteger el Software y su
documentación con el mismo cuidado y seguridad
que éste tiene con su propia información
confidencial.
4. Utilizar el Software y su documentación sólo para
fines directamente relacionados con su giro
comercial y bajo los términos y condiciones del
CLIENT’S default in paying the price shall entitle
SUPPLIER to demand, on the unpaid amount,
the maximum conventional interest for re-
adjustable transactions, pursuant to the monthly
interest rate established by Banco Central de
Chile. The calculation method shall consider the
period elapsing from the date established for the
respective cancellation and the effective payment
date. The foregoing notwithstanding
SUPPLIER’S right to demand specific
performance of the Agreement or cancellation
thereof, in both cases with the appropriate
payment of damages.
SEVENTH. LABOR RELATIONSHIP.
The parties acknowledge that they are independent
contractors and that they are not employees, agents
or partners and are not related in any manner.
Consequently, under no circumstance shall it be
understood that there is a labor relationship
between CLIENT and SUPPLIER’S employees.
This Agreement and the relationships created
thereunder by and between the parties do not
constitute any corporation, partnership,
consortium, joint venture, agency or
representation or employment agreement among
them.
EIGHT.- INTELLECTUAL PROPERTY
OWNERSHIP OF THE SYSTEM AND
SOFTWARE.
The parties represent that, unless any provision
to the contrary contained herein, the whole
System and the software identified in this
Agreement and other equipment considered as
necessary for the due and appropriate
performance hereof, are the sole and exclusive
property of SUPPLIER.
NINTH.- OBLIGATIONS REGARDING THE
SOFTWARE.
CLIENT undertakes the following obligations
regarding the System’s Software:
1. It shall not totally or partially transfer the
equipment or software to other individuals or
entities, without prior written authorization by
SUPPLIER.
2. It shall not alter, modify or improve the
software, disassemble or de-compile the same
pursuant to terms other than those agreed upon
in this Agreement.
3. It shall safeguard and protect the Software and
documentation with the same care and diligence
used to safeguard and protect its own confidential
information.
4. It shall use the Software and its documentation

presente Contrato.
5. Mantener registros que identifiquen la localización
de cualquier copia del Software, disponibles para el
PROVEEDOR.
6. No podrá, en ningún caso, utilizar el Sistema en
otro hardware, software o red que la detallada en las
Especificaciones del Sistema, el cual se acompaña
como ANEXO N° 2 y que forma parte integrante del
presente Contrato para todos los efectos legales.
DECIMA.- RESPONSABILIDAD DE DAÑOS.
El CLIENTE será responsable del riesgo de pérdida
o daño del Sistema, así como del riesgo de cualquier
pérdida o daño del software que esté licenciado al
CLIENTE.
Las partes limitan su responsabilidad frente a la otra
por cualesquier daño o perjuicio derivado de o
vinculado con el presente Contrato, la que no podrá
exceder el doble del valor o precio anual del
Contrato.
UNDECIMA.- SOPORTE TÉCNICO.
En caso de daños o problemas que pudieran surgir en
la operación normal del software, el PROVEEDOR
otorgará asesoría para su solución, ya sea vía
telefónica (soporte telefónico) o mediante Internet o
correo electrónico (soporte en Internet) de
conformidad con lo siguiente:
El CLIENTE deberá reportar las fallas del software
al PROVEEDOR, proporcionándole al menos la
siguiente información:
(i) Versión del programa y del motor del software
que utiliza.
(ii) Una copia con el archivo.
(iii) Mensajes que indican algún error en el software.
(iv) Archivos afectados con algún problema.
(v) Detalle de las causas que hacen imposible realizar
la valuación de daños de manera automatizada.
El PROVEEDOR atenderá los reportes levantados
por el CLIENTE en un tiempo de respuesta de 2
horas contados desde que se realiza el reporte y
solucionará la falla reportada en un lapso máximo de
8 horas contado del momento del reporte, en horario
de oficina.
DUODECIMA.- VIGENCIA.
La duración del presente Contrato será de un año
contado desde la se extiende desde la fecha de su
firma hasta el 31 de Diciembre de cada año,
exclusively for purposes directly related with its

5. It shall keep records to identify the location of
any copy of the Software available to SUPPLIER.
6. It shall, under no circumstance, use the
Software in any hardware, software or network
other than the one detailed in the System
Specifications, attached hereto as EXHIBIT No. 2
and which is an integral part hereof to all legal
effects.
TENTH.- LIABILITY FOR DAMAGES.
CLIENT shall be liable for the potential loss of or
damage to the System, as well as the potential loss
of or damage to the software being granted under
license to CLIENT.
The parties limit their liability to one another for
any damage or harm arising from or connected to
this Agreement, which shall not exceed the double
of the annual value or price hereof.
ELEVENTH.- TECHNICAL SUPPORT.
In the event or damage to or any problems which
might arise during the normal operation of the
software, SUPPLIER shall provide the necessary
support to solve it, either by telephone (telephonic
support) or through the Internet or e-mail
(Internet support) pursuant to the following:
CLIENT shall report the software errors to
SUPPLIER, and provide him with, at least, the
following information:
(i) Software and software engine version it uses.
(ii) A copy of the file.
(iii) Messages indicating an error in the software.
(iv) Files affected with any problem.
(v) Detail of the causes which obstruct the
automated assessment of damages.
SUPPLIER shall reply to the reports sent by
CLIENT within a response period of 2 hours as
from the performance of the report and shall
correct the reported error within a maximum
period of 8 hours as from performance of the
report , during office hours.
TWELFTH.- TERM.
The term of this Agreement will be one counted
from the shall commence on the date of its
execution and shall end on December 31 each year;

pudiendo ambas partes ponerle término anticipado,
sin expresión de causa, mediante aviso por escrito
dado a la otra parte con a lo menos 3 meses de
anticipación.
El contrato se renovará automáticamente por
períodos iguales y sucesivos de un año cada uno,
salvo que alguna de las partes notifique mediante
carta certificada a la otra, de su intención de ponerle
término con 30 días de anticipación a la fecha de
vencimiento del Contrato o de cualquiera de sus
prórrogas.
DÉCIMO TERCERA.- MODIFICACIONES AL
CONTRATO.
Cualquier modificación, ya sea total o parcial de una
cualquiera de las disposiciones contenidas en el
presente Contrato, y de los derechos y obligaciones
que de ellas emanan para las partes, deberá ser
efectuada por convenio escrito, el cual entrará en
vigor sólo una vez que se encuentre debidamente
firmado por todas las partes comparecientes.
DÉCIMO CUARTA.- INDEPENDENCIA.
En el caso de que cualquier disposición del Contrato
sea considerada inválida o no pudiera cumplirse, no
afectará a las demás disposiciones, salvo que
aquellas afecten substancialmente los derechos u
obligaciones de las partes.
DÉCIMO QUINTA.- NO EXCLUSIVIDAD.
Este contrato no constituye exclusividad para las
partes, las que podrán celebrar otros contratos de la
misma naturaleza con terceros.
DÉCIMO SEXTA. INNOVACIONES Y SIXTEENTH. INNOVATIONS AND SPECIAL
REQUERIMIENTOS ESPECIALES.
El PROVEEDOR podrá realizar todas las
innovaciones que sean necesarias para el mejor
funcionamiento del Sistema y si alguna constituye
modificación del Contrato, requerirá la aprobación
del CLIENTE.
DÉCIMO SEPTIMA. TERMINO ANTICIPADO.
En caso de incumplimiento grave de las obligaciones
de este Contrato, la parte cumplidora podrá optar
entre exigir su cumplimiento o el término anticipado
del mismo. Si opta por esta última, operará de pleno
derecho y sin necesidad de declaración judicial,
bastando un aviso escrito de la parte cumplidora a la
otra, invocando alguna de las siguientes causales:
1. El Cliente podrá poner término anticipado al
Contrato en el evento que el PROVEEDOR
incumpla las siguientes obligaciones:
(i) Suspenda injustificadamente la prestación de los

to the other party at least 3 months in advance.
The Agreement shall be automatically renewed
for equal and successive terms of one year each,
unless either party informs the other by means of
a certified letter of its intention to terminate the
same 30 days prior to the date of expiration of the
Agreement or any renewal thereof.
THIRTEENTH.- AMENDMENTS TO THE
AGREEMENT.
Any amendment, either total or partial, of any of
the provisions contained in this Agreement and to
the rights and obligations thereunder shall be by
means of a written agreement, which shall be
effective only upon execution by all of the
appearing parties.
FOURTEENTH.- SEVERABILITY.
In the event that any provision of the Agreement
is considered invalid or unable to be complied
with, this shall not affect the remainder
provisions, unless the former substantially affects
the rights and obligations of the parties.
FIFTEENTH.- NON-EXCLUSIVITY.
Nothing herein shall be construed as creating any
exclusive arrangement between the parties, who
may enter into other similar agreements with
third parties.
REQUIREMENTS.
SUPPLIER may perform any innovations it
deems necessary to improve the operation of the
System and, in the event that it implies an
amendment to the Agreement, approval by
CLIENT shall be required.
SEVENTEENTH. EARLY TERMINATION.
In the event of breach of the obligations
hereunder, the complying party may chose to
demand the compliance therewith or early
terminate the Agreement. If the said party
chooses the early termination, it shall take place
by operation of law and without any judicial
declaration to such effect, upon mere written
notice sent by the complying party to the
breaching party, stating any of the following
causes:
1. CLIENT may early terminate this Agreement

servicios de este Contrato.
(ii) Es declarado, en quiebra o suspensión de pagos,
pérdida o suspensión de su actividad mercantil.
(iii) Que de manera reiterada, injustificada y
plenamente comprobada no cumpla con los
“estándares de calidad” pactados.
2. El PROVEEDOR podrá poner término anticipado
al Contrato en el evento que el CLIENTE incumpla,
con una de las siguientes obligaciones:
(i) Que se niegue a pagar el precio conforme a los
términos y condiciones de este Contrato y sus
respectivos intereses moratorios y penas
convencionales en su caso.
(ii) Si es declarado en quiebra o suspensión de pagos,
liquidación, pérdida o suspensión de su actividad
mercantil.
(iii) Que incumpla alguna de las obligaciones y
prohibiciones previstas en el presente Contrato.
La terminación anticipada de este Contrato no
afectará la validez y exigibilidad de las obligaciones
contraídas con anterioridad, las cuales podrán ser
exigidas aún con posterioridad a la rescisión o
terminación del presente contrato.
DÉCIMO OCTAVA.- CONFIDENCIALIDAD.
Las partesEl CLIENTE aceptan y reconocen por este
acto el carácter esencial que tiene la obligación que
aquí contrae y que dice relación con la necesidad de
mantener la más total y absoluta reserva de todo
cuanto pueda llegar a su conocimiento, o que pueda
él tener acceso en forma directa o indirecta y que
diga o pueda decir relación con el Sistema, software
y demás equipamientos proporcionados la
información proporcionada por la otra parte por el
PROVEEDOR en virtud del presente Contratoo, así
los negocios o actividades particulares o generales
del PROVEEDOR, tanto durante la vigencia del
presente Contrato como luego de su terminación.
El CLIENTE.Las partes deberán mantener especial
reserva en lo relativo a condiciones comerciales,
asuntos de negocios, tecnología, especificaciones de
productos, sistemas operativos, diseños, patentes,
fórmulas, planes, secretos de manufacturas, know
how, ideas comerciales, industriales e información
técnica, y en general, sobre cualquier otra materia
que diga relación con el objeto del presente Contrato.
En consecuencia, dicha información, de proceder,
sólo podrá ser usada por el CLIENTE cada parte
durante la vigencia de este Contrato, en la forma y
condiciones necesarias para dar adecuado
cumplimiento al mismo y sujeto siempre a la
obligación de l CLIENTE cada parte de informar de
inmediato a la otra parte PROVEEDOR acerca de
todo conflicto real o potencial de intereses que el
if SUPPLIER:
(i) Unjustifiably suspends the provisions of the
services under this Agreement.
(ii) Is declared bankrupt or in default, or loses or
is suspended in its business activities.
(iii) Repeatedly, unjustifiably and fully breaches
the agreed on “quality standards”.
2. SUPPLIER may early terminate this
Agreement if CLIENT:
(i) Refuses to pay the price pursuant to the terms
and conditions hereof and the respective default
interest and conventional fines, as the case may
be.
(ii) Is declared bankrupt or in default, is
liquidated, or loses or is suspended in its business
activities.
(iii) Breaches any of the obligations or
prohibitions established herein.
The early termination of this Agreement shall not
affect the validity and enforceability of the
obligations undertaken prior to termination, the
compliance with which may be demanded even
after termination or expiry hereof.
EIGHTEENTH.- CONFIDENTIALITY.
CLIENT The parties hereby accepts and
acknowledges the essential nature of the
obligation undertaken hereunder and that it is
related to the need to keep total and absolute
confidentiality of any information it might
receive, or to which it might directly or indirectly
access and which is or might be related to the
System, software and other equipmentinformation
supplied by SUPPLER the other party by virtue
hereof, such as the general or particular business of
SUPPLIER, both during the term of this
Agreement and after the termination thereof.
CLIENT Ther parties shall keep special
confidentiality as regards commercial conditions,
business issues, technology, products specifications,
operating systems, designs, patents, formulas, plans,
manufacturing secrets, Know how, commercial
and industrial ideas, technical information, and in
general, as regards any other subject relating to
the purpose hereof. Consequently, said
information, if applicable, shall be used only by
CLIENT each party during the term hereof in the
form and under the conditions necessary to duly
comply therewith and always subject to
CLIENT’S party’s obligation to immediately inform
SUPPLIER to the other party of any conflict, actual
or potential, of interest which CLIENT the party
might have as regards any information regarding

CLIENTEla parte pueda tener o llegar a tener
respecto de tal información en relación con
actividades propias o servicios profesionales
independientes que él pueda actualmente o en el
futuro prestar para otras entidades.
Asimismo, el CLIENTE las partes reconocen y
aceptan que la reserva y confidencialidad antes
señalada subsistirá en forma permanente, indefinida
e independientemente de la vigencia o término del
presente Contrato. Del mismo modo, las partes
acuerdan que, una vez producido el término de este
Contrato, el CLIENTE deberá restituir en un solo
acto y en forma inmediata todos y cada uno de los
documentos y demás información material que él
tenga y que sea de propiedad o diga relación con
actividades o asuntos propios del PROVEEDOR.
DÉCIMO NOVENA.- DECLARACIONES DE
LAS PARTES.
Cada uno de los representantes de las partes
comparecientes declara y garantiza a las otras, que
(a) actúa con poderes suficientes para representar y
obligar a su mandante en todas y cada una de las
obligaciones y disposiciones convenidas en este
Contrato; (b) este Contrato y sus disposiciones son
plenamente válidas y vinculantes para las Partes, y
no se encuentran en conflicto ni con los estatutos o
títulos de sus mandantes, ni con disposiciones
legales o reglamentarias que les sean aplicables.
VIGESIMA.- COMUNICACIONES.
Las partes convienen que para los efectos del
presente Contrato, todos los avisos, solicitudes y
aprobaciones requeridas en este instrumento:
a) Se harán por escrito al representante legal.
b) Se dirigirán a los domicilios indicados en el
presente Contrato, salvo aviso escrito de cambio al
respecto.
c) Si se entregan personalmente se considerarán
efectuados en ese mismo día y si se envían por fax o
por correo electrónico, éste deberá ser confirmado
enviando el original con acuse de recibo.
Para todos los efectos legales a que haya lugar las
partes señalan como sus domicilios los siguientes:

VIGESIMO PRIMERA. ACUERDO

entities.
Additionally, CLIENT acknowledges and accepts
that the confidentiality mentioned above shall
survive in a permanent, indefinite and
independent manner regardless of the
effectiveness or term hereof. Likewise, the parties
agree that, upon termination hereof, CLIENT
shall restore, once and immediately, each and all
of the documents and other material information
in its possession owned by or related to the
activities or business of SUPPLIER.
NINETEENTH.- REPRESENTATIONS OF THE
PARTIES.
Each of the party’s appearing representatives
represents and warrants the other parties, that it
(a) holds sufficient powers to represent and bind
its principal in each and all of the obligations and
provisions agreed herein; (b) this Agreement and
all provisions thereof are fully valid and binding
upon the Parties, and do not conflict either with
the by-laws or titles of their principals nor with
the applicable rules.
TWENTIETH.- NOTICES.
The parties agree that for the purposes hereof, all
required notices, requests and approvals
hereunder:
a) Shall be made in writing and sent to the legal
representatives.
b) Shall be addressed to the domiciles indicated
herein, unless written notice of change of domicile
is sent.
c) If personally delivered, they shall be considered
effective on the date of delivery, and, if delivered
by facsimile or e-mail, the same shall be
confirmed by sending the original notice with
return receipt.
For all legal purposes, the parties establish their

TWENTY FIRST. ENTIRE AGREEMENT.

COMPLETO.
El presente Contrato y sus anexos, debidamente
firmados por las partes, contienen el completo y total
entendimiento entre las Partes acerca de las materias
en él contempladas, y reemplaza y sustituye a todos
los acuerdos previos, orales o escritos, relativos a la
misma materia.
VIGESIMO SEGUNDA.- CLAUSULA DE
SEPARACION.
Si una o más de las cláusulas o secciones del
presente Contrato fueren declaradas inexistentes,
nulas o ineficaces, ello no afectará la existencia,
validez y eficacia del Contrato en general, el que
seguirá plenamente vigente a excepción de dicha o
dichas cláusulas, salvo que estas últimas hayan sido
causa esencial y determinante para una o ambas
Partes para contratar.
VIGESIMO TERCERA.- CESIÓN DEL
CONTRATO.
Las Partes no podrán ceder ni transferir el presente
Contrato ni ninguno de sus derechos ni obligaciones,
bajo ninguna forma o título, salvo que la otra parte
consienta en ello expresamente y por escrito. En
consecuencia, será nulo y carecerá de todo efecto
cualquier acto o tentativa de cesión o transferencia
del Contrato o de los derechos, responsabilidades u
obligaciones de las Partes que emanan de él, sin el
acuerdo previo y por escrito de la otra.
No obstante lo anterior, las partes dejan constancia que
el PROVEEDOR podrá transferir este Contrato, total o
parcialmente, o ceder sus derechos u obligaciones bajo
el presente, sin el consentimiento previo del
CLIENTE, como consecuencia de una
reorganización o reestructuración interna.
VIGESIMO CUARTA.- ARBITRAJE.
Ante cualquier dificultad o divergencia que surja
entre los contratantes con motivo del presente
contrato o de sus documentos complementarios o
modificatorios, ya se refieran a su aplicación,
interpretación, cumplimiento, incumplimiento,
resolución, duración, liquidación, validez o cualquier
otra causa relacionada con el mismo, será sometida a
arbitraje, conforme al reglamento procesal de
mediación vigente del centro de arbitrajes y
mediación de Santiago.
Las partes confieren poder especial irrevocable a la
Cámara de Comercio de Santiago A.G., para que, a
solicitud escrita de cualquiera de ellas, designe a un
árbitro mixto de entre los integrantes del cuerpo
arbitral del Centro de Arbitraje y Mediación de
Santiago. En contra de las resoluciones del árbitro no
procederá recurso alguno, por lo que las partes
renuncian expresamente a ellos. El árbitro queda
especialmente facultado para resolver todo asunto
This agreement and its exhibits, duly executed by
the parties, contain the entire agreement between
the parties as regards the subject matter hereof,
and replaces and supersedes all prior oral or
written agreements between the parties on the
same subject.
TWENTY SECOND.- SEVERANCE CLAUSE.
If one or more clauses or sections hereof are
found to be inexistent, void or ineffective, this
shall not affect the existence, validity or efficiency
of the Agreement in general, which shall continue
to be fully valid, except for said clause or clauses,
unless the latter are of essence and definitive for
one or both Parties to enter into this Agreement.
TWENTY THIRD.- ASSIGNMENT.
The Parties shall neither assign nor transfer this
Agreement or any of its rights and obligations,
under no form or title whatsoever, unless the
other party consents to it in writing.
Consequently, any assignment or transfer of, or
any attempt to assign or transfer, this Agreement
or the rights, responsibilities or obligations of the
Parties thereunder shall be void and will have no
effect, unless the other party previously consents
to it in writing.
Notwithstanding the foregoing, the parties state
that SUPPLIER may transfer this Agreement; in
whole or in part, or assign the rights and
obligations hereunder, without the prior written
consent of CLIENT, as a result of an internal
reorganization or restructuring.
TWENTY FOURTH.- ARBITRATION.
In the event of any dispute or conflict arising
between the parties from this Agreement or its
supplements or amendments, either with relation
to its application, interpretation, compliance,
non-compliance, cancellation, term, liquidation,
validity or any other cause related thereto, shall
be submitted to arbitration, pursuant to the
mediation procedural rules of the Santiago’s
Center for Arbitration and Mediation.
The parties hereby grant special irrevocable
power of attorney to Cámara de Comercio de
Santiago A.G. [Santiago Chamber of commerce],
for it to, upon written request, appoint a mixed
arbitrator from among the members of the
Santiago’s Center for Arbitration and Mediation.
No appeal remedy shall be allowed against the
Arbitrator’s award; therefore, the parties hereby
expressly waive said remedies. The Arbitrator
shall be specially empowered to resolve any

relacionado con su competencia y/o jurisdicción.
VIGESIMO QUINTA.- RENUNCIA.
Los derechos conferidos por el presente Contrato a las
partes sólo podrán ser renunciados por éstas en forma
expresa y por escrito y, en consecuencia, la omisión
por cualquiera de las partes de su derecho de exigir el
cumplimiento de cualquiera de las obligaciones que
impone el presente Contrato a la otra Parte o de ejercer
cualquier derecho propio no se entenderá como una
renuncia de tal parte al ejercicio de tales derechos o
facultades, y no afectará en modo alguno el derecho de
esa Parte de exigir tal cumplimiento o hacer valer tal
derecho con posterioridad.
VIGESIMO SEXTA. DOMICILIO.
Para todos los efectos de este Contrato, las Partes
fijan domicilio especial en la ciudad y comuna de
Santiago, Región Metropolitana.

matters in relation to its scope of authority or

TWENTY FIFTH.- WAIVER.
The rights granted to the parties under this
Agreement may be waived by them only and by
means of an express written consent and,
consequently, failure by either party to demand
compliance with any of the obligations of this
Agreement to the other Party or to exercise any
right shall not be understood as a waiver to the
exercise of said rights and powers, and it shall in no
manner affect said Party’s right to demand said
compliance or enforce said right in the future.
TWENTY SIXTH. DOMICILE.
For all purposes hereof, the Parties set their
domicile for notification purposes in the city and
commune of Santiago, Metropolitan Region.
