Es un tipo de sociedad mercantil en el que la responsabilidad de los
socios se limita al capital que han aportado. La Sociedad Anónima es
el ejemplo más claro de sociedad capitalista en el mundo empresarial
y económico.

Para proceder a la constitución de una sociedad

anónima se requiere cumplir una serie de requisitos
establecidos por el ordenamiento jurídico respectivo.
Entre ellos, generalmente se incluye, según la
legislación en concreto

REQUISITOS
La Ley de Sociedades Anónimas recoge los
requerimientos que deben cumplir aquellas
sociedades que deseen adoptar esta forma; su
constitución ha de realizarse mediante
escritura pública, según dicta el Código de
Comercio, y debe ser inscrita en el Registro
Mercantil con un nombre (denominación o
razón social) seguido de las siglas S.A .
● Datos completos de los otorgantes (en caso de que
sean personas físicas) o denominación / razón social
(en caso de que sean personas jurídicas).
● Expresión de la voluntad de los otorgantes de fundar
la sociedad anónima
● Cuantía aproximada de los gastos de constitución
● Redacción de los estatutos por los que se regirá la
S.A.
● Datos completos de los administradores (en caso de
que sean personas físicas) o denominación / razón
social (en caso de que sean personas jurídicas).
● Para constituir una sociedad anónima, es preciso
aportar un capital social mínimo de 60 000 euros:
este capital se divide en acciones nominativas (al
portador).
