All Commissions generated by the Introducer will be held until this agreement/application is approved by ITA and the Introducer submits the online AML Test, at which time
they will be automatically released.

M. TERMS AND CONDITIONS / TÉRMINOS Y CONDICIONES
INDEPENDENT INTRODUCER APPLICATION
INDEPENDENT INTRODUCER APPLICATION SUBMITTED BY THE APPLICANT (as
hereinafter defined) to ITA DISTRIBUTION, of Governors Square, Unit 3-107A, 23 Lime
Tree Bay Avenue, P.O. Box 32203, Grand Cayman KY1-1208, Cayman Islands,
(hereinafter called “ITA”).
TERMS AND CONDITIONS
ITA's consideration and acceptance of this application is subject to the following Terms and
Conditions, which, by submitting this application, are deemed agreed to by Applicant.
1) ITA acts as the master distributor for entities offering a wide range of
insurance/investment products, including variable and equity indexed annuity products with
fixed maturity dates.
2) ITA contracts with independent Introducer Agencies for distribution of the above-
referenced products subject to the terms and conditions of an Independent Introducer
Agreement between ITA and each independent Introducer Agency;
NOW, THEREFORE, the Applicant acknowledges as follows:
1) DEFINITIONS
1.1 The following terms have the meanings set forth in this Section 1:
“Applicant” – the individual or organization completing the Independent Introducer
Application.
“Business” – The introduction of a third party for the purposes of a proposal or application
for acquiring any of the Products (as defined below) or dealing with the same for or on
behalf of such third party.
“Client” – A plan participant, policy holder or account holder, depending upon the nature of
the product acquired.
“Introducer” – An Applicant who is approved by ITA and is affiliated with, and working under
the authority of, an Introducer Agency with respect to the Business.
“Introducer Agency” – A person or an organization (e.g., a partnership, corporation or other
entity) with whom ITA has executed an agreement relating to distribution of the Products
(as defined below).
“ITA GROUP” – the group of entities comprised of ITA, Investors Trust Assurance, SPC
and its sub-sidiaries and branch offices, ITA Global Trust Ltd., ITA Cayman Holdings, Ltd.
And its subsidiaries, ITA International Holdings, LLC and its subsidiaries, and Investors
Trust Administration, LLC and its subsidiaries, ITA Asia Limited, and its subsidiaries, and
ITA International Insurer and its subsidiaries, and ITA International Financial Services and
its subsidiaries.
“Products” – The products and/or services for which ITA acts as a Master Distributor, as
amended from time to time.
“Proposed Client” – An individual or organization who applies for or receives information
from an ITA-approved Introducer in respect of any of the Products.
The headings are for convenience only and shall not affect the interpretation of this
document. The masculine gender shall include the feminine and the singular shall include
the plural, and vice versa.
2) SCOPE/APPOINTMENT
2.1 Nothing contained in this Application, whether it is approved by ITA or not, shall create,
or be construed to create, a contractual relationship between Applicant and ITA. The only
contractual relationship shall be between ITA and an Introducer Agency. If this Application
is approved by ITA, Introducer’s ability to conduct Business shall, at all times, be subject to
ITA’s ongoing approval.
2.2 If this Application is approved by ITA, nothing contained herein shall create, or be
construed to create, a relationship of employer/employee or of principal/agent between ITA
and Introducer. At all times, Introducer shall be considered the agent of the Introducer
Agency and the Introducer Agency shall be considered the agent of the Proposed Plan
Participant.
2.3 Business may only be submitted by an Introducer Agency and not from any individual
Introducer.
2.4 Applicant, if approved by ITA, shall not conduct or introduce Business in the United
States, the Cayman Islands, or in any other jurisdiction where Business may not lawfully be
conducted or introduced.
2.5 Applicant, if approved by ITA, shall not conduct Business (1) with any Client/Potential
Client who is a citizen or resident of the United States, the Cayman Islands, or any other
jurisdiction where Business may not lawfully be conducted, or (2) with any Client/Potential
Client who is present within the United States, the Cayman Islands or any other jurisdiction
where Business may not lawfully be conducted.
2.6 Applicant represents that, by virtue of his/her/its affiliation with an Introducer Agency,
he/she/it is not in breach of any express or implied terms of any contract.
2.7 Applicant (if an Organization, on behalf of its agents, employees and representatives)
hereby represents and warrants that all documents submitted to ITA, an Introducer Agency
or any other entity, or otherwise in connection with the Business shall be true and correct
copies of the originals, and by submitting any such documents, Applicant shall be deemed
to have certified them as true and correct copies of the originals.
2.8 Applicant (if an Organization, on behalf of its agents, employees and representatives), if
approved by ITA, shall at all times adhere to any rules, guidelines and/or policies of the
adopted by ITA, as amended from time to time, as well as any rules, guidelines and/or
policies of the Introducer Agency with whom Applicant is affiliated
2.9 Applicant (if an Organization, on behalf of its agents, employees and representatives)
will not disparage ITA GROUP or any of its affiliates or business partners or any of their
shareholders, officers, directors, members, managers, attorneys, agents, representatives,
successors and assigns at any time, either during or after the term of Applicant’s
association with an Introducer Agency.
2.10 Applicant (if an Organization on behalf of its agents, employees and representatives),
if approved by ITA, shall at all times be responsible for the actions or conduct of his/her/its
employees or agents whether in connection with Business or otherwise.
2.11 Applicant (if an Organization, on behalf of its agents, employees and representatives)
represents that he/she/it, is, and will, at all times, be in compliance with all applicable rules,
regulations or guidelines adopted by ITA, including all anti-money laundering (“AML”)

requirements. ITA may, at any time and from time to time, as a condition of Applicant’s
ability to conduct Business relating to the Products, require Applicant to confirm satisfaction
of the foregoing requirements and to complete any compliance assessment to ensure
Applicant is acting in accordance with the standards in the industry and by all applicable
rules, regulations or guidelines adopted by ITA.
3) AUTHORITY
3.1 There is no exclusive relationship between the parties. Applicant may represent,
perform services for, and/or be employed by other clients, persons or companies.
3.2 Whether or not this application is approved by ITA, Applicant (if an Organization,
including its agents, employees and representatives) does not and shall not, have any
authority to act for, on behalf of, in the name, place or stead of the ITA GROUP, or hold
itself out to others or otherwise represent by act or omission, that it has the authority to bind
the ITA GROUP.
3.3 Whether or not this application is approved by ITA, Applicant (if an Organization,
including its agents, employees and representatives) shall not, directly or indirectly, incur,
create or assume any liability, obligation, commitment or undertaking, contractual or
otherwise, for, on behalf of or in the name, place or stead of the ITA GROUP, or otherwise
bind or purport to bind ITA in any manner whatsoever and without exception. Without
limiting the generality of the foregoing, Applicant shall not give cover notes for any risk,
issue any acceptance letter or settle or admit any claim, surrender, or liability on behalf of
the ITA GROUP.
3.4 Whether or not this application is approved by ITA, Applicant (if an Organization,
including its agents, employees and representatives) shall not allow credit to any person for
a payment, extend the time allowed for a payment or advance a payment on behalf of a
Client.
3.5 Whether or not this application is approved by ITA, Applicant (if an Organization,
including its agents, employees and representatives) is not authorized to endorse checks
on behalf of ITA GROUP, receive cash payments from Clients or to receive payments in
the name of Applicant.
3.6 Whether or not this application is approved by ITA, Applicant (if an Organization,
including its agents, employees and representatives) is hereby prohibited from using any
logo, trademark, service mark or trade name of the ITA GROUP, except as otherwise
authorized in writing by ITA.
4) COMMISSION
4.1 If Applicant is approved by ITA, any commission generated in respect of Business
proposed by Applicant through the Introducer Agency shall be the property of, and owed
exclusively to, the Introducer Agency. Except as otherwise set forth herein, there shall be
no obligation, contractual or otherwise, to pay Applicant any commissions directly.
4.2 Notwithstanding the foregoing, if directed in writing by the Introducer Agency, ITA, shall,
either directly or through a third party appointed by ITA, pay Applicant directly such
amount(s) as the Introducer Agency directs for commissions generated by Applicant in
respect of Business proposed by Applicant through the Introducer Agency. Any such direct
payment to Applicant shall cease upon any of the following:
• Written direction by the Introducer Agency
• Termination of the Introducer Agency by ITA
• Termination of Applicant by Introducer Agency
• Termination of Applicant by ITA as set forth herein
• death, disability, bankruptcy, dissolution, insolvency or receivership of Applicant, or
Applicant entering into a settlement for the benefit of Applicant’s creditors
• Determination by ITA that good cause otherwise exists to cease such direct payments,
including but not limited to, a determination that good cause exists to prohibit Applicant
from continuing to conduct Business
Any payments from ITA to Applicant for commissions generated by Applicant in respect of
Business proposed by Applicant through the Introducer Agency shall be subject to the
scales or rates of commission and terms of payment set forth in the agreement between
ITA and the Introducer Agency and the Applicant and the Introducer Agency. A proposed
commission schedule is attached hereto.
4.3 There shall be no obligation to provide commission statements to Applicant.
Commission statements and details of payments will be made available to the Introducer
Agency on a regular basis.
4.4 By submitting the application, Applicant (if an Organization, including its agents,
employees and representatives) is deemed to have warranted the truth of all information
supplied by him at any time to ITA concerning Applicant.
4.5 If any information shall become materially different or untrue after it has been supplied
to ITA, Applicant shall notify ITA immediately and shall provide ITA with such further correct
information as may be necessary, in ITA’s sole discretion, before ITA conducts any further
Business as proposed by Applicant to the Introducer Agency.
5) LIABILITY OF APPLICANT
5.1 Applicant, on Applicant’s own behalf and, in an Organization, on behalf of Applicant’s
employees, agents or representatives and each of their successors and assigns and any
other person that may claim by, through or under any of them, hereby agrees to indemnify,
defend and hold ITA GROUP and their respective present and future members, managers,
shareholders, officers, directors, employees, attorneys, agents, representatives,
successors and assigns, harmless, from and against any and all claims, liabilities,
obligations, suits, actions, causes of action, losses, damages and accounts of whatsoever
type or nature, whether having arisen, accrued or matured heretofore or hereafter, as a
result of, relating to or concerning any wrongful conduct, whether negligent or intentional,
by Applicant (if an Organization, including its agents, employees and representatives) in the
course of conducting Business.
5.2 Applicant hereby acknowledges and agrees that in the event that any amount is or
becomes due or payable by Applicant to ITA as damages or otherwise, ITA shall have the
option (but not the obligation) to elect to (i) reduce, on a dollar-for-dollar (or selected
currency) basis, any amount due, owing or payable to Applicant or (ii) debit the bank
account of Applicant (using the account information on file with ITA); or (iii) attach any other
asset of Applicant, in the total amount due, owing or payable to ITA. This elective right of
setoff shall be cumulative and in addition to any and all additional remedies to which ITA
may be entitled at law or in equity.
 6) DOCUMENTS
6.1 Except as provided herein or expressly authorized in writing by ITA, Applicant (if an
Organization, including its agents, employees and representatives) shall not, before, during
or after he, she or it is approved by ITA, make any written or oral statements, promises or
representations which could in any way be deemed to bind the ITA GROUP.
6.2 Without limiting the generality of Section 6.1 above or any other term or condition
herein, Applicant (if an Organization, including its agents, employees and representatives)
shall not, whether before, during or after he, she, or it is approved by ITA:
a. issue any material (documentary or otherwise) relating to the ITA GROUP unless such
material has been approved in writing in advance by ITA or supplied directly by ITA.
b. purport to prepare, issue or vary the terms or conditions associated with any Product,
endorsement, contract note, certificate, receipt or any other document on behalf of the ITA
GROUP.
c. purport to allow credit to any person for a premium or investment or extend the time for
payment of such premium or investment.
d. alter any information supplied by ITA or Applicant’s Clients.
6.3 Applicant acknowledges that, as applicable, the ITA GROUP (or one or more particular
entities within the ITA GROUP) reserve the right to send communications directly to the
Client.
6.4 Applicant, if approved by ITA, will produce to ITA on demand such records as ITA may
reasonably require in connection with Business transacted with ITA. Applicant will maintain
a list of all Applicant’s Clients who have completed any application for the Products and
supply a copy of same to ITA upon request.
6.5 All books, records, documents and computer software and hardware furnished by ITA
to Applicant from time to time while Applicant is conducting Business through the Introducer
Agency, must at all times be available to ITA for inspection and be delivered to ITA by
Applicant on demand and, in any event, upon termination of Applicant’s association with
the Introducer Agency or Applicant’s cessation of Business.

7) CONFIDENTIALITY
7.1 Applicant (if an Organization, including its agents, employees and representatives)
acknowledges and agrees that, at all times during and following the termination of his, her,
or its association with the Introducer Agency or cessation of Business, Applicant shall not
use or disclose (i) any nonpublic information, knowledge or data relating in any way to the
Business, financial condition, sales, customers, suppliers, operations, products, inventions,
business relationships, technologies or services of the ITA GROUP; or (ii) any other
proprietary or confidential information, knowledge, data or details of the past, present or
future business affairs or practices of the ITA GROUP, including without limitation,
quotations, software or information about ITA GROUP systems, manuals and commission
rates (collectively referred to as “Confidential Information”), except as specifically
authorized in writing by ITA for the benefit of ITA or the ITA GROUP, as applicable.
7.2 Applicant further acknowledges that, if approved by ITA, as a result of conducting
business, he, she or it may obtain access to certain documents, reports, memoranda, files,
customer and supplier lists, records, studies, computer discs, manuals, books, accounting
or financial information, data, statements, correspondence and other material and
information which may contain or relate to Confidential Information (collectively
“Confidential Materials”) of the ITA GROUP.
Applicant (if an Organization, including its agents, employees and representatives)
covenants and agrees that (i) all Confidential Materials are and shall remain at all times the
sole exclusive property of the ITA GROUP, or one or more entities within the ITA GROUP,
as applicable, and (ii) upon the request of ITA or upon termination of his, her, or its
association with the Introducer Agency or other cessation of Business, Applicant shall
promptly return all Confidential Materials (including, if Applicant is an Organization, all
Confidential Materials in the possession of Applicant’s agents, employees and
representatives), and all copies or other records thereof, to ITA. At no time shall any
Confidential Materials be used, copied, published, circulated or disclosed in any manner
whatsoever, except as specifically authorized in writing by ITA.

8) TERMINATION
ITA shall have the right, in its sole discretion, to prohibit Applicant from continuing to
conduct any Business relating to the Products, and to require the Introducer Agency to take
all necessary action to ensure that Applicant ceases to conduct any Business relating to the
Products, including, but not limited to, terminating Applicant’s association with the
Introducer Agency and terminating Applicant’s access to any information, including physical
and electronic documents, and systems and databases, relating to the ITA GROUP, the
Business or the Products.

9) GOVERNING LAW
9.1 This Application shall be governed by and interpreted, and the rights and duties of the
parties hereunder, both procedural and substantive, shall be determined under the laws of
the Cayman Islands, notwithstanding the fact that any party is or may hereafter become
domiciled in a different state or jurisdiction.
