Introduction
Adare is committed to the prevention of bribery and corruption
and strives to conduct all its business with integrity and within
the requirements of the Bribery Act 2010. All employees,
service providers and other third parties associated with Adare
are required to engaging in the highest ethical business
behaviour standards to ensure that proper and honest
corporate decisions and actions are consistently.
Adare does not tolerate, permits, or engages in bribery,
corruption, or undue payments of any kind in our business,
anywhere in the world, both with government employees and
within the private sector. Adare promotes transparency and
insists that all suppliers and associated third parties adhere to
the company's Anti-Bribery Policy and implemented a
continuous program of risk assessments, business process
reviews and awareness training the entire team to reduce any
risk of activity non-conformity.
The company's business policies and practices support Adare's
adherence to anti-bribery legislation and corruption and
encourage all suppliers and partners to practice and promote
ethical and honest business practices at all times.

Política Antisoborno y Anticorrupción
1. Objetivo
1.1 La integridad es fundamental para Adare International.
Nos esforzamos por demostrar y preservar las más
altas normas de veracidad, ética y honestidad en la
forma en que nos comportamos unos con otros, con
nuestros clientes, proveedores y socios.
1.2 El objetivo de esta política es: Proporcionar
información y orientación a todos los proveedores y

2. Declaración de la Política

íntegra en todas nuestras negociaciones y relaciones

Anti-Bribery corruption policy
1. Purpose
1.1 Integrity is central to Adare International. We strive to
demonstrate and preserve the highest standards of
truthfulness, ethics and honesty in the way we behave with
each other, with our customers, suppliers and partners.
1.2 The purpose of this policy is: Provide information and
guidance to all suppliers and partners on how to recognize and
deal with bribery and corruption issues.
 Describe the procedures to be followed after
identifying possible risks or problems of bribery and
corruption.
1.3. This policy applies to all suppliers and partners throughout
the Company and in all regions where Adare International
conducts business, including all Administrators, Managers and
those with supervisory responsibilities, have a duty to ensure
that not only but also their respective employees for whom
they are responsible are aware of and comply with this policy.
2. Policy Statement
2.1. It is Adare International's policy to conduct all business
honestly and ethically. We have a zero tolerance approach to
bribery and corruption and we commit to acting professionally,
fairly and with integrity in all our negotiations and business
relationships wherever we operate. And we expect the same
from our business partners so we are committed to supporting
all relevant laws to combat bribery and corruption and to
implement and implement effective systems to avoid them.
2.2 The British anti-bribery law of 2010 not only establishes

3. Why is this policy important?

4. What is considered bribery or corruption?
4.1 Bribery and corruption The most important elements of
British anti-bribery and anticorruption law found in the Anti-
bribery Act of 2010. Below are the three main offenses. You
should ensure that you do not engage in behavior that could
amount to one of these offenses:

4.2 Facilitation payments and commissions
Facilitation payments are usually low and unofficial payments
made to ensure or expedite routine action by third parties.
Normally they are not paid in the UK, but they can be common
in other jurisdictions. However, it is not a common business
practice at Adare International.
Commissions are usually payments made in exchange for a
favor or a business advantage. All Partners and their employees
should avoid any activities that may lead to or accept or
suggest that a facilitation or commission payment will be made
or accepted by us. The 2010 British anti-bribery law makes no
distinction between facilitation payments and bribery -
regardless of local size or cultural expectations, even if that is
the "way business is done."
We do not and do not accept facilitation payments or
"commissions" of any kind. If you are asked to make a payment
on behalf of Adare International, you should always know what
the payment is intended for and if the amount requested is
proportional to the goods or services provided. You should

5. Corporate Entertainment, Gifts and Hospitality
5.1. Travel and reasonable accommodation related to the
Company may be provided or accepted in the interests of
Adare International, if it is occasional and upon written
approval in accordance with the Company's policy.

5.2 The offer or acceptance of gifts is not prohibited if the
following requirements are met:

5.3 Entertainment or gifts should not be accepted if it is
possible to perceive that it was provided by the other
organization or the person doing business with the Company to

5.4 Adare employees must inform HR before offering or

6. Communication of concerns

business advantage with us or indicates that you need a gift or
payment to secure the deal.
6.2 Suppliers who refuse to accept or offer a bribe or those
who express their concerns or communicate the illegal acts of
others are sometimes concerned with possible repercussions.
Our goal is to encourage transparency and we will fully support
those who raise genuine concerns in good faith under this
procedure, even if it turns out that they were wrong.
6.3 Any concerns or suspected abuse should be reported to a
manager or, alternatively, through HR:

6.4 We will fully investigate any suspected or alleged bribery
situations. Employees suspected of bribery may be suspended
from their duties in the course of the investigations. We will
institute disciplinary proceedings in the event of a suspected
bribery by any employee and the confirmed allegations may
result in serious transgression and immediate dismissal. The
Company may terminate the contracts of any person or
suppliers, including such persons or others who perform work
for or on behalf of Adare International, who have been found
guilty of a breach of this policy.

6.5 Adare International podrá también comunicar cualquier

8.2. El Director de Procurement & Compliance, al

de adquisición, sustentabilidad, comercio justo y las
mejores prácticas laborales, por lo que exigimos que todos
los proveedores:
 Actualizan sus registros e información financiera
siempre que se les solicite, o en cada cambio;
 Mantener sus contratos de Confidencialidad
siempre actualizados y observando el período de
validez;
 Confirmar anualmente su disposición a cumplir
con los principios establecidos, actualizando
siempre su aceptación de los contratos de Rebate
y de WEB Charges.

6.5 Adare International may also communicate any matter to
the relevant authorities (including the local authorities of the
country), the Prosecutor General, the Anti-Fraud Office, the

6.6 If an allegation involves an Adare International

7. Training
7.1 The Company will regularly report its anti-bribery measures
to suppliers, employees and associates. The Company also

8. Management and Monitoring of Suppliers and due diligence
8.1. The practices of our suppliers must reflect Adare
