1 Redacción
Common Law Drafting Style, propio del Derecho anglosajón, establece un clausulado
contractual enormemente detallado. Se prevé toda contingencia posible que pueda
presentarse en el desarrollo y ejecución del contrato.
Con ello se trata de evitar la aplicación supletoria de leyes estatales, así como la
interpretación diferente por parte de los tribunales o árbitros que resulten competentes,
es decir, no coincidente con la intención de las partes.
a) This Contract shall be governed by and construed in accordance with English law and
any dispute arising out of or in connection with this Contract shall be referred to
arbitration in London in accordance with the Arbitration Act 1996 or any statutory
modification or re-enactment thereof save to the extent necessary to give effect to the
provisions of this Clause.
The arbitration shall be conducted in accordance with the London Maritime Arbitrators
Association (LMAA) Terms current at the time when the arbitration proceedings are
commenced.
Nothing herein shall prevent the parties agreeing in writing to vary these provisions to
provide for the appointment of a sole arbitrator.
In cases where neither the claim nor any counterclaim exceeds the sum of USD 100,000
(or such other sum as the parties may agree) the arbitration shall be conducted in
accordance with the LMAA Small Claims Procedure current at the time when the
arbitration proceedings are commenced.
In cases where the claim or any counterclaim exceeds the sum agreed for the LMAA
Small Claims Procedure and neither the claim nor any counterclaim exceeds the sum of
USD 400,000 (or such other sum as the parties may agree) the arbitration shall be
conducted in accordance with the LMAA Intermediate Claims Procedure current at the
time when the arbitration proceedings are commenced.
b) Notwithstanding the above, the parties may agree at any time to refer to mediation any
difference and/or dispute arising out of or in connection with this Contract.
In the case of a dispute in respect of which arbitration has been commenced under the
above, the following shall apply:
I. Either party may at any time and from time to time elect to refer the dispute or
part of the dispute to mediation by service on the other party of a written notice
(the “Mediation Notice”) calling on the other party to agree to mediation.
II. The other party shall thereupon within 14 calendar days of receipt of the
Mediation Notice confirm that they agree to mediation, in which case the parties
shall thereafter agree a mediator within a further 14 calendar days, failing which
on the application of either party a mediator will be appointed promptly by the
Arbitration Tribunal (“the Tribunal”) or such person as the Tribunal may designate
for that purpose. The mediation shall be conducted in such place and in
accordance with such procedure and on such terms as the parties may agree or,
in the event of disagreement, as may be set by the mediator.
III. If the other party does not agree to mediate, that fact may be brought to the
attention of the Tribunal and may be taken into account by the Tribunal when
allocating the costs of the arbitration as between the parties.
IV. The mediation shall not affect the right of either party to seek such relief or take
such steps as it considers necessary to protect its interest.
V. Either party may advise the Tribunal that they have agreed to mediation. The
arbitration procedure shall continue during the conduct of the mediation but the
Tribunal may take the mediation timetable into account when setting the
timetable for steps in the arbitration.
VI. Unless otherwise agreed or specified in the mediation terms, each party shall
bear its own costs incurred in the mediation and the parties shall share equally
the mediator’s costs and expenses.
VII. The mediation process shall be without prejudice and confidential and no
information or documents disclosed during it shall be revealed to the Tribunal
except to the extent that they are disclosable under the law and procedure
governing the arbitration.
(Note: The parties should be aware that the mediation process may not necessarily
interrupt time limits.)
Este sistema sólo se debe utilizar cuando exista una legislación estatal o internacional
muy concreta, que no ofrezca lugar a dudas y que, por tanto, tenga carácter supletorio
para lo no establecido por las partes.
“Todas las desavenencias que deriven del presente contrato o que guarden relación
con éste serán resueltas definitivamente de acuerdo con el Reglamento de Arbitraje de
la Cám ara de Comercio Internacional por uno o más árbitros nombrados conforme a
este Reglamento."
Son muchos los contratos atípicos (no configurados y regulados expresamente por una
ley o convenio) que se utilizan en el comercio internacional, ya sea porque se construyen
contratos mixtos, mezcla de otros típicos, ya por que se han ido creando por las empresas
tipos contractuales nuevos necesarios en este tipo de operaciones transfronterizas.
En estos supuestos, una vez designada la ley aplicable, habrá que estar a lo que la
misma establezca sobre contratos atípicos.
Este título no tiene que ser siempre específico, puesto que muchos contratos como ya
se ha señalado son atípicos y por tanto no tienen un nombre que los designe, por lo
que en dichos casos se establecen títulos genéricos. Ejemplo: “contrato Privado”
Sin embargo, cuando se titula de manera específica no quiere decir que el título
condicione el contrato.
B. Partes contratantes.
D. Preámbulo.
Tradición anglosajona de realizar una especie de exposición de motivos por los que se
celebra el contrato, previa al clausulado.
Es decir, modo y momento en que el contrato queda perfecto, nace a la vida jurídica, en
que las partes quedan ligadas por él y con las obligaciones y derechos que en él se
establezcan.
Habrán de sujetarse siempre a lo que la ley aplicable establezca. Por ejemplo hay
muchos Convenios, como los relativos a los contratos de transporte, en los que se
establece un régimen inderogable de responsabilidad del porteador, por lo que se
tendrán por no puestas las cláusulas que traten de sobrepasar esos límites.
Por otro lado, se puede aplicar una sola ley a todo el contrato, o bien elegir otra
también para regir alguna parte del mismo.
Teniendo siempre presente que la elección del foro de un país determinado no implica
la aplicación de la ley del mismo.
Del mismo modo que lo señalado para la ley aplicable se puede decidir por ejemplo
que un tipo de reclamaciones se hagan ante los tribunales de un Estado, mientras que
otro se remita al arbitraje.
“En caso de desavenencias derivadas del presente contrato o relacionadas con él, las
partes se comprometen a someterlas al proceso de solución de desavenencias del
Reglamento ADR de la CCI. A falta de resolución de las desavenencias según dicho
Reglamento dentro de los 45 días siguientes a la presentación de la demanda de ADR,
o al vencimiento de otro plazo que hubiera sido acordado por escrito por las partes,
dichas desavenencias serán definitivamente resueltas de acuerdo con el Reglamento
de Arbitraje de la Cámara de Comercio Internacional por uno o más árbitros nombrados
conforme a dicho Reglamento de Arbitraje.”
Cláusula Entire Agreement, por la que se hace constar que el contenido del
contrato es el que han fijado las partes en el mismo, excluyendo otros documentos
que se hayan podido utilizar en la negociación.
3 Resumen
Necesidad de un elemento extranjero para que un contrato tenga la calificación
de internacional.
La redacción de los contratos internacionales tiene que ser más detallada que la
de los contratos internos, dada su complejidad.
