La teoría de la imprevisión (art. 1091 CCyC): se refiere a los
CCyC
Entre los contratos innominados (no regulados), pueden citarse los
obligaciones asumidas
La ejecución es inmediata cuando se cumple con todas las
obligaciones paralelamente a la celebración del contrato, sin
intervalo de tiempo

will be executed on both sides
Types of contracts (american law)
Valid, void, voidable and unenforceable
contracts:
A valid contract has the elements
necessary to entitle at least one of the
parties to enforce it in court.
Those elements are: 1).- an offer and an
acceptance, 2).- supported by legally
sufficient consideration, 3).- made by
parties who have the legal capacity to
enter into the contract and 4).- for a legal
purpose.
What is the “consideration” ?
Consideration is the central concept in the common law of
contracts and is required, in most cases, for a contract to be
enforceable. Consideration is the price one pays for another's
promise. It can take a number of forms: money, property, a
promise, the doing of an act, or even refraining from doing an
act. In broad terms, if one agrees to do something he was not
otherwise legally obligated to do, it may be said that he has
given consideration.
For example, Jack agrees to sell his car to Jill for $100. Jill's
payment of $100 (or her promise to do so) is the consideration
for Jack's promise to give Jill the car, and Jack's promise to
give Jill the car is consideration for Jill's payment of $100
What is the “consideration” ?
In order to meet consideration's requirements, a contract must fulfill three
elements.
First, there must be a bargain regarding terms of an exchange.

efecto, impidiendo su aceptación y, por lo panto, la
celebración del contrato
RETRACTACIÓN DE LA OFERTA
DISTINTAS SITUACIONES
La oferta puede haber sido emitida a una persona
determinada. Esa oferta puede haber sido emitida
con o sin plazo de duración.
Si hay plazo, el oferente no puede retractarla
durante su vigencia (art. 974 CCyC); el aceptante
tiene la seguridad que puede formular su aceptación
durante ese lapso y perfeccionará el contrato.
Si no hay plazo, dos escenarios pueden
presentarse (art. 974 CCyC), según exista o no la
posibilidad de una “comunicación instantánea”
entre oferente y aceptante
RETRACTACIÓN DE LA OFERTA
DISTINTAS SITUACIONES
La oferta formulada por un medio de comunicación
instantáneo (por ej., telefónicamente, mediante chat, etc.), se
acepta inmediatamente, por lo que normalmente no hay lugar a la
retractación.
Si es formulada por un medio de comunicación no
instantáneo (por ej., mediante mail, correspondencia epistolar,
carta certificada, telegrama, mail, WhatsApp, fax, etc.) el
proponente queda obligado hasta el momento en que puede
razonablemente esperarse la recepción de la aceptación, expedida
por los medios usuales de comunicación, pero puede revocar si la
comunicación de su retiro es recibida por el destinatario antes o al
mismo tiempo que la oferta.
La situación presenta aristas distintas cuando se trata de ofertas al
público o a personas indeterminadas (contrato de consumo)
CADUCIDAD DE LA OFERTA
“La oferta caduca cuando el proponente o el destinatario de
ella fallecen o se incapacitan, antes de la recepción de su
aceptación. El que aceptó la oferta ignorando la muerte o
incapacidad del oferente, y que a consecuencia de su
aceptación ha hecho gastos o sufrido pérdidas, tiene derecho
a reclamar su reparación” (art. 976 CCyC).
