TERMINOS Y CONDICIONES

El CLIENTE entiende y acepta:

1- La cotización tiene una validez de 15 días Naturales.
2- PRECIOS: Los precios son en moneda estadounidense USD. Los impuestos y aranceles están incluidos, según sea el incoterm y precios en
el Gran Área Metropolitana.
3- FORMA DE PAGO: sujeto a análisis y aprobación. El método final debe alinearse antes de la emisión de OC con el equipo de Nexsys.
4- CONTRATO: En caso de requerirse la firma del contrato entre las partes, las condiciones de este Presupuesto se incorporarán a la totalidad
del contrato, como si estuvieran transcritas en el mismo.
5- PREVISIÓN DE ENTREGA: La previsión de entrega informada en esta Cotización es una estimación basada en los datos proporcionados por
el Fabricante. PBS es consciente y acepta que la fecha de entrega puede ser modificada por circunstancias operativas o comerciales, así como
por retrasos en la fabricación, disponibilidad del material por parte del Fabricante y/o atrasos en la logística de transporte por crisis de fuerza
mayor.
Los suministros de software, vendidos bajo licencia, se considerarán inmediatamente irrevocables e irreversibles en vista de sus
características nominales e intransferibles.
6- ENVÍO: La propiedad y el riesgo de transporte del equipo, incluidos los daños, se transfieren a PBS al momento de la entrega. No incluye
personal de descarga ni cambios en la dirección de entrega una vez enviada.
7- CONFIDENCIALIDAD: Las Partes acuerdan que la información divulgada entre sí, en particular la información técnica del entorno
tecnológico del Cliente que se ha divulgado en el curso de la negociación y la información de Precio transmitida por el distribuidor es
confidencial y de uso restringido. El propósito de esta negociación se mantendrá confidencial y el primero podrá ser revelado únicamente al
Fabricante con el único propósito de ejecutar el objeto de esta Cotización.

1-By receiving this offer the Channel Partner/Customer expressly accepts and agrees on the following:
- This offer itself and/or the terms included in it, including but not limited to prices and/or costs quoted in this offer, are
valid from the quotation date till: 2024-03-13 (Valid period for Non-Server products shall not exceed 3 months and Server
products shall not exceed 30 days).
At the end of this period, xFusion reserves the right to vary this offer and/or any term included it, including but not limited
to update the prices and/or costs at its sole discretion.
- This offer constitutes mere information and an invitation to the Channel Partner/Customer, not binding for xFusion, to
submit to xFusion its petition of Purchase Order.

- The terms contained in this offer and/or this offer itself shall be valid and enforceable by the Channel Partner/customer
and bidding for xFusion only in case of xFusion and the Channel Partner/Customer formalizes, according to xFusion
contracting processes,a Purchase Order that includes xFusion terms and conditions.

- The abovementioned xFusion terms and conditions shall be the only terms and conditions applicable to the provision of
services and/or goods described in this offer and therefore they shall govern the provision of the mentioned goods and/or
services.

- xFusion may, at its sole discretion and without any compensation (including but not limited to indemnification for
damages) in favor of the Channel Partner/Customer, accepts or rejects the formalization of a Purchase Order.

- Any Channel Partner/Customer terms and/or conditions, communicated (orally, in writing or trough any other mean) or
not, shall be void and not applicable for the provision of the goods and/or services described in the present offer.

2-The price in this offer only covers the specific items (such as hardware, software and service, etc.) in the BOQ list,
excluding the optional parts.
3-The prices of storage battery shall only be applied to this contract.

xFusion shall be entitled to select another supplier if the nominated supplier is no longer qualified or in default of its
performance.

Extra charge shall be paid for exceeded length of cables based on actual site information.

Important:The total price of Trunk Cable,Optical Fiber,Ethernet Cable,Jumper Cable,Power Cable,Installation

Materials,Auxiliary,Feeders are firmed and shall remain unchanged regardless quantities and required items used on
actual.

Statement on Embedded Software License ：xFusion application package might include Embedded Software License
(abbreviated as “ESL”, means a third-party software that must be bundled or integrated with application software or
equipment of xFusion, of which limited license is granted by owner to users for designated purpose other than anyone
else. Maintenance and Upgrade can not be executed independently or separately). ESL can only be used through
xFusion's application package and (1) shall not be installed, configured, upgraded, or modified directly; (2) nor be
accessed directly, but solely through xFusion’s application package. xFusion may only access the ESL directly for
purposes of providing technical assistance.
