GENERAL TERMS AND CONDITIONS FOR SALES AND SERVICES

INTRODUCTION
The offer contained herein forms part of the purchase order and reflects the terms freely negotiated between the parties, unless otherwise
established in the purchase order. Once accepted, it shall constitute a valid and enforceable agreement between them.

SUPPLIES AND SERVICES

1. PRICES
The prices are fixed. Any adjustment shall be approved beforehand. Unless expressly stated otherwise, the prices offered to ABB
S.A. include all applicable taxes, surcharges or contributions and any other cost or expense, including insurance, packing,
transportation and/or freight.

2. PAYMENT TERMS:
The payments shall be made by electronic funds transfer, checks, factoring or any other method that ABB S.A. agrees to with the
supplier, in accordance with the commercial terms established. These may not be less than sixty (60) days.

3. DELIVERY TERMS AND DEADLINES:

The equipment sold shall be delivered in accordance with the provisions established in the proposal or purchase order, within the
term indicated therein and, unless otherwise indicated, to the warehouses of ABB. The cost of adequate packaging shall be borne by
the supplier.

4. CHANGES IN THE PURCHASE ORDER

The purchase order has been prepared in accordance with the requirements of ABB. The supplier undertakes to comply with these
requirements, applying the highest engineering standards, even in those cases where the information supplied is not sufficiently
detailed. ABB may order changes in the purchase orders, which shall only take affect prior written agreement, taking into account the
changes in the price and delivery deadline.

5. TEMPORARY SUSPENSION ORDER ISSUED BY ABB

The temporary suspension of the purchase order by ABB shall give rise to the right to the acknowledgment of greater costs caused to
the supplier, provided that these are duly supported.

6. CANCELLATION OF THE ORDER

The order may be unilaterally cancelled by ABB through written notice. In this case, the following shall be paid:
(I) The amount of all costs incurred in the execution of the order up until the date of notification of the termination.
(II) 10% of the costs incurred as per the preceding item, to cover profit and overheads.

7. GUARANTEE TERMS
Unless expressly stated otherwise in the offer, the equipment, good or service supplied is guaranteed against any engineering ,
material or manufacturing defect for a term of twelve (12) months as from the date of delivery at our factory, or (12) months as from
the commissioning, whichever occurs later. It is guaranteed that at the moment of delivery, the equipment or service shall meet the
specifications of ABB, free from any engineering, labor, material or manufacturing defect, and shall be fit for the purposes for which it
was sold. In the case of the provision of services, it is guaranteed that these shall be performed in accordance with the description of
the scope of the offer submitted. The manufacturer or supplier of the good or service undertakes, as applicable, to repair and /or
substitute any defective product or incorrectly -executed service within the shortest possible term, bearing all expenses arising from
the elimination of the defects, including design, materials and labor. The defective parts or incorrectly -executed service substituted
shall be made available to ABB and shall constitute its property. The goods or services of the guarantee shall be subject to the same
period agreed to, as from the date of the repair or newly-rendered service.
If the abovementioned repair or replacement is not carried out, ABB shall replace the parts or equipment affected at the expense of
the supplier.

8. OWNERSHIP OF THE EQUIPMENT

It is guaranteed that the equipment supplied shall become the property of ABB, being free of demands, encumbrances, liens and
limitations on ownership. In the case of failure to comply with the foregoing, ABB shall immediately notify the supplier in writing so
that the supplier may, at its own expense, assume the defense of the case. The supplier further declares that it is the owner or has
the legitimate rights over the intellectual property of the goods or services that it provides to ABB, who may use them as agreed.

9. TESTS
If so requested, the supplier undertakes to attend the tests of the equipment, verification of the service or facility, as necessary.

10. INDIRECT DAMAGE

ABB, its directors, representatives, employees and shareholders shall not be responsible in any case whatsoever for incidental ,
indirect, consequential or special damages of any kind, including but not limited to loss of revenue, loss of profit or losses resulting
from the failure to comply with this purchase order.

11. PENALTIES
The supplier undertakes to meet the delivery date as agreed; otherwise ABB may apply a penalty of 1% of the total value of this order
or the missing percentage. This penalty may not exceed 10% of the total value.

12. TERMINATION OF THE PURCHASE ORDER

In accordance with the provisions established in Section 1430 of the Civil Code, the parties agree that the purchase order may be
unilaterally cancelled by ABB if the supplier fails to comply as follows:
1. Failure to deliver the good or finalize the service within thirty business days after receiving notification from ABB indicating the
expiration of the term for delivery.
2. Failure to comply with any of the obligations assumed herein.

Cancellation shall occur as a matter of law when, following the failure to comply, ABB communicates it decision to make use of the
cancellation clause.

After the cancellation as a matter of law in accordance with the provisions established in the preceding point, the supplier shall pay
ABB a sum corresponding to the cost of canceling the purchase order set by ABB (10% of the contractual amount), without prejudice
to the right to demand the return of the amount paid, being able to transfer the responsibility and penalties for the greater damages
that may have been caused directly to its clients.

13. PERSONNEL
All personnel of the service provider are under its sole responsibility. ABB may verify or demand the compliance of all legal
obligations on the part of the service provider, under penalty of cancellation.

14. CONFIDENTIALITY
Any information generated as a result of this relationship, as well as any document that may be exchanged by the parties, shall be
considered confidential, and may be used only for the direct purposes of this purchase order, except for information that is public
domain, under liability for damages and loss.

15. ASSIGNMENT AND SUBCONTRACTORS

The assignment of the rights or obligations arising herefrom is prohibited, as is the subcontracting of third parties for the provision of
the good or service, unless expressly approved by ABB.

16. ARBITRATION
All lawsuits, disputes, disagreements or complaints resulting from, related to or derived from this legal act or related hereto, including
those related to its validity, effectiveness or termination, even those of the arbitration agreement, shall be resolved through
arbitration, which award shall be final and incontestable, in accordance with the regulations and statutes of the National and
International Conciliation and Arbitration Center of the Lima Chamber of Commerce, to which rules, administration and decision the
parties submit themselves unconditionally, declaring their familiarity therewith and acceptance thereof in their entirety.

17. APPLICABLE LAW

The terms and conditions described herein form an integral part of the offer submitted and are legally binding, in the case of the
acceptance hereof. This agreement shall be interpreted and governed in all aspects by the laws of the Republic of Peru.
