LEASE AGREEMENT VEOLIA WATER CHILE SpA -TO- VEOLIA W PROCESOS SpA. This Lease Agreement (this “Agreement”) is made and entered into as of March 14, 2013 (the “Execution Date”), by the following companies, represented as follows: Mr. Bruno Forissier and Mr. Fernando Mora, representing VEOLIA WATER CHILE SpA, a company by shares, taxpayer identification number 76.169.661-0, all domiciled at Avenida Santa Maria 2880, oficina 301, Providencia, Santiago, hereinafter also the “Lessor”; and Mr. Bruno Forissier and Mr. Alberto Campos Espinoza , representing VEOLIA W PROCESOS Spa, a company by shares, taxpayer identification number 76.249.829-4, all domiciled at El Bosque Sur 130, 12 Floor, Las Condes, Santiago, hereinafter also the “Lessee” (Lessor and Lessee may hereinafter be referred to individually as “Party” or collectively as the “Parties”); all of age, who certified their identity with the mentioned identification cards, and who agreed on the following: FIRST: Background information. ‘One. VEOLIA WATER CHILE SpA is the owner of an ion-exchange copper recovery plant, located at CODELCO, Divisién ef Teniente, and cach of the assets that compose the same hereinafter collectively the “Plant” or the “leased asset”. In Annex One of this instrument, which duly signed by VEOLTA WATER CHILE SpA and VEOLIA W PROCESOS SpA is deemed as part of this agreement, the Plant and each of such assets are described. ‘Two. VEOLIA W PROCESOS SpA has expressed to VEOLIA WATER CHILE SpA its interest in leasing the Plant. SECO! Lease. By means of this instrament, VEOLIA WATER CHILE SpA leases from April 8 2013, or the earlier date when Final Completion of the Plant is achieved, the Plant to VEOLIA W PROCESOS, SpA. The Lessee accepts the leased asset and undertakes fo use it exclusively for the exploitation and development of its own commercial and/or industrial activities and specially to render services 10 CODELCO, Divisién el Teniente, under the terms and conditions of the Barahona Contract. The Barahona Contract shall mean for this purposes a Build, Own, Operate contract number 4501139528 signed on 15 April 2011 (and as amended pursuant to Modificacion N°1 del Contrato 4501139528 dated February 1, 2012) with CODELCO, division El Teniente ("CODELCO"), to design, build and operate @ copper recovery processing plant capable of recovering 1,680 tons of soluble copper from CODELCO tailings drainage over a 5-year contract term. ‘The Barahona Contract was assigned on February 13, 2013 from VAPOR PROCESOS S.A. to VEOLIA WATER CHILE SpA, with CODELCO’s consent. | Ny, THIRD: Delivery. The delivery of the leased asset is carried out in this same act, to the complete and total satisfacti of the Lessee, who declares to receive the Plant, considering its nature and the instructions, directions and recommendations made by the supplier, producer and/or manufacturer of each of its components, being its sole responsibility to obtain any further information that might be required. FOURTH: Duration of the lease. This lease agreement shall have a fixed term of 23 months as from April 8 2013, or the earlier date ‘when Final Completion of the Plant is achieved. For this purposes Final Completion definition shall be the one specified in Section 8 of the EPC Agreement signed today by VEOLIA WATER CHILE SpA and by VAPOR PROCESOS S.A. for the construction of the Plant. FIFTH: Rents. One. Rents. The Lessee shall pay the Lessor twenty-three (23) equal and successive monthly rents of 105.838.280 pesos (ciento cinco millones ochocientos treinta y ocho mil doscientos ochenta ‘pesos), plus value added tax, each one. The Lessee may pay in an anticipated manner, nevertheless, each or all of the last six (6) monthly rental payments of this agreement, according to what is also established in clause fifteenth of this agreement. This payment shall be made within the first five calendar days of each of the latest six (6) months of the term of this agreement. ‘Two. Date and place of payment. All rents shall be paid in arrears within 45 days from submission of the respective invoice to Lessee. Three. In general, any payment made in accordance with this agreement by the Lessee to the Lessor shall be in cash to the following bank account: VEOLIA WATER CHILE SpA Pesos Current Account No.: 000-026039-001, ‘Four. Monthly rents shall be pai in Chilean pesos, Five. Value added tax. The stipulated rents do not include the currently existing value added tax, or other shifting taxes or surcharges that, currently or in the future, could affect them, and which shall be paid by the Lessee jointly with the rents, considering them as part of the same for purposes of its collection. Any variation that the value-added tax rate may experience would proportionately affect the agreed rent. Six. Delay in the payment of rents. The fact that VEOLIA WATER CHILE SpA accepts the late payments of one or more rents, shall constitute an act of mere folerance, which does not give any right to the Lessee, and in the same way, the acceptance by the Lessor of any payment, either timely of late, does not imply the acceptance of the delay incurred by the Lessee regarding payments, which were to have become due prior to the period in which the rent that the Lessor accepted was, X ky SIXTH: Record. Express and special record is made on the fact that VEOLIA WATER CHILE SpA does not guarantee nor shall it incur any liability with respect to the quality, suitability, and technical aptitude of the Plant, nor its construction or operating defects, nor for any other reason or cause which may eventually affect the leased asset, which in no case, shall constitute sufficient cause for the Lessee to: (j) terminate this contract; (ii) refuse to comply with its obligations under this agreement; or (ji) refuse or delay the payment of the rents within the deadlines set forth in clause fifth above. SE Destination, Joc: n, and warranty of the leased ass One, Destination of the leased asset. The Lessee undertakes to destine the leased asset to the normal use to which it has been assigned, while fully respecting and complying with each manufacturer and/or supplier’s specifications and instructions, as well as the legal, regulatory and administrative provisions governing their use, enjoyment, operation, movement, exploitation, maintenance and/or possession. The leased assets shall be exclusively used to provide services to CODELCO under the Barahona Contract ‘Two. Location of the leased asset. The Lessee undertakes to maintain the leased asset at the EL, TENIENTE DIVISION, CODELCO, DISTRICT OF MACHALI, REGION OF THE LIBERTADOR GENERAL BERNARDO OHIGGINS. The Lessee shall provide within a period of time of 100 days from this date a statement of CODELCO recognizing the ownership by VEOLIA WATER CHILE Sp of the leased asset, declaring that the assets will not be regarded as its inmovable property by adhesion or destination, and agreeing not to exercise any right over these leased assets. The form of such statement is attached as Annex Two. The breach of this Lessee’s obligation shall be considered a material breach under this agreement, being VEOLIA WATER CHILE SpA. empowered to exercise the rights referred to in the seventeenth clause of this instrument. ‘Three. Change of destination or location. The Lessee shall not vary the destination and/or the location of the Plant, without previous permission granted in writing by VEOLTA WATER CHILE SpA, and by the insurance company of the leased property, when appropriate, Four, Guarantees of the producer or supplier regarding the Plant and assets that form the ‘same, Documents certifying the guarantees regarding the Plant and assets that compose the same. will be transferred by VEOLIA WATER CHILE SpA to the Lessee, who will subrogate all rights, that belong to the Lessor for this concept, without liability for the latter. VEOLIA WATER CHILE SpA does not contract any responsibility whatsoever in compliance with said guarantees. EIGHTH: Reparation. ‘One. VEOLIA WATER CHILE SpA is not liable to the Lessee in case the possession and exploitation of the Plant is affected given the acts of third parties or by third parties who justify any right over the leased asset, whatever the cause of such right might be, and even if such right existed before the execution of this agreement, whether it has been or not known by the Lessee and whatever the kind of deficiency experienced by the Lessee. \ ¥ ‘Two. VEOLIA WATER CHILE SpA will not have any responsibility for the poor condition or quality of the Plant, whatever may be the cause and whether it had or not existed at the time of entering into this agreement, even when such conditions should have been known by the Lessor. Three. It is expressly set on record that VEOLIA WATER CHILE SpA does not guarantee or contract any responsibility with respect to the quality, suitability and technical conditions of the Plant, or concerning defects of manufacturing, assembly or operation, or any other fact which were to eventually affect the leased asset, including cases of force majeure. In this sense, the Lessor assigns in advance to the Lessee all rights to claim to the manufacturer, supplier, or installer compliance with the guarantees and/or the provision of an adequate maintenance services, subrogating the Lessee to VEOLIA WATER CHILE SpA for these effects, This assignment is expressly accepted by the Lessee, The Lessee declares to know and assume any risk, related to or derived from the technical conditions and qualities of the Plant Four. The Lessee waives its right to make claims to VEOLIA WATER CHILE SpA for any of the above concepts and to ask for the termination of the agreement or to exempt itself from the full and timely compliance of its obligations under the same, especially regarding the payment of the rents, NINTH: Maintenance and conservation of the Plant. One. The Lessee shall keep and maintain the Plant in proper operative conditions at its own cost, making all repairs and/or maintenance that may be required, locative and non-locative, whatever be its cause. The Lessee shall have no right to reimbursement or compensation for repairs and/or maintenance, nor for parts, accessories or anything else that should be replaced or incorporated into the leased asset ‘Two. The improvements of any nature that the Lessee makes to the Plant belong to VEOLIA WATER CHILE SpA from the time of their incorporation, without need to reimburse their value to the Lessee, Such improvements shall not be withdrawn or separated at the end of the lease, except if they have been expressly authorized in writing by the Lessor and their withdrawal does not, cause detriment to the leased property. Three. The Lessee shall assume the payment of any tax, rate, right, license, permission and/or patent, of any nature, which may affect the Plant, its utilization, use, enjoyment, exploitation, conservation and/or possession. Four. All expenses, expenditures, fines, compensation, or any other amount that is payable by VEOLIA WATER CHILE SpA because of or with occasion of its capacity as owner of the Plant, will be assumed exclusively by the Lessee, who expressly and irrevocably undertakes to reimburse ‘those amounts properly readjusted and increased with the current interest for such kind of operations to VEOLIA WATER Chile SpA, within a period of five working days as of the request in writing sent by the latter by certified letter, dispatched to the address indicated at the appearing clause. If said period were to expire without the payment having been made, outstanding amounts shall accrue the maximum of legal interest, and the Lessee will have incurred in serious breach, being VEOLIA WATER CHILE SpA empowered to exercise the rights referred to in the seventeenth clause of this instrument. \ ¥ TENTH: Liability for damages. VEOLIA WATER CHILE SpA shall not be liable for any direct or indirect, foreseen or unforeseen damages affecting the Lessee or its property, or any third party, arising from the possession, use, enjoyment, repairs, alterations or improvements to the leased property. The Lessee undertakes to bear all the consequences arising from damages of any nature, caused to third parties, and undertakes to reimburse to VEOLIA WATER CHILE Spa, at its sole requirement, any amount that the latter could eventually be obliged to pay as compensation, due to its capacity as owner of the leased asset. ELEVENTH: Prohibitions. ‘The Lessee may not, without the prior written consent of VEOLIA WATER CHILE SpA, execute any of the following acts in relation to the Plant: to) Make modifications, improvements. or alterations of any kind. (b) Vary or alter the destination or purpose for which the leased asset has been manufactured, its location indicated in number Two. of the Seventh clause of this instrument, or its identifying elements. (c) Establish any right over the Plant or the assets that make it up in favour of third parties, assign in any way their enjoyment or tenure and assign any rights arising. from this Agreement for it. (4) Remove the leased asset outside the location indicated on number ‘Two. of the Seventh clause. (e) Adhere or allocate the leased assets to a property owned by the Lessee itself or by parties other than CODELCO, In the event that the Lessee requests this consent, which may be discretionally refused by VEOLIA WATER CHILE SpA, it must give a statement of the property owner recognizing the ownership by VEOLIA WATER CHILE SpA of the leased asset, declaring that the assets will not be regarded as its property by adhesion or destination, and agreeing not to exercise any right over these leased assets, ‘TWELFTH: Ownership of the Plant, One. The Lessee acknowledges that the ownership of the Plant belongs to VEOLIA WATER CHILE SpA and therefore undertakes not to execute any act that might alter such ownership, or ‘that might restrict the disposal, transfer or encumbrance of the Plant. ‘Two. If the Lessee were to have knowledge of facts or actions through which the title of ownership of VEOLIA WATER CHILE SpA were to be disputed or failed to be recognized, or were to derive in or may result in situations that threaten or disturb the exercise of such right, the Lessee shall immediately notify the Lessor, and exercise at its own expense as many actions, exceptions or claims as were to be necessary, before any administrative, political or judicial authority, in order to protect the ownership of the Lessor over the Plant. Three. The Lessee shall allow access to the Lessor, its agents or employees within its operating schedule, s0 that they may inspect the Plant, provided notice is given with reasonable advance. Four. Identification of assets that make up the Plant. VEOLIA WATER CHILE SpA shall be entitled to place in the assets that make up the Plant a plate or other distinctive material in visible location identifying such assets as of its property, with the Lessee committing to conserve them for the duration of this agreement. THIRTEENTH: Risk of destruction, loss and deterioration, One. All risk of destruction, loss or deterioration of the Plant, whether total or partial, whatever be its cause, including unforeseeable circumstances or force majeure, due to an act or fault of the Lessee, of its employees or of third parties, including the supplier or manufacturer, are assumed and shall be borne by the Lessee. ‘Two. By virtue of the foregoing, if due to an accident the leased asset were to be destroyed totally or partially, the Lessee shall continue paying to the Lessor the amounts contained in the fifth clause of this instrument, on the same occasions indicated thereof, until the termination stipulated for this Jease, notwithstanding the fact that if the accident were to be covered by insurance, the provisions of the following clause must be appli FOURTEENTH: Insurance. One, Contracting: As of this date and until the payment of the last rent or the expiry of this agreement due to any other cause, the leased property will remain insured by @ national insurance company against insurable and normal risks that could affect them. The insured amount will always bbe equal to the actual value of the Plant; value that to this date the parties agree is the equivalent to the amount to be set forth in Annex Three at this date, being the Lessor expressly empowered to adjust said amount if the current conditions were to vary. The insurance will be hired by the Lessee and the policy should be endorsed in name of VEOLIA WATER CHILE SpA and will benefit it as of this date, Minimum coverage. The corresponding policy shall have to contain, as a minimum, the following coverage: FIRE, according to policy entered in the register of policies under code POL one point ninety-one point zero one six, including the additional coverage: Risks of Nature: material damage caused by wind, flood and overflow channels, CAD one point ninety-elght point zero three three; Material damage eaused by sea flooding, CAD one p 1ety point zero one six; Avalanches, mudslides and landslides, CAD one point ninety p zero one seven; Phenomenon of nature, except for fire caused by earthquake, CAD one point ninety one point zero zero three; material damage caused by weight of snow or ice, CAD one point ninety point zero two four. Earthquake risks: fire caused by earthquake, CAD one point ninety point zero zero one nine; Material damage caused by earthquake, CAD one point ty point zero one nine Political risk and Explosion as a direct result of terrorism, strike, popular disorder CAD one point ninety point zero one one - CAD one point ninety point zero one two; Material damage as a result of strike or popular disorder; Looting ‘occurred during strike or popular disorder, CAD one point ninety point zero one three, Other additional coverage: damage caused by Aircraft, CAD one point ninety point zero zero seven; Damage caused by Motor Vehicles, CAD one point ninety point zero zero eight; Material damage caused by Explosion; Damage from crash or collision with fixed or floating objects including vessels; Spontaneous combustion CAD one point ninety point zero zero four, CAD ‘one point ninety point zero two three and CAD one point ninety point zero two one; Collapse of building, CAD one point ninety two point zero two nine; Removal of rubble CAD one point ty point zero two five; Damage caused by breakage of pipes or overflow of main tanks CAD one point ninety point zero zero nine. Particular Conditions: Removal of rubble: ‘expenses due to debris removal and/or other expenses incurred on in connection with the operations of clearing of the site or of site of the accident covered by this policy as a result of a rrisk covered by the policy and to a sublimit of ten per cent of the amount insured by location, subject to a maximum of two thousand UF. Professional fees: It shall be necessary to cover expenses for professional fees, travel expenses, travel and stays of engineers, architects, legal advisors and/or consultants that are to be incurred on as a result of an event covered by this policy, until a sublimit of ten per cent of the amount insured per location. Damage caused by xy smoke: ten per cent of the amount insured per location, Material Damage caused by Motor Vehicles including own ones: the policy should be extended to cover damage caused by the insured’s own vehicles when they are operated or are under their control or that of their families or dependents. Electrical damage: The policy must cover damage which in its origin or its extension is caused by electric power, discharge or other electrical phenomena that is undergone by electrical devices, installations and accessories, for reasons specific to their operation or inherent to the same electricity, as well as damage to equipment failures in the interconnected electricity system, over voltages or voltage variations, everything up to the sublimit of ten per cent of the amount insured per location. Fire fighting expenses: up to a sublimit of ten per cent of the amount insured per location. Request of permits and licenses. Expenses for acceleration. Clause seventy-two hours for risks of nature including earthquake. Clause forty-eight hours for political risks and terrorism Leeway ten per cent. Additional ssured materials: the following types of assets must be part of the coverage: (a) Fences, gates, fencing, sidewalks, pavements and roads; (b) Retaining walls; (¢) connections to the network of public services; (d) trees, plants, shrubs, gardens, drainage works, wells and channels; (¢) radio, television or communication antennas. Firefighting and extinction and preservation of the property: fire fighting and extinetion and preservation of the property, including costs of minimizing losses should be covered up to a sublimit of ten percent of the amount insured per location. Complementary coverage: The policy should extend to cover the direct and immediate accidental and/or fortuitous damage caused by water, due to: breakage of pipes or parent pond overflow, including discharge or leakage of the Sprinkler System or sprinklers. Overflow or breakage of channels or drops of rain water in the building where there is insured property. Overflow or breakage of washbasins, bathrooms, dishwasher or other similar devices in the building where there is insured property. The damages that the breakage or overflow could cause to the pipes or ponds of the same building provided these assets are part of the insured material and are properly valued at the beginning of the coverage. Damage caused by wind, flooding and overflow of channels: According to the conditions laid down in the additional, the policy should be extended to cover the material damage caused by wind, flood and overflow of channels to buildings, facilities, equipment and contents insured and deposited in basements, including antennas of radio, television or communication fo the sublimit of ten per cent of the amount insured per location. Deduetibles applicable to each and every loss: Commereial Risks: two per cent of the amount insured per location, subject to a minimum of fifty UF applicable to each and every loss. Residential risks: one percent of the amount insured per location, subject to a minimum of twenty five UF applicable to each and every loss. Extensions of terrorism: ten percent of the accident compensation, subject to a minimum of one hundred UF. Special clauses: clause of no modification or cancellation without consent of VEOLIA WATER CHILE SpA; clause of automatic rehabilitation; premium proof payment cash; in favour of VEOLIA WATER CHILE SpA. The Lessee shall comply with all terms and conditions of the contracted insurance policies, taking care to avoid that due to any event, act or omission on its part, there could be a resolution or expiration. The Lessee shall deliver the duly endorsed policy to VEOLIA WATER CHILE SpA within 2 period of thirty days counted from this date, and in case of extensions, modifications and/or renewal, within the same period, as from the date of the extension, modification and/or renewal. In the event that the policy, its time extensions, modifications and/or renewals are not delivered properly endorsed, within the stipulated time limits, or if having been delivered, they were not to satisfy the coverage and requirements set out in this clause, VEOLIA WATER CHILE SpA is as of now empowered, at its own discretion, to contract insurance in a national company of insurance and under the legal and commercial conditions which it deems most appropriate, waiving the Lessee any claim in this respect. The Lessor is empowered to request the Lessee to reimburse premiums and all expenses incurred by such concept, or to proceed as set forth in the fifteenth clause of this instrument, at its own discretion, 1 xX * ‘Two. Amount and form of payment The Lessee hereby undertakes to pay promptly and in full the premium of insurance, on the date of maturity, having to prove such circumstances to the Lessor within the five business days following the date of expiration. If no proof of the payment is provided within the stipulated term, VEOLIA WATER CHILE SpA is as of now empowered, at its sole discretion, to pay the premium (waiving the Lessee any claim in this respect and undertaking to reimburse the premium and all expenses incurred due to that concept), or proceed as set forth in the seventeenth clause of this instrument. ‘Three. Accident. The determination of partial or total loss will belong to the insurance company. Therefore, if the compensation that the insurer shall pay does not entirely cover the damages caused by the event, the difference to be covered up to the full amount of such damages shall be assumed by the Lessee. The Lessee must immediately notify the incident to the Chilean Police and inform in writing to VEOLIA WATER CHILE SpA, no later than the second working day following the date on which, the accident which has affected the leased asset occurs, whatever the damage or loss suffered and whether or not covered by the insurance policy, indicating the date and circumstances of the accident, as well as the nature and amount of the estimated damages. Damages caused as consequence of a delayed notice, will be assumed entirely by Lessee. The rehabilitation of all insurances after an accident will be an exclusive cost of the Lessee. If the insurance is contracted with franchise or deductible, the damages that for this reason were not to be compensated by the insurer, will be paid by the Lessee, (a) Partial loss. If the accident is partial, and notwithstanding the provisions of the preceding clause, the amount of compensation paid by the insurer to VEOLIA, WATER CHILE SpA will be destined, at the choice of the Lessor: a.one) to repair the Plant, oF a.two) to the payment of the amounts due and/or pending at the date in which the Lessee should make once occurred the accident and until the end of the agreement, plus the price of the option to purchase the leased asset set out in number One. of the sixteenth clause of this instrument, at the choice of VEOLIA WATER CHILE SpA. In case of alternative a.one), if there is no compensation or its value is not reached, whatever the cause of the absence or inadequacy of compensation or loss, including force majeure, in order to fully repair the leased asset, the Lessee itself shall fully repair the leased asset or supplement the compensation paid by the insurer, if it were to be insufficient, assuming to bear the value of repairs not covered by the insurance. In case of alternative a.two), if there is no compensation or its value is not reached, whatever the cause of the absence or inadequacy of the compensation or loss, including force majeure, to cover the full ‘amount that the Lessee shall pay to the Lessor, the Lessee shall complete the difference to be pay to VEOLIA WATER CHILE SpA. Otherwise, the excess shall belong to the Lessee and it shall be paid to it by VEOLIA WATER CHILE SpA b) Total loss. If the loss were to be total and notwithstanding the provisions of the preceding clause, the amount of the compensation paid by the insurer to VEOLIA WATER CHILE Spa will be allocated to the payment of the amounts due and/or pending at the date the accident occurred and until the termination of the contract, plus the price of the option to purchase the leased asset set forth in number One. of the sixteenth clause of this instrument. If there is no compensation or its value is not reached, whatever the cause of the absence or inadequacy of compensation or loss, including force majeure, to cover the full amount of ‘what the Lessee shall have to pay to the Lessor, the Lessee shall complete the difference and pay it to VEOLIA WATER CHILE SpA. Otherwise, the excess shall belong to the Lessee and it shall be paid to it by VEOLIA WATER CHILE SpA. In the event of total loss, the Lessee expressly resigns the irrevocable offer granted in accordance to the sixteenth clause of this agreement, empowering VEOLIA WATER CHILE Spa to transfer the damaged assets to the insurance company and to comply with all the provisions set out in the insurance policy. . oF FIFTEENTH: Termination of the agreement. One, Once all rents are paid (provided that the Lessee may pay in an anticipated manner the last six (© months of the term of this agreement in one lump sum without penalty), and having the Lessee given complete and timely compliance to all of the obligations assumed by this instrument, the latter shall be able to purchase the leased asset. For this purpose, it shall be necessary to proceed as indicated in the following clause. Two. The Lessee shall communicate, by means of a registered letter delivered to VEOLIA WATER CHILE SpA, the right that is going to be exercised, with at least 30 days before the expiration of the term specified in the fourth clause of this instrument or at least 30 days before the anticipated payment specified in the clause fifteenth number One of this instrument. In the event that this communication is not executed, it shall be presumed that the Lessee tacitly accepts the offer for sale. However, expressed or implied acceptance of the offer for sale shall be deemed made under the condition that the Lessee promptly pays the purchase price, including costs, duties, fees, taxes and other that were to arise from it, and is a party in the granting of the respective instrument in which it is stated. Otherwise, it shall be deemed that it has opted to return the leased asset, and most proceed to this effect in the form referred to in b) of number One precedent. SIXTEENTH: Irrevocable offer to sell. One. If, once all of the conditions listed in this number One are met, the Lessee opts for the alternative indicated in the preceding clause, VEOLIA WATER CHILE SpA, irrevocably undertakes to sell the Plant. The selling price will be the amount of 105.838.280 pesos (ciento cinco millones ochocientos treinta y ocho mil doscientos ochenta pesos)plus Value Added Tax, ‘without prejudice to any other tax that were to correspond. The price of the option shall be paid in cash, In case of acceptance of the offer, the purchase shall be performed through the awarding and signing of the respective public or private deed, at the exclusive discretion of VEOLIA WATER, CHILE SpA, within a term of 15 working days as of the date in which the price is paid. The expenses, rights or tax arising from the sale and the subsequent transfer of the domain to the Lessee, shall be assumed exclusively by the Lessee, and must be provisioned prior to executing, the purchase, at the sole requirement of VEOLIA WATER CHILE SpA. The Lessee shall not be able to exercise the purchase option if at the time of exercise it maintains current debts with VEOLIA WATER CHILE SpA, unless it pays all debts and outstanding obligations to VEOLIA WATER CHILE SpA. The offer will expire if the Lessee: (a) does not pay the purchase option within a period of 30 days following the last rent payment; (b) does not pay within the same time limit previously mentioned all debts or obligations pending and overdue to VEOLIA WATER CHILE SpA; (c) is currently in breach of any of its obligations under this lease and/or of any agreement executed with Lessor or its assignee, now or in the future; (d) and Lessor is affected by an accident to the leased assets which are described as total loss by the corresponding insurance company, and the Lessor does not elect to rebuild or replace the leased assets; or (e) were to owe any sum of ‘money or any litigation or cause of action is pending against Lessee with respect to the leased assets or property, unless the Lessee provides sufficient guarantees to the Lessor (or its assigns) to satisfy any adverse judgment that could arise as to the result of any such trial SEVENTEENTH: Breach of the Lessee, If the Lessee does not comply in full and timely its obligations under this agreement, in particular if incurs in: a) delay in the payment of one or more rents, of the taxes on it, of the interest stipulated for the delay, of the insurance premium and in general, of all and any amount which, for any reason, the Lessee shall pay under this agreement; and/or b) Contravention of any of the prohibitions set forth in the eleventh clause of this instrument; VEOLIA WATER CHILE SpA would be entitled 10 exercise, at its sole discretion, one of the following rights: One. To terminate the agreement ipso-facto, without the need of any formality or judicial declaration and, therefore, to demand the immediate return of the leased property, and the payment of all expired rents, and a penalty clause by concept of damages valued in advance and by mutual agreement of the parties, equivalent to the ninety per cent of the outstanding rents at the time of the breach; or, ‘Two. To demand the payment of all expired rents and, without need of formalities or any statement, all outstanding rents until the end of the lease, which shall be deemed as immediately due. In this case, and only if all rents with their moratorium interest and collection costs have been paid and the Lessee does not owe any sum to VEOLIA WATER CHILE SpA, the Lessee shall retain its right to exercise the option to purchase agreed in the previous clause, under the terms, time limits and conditions mentioned therein. It is expressly stated that this right may only be exercised by the Lessee, within the sixty days after the date of the expiration of the first unpaid rent. Provisions stipulated in this clause do not affect the right of VEOLIA WATER CHILE SpA to. charge the amount of all rents accrued between the date of the breach and the date in which the leased asset is returned, as well as default interest, according to the terms established in the ‘twentieth clause of this instrument. ‘The circumstance that VEOLIA WATER CHILE SpA accepts delayed payments of one or more rents, without exercising its rights established herein, constitutes an act of mere tolerance that shall not represent any precedent for the interpretation of the manner in which this agreement must be complied. Furthermore, the Lessee waives the presumption of payment established in article 1,570 of the Civil Code. EIGHTEENTH: Expiration of the ters One. Notwithstanding the immediately preceding clause, in the event that bankruptey of the Lessee or of any of its co-debtors is requested (even by the same Lessee), or if the Lessee or its creditors file for judicial or extrajudicial agreements, the Lessor shall be able to declare the expiration of the term of this agreement and demand, in consequence, the immediate return of the leased property or require the payment of all outstanding rents, in the same terms indicated in number Two. of the preceding seventeenth clause. ‘Two. VEOLIA WATER CHILE SpA shall be able to exercise one of the above rights, just by sending a communication by registered letter to the Lessee informing its decision, without the need of any further formality or judicial statement. NINETEENTH: Penalty interes ‘One. Any payment that the Lessee makes after the dates agreed in this agreement, shall entitle VEOLIA WATER CHILE Spa to charge the Lessee the maximum interest permitted by Law for this type of operations, over all rents expired and unpaid, until the date of effective payment. : _. f ‘Two. The same rule applies to the reimbursement of any expenses incurred by VEOLIA WATER CHILE SpA on behalf of the Lessee. ‘Three. In addition, VEOLIA WATER CHILE SpA shall be entitled to charge as fine, twenty five percent of the value of each of the rents, individually considered, which are not paid within the terms and conditions agreed in this agreement. ‘TWENTIETH: Assignment of contract and rights. VEOLIA WATER CHILE SpA is empowered to assign to third parties all or part of the credits, rights ot obligations arising from this agreement, and to sell or dispose of the leased property in benefit of the assignee. VEOLIA WATER CHILE SpA is empowered to grant guarantees or to pledge its rights arising from this agreement. In all these cases, the Lessee undertakes to be part to the respective acts or agreements required for the sale, assignment, or issuance of guarantees or pledges over the Lessor rights, accepting and acknowledging such sales, assignments, guarantees or pledges, as the case may be. Without limiting the foregoing, the parties expressly agree that, if by virtue of the rights conferred in this clause, VEOLIA WATER CHILE SpA pledges in benefit of a third party the credits that it has against the Lessee under this agreement, the notice sent to the latter by registered letter shall be sufficient. ‘TWENTY-FIRST: Information. VEOLIA WATER CHILE SpA shall be able to require from the Lessee, when deemed appropriate, a detailed and updated report of its financial statements. In any case, the Lessee shall provide its financial statements every six months as from the execution of this agreement. VEOLIA, WATER CHILE SpA. shall keep the financial information of the Lessee under strict confidentiality, which shall not be disclosed to third parties without its express authorization. TWENTY-SECOND: Expenses and taxe ‘The Lessee shall assume all costs, expenses and taxes arising in connection with the documents that ust be subscribed or accepted under this agreement, as well as those generated as consequence of the breach of the Lessee, including trial costs. ‘TWENTY-THIRD: Payments Allocation. The parties agree that according to article 1,596 of the Civil Code, the amounts received for concept of rents or price of the purchase option, shall be allocated first to the payment of all costs incurred by the Lessor, which pursuant to this agreement must be assumed by the Lessee (including rights, interests, fines, taxes, contributions, collection costs, among others), and the balance, if any, shall be then allocated to the payment of the rents oF the price of the purchase option indicated herein. TWENTY-FOURTH: Special power of attorney. VEOLIA W PROCESOS SpA, through its representative, identified at the appearing clause of this, instrument, grants a special and irrevocable power of attorney to VEOLIA WATER CHILE Spa, in the terms of Article 241 of the Commerce Code, so that on its behalf it may proceed to carry out the acts and sign the public or private instruments which it may deem necessary in order to clarify, specify, execute, rectify, modify or complement this instrument with regard to the identification of the parties, the description of the Plant, and the information, background or quotes of the deeds or registrations related to it; being able to sign all required instruments, including public deeds. It is expressly stated that this power of attorney does not consider any fee, and that VEOLIA WATER r \ CHILE SpA does not have obligation to render accounts. VEOLIA WATER CHILE SpA through its appearing representatives accepts the power of attorney conferred by this clause, This agreement is governed by the laws of the Republic of Chile. Any difficulty or controversy arising between the parties regarding the application, interpretation, duration, validity or execution of this contract or for any other reason will be submitted to settlement proceedings under the ICC ADR Rulles (International Chamber of Commerce Altemative Dispute Resolution), 2012 Edition (the “Rules”) in Spanish before the Chilean Chamber of Commerce A.G. Filtracién por Filtros de Multimedios La primera etapa del proceso es la fitracién en Filtro de Multimedios cual consiste en la remocién de los sblidos suspendidos que podrian estar presentes en la solucién. Los s6lidos deben ser eliminados para evitar interferencias 0 taponamientos que puedan ocurrir dentro de la columna de intercam! ico que impidan el contacto de la resina con la solucién y de esta manera no ocurra la reaccién quimica de intercambio iénico y disminuya la recuperacion de cobre Un filtro de arena es un estanque a presién, el cual contiene una cama filtrante conformada por gravas, arena de diferente granulometria y antracita que sirve como medio filtrante. La solucién al ser inyectada a presién, percola a través de! medio filtrante y las particulas finas contenidas en el flujo son retenidas. El sistema debe contar con un sisterna manual de retrolavado que son necesarios de efectuar dentro de los filtros con motivo de reordenar el medio filtrante y remover el contenido de particulas finas retenidas dentro del filtro. Filtracién por Filtros de Carbén Activado Los filtros de Carbén activado son estanques a presién, en cuyo interior se encuentra como medio filtrante el Carbén Activado. Esta etapa de filtracién elimina la presencia de grasas y aceites que el agua de alimentacién pueda contenes; las grasas tienen la propiedad de formar una pelicula antiadherente sobre las particulas que conforman la resina, disminuyendo ampliamente su eficiencia al impedir el contacto entre la resina y la solucién. Las grasas y aceites provienen de la dilucién del orgénico en base a solventes de tipo hidrocerburos como por ejemplo el querosén. Una vez que el filtro se ha saturado, este se puede regenerar mediante un retro lavado con la misma agua de efluente de las columnas de intercambio i6nico, para evitar el consumo de agua de proceso. El tiempo de vida de la carga de carbén dependeré de la cantidad de grasas y aceites presentes en la solucién y el grado de diluci6n de las mismas 5.3. Intercambio lénico (IX) En la Planta de Intercambio Iénico se consider6 una disponibilidad anual de! 98% en operacién continua de 24 horas por dia. Las columnas dle intercambio iénico operan en paralelo. Dos columnas conectadas en paralelo se utilizan filtrando el caudal para recuperar el cobre. La primera columna operard cargando mientras la segunda columna estaré en etapa de elusién Durante la etapa de elusién la columna serd regenerada/eluida con una solucién de acido sulfurico débil la cual removerd el cobre presente en la columna. Captacién Agua Muro 1 y Muro 2. La captacién del tranque Barahona se realizaré en dos puntos actualmente existentes: Captacién muro 1 realizada a través de la sala de bombeo existente en las instalaciones de Divi Teniente la cual descarga sobre la canal de relaves. Se extenderé el piping existente hacia la Planta IX (estanque de alimentacién de la planta), Captacién muro 2 realizada en forma gravitacional y conducida desde la zona de captacién actual (canaleta de fibra de vidrio) hasta la planta mediante la instalacién de una tuberia de HDPE. industrial, este estaque alimenta una serie de bombas las cuales inyectan el agua a presién a los filtros | El agua industrial requerida para la regeneracién de la resina seré recibida en el estanque de agua | | de multimedios mediante un manifold de distribucién. | 3.2, Filtraci6n por Filtros de Multimedios. la filtracién en Filtro de Multimedios consiste en la remocién de los sélidos suspendidos que podrian estar présentes en el agua de proceso. Los sélidos suspendidos deben ser eliminados para evitar interferencias 0 taponamientos que puedan ocurrir dentro de la columna de intercambio iénico que impidan el contacto de la resina con la solucién y de esta manera no ocurra la reaccién quimica de intercambio iénico y disminuya la recuperaci6n de cobre. Un filtro de Multimedios es un estanque a presién, el cual contiene una cama filtrante conformada por gravas, arena de diferente granulometria y antracita que sirve como medio filtrante. La solucién al ser inyectada a presién, percola a través del medio filtrante y las particulas finas son retenidas. | Hl sistema debe contar con un sistema manual de retro lavado el cual cumple con el objetivo de reordenar el medio filtrante y remover el contenido de particulas finas retenidas dentro del filtro. Las descargas generadas de los retro lavados de los filtros serén descartadas a un sistema de canaletas que tiene la planta para ser luego conducidas a la canal de relave. El agua para regenerar los fitros sera la misma agua de descarte generada por el proceso de Intercambio Iénico. Filtracién por Filtros de Carbon Activado os Filtros de Carbon activado son estanques a presién, en cuyo interior se encuentra como medio filtrante el carbén activado. Esta etapa de filtracién elimina la presencia de grasas y aceites que el agua de alimentacién pueda contener; las grasas tienen la propiedad de formar una pelicula antiadherente sobre las particulas que conforman la resina, disminuyendo ampliamente su eficiencia al impedir el contacto entre la resina y la solucién. Las grasas y aceites provienen de la dilucién del orgdnico en base a solventes de tipo hidrocarburos como por ejemplo el querosén, Una vez que el filtro se ha saturado, este se puede regenerar mediante un retro lavado con la misma agua de efluente de las columnas de intercambio iénico, para evitar el consumo de agua de proceso. El tiempo de vida de la carga de carbén dependeré de la cantidad de grasas y aceites presentes en la solucién y el grado de dilucién de las mismas. Las descargas generadas de los retro lavados de los filtros serdn descartadas a un sistema de canaletas ue tiene la planta para ser luego conducidas a la canal de relave. El agua para regenerar los filtros sera la misma agua de descarte generada por el proceso de Intercambio l6nico. 3.4. Intercambio lénico (IX). Una vez que el agua ha sido filtrada, esta es acumulada en un Estanque Acumulador y se encuentra lista para ser tratada por las columnas de Intercambio iénico. El proceso de Intercambio I6nico ocurre en un tren de operacién de tres columnas que contienen resina AMBERSEP 748 UPS. En esta resina se produciré el intercambio iénico donde se recuperaré el cobre presente en las aguas con bajo contenido de Cu. Las columnas de intercambio iénico operan en condicién paralelo. Intercambio iénico - etapa de filtrado agua de proceso. EI flujo una ver filtrado en los filtros de Multimedios y de Carbén se haré pasar a través de dos columnas conectadas en serie. La primera columna operaré 180 minutos en tiempo de carga mientras la segunda columna ejecutard su etapa de regeneracién La operacién se ejecuta a un caudal de operacién 375 m*/h y en una direccién de flujo Upflow, esto es de abajo hacia arriba. 3.6. Proceso de Regeneracion de Columna IX. 3.6.1. Solucién de H2S04 al 7,5% (plv). Luego, se aplica una solucién de dcido sulfirico por un tiempo de 60 minutos con un caudal de 30 m*/h en direccién Downfiow, de arriba hacia abajo, ya que con esta solucién se removerd el cobre recuperado por la resina hacia la solucién, forméndose una solucién rica en cobre. La solucién de dcido sulféirico al i 7,5 % es mezclada en linea mediante la inyeccién de un caudal fijo de agua y de dcido sulfirico al 98%, 3.6.2. Agua de Lavado (Rapido). un lavado répido, con un caudal cinco veces mayor, 150 m’/h por un tiempo de 30 de remover cualquier remanente de dcido sulfirico dentro de ta columna antes de inyectar a solucion de soda céustica. ANTECEDENTES GENERALES. 1-1 Contrato Barahona. Mediante instrumento privado de fecha primero de abril de dos mil once, otorgado en la ciudad de Santiago, la sociedad VAPOR PROCESOS S.A. ("VAPOR") celebré el "Contrato Numero Cuatro Cinco Cero Uno Uno Tres Nueve Cinco Cinco Dos Ocho - Servicio De Recuperacion De Cobre Desde Drenajes Tranque De Relaves Barahona’ con CODELCO (el “Contrato Barahona”) en virtud del cual CODELCO encargé a VAPOR el Servicio de Recuperacién de Cobre desde drenajes de! Tranque de Relaves Barahona. Se acordé en el Contrato Barahona que dicho servicio consiste en la recuperacién del cobre contenido en los flujos de las aguas de drenaje de los muros N°1 y N°2 del Tranque de Relaves Barahona, para lo cual se considera la instalacién de una planta semi-industrial que deberé ser dimensionada, instalada y operada por VAPOR, generando un producto apto para incorporarlo a los procesos de Division El Teniente. E! servicio incluye también la conduccién de ambos flujos hacia la planta a instaler. Se estipulé en dicho instrumento que el contrato tendria una vigencia de sesenta meses a partir del inicio de las actividades del servicio. El detaile de la Planta que VAPOR se obligé a construir, operar y mantener, en adelante la “Planta”, se encuentra contenido en el Anexo N°1 el que, debidamente firmado, se entiende formar parte integrante del presente instrumento para todos los efectos. Se deja constancia que el Anexo N° 4 antes referido s6lo contempia las Instalaciones que se deberdn estableckr en la franja del inmueble de propiedad de CODELCO indicado en el presente instrumento. Asimismo, se adjunta como Anexo N°2, un cronograma de las obras y servicios materia de! Contrato Barahona, el que, debidamente firmado, se entiende formar parte integrante del presente instrumento para todos los efectos. 4.2 Compraventa de Equipos. Por instrumento de fecha [ ] VEOLIA CHILE adquirié de VAPOR los activos y equipos que ‘VAPOR habia adauirido previamente para la construccién e instalacion de la Planta 1.3 Leasing de Equipos. Por instrumento de fecha [ ] VEOLIA CHILE dio en arrendamiento con opcién de compra a VEOLIA W PROCESOS SpA los activos y equipos que VEOLIA CHILE habia adquirido previamente para la construcci6n e instalacion de la Planta. VEOLIA W PROCESOS SpA es una sociedad en que participan VEOLIA CHILE y VAPOR para, en este caso, desarrollar los servicios considerados en el Contrato Barahona, 1 ion Contrato Barahona. Por instrumento de fecha [ ] VAPOR cedié a VEOLIA W PROCESOS SpA, con el consentimiento de CODELCO, el Contrato Barahona. SEGUNDO. INMUEBLE. CODELCO es duefio del inmueble denominado [ _], en adelante e indistintamente referido como el “Inmueble”. El dominio a su nombre se inscribié a fojas[ ]numero[ |] del Registro de Propiedad de! Conservador de Bienes Raices de[ ], correspondiente al afio[ TERCERO. AUTORIZACION. Por el presente instrumento CODELCO faculta y autoriza a VEOLIA CHILE, sus contratistas, subcontratistas 0 terceros vinculados legal o contractualmente con ella para los efectos indicados en el Contrato Barahona, para: A) Efectuar todos los actos, trabajos y labores necesarios o convenientes para cumplir con el objeto indicado en el Contrato Barahona en la parte del Inmueble que se indicaré en el presente instrumento. Para este efecto, la autorizacién otorgada inoluye, (i) construir la Planta, como asimismo, realizar las pruebas que fueren pertinentes para la construccién, operacién y mantenimiento de la planta de propiedad de VEOLIA CHILE; (i) realizar la operacion y mantenimiento de la Planta; realizar las acciones destinadas a prestar el Servicio de Recuperacién de Cobre desde drenajes del Tranque de Relaves Barahona a través de la Planta; (iv) ingresar al inmueble con vehiculos, maquinaria y personal que requiera durante la construocién de la Planta, cumpliendo con todas las normas y permisos que establece la legislacién vigente y las que les sean impuestas por CODELCQ; (v) va efectuar las instalaciones de faenas necesarias para la construcci6n de la Planta; (vi) instalar las obras de infraestructura necesarias; e (vii) ingresar al Inmueble con vehiculos, maquinaria y personal que requiera para efectuar labores de operacién, mantencién, reparacién, reconstruccién, reemplazo, mejoramiento o modernizacion de la Planta y sus obras complementarias 0 accesorias. B) Tender los ductos y demés obras necesarias para la conduccién de ambos flujos hacia la Planta a instalar, las que se deban instalar en la parte del Inmueble que se indicara en el presente’ instrumento; ocupar los terrenos necesarios para estos efectos, y ocupar y cerrar los terrenos necesarios para la Planta C) Solicitar y presentar todo tipo de declaraciones, formularios, antecedentes y requerimientos ante cualquier autoridad competente para obtener las autorizaciones que se requieran para el objeto antes sefialado, conforme {a autorizacién aqui otorgada. Se adjunta como Anexo N°3, un plano en el que se contiene el trazado completo existente a esta fecha de las franjas de terreno del inmueble, su ubicacion y las obras de arte construidas en la misma sobre las que recae la autorizacién otorgada por CODELCO, el que, debidamente firmado, se entiende formar parte integrante de! presente instrumento para todos los efectos. Las partes declaran que conocen el estado de las franjas de terreno del Inmueble objeto de la presente autorizacién. CUARTO. EJERCICIO. Las facultades indicadas en la presente autorizacion seran ejercidas por VEOLIA CHILE de acuerdo al cronograma de las obras y servicios materia del Contrato adjuntado en el Anexo N° 2 al presente instrumento. Asimismo, VEOLIA CHILE deberd cumplir todas las instrucciones, normas y manuales de CODELCO, ejemplarmente y sin que implique limitacién, para el ingreso de su personal y det personal de cualquiera de las personas indicadas anteriormente, para la seguridad de las operaciones efectuadas, para la conservacién del medio ambiente y de la parte del Inmueble objeto de la presente autorizacion. VEOLIA CHILE se obliga a resguardar la seguridad e integridad de la Planta, de todo cuanto existiere en las franjas del Inmueble cuya utilizacién se autoriza y a actuar con cuidado para evitar deterioros en el predio 0 cualquier instalacién existente, que pudieran resultar a consecuencia de actuaciones imputables a VEOLIA CHILE, sus sucesores, contratistas, ‘subcontratistas 0 terceros vinculados legal o contractualmente con ella, tanto durante las faenas de construccién como en la operacién y mantenimiento de las Instalaciones, en su caso. Las facultades concedidas por el presente instrumento sélo seran ejercidas en aquella parte del Inmueble en el que se haya construido la Planta y obras aocesorias o complementarias, conforme a la autorizacién referida en este instrumento y sobre las fajas de terrenos demarcadas como tales en el Anexo N°. Las facultades concedidas por el presente instrumento deberan ser ejercidas procurando causar las menores molestias posibles a las operaciones de CODELCO y causaldo los aS menores efectos en el Inmueble, especialmente, notificando previamente la ejecucién de las ‘obras necesarias para ejercerias, salvo que ello no sea posible por la urgencia de las labores requeridas 0 por accidentes que pudiesen producirse en las Instalaciones; retirando materiales sobrantes al construir, instalar, reparar, mantener y operar la Planta; y, en general, evitando dafiar el medio ambiente del entorno de las obras a ejecutar y mantener al amparo de la presente autorizacién. QUINTO. LIMITACIONES. Las autorizaciones aqui mencionadas se otorgan sin perjuicio de los derechos de CODELCO para usar, gozar y disponer libremente de todo o parte de las franjas de terreno del Inmueble ‘que se indican el en Anexo N? 3 del presente instrumento. Las partes deciaran que la presente autorizacién no implica de modo alguno que VEOLIA CHILE tiene un titulo que justifique la detentacién de la parte del Inmueble objeto de la presente autorizacién. Asimismo, VEOLIA CHILE renuncia expresamente a constituir servidumbre de cualquier especie sobre la parte del Inmueble objeto de esta autorizacién. Asimismo, se deja expresamente establecido que en el ejercicio de estas autorizaciones VEOLIA CHILE y las demas personas indicadas anteriormente no podran afectar, dafiar 0 dificultar el uso de las instalaciones presentes 0 futuras de propiedad de CODELCO, interferir con las actividades que ésta desarrolle en el inmueble y en las franjas cuya autoriza ni afectar de forma alguna los derechos de CODELCO sobre los mismos. Se deja constancia que la presente autorizacién se otorga en consideracién a que VEOLIA CHILE es la propietaria de la Planta indicada en el Contrato Barahona. De este modo, CODELCO reconoce que VEOLIA CHILE no se encontrara obligada a pagar monto, suma, impuesto, carga 0 importe alguno a CODELCO en virtud de esta autorizacion, ni se hard cargo © soportara de modo alguno los importes que se deban o devenguen en el futuro por servicios eléctricos, de agua y los demas servicios basicos o de otro tipo necesarios para la opera Inmueble. ‘SEXTO. TERMINO DE LA AUTORIZACION. La autorizacion que se concede en el presente documento sélo tendré por objeto favorecer el cumplimiento del Contrato Barahona. En virtud de ello, se mantendra vigente sélo durante el tiempo en que el mismo se encuentre en vigor y también por el periodo de tiempo que sea necesario para que VEOLIA CHILE retire todos ios equipos, estanques, equipos de filtracion, columnas de intercambio iénico, bombas, valvulas, paneles de controles, galpones, insumos, arenas, resinas, instalaciones, maquinarias, materiales y cualquier bien que conforme la Planta, que es de propiedad de VEOLIA CHILE, en el plazo maximo de [120] dias contados desde la terminacién del Contrato Barahona. cy SEPTIMO, RECONOCIMIENTO DE DOMINIO DE LA PLANTA. CODELCO reconoce sin limitaciones el dominio de VEOLIA CHILE sobre todos los equipos, estanques, equipos de filtracién, columnas de intercambio iénico, bombas, valvulas, paneles de control, galpones, insumos, arenas, resinas, instalaciones, maquinarias, materiales y cualquier bien que conforme la Planta. Asimismo, cualquier mejora que se efectie sobre la Planta ‘quedara a beneficio de VEOLIA CHILE. En consecuencia, CODELCO deciara y reconoce que de ningtin modo podra considerarse a estos bienes como inmuebles por adherencia o destinacién. Asimismo, CODELCO realizar sus mejores esfuerzos para oponerse a cualquier accién que pretendan ejercitar terceros sobre dichos bienes que conforman la Planta, como si fueran propiedad del mismo CODELCO, debiendo ademas avisar a VEOLIA CHILE con la mayor urgencia y, en todo caso, dentro del plazo maximo de dos (2) dias, en caso que conozca de cualquier accién de terceros en este sentido. Finalmente CODELCO reconoce que VEOLIA CHILE tendré el derecho exclusivo y sin cargo alguno, saivo por los gastos ocasionados por su traslado, de retirar del Inmueble los bienes que conformen la Planta, a la fecha de término del Contrato Barahona. Lo anterior, de acuerdo a lo acordado en la cldusula Sexta precedente, OCTAVO. DOMICILIO Y ARBITRAJE. Para todos los efectos a que hubiere lugar las partes fjan domiciio en la ciudad de Santiago, Chile, Toda controversia o dificultad que se produzca entre las partes con motivo de la interpretacién, ‘cumplimiento 0 incumplimiento, aplicacién o término del presente instrumento, serdn resueltas por un arbitro mixto, esto es, arbitrador en cuanto al procedimiento y de derecho en cuanto al fallo, quien conocer del asunto sin forma de juicio y de la manera mds breve y sumaria posible, contra cuya sentencia no procedera recurso alguno, con excepcién del recurso de queja y del de casacién en la forma, por las causales de incompetencia o ultrapetita. El rbitro ser designado de comin acuerdo entre las partes y, en caso de desacuerdo, por la Camara de Comercio de Santiago A.G, Para tales efectos, las partes confieren poder especial irrevocable a la Camara de Comercio de Santiago A.G., para que a solicitud de cualquiera de ellas, designe al arbitro mixto de entre los integrantes del cuerpo arbitral del Centro de Arbitrajes de esa Cémara, El proceso arbitral se llevard a cabo en Santiago y en idioma espafio. Se entenderd que no hay acuerdo entre las partes para la designacién del Arbitro cuando hayan transcurrido 30 (treinta) dias desde que una parte notifique a la otra por escrito su decisién de recurtir al arbitraje y no haya sido designado el arbitro, En todo lo demas se estaré al Reglamento del Centro de Arbitrajes, cuyas disposiciones constan en la escritura piblica de fecha diez de diciembre de mil novecientos noventa y dos, otorgada en la Notaria de Santiago de don Sergio Rodriguez Garcés, que formando parte integrante de esta clausula, las partes deciaran conocer y aceptar. ’ Yy Las partes renuncian a las tachas contempladas en los N°* 4 y 5 del articulo 358 de!
