PASOS PARA INSCRIBIR UNA

EMPRESA
 PASO 1

Seleccionar la actividad a realizar

se deven componer de acuerdo los socios para poder

establecer la actividad economica ala que se dedicara la
empresa ya sea industrial , comercial o de servicios.

Seleccionar el nombre de la sociedad y luego investigar en

el REGISTRO DE COMERCIO si no exsiste otra sociedad con
ese mismo nombre
 PASO 2

¿Cual sera el capital a invertir por cada

uno de los socios?

En este paso aclararemos el capital con

el cual dispondra la empresa por medio
de las aportaciones de cada uno de los
socios que la integran.

Se certificara cheque a nombre de la

sociedad a crear, como minimo a invertir
por cada socio sera el 25% del capital
social y ( para socios en traer el 100%).
 PASO 3

. -Registro muicipal

Debemos obtener la solicitud de solvencia

municipal de cada uno d socios otorgada
por la alcaldia.
( antes asegurese de haber pagado el
inpuesto de vialidad e inpuestos
municipales
 PASO 4

-Contratar un notario
El notario elaborara la escritura publica y devera inscribirla en el registr comercio

Para otorgar la escritura de constitucion de sociedad deberaentregarse antes al notario solvencia

munucipal, copia de DUI Y NIT de los socios , asi como el cheque certificado.

a escritura social constitutiva debera contener nombre, edad, ocupaacion nacionalidad y domicilio
para persona natural y juridica que integran a la sociedad.

Debera presentarse 3 fotocopias ddUI Y NIT de cada uno de os socios

en la escritura habra de definir el giro o actividad principal ala que se dedicara la sociedad.
 PASO 5

-Registro de Comercio

Prestamos el testimonio de la eritura publica en el registro. Debemos estar

 PASO 6

TITLE
-Registro de Comercio (CNR)

Una vez inscritos podemos retirar la escritura del registro de

comercio dependencia del CNR ( Centro Ncional de Registro).
 PASO 7

-Ministerio de Hcienda

La inscripcion la realizaremosen el registro unico del contribuyente domde

presentaremos original y copia de la escritura de constitucion, original y copia del DUI Y NIT
de nuestro representante legal.

 PASO 8

-Contador y auditor

Debemos contratar un contador y un auditor,para que estos legalicen los libros contables
preparen el catalogo de cuentas y su manual de aplicacio.
 PASO lX

-Presentacion de los documentos.

Los registros obligatorios deven llevarse en libros empastados o en hojas separadas los cuales
estaran foliadas y seran autorizadas por el contador publico autorizado que hubiere nombrado
comerciante.

Sera un auditor Externo quien autorizara los libros y regristros. Las hojas del libro deberan
ser numeradas yselladas por el contador publico autorizado. Debiendo poner en la primera de
ellas una razon firmadas y selladas. En la que se expresa e nombre del comerciante que las
utilizara. El objetivo a que se destinan, el numero de hojas que se autorizan y el lugar y fecha
de entrega al interesado
