Que con el propésito de prevenir y cumplir con la regulacién vigente, nosotros, EL PROVEEDOR / EL CLIENTE, declaramos que hemos adoptado e implementado un “Sistema de Prevencién, Control y Administracién de Riesgos" que contempla el cumplimiento de los requisitos minimos orientados a evitar y mitigar riesgos en la cadena de suministro nacional o internacional. Por lo que nos comprometemos a mantener los procesos y procedimientos, que garanticen el cumplimiento de lo criterios minimos de seguridad establecidos por la normatividad colombiana y si no se tienen, nos comprometemos a implementarlos. De acuerdo con lo anterior, nos permitimos manifestar que este sistema cuenta con politicas, controles y procedimientos implementados bajo un concepto de administracién del riesgo, orientados al cumplimiento de la debida diligencia para prevenir la utilizacién de nuestra empresa en eventos criminales. Dichas acciones incluyen entre otros aspectos, el conocimiento de nuestros clientes, proveedores y empleados, en donde garantizamos que contamos con asociados de negocio seguros tanto para nosotros como para las compafiias con las cuales contratamos u ofertamos nuestros servicios/productos. De igual forma, se realizan actividades de monitoreo y seguimiento de las operaciones y/o transacciones realizadas por nosotros; asi como también se da cumplimiento a la realizacién de los debidos reportes de actividades sospechosas que puedan estar vinculadas con cualquier delito fuente de Lavado de Activos o Financiacién del Terrorismo, con el animo de prevenir, detectar, controlar y reportar dichas actividades. Por otro lado, también manifestamos que se realiza capacitacién al personal, que existe cooperacién hacia las autoridades competentes y que se tienen planes de contingencia y emergencia para la continuidad de las actividades que la empresa desarrolla con el fin de propender por el dptimo desarrollo de las operaciones realizadas con nuestros diferentes asociados de negocio y puntalmente con ARKOS SISTEMAS ARQUITECTONICOS S.A. FIRST ~ RISK MANAGEMENT. With the purpose of prevent and qualify with current regulation, we, THE PROVIDER / THE CLIENT, have taken and implemented a ‘Prevention, Control and Management System” which provides the compliance with the minimum requirements designed to avoid and mitigate national and international supply chain risk. That is why we are committed to maintain processes and procedures that guarantee the compliance with minimum security standards established by the Colombian regulations and in the event where does not have the requirements, we pledge to implement it. Accordingly, we declare that this system has policies, controls and procedures implemented under a ‘management risk conception, oriented to compliance of due diligence to prevent the use of our company in criminal events. These initiatives includes among other things, customer knowledge, providers/suppliers and employees, where we guerantee that we have secure business partners for both ourselves and our partners with which we hire or offer our services/products. La informacion entregada o la que tenga acceso EL PROVEEDOR / EL CLIENTE en desarrollo y ejecucién del presente acuerdo gozan de confidencialidad y por lo tanto solo podra ser usada para fines inherentes a su actividad en desarrollo del servicio, la proteccién es indefinida, por lo que no se podra hacer uso de ella ni durante la ejecucién del servicio, ni una vez éste haya finalizado. De igual forma, EL PROVEEDOR/ EL CLIENTE se obliga a guardar estricta reserva sobre el funcionamiento, informaci6n sistematizada, base de datos, estrategias de mercadeo y en fin cualquier asunto que comprometa el desempefio del negocio de ARKOS SISTEMAS ARQUITECTONICOS S.A. y documentos que tenga acceso, maneje en desarrollo de su actividad 0 que llegue a conocer en el desarrollo del servicio y que no tenga caracter puiblico, En consecuencia, se obliga a no divulgar por ningtin medio fisico, digital o visual dicha informacion 0 documentos a terceros, sin la previa autorizacién escrita de ARKOS SISTEMAS ARQUITECTONICOS S.A. esta autorizaci6n permaneceré vigente atin después de la culminacién de las labores por cualquier causa de la vinculacién que ligue las partes. Por lo tanto, en caso en que ARKOS SISTEMAS ARQUITECTONICOS S.A. tenga prueba que EL PROVEEDOR / EL CLIENTE ha divulgado ‘cualquier tipo de documentacién o informacién que de alguna manera se relacione con el presente acuerdo, EL PROVEEDOR / EL CLIENTE indemnizara por los perjuicios que con tal hecho cause a ARKOS SISTEMAS ARQUITECTONICOS S.A. No se considera incumplida esta cléusula cuando la informacion o documentos deba ser revelados por. mandato judicial y/o legal o cuando la informacién manejada tenga el caracter de publica. SECOND ~ CONFIDENTIALITY. Y EL PROVEEDOR / EL CLIENTE debe mantener actualizada la informacién acerca de los ajustes o cambios que se presenten a nivel de manejos aduanales 0 gubernamentales que puedan afectar el buen desarrollo de las operaciones. vy EL PROVEEDOR / EL CLIENTE debe garantizar el buen uso de la imagen corporativa de ARKOS SISTEMAS ARQUITECTONICOS S.A., tales como logos, formatos y demas informacién inherente. Asi mismo, evitar la reproduccién total o parcial, sino cuenta con previa autorizacién escrita, ¥ EL PROVEEDOR / EL CLIENTE debe garantizar que cuenta con un plan de contingencia o de continuidad de la operacién que permite el desarrollo éptimo de las operaciones contratadas por ARKOS SISTEMAS ARQUITECTONICOS S.A. vy EL PROVEEDOR / EL CLIENTE debe declarar que los recursos econémicos utilizados para el buen desarrollo de la actividad comercial, no provienen en ningtin caso de actividades ilicitas y no tienen ninguna relacién comercial con terceros, que se dediquen a conductas contempladas en el Cédigo Penal Colombiano (© en cualquier otra norma legal que lo modifique. CON EL PROVEEDOR / EL CLIENTE. ¥ Suministrar la informacion necesaria al EL PROVEEDOR / EL CLIENTE para que la prestacién del servicio sea efectiva, ¥ Asegurar la confiabilidad e idoneidad del personal vinculado en ARKOS SISTEMAS ARQUITECTONICOS S.A. Y Enviar la solicitud u orden de servicio para iniciar con la prestacién del servicio, ya sea via e-mail o fisico Y Informar al EL PROVEEDOR / EL CLIENTE cualquier oportunidad de mejora, que busque el fortalecimiento en la prestacion del servicio. FOURTH - LIABILITIES.
