Captulo II: OBJETO DEL CONTRATO Art8ulo %. S)tua8)?# @urd)8a del D)str)Au)dor l Distribuidor comprar! " vender! en su propio nombre " en su propia cuenta, actuar! como agente independiente tanto respecto al proveedor como al cliente. Promover! la venta de los Productos en el territorio, no estando autori#ado a actuar en nombre del Proveedor, adem!s, salvaguardar! los intereses del Proveedor con la debida diligencia de un comerciante responsable e in$ormar! al Proveedor de su actitud, as como de las condiciones del mercado en el territorio. Art8ulo 3. .re8)os " 8o#d)8)o#es de +e#ta " re+e#ta. %.& l Distribuidor tiene la $acultad de establecer libremente los pre8)os de re+e#ta. %.% l distribuidor vender! los Productos de$initivos en el 'aptulo & ba(o la marca "/o con la presentacin establecidas por el .ro+eedor. %.) Las ventas entre el Proveedor " el Distribuidor ser!n reguladas por las 8o#d)8)o#es estaAle8)das en el *p+ndice , anexo a este contrato. Art8ulo '. OAl)9a8)?# de 8o2prar u#a 8a#t)dad 2#)2a l Distribuidor, adquirir! una cantidad mnima de ........... en el pla#o de ........ n caso de incumplimiento, el Proveedor podr! rescindir el contrato con una antelacin de tres meses mediante carta certi$icada. Art8ulo 6. .ro7)A)8)?# de #o 8o2pete#8)a l Distribuidor no $abricar! ni distribuir! productos que compitan con los Productos ob(eto de este contrato, durante un periodo de cinco a0os a contar de la $echa de entrega en vigor del mismo. Durante este perodo, el Distribuidor no podr!, directa o indirectamente, operar con productos de la competencia dentro o $uera del 1erritorio2 esta obligacin se aplica igualmente a los productos de segunda mano.

3.% si el Distribuidor quiere vender productos de otro $abricante que no cimpita con los del Proveedor, o su, en el momento de la conclusin del contrato, "a lo est! haciendo, in$ormar! de ello al Proveedor. n ning4n caso, estas ventas impedir!n el cumplimiento de sus obligaciones hacia el, Proveedor. Art8ulo :. Se8retos 8o2er8)ales l Distribuidor no usar! ni comunicar! a terceros, incluso tras la terminacin del contrato, conocimientos t+cnicos que no sean de dominio p4blico, o secretos comerciales que ha"a llegado a conocer a trav+s del e(ercicio de las actividades contractuales. Art8ulo 5. Co#trata8)?# de suAd)str)Au)dores " o a9e#tes 5.& Sin el consentimiento previo del Proveedor, el Distribuidor no podr! contratar subdistribuidores o agentes comerciales para la venta de los Productos en el 1erritorio.&& 5.% l Distribuidor mantendr! in$ormado al Proveedor de las actividades reali#adas por los subdistribuidores " a9e#tes e# el Terr)tor)o. Art8ulo C. .ro7)A)8)?# de +e#tas Buera del Terr)tor)o l Distribuidor no podr! vender los Productos a los clientes que tengan su lugar de negocio o, en su de$ecto, su lugar de residencia, $uera del 1erritorio. 'ualquier pedido reali#ado por un cliente cu"a residencia est! $uera del 1erritorio ser! comunicado al Distribuidor. l Distribuidor no vender! a clientes cu"a intencin sea +e#der los .rodu8tos Buera del Terr)tor)o. Art8ulo D. !ar8as de .ro+eedor l Distribuidor tendr! derecho a usar las marcas, nombres comerciales o cualquier otro distintivo del Proveedor 4nicamente con el $in de identi$icar " dar publicidad de los Productos en el !mbito del contrato " en inter+s del Proveedor. l Distribuidor no podr! registrar no hacer registrar ninguna marca, nombre comercial o cualquier otro distintivo del Proveedor .o similares a +stos/ ni en el 1erritorio de cualquier otra parte. xcepto para los $ines establecidos en el artculo %6, se extinguir! autom!ticamente, desde el momento de la terminacin del contrato, por cualquiera de sus causas, el derecho a usar las marcas, nombres comerciales o cualquier otro distintivo con arreglo al primer p!rra$o de este artculo. As)ste#8)a 8o#tra la 8o2pete#8)a desleal " +)ola8)?# de los dere87os de prop)edad )#dustr)al. l Distribuidor in$ormar! al Proveedor de cualquier acto de competencia desleal que a$ecte a +ste, " de cualquier violacin de su derecho de propiedad industrial que llegue a su conocimiento. l Distribuidor, a su propio cargo, prestar! asistencia que el Proveedor ra#onablemente requiera. Art8ulo %%. EE)ste#8)as 2#)2as l Distribuidor mantendr!, a su propio cargo, un stoc7 de Productos, as como un stoc7 de las correspondientes pie#as de recambio. El dep?s)to 8o#te#dr> el 2#)2o de eE)ste#8)as est)pulado e# el Ap=#d)8e 3. Art8ulo %3. Ser+)8)os de repara8)?# " de post+e#ta l Distribuidor mantendr! talleres de reparacin en las condiciones establecidas en el 'aptulo -,,,, as como servicios posteriores postventa. ste servicio abarcar! todos los Productos que se

encuentren en el 1erritorio contractual, sin que el Distribuidor tenga que averiguar cu!ndo " Captulo III: OBLI<ACIONES DEL .ROVEEDOR Art8ulo %'. Do8u2e#tos " 2ater)al de puAl)8)dad l proveedor colaborar! con el Distribuidor, remiti+ndole todos los documentos, prospectos " cualquier in$ormacin necesaria, que seguir!n siendo de propiedad del proveedor, a menos que se estable#ca en el contrato que esta documentacin sea ob(eto de envo a los clientes. Art8ulo %4. OAl)9a8)o#es de su2)#)stro de u#a 8a#t)dad 2#)2a l Proveedor se compromete a entregar la cantidad mnima establecida en el artculo ). Si el Proveedor no cumpliera esta obligacin, el Distribuidor tendr! la $acultad de res8)#d)r el 8o#trato 8o# u#a a#tela8)?# de tres 2eses 2ed)a#te 8arta 8ert)B)8ada. Art8ulo %6. Dere87o del .ro+eedor a 8eleArar 8o#tratos d)re8ta2e#te 8o# los 8l)e#tes. l Proveedor se compromete a vender 4nicamente al Distribuidor en el 1erritorio. 8o contratar! con otra persona u empresa la distribucin o representacin de los Productos en el territorio. Tra#s2)t)r> al D)str)Au)dor todos los ped)dos de los 8l)e#tes de#tro del Terr)tor)o. Art8ulo %:. Autor)1a8)?# o pro7)A)8)?# de +e#der Buera del terr)tor)o 8o#tra8tual a otros d)str)Au)dores del .ro+eedor. l Proveedor tiene la $acultad de vender los Productos a 'lientes $uera del 1erritorio, incluso si +stos tienen la intencin de exportarlos al 1erritorio. l Proveedor impondr! a sus otros distribuidores las mismas obligaciones que las impuestas por el Distribuidor en el artculo 6. l Proveedor impondr! a sus otros distribuidores las 2)s2as oAl)9a8)o#es 0ue las )2puestas por el D)str)Au)dor e# el art8ulo C. Art8ulo %5. EE)ste#8)as e# 8o#s)9#a l Proveedor no entregar! productos en consigna, salvo que se ha"a pactado expresamente en el 'aptulo -,,, .'l!usulas *dicionales/, en cu"o caso, las obligaciones que incumben a ambas Partes se regir!n por las disposiciones del *p+ndice ). Captulo IV: DESCUENTOS CONCEDIDOS AL DISTRIBUIDOR Art8ulo %C. Des8ue#tos Sobre todas las compras del Producto reali#adas por el Distribuidor, +ste tendr! derecho a un descuento de un ..... 9 sobre el precio de venta del Proveedor. Sobre todas las compras de pie#as de recambio, se aplicar! un descuento de un ..... 9 sobre el precio del Proveedor. Captulo V: CO!ISIN DEL DISTRIBUIDOR .OR LOS CONTRATOS CONCLUIDOS .OR EL .ROVEEDOR CON CLIENTES Art8ulo %D. Productos concluidos directamente por el Proveedor con clientes asentados en el 1erritorio. Art8ulo 3%. !=todo de 8>l8ulo de la 8o2)s)?# La 8o2)s)?# se 8al8ular> soAre el pre8)o de +e#ta e# Ba8tura. Ser!n deducidos, en la medida que est+n incluidos en el montante del precio de $actura, los gastos originados por el monta(e, puesta en marcha " por otras prestaciones accesorias similares que supongan esencialmente costes de mano de obra. Art8ulo 33. Or)9e# del dere87o a la 8o2)s)?# l Distribuidor tendr! derecho a la comisin desde el momento en el que Proveedor ha"a recibido el pago del cliente. La comisin ser! proporcional al pago e$ectivo recibido por el Distribuidor de la suma debida por el cliente, Art8ulo 3'. Ve#8)2)e#to " l)0u)da8)?# l Proveedor determinar! la comisin a percibir por el Distribuidor para cada trimestre del a0o natural, especi$icando todos los contratos que originan el derecho a la mencionada comisin. La liquidacin se e$ectuar!, a m!s tardar, al $inal del mes que sigue al trimestre. Art8ulo 34. I2puestos l impuesto sobre el valor a0adido pagadero en el pas del Distribuidor aplicable sobre su comisin ser! de su cuenta. Captulo VI: DURACIN DEL CONTRATO Art8ulo 36. Ter2)#a8)?# del 8o#trato l contrato tendr! una duracin inde$inida, el contrato podr! darse por terminado con una antelacin de ...... meses mediante carta certi$icada, en ning4n caso, podr! terminarse antes del ...(% (% 3(%4...... .$echa/. Podr! resolverse tambi+n el contrato cuando la estructura (urdica o la propiedad de una de las Partes cambiara de tal manera que a$ectara seriamente al resultado que la otra Parte podra ra#onablemente esperar del contrato. sta disposicin se aplicar! igualmente en el caso de $allecimiento o incapacidad permanente del Sr./ Sra. ........... o en caso de terminacin de su relacin laboral con el Distribuidor. Dest)#o de las eE)ste#8)as " de los ped)dos e# 8urso l contrato regular! la liquidacin de las existencias en disposicin del Distribuidor con arreglo a los art8ulos %% " %3& as como los pedidos en curso, aun despu+s de la terminacin o rescisin del contrato. I#de2#)1a8)?# 8o se podr! reclamar ninguna indemni#acin por ra#n de la terminacin del contrato, salvo que la reclamacin se $undamente en un incumplimiento del contrato por una de las Partes.
