Stock Certificate

• Written instrument signed by the proper


officers of the corporation certifying that the
person named therein is the registered owned
of a designated number of shares of stock in
the corporation
• Indicates:
– name of the registered holder
– the number, kind and class of shares represented
– date of the issuance

Requirements:

• Signed by the president or vice president


• Countersigned by the secretary or assistant
secretary
• Sealed with the seal of the corporation
• Shall be issued in accordance with the by-laws.

How Issued?
Obtain a stock and Register the STB Obtain Blank Stock
transfer book (STB) with the SEC Certificates

Stock and Transfer Book
Record of:
• All stocks in the name of the stockholders
alphabetically arranged
• Subscribed stocks paid and unpaid
• Date of payment of any installment
• Statement of every alienation, sale or transfer
of stock made, date thereof, and by and to
whom made
• The stock and transfer book shall be kept in the
principal office of the corporation or in the office of its
stock transfer agent and shall be open for inspection by
any director or stockholder of the corporation at
reasonable hours on business days. (Corporation Code,
Sec. 74)
• No transfer shall be valid, except as between the
parties, until the transfer is recorded in the books of
the corporation showing the names of the parties to
the transaction, the date of the transfer, the number of
the certificate or certificates and the number of shares
transferred. (Corporation Code, Sec. 63)
