How Issued? Obtain a stock and Register the STB Obtain Blank Stock transfer book (STB) with the SEC Certificates
Forward the Stock Fill-out the relevant
Sign the Stock Certificate to information in the Certificate as Corp President or VP for STB and in the Sec signature Stock Certificate
Seal the Stock Deliver the Stock
Certificate with the Certificate to the Corporate Seal Stockholder Stock and Transfer Book Record of: • All stocks in the name of the stockholders alphabetically arranged • Subscribed stocks paid and unpaid • Date of payment of any installment • Statement of every alienation, sale or transfer of stock made, date thereof, and by and to whom made • The stock and transfer book shall be kept in the principal office of the corporation or in the office of its stock transfer agent and shall be open for inspection by any director or stockholder of the corporation at reasonable hours on business days. (Corporation Code, Sec. 74) • No transfer shall be valid, except as between the parties, until the transfer is recorded in the books of the corporation showing the names of the parties to the transaction, the date of the transfer, the number of the certificate or certificates and the number of shares transferred.
