I / We the Current Owner / Vendor abovenamed, in consideration of your company consenting to the sale of the abovementioned property (the said property) by me / us to the New Purchaser and in further consideration of your company agreeing at my / our request and the request of the New Purchaser to effect a direct transfer of the strata title for the said property directly to the New Purchaser, I / we hereby confirm and irrevocably undertake as follows:-

to fully indemnify and keep your company fully indemnified against all cost, losses, damages expenses or liabilities whatsoever that your company may incur or suffer and against all actions, proceedings, claims and demands which may be taken or made against your company howsoever

as a result of your company consenting to the sale of the said property by me / us to the New Purchaser and the direct transfer of the strata title of the said property to the New Purchaser; (2) to release your company from all the obligation and undertaking to execute the Memorandum of Transfer in my / our favour in respect of the said Property and the undertaking to release Memorandum of Transfer and the strata title in respect of the said property to me / us and or the Current Assignee / Current End Financer as the case may be; to remove or cause to be removed at my / our own costs and expense all caveats that may have been lodged by me / us and / or the Current Assignee / Current End Financier in respect of the said property and / or over the master / block title and in this respect to fully indemnify and keep your company fully indemnified against all costs, losses, damages or expenses whatsoever that your company may incur or suffer and against all actions, proceedings, claims and demands which may be taken or made against your company howsoever as a result of the existence of the caveat(s) lodged by me / us and / or the Current Assignee / Current End Financer; I / we confirm that we have no claims whatsoever against your company in relation to the said property howsoever arising under the principal sale and purchase agreement entered into between your company and me / us and / or the original purchaser of the said property as the case may be.

I / We hereby authorize your company to execute the Memorandum of Transfer and the stamping proforma in respect of the said property directly in favour of the New Purchaser and to release the Memorandum of Transfer, the stamping proforma together with the original strata title to the New Purchaser or the solicitors for the New Purchaser or the solicitors acting for the New Purchasers financier as the case may be.
