Management/Artist Development Agreement

Agreement made this day of December ____, 2008 by and between Passport Management Team (thereafter know as Company) & __________________________________________ (hereinafter known as You, or Yours).

WITNESSETH
In consideration of the mutual covenant and promises hereinafter contained, the parties hereby agree as follows: 1. The term of the agreement will consist of a period of (1) year commencing on December ______, 2008. Any additional options will be considered a new agreement and would be negotiated at or before the termination of this agreement. You hereby engage Company during the Term hereof as your exclusive personal manager, representative and advisor throughout the world, with respect to all your activities as a recording artist, music publisher, songwriter, and arranger, record producer and musician, and including any and all theatrical performances where You appear in a Cameo role, or where You perform any of your written or published works. You give Company rights to manufacture and sale your recordings and promote your likeness throughout the world. Any recordings manufactured and distributed for sale throughout the world by Company shall pay You a royalty between (6%) and (15%). This is solely exclusive to any and/all single sales, e.g. downloads and/or CDs. You agree to provide Company with a minimum of 3 recordings. Each recording shall be subject to our approval as satisfactory for manufacture and sales. If You and Company go into agreement to manufacture and sale an entire album (more than 3 songs on a phonograph) this will constitute a new agreement to be made between Company and You. Earned royalties are to be paid by Company to You quarterly and after any and all recoupable expenses are deducted. This is solely based on single sales from recordings You provide to Company and Company approved, manufactured and distribute for sale. Company shall attempt to obtain a major recording deal from a major or independent record label for You. If a deal is accomplished by Company, Company has the right to present and negotiate a new management agreement. If deal branches under Company independent record label, Company will negotiate a Recording contract with You. Any expenses incurred by Company on behalf of You will be recoup at 100 percent, including but not limited to recording expenses, clothing expenses, business meeting, publicity expenses, which You will be inform before expenses incurred. This agreement does not prohibit You from recording and/or collaborating with other artists and/or musicians. [a] Company shall have the option first to advise you in all matters pertaining to your career in the Entertainment Industry which shall include without limitation, the following: (I) (II) The selection of literary, artistic and musical material All matters pertaining to publicity relations and advertising

General practices in the Entertainment Industry regarding such matters as Company has knowledge such as compensation and privileges extended for similar services The selection of theatrical agencies and other third parties that seek and procure employment and engagement for You

[b] You shall advise Company of off all offers of employment and of all inquiries concerning your career, so that Company may advise you whether some are compatible with your career [c] You hereby acknowledge that Company is not an employment agent or theatrical agent and not obligated or promised to pay you any advances for engaging into this agreement. If no recordings are done and no expenses incurred on behalf You within the (6) months, this agreement becomes null and Company will negotiate a new agreement with You.
