1. Description of Services/DEFI ICI DE LOS SERVICIOS. The Client will pay compensation to Accuracy Translations for the Services in the amount of $40.00 per page. This compensation shall be payable in a lump sum upon completion of the Services. Relationship Of Parties COMO ESTA RELACIO ADOS LAS PERSO AS DE ESTE ACUERDO. It is understood by the parties that Accuracy Translations is an independent contractor with respect to the Client, and not an employee of the Client, the Client will not provide any fringe benefits including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Accuracy Translations. Work Product Ownership DERECHOS DE PROPIEDAD DEL TRABAJO. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the Work Product) developed in whole or in part by Accuracy Translations in connection with the Services shall be the exclusive property of the Client. Upon request, Accuracy Translations shall sign all documents necessary to confirm or perfect the exclusive ownership of the Client to the Work Product. Confidentiality LA CO FIDE CIALIDAD. Accuracy Translations will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Accuracy Translations, or divulge, disclose, or communicate in any manner any information that is proprietary to the Client. Accuracy Translations will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, Accuracy Translations will return to the Client all records, notes, documentation and other items that were used, created or controlled by Accuracy Translations during the term of this Agreement. Indemnification I DEM IZAR. The Client agrees to indemnify and hold harmless Accuracy Translations from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against the Client that result from the acts or omissions of Accuracy Translations employees, if any, and Accuracy Translations agents. El Cliente indemnizar y considerar sin culpa a Accuracy Translations contra toda reclamo, perdida, gasto, honorarios, incluso honorarios de abogados, y pagos dictados por fallo los cuales podrn aseverar que vienen como resultados de los hechos u omisiones de empleados de Accuracy Translations, si existan, y agentes de Accuracy Translations. 7. Entire Agreement EL ACUERDO COMPLETO. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. Este Acuerdo representa el acuerdo completo y no hay otras promesas ni condiciones bajo ningn otro acuerdo ni verbal ni escrito. 8. Severability ULIFICACI . If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. Si cualquier apartado de este Acuerdo llegue a ser invlido o nulo por cualquier razn, los dems apartados seguirn siendo vlidos y sern respetados. Si por dicto de fallo un corte encuentra a cualquier de los apartados de este Acuerdo invlido o nulo, ms sin embargo si al limitar tal apartado el Acuerdo llegar a ser vlido, entonces tal apartado ser considerado escrito, entendido y respetado as como el corte lo limitar. 9. Applicable Law LEYES APLICABLES. This agreement shall be governed by the laws of the State of Oregon. Este acuerdo ser gobernado por las leyes del Estado de Oregon.
