USED VEHICLE PURCHASE CONTRACT

the purposes of this contract will be called "THE SELLER" and on the other hand, the

hereinafter referred to as "THE PURCHASER", who in accordance with the provisions
of the articles of the Civil Code of the State of Nuevo León agree to enter into this
purchase and sale agreement in accordance with the following:

STATEMENTS

FIRST.-"THE SELLER", declares to be of legal age, neighbor of

FOURTH.- Both parties represent and acknowledge that they have the legal capacity
to enter into this contract, in terms of the articles of the Civil Code for the State of
Nuevo Leon.

In view of the foregoing, based on the aforementioned legal provisions and because
it is in their best interest, it is the desire and will of the contracting parties to enter
into this contract subject to the following:

CLAUSES

FIRST.- Based on the provisions of articles 2210 2187 2188 of the Civil Code of the
State of Nuevo León, C.

himself the vehicle described in the THIRD declaration of the present instrument.

SECOND.- "THE PURCHASER" declares its conformity with the physical and
mechanical conditions in which the vehicle is found at the moment of the purchase-
sale operation, therefore, as of the date of delivery of the vehicle object of this
contract, the flaws that may arise thereafter shall not give rise to any claim
whatsoever.

THIRD.- The purchase price of the vehicle is $_______________, which will be paid
in a single installment on the date of this contract.

FOURTH:"THE PURCHASER", declares its acceptance of the value of the vehicle, and
"THE SELLER" the form of payment expressed in the previous clause.
FIFTH.-"THE SELLER" declares that the vehicle object of the present contract,
described in the THIRD Declaration, is registered in the institute of vehicular control
of the state of Nuevo Leon, with a debt of __________________ as of the date of
signature of this contract for the concept of

BUYER" accepts to pay the corresponding expenses, if any, to keep the obligations
with the institute of vehicular control of Nuevo Leon up to date.

SIXTH.- "THE VENDOR" undertakes to deliver the vehicle on _______ of

SEVENTH.- THE SELLER" by reason of the execution of this contract assigns the
rights derived from the acquisition of the vehicle ______________ year

"BUYER" in all that corresponds to it in fact and in law, and the "BUYER" acquires the

in all that in fact and by right corresponds to it, and the latter acquires the inherent
obligations.

EIGHTH.-"THE PURCHASER", from the date of delivery of the vehicle, shall be

responsible for the payment of taxes and vehicle control rights accrued by the same.
Likewise, within fifteen days following the date of delivery of the vehicle, it is obliged
to carry out the change of ownership procedure before the corresponding tax
authority, in accordance with the provisions of articles 104 to 111. POE December 30,
2019 of the Finance Law of the State of NEW LEON.
NINTH -"THE PURCHASER" will be responsible for the damages caused by the
misuse or mismanagement of the vehicle. "SELLER" disclaims any civil or criminal
liability that may result from the use, handling or operation of the vehicle subject of
this contract from the date of delivery of the same within the term established in
clause eight.

Consequently, in terms of article 2017 of the Civil Code of the State of Nuevo León,
"THE SELLER" is responsible for the reorganization in case of eviction.

TENTH.- Both parties, in terms of articles 2177, 2163, 2142, 2145, 2178, 2182,
2187, 2204 of the Civil Code of the State of Nuevo León state that in the celebration
of the present contract, there is no error, fraud, violence or bad faith that could
invalidate it.

After reading the contents of this contract, the parties agree to be bound by all its
terms and conditions, which constitute a complete and exclusive expression of their
will, free of any defect, and sign it in two copies in the municipality of San Nicolas de
los Garza, State of Nuevo Leon.
