The scope of this agreement is to verify _____________________ (“Company”) understanding 
of, and agreement on, conditions of release of Smartcard Confidential Information, Development 
Tools and Samples. (the “Products”)

The purpose (“Authorised Purpose”) of this agreement is to ensure that Atmel Products are used 
for evaluation and development purposes only. 

This document, upon execution, supercedes the previous ‘Security Verification and Declaration 
for receipt of Development Tools, Samples and/or Confidential Technical Information’ revision 
number:_______, signed by Company on __________________.(enter date).

General

a. A valid Non­Disclosure Agreement, executed on _______________, exists between 
Atmel Corporation and Company, reference number ____________.

b. Company shall take all steps as may be reasonably required by Atmel to assist in 
maintaining the security of the Products and systems using them, including but not limited 
to, giving Atmel the right to audit Company’s ability to protect Atmel's Products.

c. Company shall provide Atmel with any information which is required by any applicable 
government, for the purpose of export law.

Security

a. Company agree that all Atmel Products shall only be used for the Authorised Purpose, 
and only for the development of declared applications as previously expressed, in writing, 
to Atmel.

b. Company agree that Atmel Products will not be transferred or sold.

c.  Company agree to complete and return product receipts, as soon as the Products 
      are received.

d. In the event of breach of any term of this Agreement, Company agrees to immediately, 
upon Atmel’s written request, return all Atmel Products to Atmel, or to destroy them in an 
agreed and secure manner.

Disclaimer

a. Company acknowledge that the security of systems in which smartcards are used 
depends on the security of the system as a whole. Company also acknowledge that when 
a security feature is mentioned in any Atmel literature it refers to a feature which is 
intended to increase the security of Atmel Products under normal use and under normal 
circumstances. Atmel offers no security guarantee whatsoever.

b. Company understand that Atmel provides the Products “AS IS” for testing purposes
only and without any warranty whatsoever and, that Atmel specifically disclaims any 
warranties of merchantability or fitness for a particular purpose.
