Romero: Vitol announced today that it has entered into agreements with the U.S. Department of Justice (DO), the U.S. Commodity Futures Trading Commission (CFTC) and the Brazilian Ministério Pablico Federal (MPF) to resolve investigations into conduct in Brazil, Ecuador and Mexico. Although Vitol has issued « general statement in relation to this matter which can be found on our website ttpss/www.vi /statement-from-vitol), I wanted to write to you personally to notify you of this matter. Vizol will pay e total of $163.8 million in connection with these three agreements. Vitol entered into a deferred prosecution agreement (DPA) with the DOJ which will expire after three years provided that Vitol complies with its obligations under the DPA. In addition, Vitol has entered into settlement agreements with the CFTC and the MPF. As the authorities recognised, and as reflected in the significantly reduced penalties, Vitol has engaged in extensive remediation and cooperated fully with the DOJ, CFTC and the MPF throughout the investigation. I would like to assure you that, as our public statement makes clear, Vitol is absolutely committed to {uy .olding the law and does not tolerate corruption or illegal business practices. Moreover, we are fully focused on continuing to enhance out procedures and controls to ensure that they are in line with best practice. Romero: Ithas always been Vitol’s intention to have dialogue with PEMEX as soon as practicable about the matters referenced in the U.S. proceedings, Because of confidentiality expectations in the U.S. regulatory process, however, we have not been in a position to discuss these matters with PEMEX until now. At this stage, Vitol does not know much about the conduct or PEMEX individuals involved beyond what is contained in the public documents, but we would welcome the opportunity to have a conversation with you, PEMEX’s legal team and our external counsel to talk through these issues to the extent that, we can. A difficulty at present is that the conduct relating to Mexico was only one aspect of a broader investigation that focused primarily on Brazil until late in the process. The investigation was initiated by the U.S. authorities in confidential proceedings, and Vitol is not aware of the full extent of the DOJ’s investigation, including the identity of all individuals within its scope. As we hope you are aware, Vitol has been a long-standing, supportive counterpart of PEMEX, a company we hold in the highest regard.
