APPOINTMENT LETTER

To,

Dear Mr.

1. We are pleased to appoint you as Chemist - Production in our company with effect from
07 June 2017, on the following terms and conditions:-

(a) Location: On joining, your posting would be at Bavla Factory. And the company’s
plant address is as : 340/345, Amipura village, Kens ville-Nal Sarovar road, Tal:
Bavla, Dist. Ahmedabad.

(b) Remuneration: Your salary will be as per the attached Annexure. In case of change in
any existing statute or introduction of new statute, which requires any payment to be
made, the company reserve the right to adjust the salary component in your Annual
Gross salary in the salary break up to ensure full compliance of the payment made
under such modified statute.

(c) Probationary Period: You will be on probation for a period of six months, from the
date of joining, upon satisfactory performance during the probation period, your
employment will be confirmed and communicated to you in writing. In addition to
your performance during the probationary period, confirmation of your employment
is subject to your submitting the required documents at the time of joining the
company.

(d) Leave: As per company policy of Leave & Holidays, you shall be entitled for the
following leave:
(i) Privilege Leave : 25 days
(ii) Sick Leave : 7 days
(iii) Casual Leave : 7 days

(In addition to the above, maternity leave shall be granted to female employees
being as statutory requirement.)
(e) Transfer: You will be liable to be transferred in such capacity that the management
may decide, to any other department, branch or establishment under the same
management or same Principals, whether existing or to be set up in future. In such
cases, you will be governed by the terms and conditions of services applicable at the
new placement. You will also be liable to be deputed to such units or companies for
such periods as may be decided by the Management from time to time.

(f) Retirement: The retirement age as per the policy of the company is 60 years for this
purpose the date of birth considered will be as per the certificate for proof of age
submitted by you at the time of joining of the company.

(g) Performance Review: Your growth in the company and increment in the salary will
solely depend upon your performance and contribution to the company. You should
be employed with the company for a period of minimum six months, before being
considered eligible for any salary review. However, your performance shall be
reviewed strictly as per the performance management policy of the company.

(h) Responsibilities and Duties: Your work in the organization will be subject to the
rules and regulation of the organization as laid down in relation to conduct,
discipline and other matters from time to time. You will act as per the responsibilities
and duties attached to your position and conduct yourself accordingly. You must
effectively perform to ensure results and you will be expected to work extra hours to
achieve this whenever the job so requires. During your services in the company, you
shall have to maintain the utmost secrecy and will not divulge any information to any
body that affects the business of the company.

(i) Past Records: If any declaration given or information furnished by you to the
Company proves to be false or if you are found to have willfully suppressed or
concealed any material information, in such cases, your services will be terminated
without any notice.

U) Termination Notice: During probation, your employment can be terminated without


any notice, however after confirmation of your services, the contract of employment
is terminable by one month (30 Days) notice on either side or on payment of One
month (30 Days) salary in lieu of notice and either party is not bound to give any
reason. In the event, your service is terminated for fraud, theft or withholding of any
information in the application form or for any other form of misconduct, notice pay
will not be payable.

(k) After Termination: On termination of this contract, you will immediately hand-over
all correspondence, specification, formulas, books, documents, effects, market data,
cost data, drawings or records etc, belonging to the company or relating to its
business to a person as authorised by the management. You shall not retain or make
any copies of these items.

(1) Rules and Regulations: You will be governed by the rules and regulations applicable
to the employees of the company including revision of such rules as may be effected
from time to time. During the continuance of your engagement with us you shall not
be associated or interested directly or indirectly in any other occupation, business or
employment whatsoever, but shall devote your whole time, attention and abilities
exclusively to the performance of your duties and shall faithfully serve the company
and use your best endeavor to promote the interest and business thereof.

(m) Maintenance of Confidentiality/ secrecy: Except as specifically directed by the


Company, you will not directly or indirectly, during or after the term of your
engagement with the Company, use, disseminate, disclose by word or mouth or
otherwise particulars of operating processes, technical know how, security
arrangements, administrative and/or organizational matters of confidential/ secret
nature which is your privilege to know by virtue of being the employee of the
Company. You shall also keep confidential all the information and material provided
to you by the Company or by its clients which concern the affairs of the Company.
The information may also include such information as is already known to the public
and you will not use, disclose or in any manner release except with the prior written
permission of the Company.

2. This letter of appointment is subject to your being found medically fit by the Company's
Medical Officer or such other Medical Officer that the company may appoint for that
purpose.

3. You agree to execute necessary Employment Agreement and, if required, Confidentiality


Agreement with the Company. The terms of these agreements would be read with and not
in conflict with this appointment letter.
