MEMORANDUM OF AGREEMENT

made this day SEPTEMBER 1, 2019, between

hereinafter called the AUTHOR;

-and-

AVONLEI D. VIBORA, of WANI Publishing

With address #959 SitioAplaya, Boot, Tanauan City, Batangas, Philippines
hereinafter called the PUBLISHER;
Whereas the PUBLISHER is making arrangements for publication of the Filipino literary Work
entitled:
DAMN YOU, I’M A GIRL
hereinafter called the Work;
1. Grant of Rights. In consideration of the royalties and on the conditions hereinafter
mentioned, the AUTHOR grants to the PUBLISHER an exclusive license to publish and
distribute in PHYSICAL AND DIGITAL FORMAT from the date of this agreement, the said
WORK.
2. Copyright Notice. The PUBLISHER shall include in their edition the name of the AUTHOR
and the copyright notice of the said Work. The following copyright notice must appear as
follows:

3. The Publisher has the right to change the given title if it deems appropriate.
3.1. Book Cover. The PUBLISHER will provide the book cover for the WORK. The
AUTHOR may suggest a book cover or artist and is subject to the approval of the
PUBLISHER.
3.2. Editing. The editorial staff of the PUBLISHER will polish the WORK before
publication. The AUTHOR agrees to revise the manuscript and/or remove unnecessary
scenes or fillers as suggested by the editor to meet the standard of publication.
3.3 Book Parts. The PUBLISHER will decide if the said WORK will be published as
one book or will be divided into parts.
3.4. Special Chapters. The AUTHOR may add a special or exclusive chapter(s) to the
WORK if the AUTHOR desires.
4. The AUTHOR guarantees the PUBLISHER that he/she is the owner of the WORK. The
AUTHOR guarantees the PUBLISHER that he/she is not an exclusive writer of any publishing
company and is free to engage in such an agreement.
5. Initial Payment. At the end of the pre-order period, the PUBLISHER will make an initial
payment equal to the number of copies sold during the pre-order multiplied by the corresponding
royalty of the AUTHOR.
6. Royalty Payments. The PUBLISHER shall issue a sales report of the work, after the end of
every pre-order period and shall pay the AUTHOR the corresponding royalties (P20/copy sold)
against the advance payment based on the report. For example, if the work has sold 100 copies
for the first pre-order period, the PUBLISHER shall pay the AUTHOR the amount of P2,000,
and so on and so forth.
 6.1 The royalty due to the AUTHOR for each copy of the physical book is P20.00.
6.2 The royalty due to the AUTHOR for each copy of the electronic book is P10.00. The
PUBLISHER shall pay the AUTHOR the corresponding royalties annually.
6.3 No royalty shall be paid on any copies given away for the purpose of review or
promotion, or on copies damaged by fire or water, or on remaindered copies sold at
closeout prices at or below cost.
6.4 Royalty shall be paid through remittance centers or the AUTHOR’S bank account. If
in any case, the payment failed due to the AUTHOR’S fault, that is proven after
investigation, the AUTHOR shall be reliable.
7. Assignments of Contract. The PUBLISHER shall not assign this license to any other
publisher or distributor nor issue the said Work under any other imprint than their own without
the prior written approval of the AUTHOR. The AUTHOR, on the other hand, shall not resell the
license of the said work to any other PUBLISHER or DISTRIBUTOR.
7.1 License. The AUTHOR grants the PUBLISHER FIVE (5) year(s) to publish and
distribute the said WORK thru e-book, audiobook, printed book format.
7.2 Breach of Contract. If the AUTHOR decided to publish the said work with another
PUBLISHER while still being published and sold at WANI Publishing, the AUTHOR
must pay the entire amount of the volumes printed such as the editing fee, book cover,
and book production to WANI Publishing.
8. Complimentary Copies. Upon one (1) year after its publication, a copy of the completed
work shall be sent to the AUTHOR.
9. Reprint. At the time that the initial print (100 pieces.) are sold out, the PUBLISHER may
decide the quantity of the next print run.
10. Original Copyright Permissions. The AUTHOR guarantees that the publication of the said
WORK is not in violation of any copyright belonging to any other person or corporation. If in
any way that any copyright violation exists, it will be on the full responsibility of the AUTHOR.
11. Promotion. Both the AUTHOR and PUBLISHER are required to promote the Work in their
websites/blogs or social media properties like Facebook, Instagram, and Twitter.
11.1. Preview. The AUTHOR agrees to have sample chapters of the WORK to be posted
on the PUBLISHER and the AUTHOR’S social media accounts as part of the promotion.
12.Termination of Contract. If the last agreement between the PUBLISHER and AUTHOR is
fulfilled and if the PUBLISHER or the AUTHOR decides not to renew, another agreement shall
be signed stating that the partnership of the PUBLISHER and the AUTHOR for the said WORK
has been terminated.
IN WITNESS WHEREOF, the parties hereto execute and date this Agreement.
