DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Exchange, made and executed by and between:

JOSIAS PADUA, of legal age, Filipino, married, with residence

and postal address at Balugo, Dumaguete City, Negros Oriental,
Philippines, hereinafter referred to as FIRST PARTY;

In favor of:

____________________, of legal age, Filipino, married, with

residence and postal address at Balugo, Dumaguete City, Negros
Oriental, Philippines, hereinafter referred to as SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY is the registered owner of a parcel

of land Lot No. ______ covered by Transfer Certificate of Title No. ____
situated at Balugo, Dumaguete City, Negros Oriental, consisting of
____________ (___) SQUARE METERS, more or less, with all the
improvements standing thereon;

WHEREAS, the SECOND PARTY is the registered owner of a

parcel of land Lot No. ______ covered by Transfer Certificate of Title
No. ____ situated at Balugo, Dumaguete City, Negros Oriental,
consisting of ____________ (___) SQUARE METERS, more or less, with
all the improvements standing thereon;

WHEREAS, the FIRST PARTY and the SECOND PARTY, have

agreed to transfer and convey by way of exchange the above
described properties in favor of each other;

NOW THEREFORE, for and in consideration of the foregoing

premises, the FIRST PARTY hereby CEDES, TRANSFERS, and
CONVEYS BY WAY OF EXCHANGE, the portion of Lot No. ____
equivalent to THREE POINT FIVE (3.5) meters wide, more or less,
with all the improvements existing thereon in favor of the SECOND
PARTY and in the same manner, the SECOND PARTY, CEDES,
TRANSFERS, and CONVEYS BY WAY OF EXCHANGE, the portion of Lot
No. ___ equivalent to FOUR (4) meters wide, more or less, with all
the improvements existing thereon in favor of the FIRST PARTY;

That the parties have entered this DEED OF EXCHANGE freely,

voluntarily and by their own free will and that they fully understand
all the legal consequences of this particular deed and making all the
previous and old documents null and void;
 That it is hereby agreed and declared that each party hereto
has good right, full power, absolute authority and indefeasible title
to give, grant, transfer and convey the property exchanged by this
deed and that each party shall at all times hereafter peaceably and
quietly hold, possess and enjoy the same without any claim,
demand or interruption by the other.

IN WITNESS WHEREOF, the PARTIES hereunto affix their

BEFORE ME, a Notary Public, at the City of Dumaguete,

Philippines, this ____________, personally appeared before me the
PARTIES who has satisfactorily proven their identities to me through
their respective identification cards, both known to me to be the
same persons who executed the foregoing instrument of Deed of
Exchange, consisting of two (2) pages including this page where the
acknowledgement is written, signed by them and their instrumental
witnesses at the top of the instrument of this page and on the left
hand margin on page one (1), and they acknowledged to me that
the same is their free act and voluntary deed.
