Operation Contract definitions

Rising particular aspects that could be applied to:

• Contract of sale between Anglo American Marketing Limited and final customers.

• Intercompany contracts between Anglo Chile and Anglo American Marketing Limited.

Reporting / Document Definition

• Survey of observations and / or settings required for the documents and reports that apply to the operation
of Anglo American Marketing Limited

Test Environment Configuration

• Term to prepare the environment for a concept testing. Considers the configuration of Test Environment
based on cases to be played. It is important to have a clear understanding of all the requirements.

Construction Report

• Period in which adjustments to existing documents and reports would be done, so that they will be applicable
to the Anglo American Marketing Limited’s operation

Testing

• Playing some validation cases (Concepts test). During this stage some development requirements could
arise, which must be documented.

Adjustments

• Core adjustments period, in case it would be required.

Local Training

• Working with Anglo Chile users. The details for the system operation (Configuration, procedures) would be
delivered.

Accounting Structure Definition

• Working with Controller and finance users, with the aim of defining account structures that apply to
intercompany sales (Anglo Chile - Anglo American Marketing Limited).

9. Terms and Conditions

● The costs included in this Proposal do not include any kind of taxes or expenses.
● Travel expenses, if required, incurred by Ventyx’s personnel for the execution of the services, will be
invoiced in additional, immediately the expenses is incurred, and these will be in accordance with Ventyx’s
Travel and Expense policy.
● Unless otherwise agreed, the Services shall commence in a date to be agreed by the parties after this
Proposal is signed. All dates are an estimate only and are not warranted. Unless otherwise agreed to by the
parties, Ventyx shall commence performance of the Services as soon as practicable following execution of
this Proposal, depending on availability of Ventyx’s consultants. The Services may be performed remotely
or onsite as agreed to by the parties.
● Working Days: All our work is based on a working day of eight (8)hours, from Monday to Friday and during
working hours, Services required to be performed on Saturdays or Sundays and Holidays will have an extra
charge.
● The pricing in this Proposal is not valid unless an executed copy of this Proposal is received by Ventyx on
or before 30 days from its issuance.
