1. In connection with the evaluation by the Receiving Party of the portion of the area known as

which the Disclosing Party has sovereignty (hereinafter referred to as the "Area"), the
DisClosing party Is willing, In accordance with the ~rms and condltlOns of this Agreement,
to disclose to the Receiving Party certain ~tIaIlnformation relating to the Ar¥, which
Information Includes, but Is not necess8rifYhl11ltecno, QiOIogleat data and Interpretations,

4. The Receiving Party may disclose the Confidential Information without the DisclosIng
Party's prior written consent to an Affiliated Qs>mpaQY (as hereinafter defined), which shall
be bound by the provisions hereof in the same manner as the Receiving Party.
any company or legal entity which (i) controls either directly or indirectly such Party, or (ii)
which Is controlled directly or indirectly by such Party or (iii) is directly or indirectly controlled
by a company or entity, which directly or Indirectly controls such Party. "Control" means the
right to exercise more than 50% (fifty percent) of the voting rights in the appointment of the
directors of such company or entity.
5. The Receiving Party shall be entitled to disclose the Confidential Information without the
Disclosing I'arty's prior written consent to such of the following persons who have a clear
need to know in order to evaluate the Area:
any professional consultant or agent retained by the Receiving Party for the
purpose of evaluating the Confidential Infonnation;
Prior to making any such disclosures to persons under subparagraph (e) above the
Receiving party shall obtain II written undertaking of confidentiality, no less
stringent than that contained In this Agreement (but excluding any right of further
disclosure pursuant to subparagraph (c», from each such person and stating that
the Disclosing party and Its AffUiated Companies are beneficiaries of such
undertaking.
7. The Receiving Party shall be responsible for ensuring that all persons to whom the
Confidential Information Is disclosed under this Agreement shall keep such Informatlon
confidential, and shall not disclose or divulge the same to any unauthorized person.
Neither Party shall be liable In an action Initiated by one against the other for special,
Indirect or consequential damages resulting from or arising out of this Agreement, which
shall be deemed to Include, without limitation, loss of profit or business Interruptions.

persons to whom It was disclosed pursuant to Paragraphs 4 and 5 hereof. The Receiving

such notice that It has complied In full with the terms of this Paragraph 8.
In addition to the other provisions of this Agreement and subject to any applicable law, Jb.e

Party) disclose to any third party, other than a third party identified in paragraph 4 or 5
above, the existence of possible negotiations between the Parties or that Confidential
Information has either been requested or received.

of the Netherlands Antilles, exclUding any choice of law rules which would refer the
matter to the law of another Jurisdiction.
(b) Any dispute artslng out of or relating to this Agreement, Including any question
regarding Its existence, Validity or tennination, which cannot be amicably resolved
between the Parties, shall be settled by arbltratioo under the Rules of Conclllation
and ArbItration of the IntemaUonal Chamber of Commerce, by three arbitrators (one
to be appointed by each Party and the two $0 appointed shall appoint the third
arbitrator) appointed In accordance with the said Rules. The arbitration shall be
conducted, In the English language, at the Permanent Court of Arbitration In the
Hague, the Netherlands, In accordance with the Arbitration Rules of the United
Nations Convnlsslon of International Trade Law. The arbitration award shall be final
and binding upon the Parties and judgment upon the award rendered may be
. entered In any court having jurisdiction. A dispute shall be deemed to have arisen
when a Party notifies the other Party In writing to that effect. .
11. Unless otherwise expressly stated In writing any prior or future proposals or offers relating
to the Area made during the course of the Parties' discussions are made subject to all
necessary management and Government approvals and may be withdrawn by either Party
atanytlma.
Nothing contained herein shall confer upon the Receiving party or any Affiliated Companies
any title to the Area nor to any hydrocarbons which may be located within the Area, nor any
right whatsoever to exploration or exploitation rights to any hydrocarbons or other natural
resources within the Area, nor to any rights to enter Into exclusive negotiations with the
Disclosing Party with a view to acquiring such rights. ,Disclosing Part reserves the exclusive
·rlght to determine the procedures and methods by which It may elect to negotiate and
award any such rights.
13. This Agreement comprises the full and complete agreement of the Parties hereto with
respect to the disclosure of the Confidential Information and supersedes and cancels all
prior communications, understandings and agreements between the Parties hereto,
whether written or oral, expressed or Implied.
14. This Agreement shall tenninate on the earlier of the following dates:

A notice given under any provision of this Agreement shall be deemed delivered only when
received by the Party to whom such notice is directed, and the time for such Party to deliver
any notice In response to such originating notice shall run from the date the originating
