DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of absolute sale (“Agreement”) is made and entered into by and between:

YOO CORPORATION, a corporation duly organized and existing under and by virtue of
the laws of the Philippine (SEC Reg. No. 200307464), with principal offices at Sitio Bolabog,
Balabag, Boracay Island, Malay, Aklan, Philippines, represented herein by its duly authorized
representatives, CORINNE, as evidence by the Certification of Board of Resolution attached
hereto as Annex “A”, and hereinafter referred to as the ‘SELLER’.

- And –

HANS, Spanish National, of legal age and with address at Saruna Boracay
Suites, Sunrise Cove, Bolabog Beach, Boracay Island, Malay, Aklan, Philippines hereinafter
referred to as the “BUYER”.

WITNESSETH: That:

WHEREAS, the SELLER is the developer and owner of a residential apartment building
development known as “SARUNA BORACAY RESIDENCES’ (hereinafter referred to as the
“Project”), located at Sitio Bolabog, Balabag, Boracay Island, Malay, Aklan, Philippines and
which is more particularly described in Annex “B” hereof;

WHEREAS, the Project consist, among others, of the following apartment units.

1 UNIT/S Unit 1
FLOOR Ground Floor
APPROXIMATE AREA 92.27 square meters

WHEREAS, the BUYERS offered to purchase the Units from the SELLER, and the SELLER
agreed to sell the same under certain terms and conditions stipulated hereunder.

NOW THEREFORE, for and in consideration of the foregoing premises and the
consideration in the total amount of Twelve Million Three Hundred Seventy five Thousand
Pesos Only (Php12,375,000.00), Philippine Currency receipt of which the SELLER acknowledges
to its full satisfaction, the SELLER, hereby sells, assigns, transfers and conveys, as it is hereby
sells, assigns, transfers and conveys, the units to the BUYER, free and clear of any and all liens
and encumbrances whatsoever.

The SELLER shall pay for capital gains tax, documentary stamp tax, transfer tax, Notarial
Fee, registration fees and other necessary, incidental and miscellaneous expenses and charges
connected with the issuance and or execution of this Agreement, the issuance of the
corresponding Declarations of Real Property Tax over the Units in the name of the BUYER.

The SELLER further represents and warrants that (i) it is the absolute owner of the Units,
(ii) it has full power, legal capacity and authority to sell, assign, transfer and convey the Subject
Property, (iii) the Subject Property is free from all liens and encumbrances of any nature
whatsoever, registered or unregistered, and is not occupied by other persons or parties,
whether authorized or unauthorized, and (iv )the BUYER shall acquire safe and valid title to and
have peaceful and undisturbed possession over the Units.

This Agreement may be signed in two or more counterparts, each of which when
executed and together, constitute one and the same agreement.

IN WITNESS WHEREOF, the parties herein have set their hands on the date and at the
place indicated below.

This contract, which relates to a sale of an apartment unit, consist of two (2) pages,
including this page where the acknowledgement was written and the attached annex and was
signed by the parties and their witnesses on each and every page thereof.
