final month of our Spring Sales Event. To ensure we reach our full potential, we have made further program enhancements to take
advantage of pipeline inventory.
MY19/MY20 Highlights:
Spring Event 3-Month Payment Waiver continues on the following models:

Rate Reduction Loyalty Program for MY20
 GLE SUV: -2.0% rate loyalty reduction now applies to MY20.

With Quarter 2 underway, we would like to take a moment to thank you for supporting the first National 3 Day Sales Event of the year.
For May National Certified Pre-Owned will continue to offer an introductory rate of 0.9% for 24 months on all MY15–18 Mercedes-
Benz. We are very excited to continue our 0.9% rate to 60 months on MY16 C300 sedan, MY16 GLC300 SUV & MY17 GLC300 SUV.

RE: MAY SALES PROGRAMS FOR MERCEDES-BENZ VANS

In the month of May, we will begin to see the first Sprinter gasoline and 15-seater models arriving at dealers. This is an
additional opportunity to continue to build on the spring sales momentum and traffic. As previously communicated, we
are excited that Sprinter 4X4 production has also begun and we will continue to work with the dealer network to
prioritize sold orders. We must continue leveraging all opportunities within the marketplace – contacting maturing
customers, utilizing on-ground inventory, presenting all programs and more.

All core national programs remain unchanged from April to May. We will continue the reduced MBFS lease and finance
rates at 1.99% on the Metris Cargo and 2.99% on the Metris Passenger for the Dealer Fleet channel. Furthermore, the
Sprinter Market Introduction Vehicles (MIV) cash support of $1,000 remains for May. Many of these programs are
stackable with other offers, please ensure you are fully utilizing all sales programs within your region to close the sale.

Corporate Sales Programs


Corporate Fleet The Corporate Fleet program is geared towards company purchased and managed vehicles. These
vehicles are purchased by the corporation or a commercial leasing company and then provided to
the employee to conduct company business.
 Vehicle registration/ownership must be in the company name
 In cases where the vehicle is purchased by a commercial leasing company, the plate
portion of the ownership must be registered under the approved company name
 In cases where the company name is a numbered company, please provide an operating
name
 Corporate Fleet program will also be extended to a commercial customer purchasing 3 or
more vehicles (Bill of Sale and Registrations document in the company name) at one time
for business use
 The following are not eligible,

requested when initially opening an account or at the discretion of the Corporate Sales
department).
Executive Car The Executive Car Allowance program is designed to recognize those individuals who receive a fixed
Allowance monthly vehicle allowance from their employer to conduct day to day business or as a perk for
executives.
 Only companies that provide a fixed monthly car allowance to 5 or more full-time
employees may apply
 Kilometer reimbursement does not qualify
 Customer must receive a minimum car allowance of $350/month
Customers are eligible for Tier 2 fleet incentives.
Prior to RDR, dealer must submit a signed and completed Executive Car Allowance Program
Application, Executive Car Allowance Program Declaration Form, AND attach a recent paystub for
each transaction.
Professional The Professional Partner Association program is designed to recognize associations that have a

Prior to RDR, dealer must submit a signed and completed Preferred Supplier Program Application
AND proof of employment (recent pay stub, business card, ID badge, etc.) for each transaction.
Internal Programs
“MY STAR” The “MY STAR” Program presents qualifying dealer employees the opportunity to lease a new
Dealer Mercedes-Benz vehicle through Mercedes-Benz Financial Services at a monthly lease payment
Employee (including taxes) at 1% of MSRP for a 12 month term with 18,000 allowable kilometres (24,000 KM
Lease option available).

Dealer Principals are asked to Opt-In to the MY STAR program, by signing the Opt-In form.
Prior to RDR, dealer must submit a signed and completed My STAR Application for each transaction.
National Key Accounts – Additional Fleet Accounts
Arbonne Arbonne Cosmetics Consultants who receive a monthly car allowance for a Mercedes-Benz
Cosmetics (Regional Vice-Presidents or higher) are eligible for Tier 1 fleet incentives. Prior to RDR, dealer
must submit an Executive Car Allowance Program Application AND a copy of the Consultant’s
business card or paystub (no declaration required). Once approved, RDR as a Tier 2 with the
correct FAN provided, and submit a manual claim in DFE for the remaining fleet support (difference
between Tier 1 and 2).

It is crucial that all fleet transactions be RDR’d with the fleet codes specified in the approval, otherwise payment of the
fleet incentive will not be processed automatically by DFE.

All fleet transactions require an approval prior to RDR. Failure to follow process as outlined could result in a chargeback.

Note:
 For Employee Choice Vehicles if the odometer reading at the time of a customer sale exceeds 15,000 km, the
kilometrage must be within 200 kms of the odometer reading at time the vehicle was purchased from DPP+. For
example, an Employee Choice vehicle purchased with 15,200 km is permitted to have a maximum of 15,400 km at
time of customer sale. Vehicles with an odometer reading at the time of delivery over 5,000 km require an upfront
residual value adjustment. See Monthly Sales Program for residual value adjustment information.
 Vehicle Lease Return Process – Winter Tires
 At lease maturity, Mercedes-Benz Financial Services (MBFS) customers may return their leased vehicles with
winter tires between the months of October - April as long as the original (or equivalent) set of tires (typically

summer or all-season) and rims are returned as well. During this time, the $120 tire replacement charge will
not be applicable.
 The original (or equivalent) tires must have at least .32 cm (4/32”) of tread depth remaining at the greatest
wear point in order to avoid excess wear & tear charges.
 Failure to return the original (or equivalent) tires and rims will result in excess wear & tear charges in any case
(including customers with First Class Lease Protection coverage).
 In cases in which the original (or equivalent) tires and rims are returned, First Class Lease Protection (FCLP)
coverage will be applied to eligible wear & tear charges arising from tires, subject to FCLP coverage limits.
 New or pre-owned Mercedes-Benz vehicles that were manufactured for the distribution and sale in the United
States of America are not eligible for Mercedes-Benz Financial Services Canada lease and finance programs.

Sales and Marketing Program Guidelines & Conditions–New/Demonstrator Passenger Car Vehicles

Lease

 All Open-End Lease rates are 0.50% higher than the stated Closed-End Lease rate for the corresponding term.
Open-End Lease residual value percentages are the same as Closed-End Lease residual value percentages for the
corresponding term. (Open-End Lease is available for commercial customers only).
 Mercedes-Benz residuals are based on 24,000 km/yr and smart residuals are based on 18,000 km/yr.

 A standard security deposit equal to the lease payment (including taxes) rounded up to the next $50 is required for
Closed-End leases unless First Class Lease Protection is purchased.

 A specific security deposit amount may also be required as a condition of credit approval.

Demonstrator Vehicles
 Demonstrators with an odometer reading between 5,000 km and 15,000 km require an up-front residual value
adjustment based on the total odometer reading at the time of delivery (i.e. the required adjustment is retroactive
from 0 kilometres).
 Reduce the residual value by the appropriate amount as indicated in the charts.
 Demonstrators with an odometer reading below 5,000 km require no adjustment.
 Demonstrators with an odometer reading above 15,000 km require the use of Pre-Owned rates and residual values.
 Demonstrators with an odometer reading below 15,000 km (and New Vehicles) require the use of New Vehicle
Rates and Residual Values (Demonstrators with an odometer reading between 5,000 km and 15,000 km require an
up-front residual-please see note above).

Rate and Residual Value Program Protection Criteria


 Applicable to National Programs published in the National Sales Monthly Sales Programs only (applicable to
new/demonstrator Mercedes-Benz and smart passenger car vehicles only).
 Credit applications must be received and approved by the end of the program month.
 Contracts must be dated up to the final day of the following month – contract date must match the delivery
date.
 Any other rate program eligibility (e.g. loyalty, special incentives, etc.) is based on the contract date.

Cash, Payment Waiver and other Special Incentives


 Vehicle must be RDR’d in the month that the special program is available.
 Vehicles RDR’d must be delivered within five days (aligning with the warranty start date process).
 Contract date must match the delivery date.
 In the case of payment waivers, contract must be dated no later than the fifth day of the following month.

Star Advantage/First Class Financial Option (Quebec only)


 Special CPO rates for Star Advantage Financing/First Class Financial Option are only available on 36 and 48-month
terms.
 For the final payment amount use 42% (for 36 month term) or 37% (for 48 month term) of the selling price up to the
maximum advance or 115% of the purchase price if the vehicle is purchased through the remarketing channels
including payoff.
 Star Advantage Finance is not available in the province of Quebec.
 First Class Financial Option is available only in the province of Quebec.

Certified Program
 $400 flat registration fee for all CPO sales
 A pre-owned Mercedes-Benz that is eligible for this program and count towards the dealer sales target is one that has been
previously sold to a retail customer (and RDR’d as such) who has used the vehicle for their own use for a period of time
(generally 36 months) and has now returned it at the end of their lease and the Retailer has purchased it from the remarketing
channel or taken it in on trade. A current model year (2019) courtesy vehicle or demonstrator may comply if it has been on the
road for a minimum of 6 months from the original RDR date and a minimum mileage of 3,000 kilometres. A past model year
(2018) vehicle must be on the road for a minimum of 3 months from the original RDR date and a minimum mileage of 3,000
kilometres. Model year is based on Calendar Year. Retailers can only RDR pre owned sales units if the cars are 6 model years or
newer (i.e. MY 2014 and up).
 Pre-owned units sold to wholesalers or re-sellers and book deals or accommodation sales, cannot be RDR’d. Vehicles need to be
sold to a retail customer in order to count as retail delivery. Vehicles cannot be RDR'd under the dealership name or related
companies. Such transactions are deemed to be wholesale. Any wholesale transaction, which is RDR'd as retail delivery, will be
charged $400 administration fee and immediately cancelled.
 Dealers that RDR demonstrators / courtesy vehicles as a pre-owned sale that do not fall under this category will be charged
automatically in the system the $400 fee, but will not be paid bonus or count towards their Certified Sales target. The dealer
simply needs to update the customer info into the system if it is not a Certified Vehicle sale and an RDR is not required.
 Dealers are not allowed to purchase maturing vehicles in the remarketing Channel with intent to sell back to the original lessee.
Transactions, in which retailers are paying referral fees to wholesalers or re-sellers in order to RDR vehicles, OR selling vehicles
from outside vendors using CPO rates and warranty, are strictly prohibited. If any of above mentioned violations apply, the RDR
will be reversed and the cost of the full subvention will be charged back to the retailer.

MERCEDES-BENZ VANS:
Lease
 MY 2014 - 2019: Maximum open-end lease residual values are calculated based on published percentages of the
selling price of the Mercedes-Benz Van and are subject to Retail Credit approval. If the selling price exceeds 115%
of Black Book extra clean value, the residual values must be calculated based on the Black Book extra clean value.
 Older Mercedes-Benz Vans MYs: Maximum open-end lease residual value is $500 and residuals are subject to
adjustment by the Retail Credit Department based on credit application details.

Retail Finance
 Maximum Advance - Amount to finance is the selling price not exceeding the maximum of 115% of Black Book extra
clean value. Applicable taxes, F&I products, and the cost of ELW and SCW can be added onto the maximum advance
amount.
 MY 2012 & 2013 Vans: Star Advantage maximum final payment amount is $500 and final payment amounts are
subject to adjustment by the Retail Credit Department based on credit application details.

Mandatory CPO Warranty


 Any Pre-Owned Mercedes-Benz Van that is less than five (5) years from the date of first registration,
and has no more than 130,000 km is eligible to qualify as a Certified Pre-Owned Mercedes-Benz Van. In order to
qualify as a Certified Pre-Owned Mercedes-Benz Van, it must pass the 120 point Technical Inspection and
Certification Report (TICR) and must have either an SCW or ELW registered with the RDR.
 Any model year 2015, 2016, 2017, 2018 & 2019 Mercedes-Benz Sprinter Vehicle which has a warranty will qualify
for special CPO sales support rates.
 This agreement is only available for vehicles originally distributed and sold through MBC.

PASSENGER CARS:
Lease
 Open-end lease rates (for standard rates only) are 0.50% higher than the stated standard closed-end rates.
 Lease is not available for smart vehicles.
 Refer to pre-determined dollar residual values for Pre-owned vehicles.
 Lease residual values are based on 24,000 km/year allowance. High/Low kilometrage leases are not available.

Retail Finance-Maximum Advance


 Amount to finance is the selling price not exceeding the maximum advance (as provided by MB Canada's Retail
Pricing Guide on http://intra.mercedes-benz.ca/) or 115% of the purchase price if the vehicle is purchased through
the remarketing channels including payoffs. Applicable taxes, F&I products and the cost of ELW and SCW can be
added onto the maximum advance amount.
 For MY 2014 use the selling price up to a maximum of 115% of Black Book extra clean value.

Mandatory CPO Warranty (Mercedes-Benz only):


Effective January 1, 2019, all 2015 - 2017 Pre-Owned vehicles will require a warranty in order to qualify as a retail
delivery (RDR). The vehicle can either have a SCW or ELW registered with the RDR. A 2015 - 2017 model year vehicle
that is sold without a warranty cannot be RDRd as of January 1, 2019, dealers will simply enter a Customer Information
Update (CIU) in VAX. MY 2014 Pre-Owned vehicles DO NOT require a warranty in order to qualify for a Pre-Owned RDR,
but DO require a warranty in order to qualify for CPO sales bonus programs. Lease to Retail transactions do NOT require
a warranty for RDR purposes.

PASSENGER CARS CONTINUED:

Lease to Retail Conversion Program


 The lease to retail conversion program is targeted at customers who are within the last 180 days of their lease and provides a
special finance rate (terms based on model year eligibility) for customers to purchase their vehicle at end of term or up to 180
days prior at current payout value. The vehicle has to be purchased through the retailer and sold back to the customer using
our special Lease to Retail finance or Star Advantage rates.
 Book deals, accommodation deals such as cash transactions (in which customers exercise their right to purchase their vehicle at the end of their lease
term through the dealer) and lease transfers are not considered as 'Lease to Retail' and cannot be RDR'd as such.
 Program Criteria:
o Eligibility: Original Customer only
o Vehicle Price: RV or current payout value, excess mileage/W&T waived
o RDR: All L2R done by dealer will qualify for pre-owned RDR. CPO Bonus and CPO fee ONLY apply on L2R units certified
with SCW/ELW.
o Dealer Commission: All dealer generated L2R subvented contracts will earn a 2% of the amount financed dealer fee.
Please refer to the dealer reserve page for dealer fee information for standard rate contracts.
o Exclusion: Not available in conjunction with rate reduction loyalty program, employee lease plan or any other programs
in effect.
o Credit Advance: May include administration fee, ELW, GAP, other approved insurance products and taxes
The National Pre-owned Department reserves the right to audit all or selected Lease to Retail transactions. Any registrations that are not true
Lease to Retail deals will be charged a $400 administration fee and immediately be cancelled.

Special Remarketing Program


 Standard (non-subvented) rates apply.
 Option to re-sell eligible models to the original lessee below original Residual Value (RV).
 The posted SRP rates include the current month and the following 2 months to allow dealers to communicate the rates to the
customer up to 90 days prior to maturity. However, the actual grounding of the vehicle on MB Advantage (Gateway tool) must
take place within 30 days prior to the most recent maturity date for processing the SRP transaction.
 Upon grounding, eligible vehicles will have a SRP Price option which will be available on MB Advantage only (grounding dealer
exclusive period).
 SRP price offered on MB Advantage will reflect the published Dealer SRP Price, while the Lessee SRP Price is the price
communicated to the original customer by the dealer or MBFS.
 The gap between Dealer and Lessee SRP prices represents the dealer commission.
 All SRP transactions will be handled through the dealership (not directly through MBFS). MBFS will direct any customers
interested in pursuing the SRP option to their dealership.
 Any excess wear & tear and over mileage charges will be waived if purchased under SRP program.
 No arbitrations or buybacks possible.

Payment Waiver Programs
Any payment waiver that is in effect will be based on the following program criteria (any special payment waiver programs will be
communicated through a specific marketing notice):

 Three month payment waiver.


 Please refer to the specific sales program grids for eligible models.
 Mercedes-Benz Dealer, Mercedes-Benz Canada and Mercedes-Benz Financial Services will each waive one payment (up to
the payment waiver maximum amount).
 Contracts must be submitted with the payment waiver addendum (the addenda are available in MB Advantage – Forms
Section).
 Invoices for the first three payments may be automatically generated for customers who participate in a payment waiver
program. Please inform the customer to disregard the payment invoices and refer to the Addendum - “Amount I Must Pay”
section for the amounts they are required to pay.
 Credit applications must be submitted by the payment waiver program end date and contracts must be dated (vehicles
must be delivered) within five days after the payment waiver program end date.
 Contracts must be received by Mercedes-Benz Financial Services within eight days of the contract date.
 Program is not available in conjunction with the Biweekly Payment Option, Single Pay Lease, Rollover Kilometre, Open-
End Lease, Employee Purchase or Lease Programs.
Lease
Normal Funding Procedure
First, Second and Third Payment
 Dealer will need to collect directly from the customer any first payment amount over the waived maximum amount at the
time of delivery. Dealer will be billed for one payment through the dealer’s Parts Statement (up to the maximum payment
amount). The MBFS Settlement Invoice will continue to display a deduction for the customer’s full first rental payment, as
well as the full taxable portion of that payment. However, since the dealer is billed for their portion of the payment waiver
through the Parts Statement, MBFS Funding will make all necessary adjustments when booking the contract to ensure the
correct funds are distributed to the dealer.
 MBFS will credit the first, second and third monthly payment (up to the maximum amount) directly to the customer’s MBFS
account.

Lease Pull Ahead Program

The Lease Pull Ahead Program is effective until December 31, 2019 and offers the following:

 Eligible Mercedes-Benz Financial Services Lessees: smart and all Mercedes-Benz passenger car MBFS customers (all models)
excluding S-Maybach and AMG-GT MBFS customers.
 Existing Mercedes-Benz customers must take delivery of a new or demonstrator Mercedes-Benz vehicle by December 31,
2019 and must lease or finance that vehicle with Mercedes-Benz Financial Services. Existing Mercedes-Benz lease
customers that lease or finance a smart vehicle are not eligible for the Lease Pull Ahead program.
 Existing smart customers must take delivery of a new or demonstrator smart vehicle by December 31, 2019 and must

CASH LOYALTY PROGRAM

Cash Loyalty Program for cash purchase customers or MBFS customers that purchase a new/demonstrator
Mercedes-Benz passenger car

 Effective January 1, 2018 until further notice.


 The cash loyalty program offers a cash credit on New and Demonstrator Mercedes-Benz passenger cars ranging from
$750 to $2,000 on select models. Specific cash credit amounts are indicated in the preceding Sales Program pages under
the “Loyalty – Cash” column by model/engine variant.
 Customer Eligibility: To be eligible, a cash purchase customer must currently own or lease/finance with MBFS a new or
pre-owned Mercedes-Benz passenger car, new or pre-owned smart vehicle or new or pre-owned Mercedes-Benz Van and
will be purchasing a new/demonstrator Mercedes-Benz passenger car. Leasing/Fleet Management companies,
Vehicle Wholesalers and Daily Rental companies are excluded from participation in this program. An MBFS customer
must have an active account or had an active account within the last 6 months.
 “Cash Purchase” sale type must be used during DFE Sales Capture card process (RDR).
 The “loyalty VIN” must be included in the DFE Sales Capture Card to receive the cash credit.
 Dealers must claim the cash credit via DFE manual claim and must submit a copy of the Bill of Sale and the cash
purchase customer’s existing Mercedes-Benz or smart registration/ownership indicating the cash purchase customer’s
ownership of the vehicle.
 Claim submissions will be audited at month-end to ensure customer eligibility.
 Please ensure the submitted ownership of the loyalty VIN matches the ownership of the new VIN.
 If a loyalty VIN is accidentally missed during the Sales Capture Card processing, please contact your Regional Sales
Operations Manager or Regional Coordinator.
 The cash loyalty credit is transferable to a customer’s immediate family member who resides at the same address.
 The cash loyalty credit is transferable between a corporation and the corporation principal.
 Not available in conjunction with Employee Purchase Programs and MYSTAR.
 Not stackable with rate reduction loyalty programs (e.g. 1% Rate Reduction Loyalty Program, Lease Pull Ahead Program
Loyalty Rate Reduction).

Rollover Kilometres Program
The Rollover Kilometres Program is effective until December 31, 2019 and offers the following:
 Customers can roll over unused kilometers to their next lease of a new Mercedes-Benz or smart vehicle when financed
through Mercedes-Benz Financial Services.
 Scheduled First Class Lease maturities occurring between January 1, 2019 and December 31, 2019.
 Applicable for full-term contracts only (i.e. where all lease payments and obligations have been paid).
 Lease Pull Ahead and Employee Lease customers are not eligible for the Rollover Kilometres program.
 Up to a maximum of 5,000 additional (previously unused) kilometres can be carried over and added on to a Lease
Contract for any new Mercedes-Benz or smart vehicle where a customer signs a contract for the same kilometrage or
higher. For example from a standard kilometre lease to a standard kilometre lease, or from a standard kilometre lease to
a high kilometre lease.
Rollover Kilometres do not apply in the following instances:
- High kilometre lease to a Standard, Low or Lower kilometre lease
- Standard kilometre lease to a Low or Lower kilometre lease
- Low kilometre lease to a Lower kilometre lease
- Unused purchased kilometres (since the customer is already being refunded for these)
Guidelines for Lease Contracts With Rollover Kilometres
 Previous lease vehicle must be grounded with completed / signed condition report and VRR (Vehicle Return Receipt) and
copies must be submitted to MBFS in the new lease contract document package.
 Clearly indicate that this is a Rollover Kilometres contract in the Dealer Comments of the Credit Application in
MBAdvantage.
 New Lease contract must be dated within 30 days of grounding of previous lease vehicle.
 Customers may purchase additional kilometres on their new Lease contract (on top of Rollover kilometres) to increase
overall allowed kilometres, if desired.
 Original customer only (i.e. non transferable).
Easy Two Step Rollover Kilometres Calculation Process
1. Subtract kilometres at grounding from maximum allowed kilometres shown on the maturing lease contract, excluding
any purchased kilometres (see above).
2. Add “Rollover Kilometres” (to a maximum of 5,000) to the Standard kilometre maximum on new First Class Lease
contract.
27 & 39 Month Stretch Lease Program

Biweekly Payment Option


 Available at time of contract signing only.
 Available for retail finance contracts only (not available on Lease agreements).
 Available for smart vehicles (new and pre-owned) and Mercedes-Benz A-Class Hatchback (new and pre-owned) and
pre-owned passenger cars only. Even though this option is displayed in MB Advantage for other vehicles, the
biweekly payment option is only available for smart vehicles (new and pre-owned) and Mercedes-Benz A-Class
Hatchback (new and pre-owned) and pre-owned passenger cars.
 Not available for Star Advantage or First Class Financial Option contracts.
 For Mercedes-Benz pre-owned vehicles, the biweekly payment option may be offered in-dealership only and are not
to be advertised.
 The Pre-Authorized Payment Plan is mandatory for all smart and Mercedes-Benz A-Class Hatchback and pre-owned retail
finance customers that select the Biweekly Payment Option. If a smart or Mercedes-Benz A-Class Hatchback or pre-
owned customer cancels their pre-authorized payment plan, a monthly payment option will only be available for the
duration of the contract term. First payment due date will be approximately fourteen days from the contract date.
