MEMORANDUM OF AGREEMENT

Know All Men By These Presents:

This Memorandum of Agreement made and duly entered by and between:

PALAWAN STATE UNIVERSITY, a government educational institution duly organized and existing
under and by virtue of the laws of the Republic of the Philippines, with principal office and address at
Tiniguiban Heights, Puerto Princesa City, herein duly represented by PROF. MARISSA S. PONTILLAS,
OIC, Office of the University President and hereinafter referred to as the 1ST PARTY.

-And-

(NAME OF THE COMPANY), a corporation/ partnership/ sole proprietorship duly organized and
existing under the laws of the Philippines with principal address and place of business at (COMPANY
ADDRESS) herein duly represented by (NAME OF SIGNATORY), (POSITION) hereinafter referred to
as the 2ND PARTY.

(NAME OF GOVERNMENT AGENCY), a government entity duly created and existing under and by
virtue of the laws of the Republic of the Philippines, with principal office and address at (OFFICE
ADDRESS), herein duly represented by (NAME OF SIGNATORY), (POSITION) and hereinafter
referred to as the 2ND PARTY.

WITNESSETH:

WHEREAS, 1ST PARTY recognizes the need to balance theoretical instruction with practical training and
develop student’s skills and productivity by linking the academic programs with the industry and expose
students to relevant and present needs of the industry through an OJT/Practicum/Internship Program;

WHEREAS, the 2ND PARTY undertakes to assist the 1ST PARTY in the implementation of the
OJT/Practicum/Internship Program, hereafter referred to as the Program;

NOW THEREFORE, for and in consideration of the mutual covenant, parties enter into an agreement,
and stipulate as follows:

I. REPSENTATION & UNDERTAKING OF PARTIES

A. The 1ST PARTY:


1. Warrants that the STUDENTS-TRAINEES have been duly screened and carefully selected
to ensure their intellectual, physical, mental and emotional fitness to undertake the
program;
2. Assures that STUDENT-TRAINEES have been briefed and oriented on work ethics and
human relations;
3. Guarantees that STUDENT-TRAINEES have secured the necessary group life accident
insurance covering the entire duration of the Program;
4. Undertakes to furnish the 2ND PARTY papers, records or documents necessary to carry-out
the Program.

B. The 2ND PARTY:


1. Undertakes to provide supervision to STUDENT-TRAINEES and assign to them tasks that
will assure maximum learning experience in accordance with the
OJT/Practicum/Internship Training Plan (the Training Plan);
2. Agrees to grant visitation privilege in favor of 1ST PARTY’s OJT/Practicum/Internship
Training to monitor STUDENT-TRAINEES. The manner, terms and condition in the
exercise of said visitation privilege shall be provided in the Training Plan; (optional
provision)
3. Takes on the responsibility to conduct performance evaluation of the STUDENT-
TRAINEE, and thereafter to issue a Certificate of Completion or Testimonial to
STUDENT-TRAINEES who have successfully completed the Program.
II. OJT/PRACTICUM/INTERNSHIP TRAINING PLAN. Both parties shall adapt an
OJT/Practicum/Internship Training Plan (the Plan), hereto attached as Annex A, and is an
integral part of this Agreement. The Plan shall serve as the basis in determining the specific
responsibilities and accountabilities of the parties and in carrying-out their respective
representation and warranties herein provided. Any change/modification in the Plan shall be
mutually agreed to by the parties.

III. DISCIPLINARY ACTION. The right to impose disciplinary action against the STUDENT-
TRAINEE may be exercised by either party under the principle of shared responsibility.
Nevertheless, 2ND PARTY reserves said right if the act or omission constitutes a violation of
company rule or regulation.

IV. EFFECTIVE and TERMINATION. This Agreement shall commence upon signing and shall
remain in force until terminated by either party upon written notice of termination.
Nevertheless, said termination shall not prejudice STUDENT-TRAINEES currently
undergoing the Program. In such instance, termination shall take effect only upon compliance
by the party seeking termination of all its undertaking under Paragraph I of this Agreement and
that specified in the Plan.

This Memorandum of Agreement shall govern the conduct of mutual cooperation and shared responsibility
between the parties beginning ___________________________.
