AGREEMENT FOR EDUCATIONAL SERVICES

Concluded in Prilep, between:

1. Company for trade and services Kids company Dooel Prilep,Helen Doron English Learning Center
,St Aleksandar Makedonski No.24

2. Esented by representative in law Goran Arsoski from Prilep ( in additional text on the first page of
the agreement ).

the agreement ).

Article 1

The school is owner of the license Learning Center (School Center) that the municipality of Prilep
teaches English language exclusively by Helen Doron method Prilep (in additional text method).

Article 2

With this agreement the second contracting party agrees its own child to attend to educational
program by Helen Doron method by specified conditions in the Agreement.

Article 3

The first Contracting Party to this agreement commits the second Contracting Party to provide it with
70 (seventy) instructional hours during the school year. The curriculum takes place over a period of 9
months . Throughout the duration of the school year the student will be provided with two holidays
and days off as follows:

- New Year holidays in December which lasts from 31 December to 10 January

- Summer holiday July and August

- The school will not hold classes during all the legally established public holidays (except religious
holidays).

The student, or second Contracting Party is obligated to regularly attend classes, in case of inability
of the parent is obligacted to inform the school that the student can not attend regular classes. If a
student misses many classes due to the absence of the teacher or some technical problems in the
school ,the school commits oneself that missed classes will be held as soon as possible.

Article 4

The school is committed to ensure the student during the school year with a set of original materials
that consists of a set of books (textbooks) and CDs packed in original Helen Doron Pouch supplied
directly from the Helen Doron office Ltd.

The material from the previous paragraph of this agreement, the school will provide it,in a period
of four weeks from the date when the parent committed payment of the total amount of
preregistration when the students place is verified in the group.
The school will distribute the material to the students in four weeks when the parent will pay the full
amount of the preregistration (if payment is made later than the period provided for preregistration).

The school is obligated that will provide student's needs with other materials that are necessary for
tteaching ,and also will help in the successful application of the HD method.

Article 5

The school accepts obligations at their own expense to organize a "final class",where the students will
be given Helen Doron English diplomas for completed level and also will be given gifts suitable for
every student.

The school is committed to equip the teaching area in accordance with the norms in the regulations
and standards set by the licensor and owner of Helen Doron Ltd. From Israel.

The school accepts the obligation to enroll the student in the next grade only if the previous level is
successfully completed in compliance with the material which corresponds with the level and
receives the appropriate diploma,according to the rules of conduct teaching method

The school has right not to grant diploma to the student for the level and to not allow passage to the
next level, if the student is absent more than 16 classes, and if he did not show a satisfactory level on
the final test in order to enter the next level.

The school t has the right not to release the student to come to classes if the monthly payment of
tuition fees is not settled on time, until the debt is not pay off. With this the missed classes will not be
returned, but tstill he teacher will focus extra attention, while taking care for the rest of the group.

The school may not enroll potential student in the next school year if the student has outstanding
debt for monthly tuition or preregistration from the previous school year.

The school and the HD teacher have the right to exclude students who behave inappropriate and
undisciplined, who make classes complicated and disturb the other students in following the lessons.

Article 6

The parent accepts the obligations of school to provide appropriate dates in the group in
preregistration to pay the full amount of the 3.990 mkd.The payment for preregistration will be made
no later than one day after the conclusion of this contract, in the pay office in school or through bank
account.

If the student is the second child and subsequently follows the instructional classes, has the right to
a discount for the material, which means that he gets Sibling set (only bag with books, without music
CDs which costs 3100 mkd.If they are twins ,one pouch with materials is complete and paid regular
price of 3999 mkd.whereas the second pouch is set Sibling and it costs 3100 mkd.
