That if the total consideration stated in said Deed of Absolute Sale, I/we have an outstanding obligation in the amount of
____________________________________________________________, (P________________) which I/we intended to be paid
out of the proceeds of the loan which I/we applied for mortgaging said house and lot in any bank of financial institution; that the
said transfer of the title of the subject property in my/our name(s) was made by the Developer relying on my/our undertaking
my/our aforesaid outstanding obligation will be paid in full from the proceeds of the said loan that I have failed to fully pay from
the said obligation to the Developer.

Hence, in view of the foregoing premises I/we hereby RECONVEY unto the Developer, a corporation duly organized and
existing under the laws of the Philippines, with principal at a Camella Centre, Alabang-Zapote Road, Las Piñas, Metro Manila, the
above-mentioned residential house and lot together with all the improvements thereon. Further, I/we hereby agree that any and all
payments that I/we have made to be applied to the broker’s commission, registration and transfer taxes, fees, charges and other
expenses that may have been incurred and will be incurred by Developer in the registration of the said Deed of Absolute Sale and
this Deed of Reconveyance, and the residue, if any, be applied to the payments of damages, cost of repairs and cost of money that
developer may have suffered or incurred or will suffer or will incur in holding said house and lot for me/us. If the payments I/we
have made are not sufficient to answer for the aforesaid expenses, I/we hereby undertake to reimburse the Developer to such
deficiency. Finally, I/we hereby hold the Developer free and harmless from whatever suit arising out of or in course of above-
mentioned Deed of Absolute Sale and this Deed of Reconveyance and hereby bind obligate myself/ourselves to indemnify the
Developer for any and all liabilities, losses, damages, judgments, awards, fines, and penalties and all other expenses arising from
or by reason aforementioned Deed of Absolute Sale and this Deed of Reconveyance.
