On March 12, 2010, the Constitutional Tribunal of Peru conrmed the
constitutionality of Legislative Decree N1084 (against a demand of
unconstitutionality to derogate the mentioned Legislative Decree presented
by some of the people involved in the shing industry in Peru), emphasizing
that the establishment of maximum catch limits per vessel is constitutional,
since it is oriented towards guaranteeing the adequate capture and
extraction of the anchovy and white anchovy resources.

Durante el 2012, operamos con 23 embarcaciones implementadas con equipos
electrnicos de ltima tecnologa, de las cuales, 16 cuentan con sistemas
de recirculacin de agua refrigerada (RSW) cuyos sistemas de conservacin
garantizan el abastecimiento ptimo de materia prima a la planta.

EXTRACTION
UNIT
During 2012, we operated with 23 vessels equipped with state of the art
technology electronic equipment, of which 16 have refrigerated seawater
(RSW) recirculation systems with conservation systems which guarantee
the optimum supply of raw material to the plant.
In compliance with the quota law of anchovy, we had the capacity to attend
to the center north zone (From Paita to Pisco), south zone (From Atico to Ilo)
and shing of horse mackerel and mackerel. The extraction of raw material

We have audited the accompanying consolidated nancial statements of Pesquera Hayduk S.A. (a Peruvian company) and Subsidiaries, which comprise the
consolidated balance sheets at December 31, 2012 and 2011 and the consolidated statements of comprehensive income, changes in equity and cash ows
for the years then ended, and a summary of signicant accounting policies and other explanatory notes (included in the attached notes 1 to 30).

AUDITORS RESPONSIBILITY
Our responsibility is to express an opinion on these consolidated nancial statements based on our audit. We conducted our audit in accordance with
Auditing Standards Generally Accepted in Peru. Those standards require that we comply with ethical requirements and plan and perform the audit to
obtain reasonable assurance about whether the nancial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the consolidated nancial statements. The procedures
selected depend on the auditors judgment, including the assessment of the risks of material misstatement of the nancial statements, whether due to
fraud or error. In making those risk assessments, the auditor considers internal control relevant to the Company for the preparation and fair presentation
of the consolidated nancial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an
opinion on the effectiveness of the Companys internal control. An audit also includes evaluating the appropriateness of accounting policies used and the
reasonableness of accounting estimates made by Management, as well as evaluating the overall presentation of the consolidated nancial statements.
We believe that the audit evidence we have obtained is sufcient and appropriate to provide a basis for our audit opinion.
OPINION
In our opinion, the accompanying consolidated nancial statements referred to above, present fairly, in all material respects, the consolidated nancial
position of Pesquera Hayduk S.A. and Subsidiaries at December 31, 2012 and 2011, their nancial performance and their consolidated cash ows for the
years then ended, in accordance with International Financial Reporting Standards.
