MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into by and between:

The POLYTECHNIC UNIVERSITY OF THE PHILIPPINES, a state

University created and existing under the laws of the Republic of the
Philippines, with principal office address at Anonas Street, Sta.Mesa,
Witness

Manila, and represented by its President, DR. EMANUEL C. DE

GUZMAN, and hereinafter referred to as the FIRSTPARTY;

GJ ANGELES CONSTRUCTION. a corporation duly created and

existing under the laws of the Republic of the Philippines, with office
address at Cabanatuan City, Nueva Ecija and represented by its
General Manager, ENGR. GEORGE J. ANGELES, and hereinafter
referred to as the SECOND PARTY.

WITNESSETH:

WHEREAS, the FIRST PARTY is a duly recognized higher education institution, which
offers a program, Bachelor of Science in Civil Engineering, with a curriculum requirement
that the students enrolled therein shall undergo an On-the-Job Training (OJT) Program
where qualified students will be exposed to actual industry training, thereby augmenting their
formal training prior to their graduation; and

WHEREAS, the SECOND PARTY supports the OJT Program of the FIRST PARTY,
and agrees to accept and accommodate the qualified students of the FIRST PARTY by
providing training through actual industry training.

NOW THEREFORE, premises considered, the PARTIES agree to the following:

I. SCOPE OF THE OJT PROGRAM.

1.1 The OJT period requires 300 hours of actual training.

1.2 The student-trainee/s shall report and render training within the premises of theSECOND
PARTY.

1.3 The student-trainee/s shall exercise care and diligence in a task assigned to them, which
the SECOND PARTYassures that said are not risky, dangerous orunrelated to the
purpose of this Agreement.

1.4 The student-trainee/s shall ensure that all sensitive or confidential matters, files,
documents and the likes are kept strictly confidential.

1.5 The student-trainee/s shall be made answerable for any all liabilities for the damages to
property or injury to third party which may be occasioned by his intentional or neglect
acts while in the course of training.

I. DUTIES AND RESPONSIBILITIES OF THE FIRST PARTY.

2.1 The FIRST PARTY shall coordinate with the designated personnel of the
SECONDPARTY regarding the deployment of the student-trainees.

2.2 The FIRSTPARTY shall conduct regular supervisory visits within the premises of the

SECOND PARTY during the training of the student-trainees.

I. DUTIES AND RESPONSIBILITIES OF THE SECOND PARTY.

3.1 The SECOND PARTY shall orient the student-trainee/s on its rules and regulations,

its policy on confidentiality, and such other rules in relation to the OJT of the student-
trainee/s.

3.2 The SECOND PARTY shall provide free relevant instruction and training to the
student-trainee/s, consistent with its policies, rules and regulations. It shall treat the

students in a professional manner, and shall not subject him/her to task or work
assignments that are risky, dangerous or unrelated to the purpose of this agreement.

3.3 The SECOND PARTY will not assume any responsibility whatsoever for any injury or
accident which may happen to the student-trainee/s within or outside its premises
except such injury or accident, arising from an act or omission, intentional or
unintentional, including negligence, by the SECOND PARTY, its officers, employees,
representatives or agents.

II. COMMON PROVISIONS.

4.1 Student trainee is and only Paulino, Collin G.

4.2 It is hereby agreed and understood that the student-trainee/s shall follow all the rules
and regulation of the SECOND PARTY, such that any violation of the rules and
regulations of the SECOND PARTY shall be sufficient ground for termination of this
Agreement.

4.3 It is hereby understood that there is no employee-employer relationship between

SECOND PARTY and the student-trainee during OJT period.

4.4 Nothing in this Agreement shall be constructed as a guarantee of regular

employment of the student-trainee by the SECOND PARTY.

4.5 This Agreement shall be binding upon the signing of the authorized representatives
herein until the accomplishment of the purpose of this agreement, unless pre-
terminated by one party upon 10 day written notice to the other party for any
justifiable cause, or for a cause provided herein.

This instrument refers to a memorandum of agreement and consists of three (3) pages
including the page wherein this Acknowledgement is written, sealed with my notarial seal and
signed by the parties hereto and their respective instrumental witnesses on each and every
page thereof.
