Company History
The history of Security Alliance, LLC goes back to 1996 when David Ramirez (a former intelligence officer in the U.S.
Marines) formed Business Risks International, Inc. This private investigation firm provided an array of services including due
diligence, Intellectual Property infringement and other general investigations. The firm was owned and operated by Mr.
Ramirez until it was merged with the operations of Security Alliance, LLC. Security Alliance began offering security guard
services in 2001 as Security Alliance Corp. In 2002, Security Alliance, LLC was formed to house the operations of both
Security Alliance Corp and Business Risks International, Inc in order to streamline the administration and to provide a more
efficient tax structure.
During the 2002 restructuring, David Ramirez made the decision to bring in Carl St. Philip as a partner and Vice President.
Mr. St. Philips experience included public auditing and serving as the Chief Financial Officer and Senior Vice President of
Steiner Leisure Limited, a publicly traded entity. The combined skills of Ramirez and St. Philip allowed Security Alliance,
LLC to grow in a controlled and orderly fashion. In total, Security Alliance provides over 21000 hours per week of both
armed and unarmed guard service per week. Security Alliance has a presence in South Florida, Tampa, Mobile, New
Orleans, Dallas, Atlanta and Charlotte. In addition to the security guard services, they provide security consulting and
investigative services for a select few large law firms in South Florida as well as several Fortune 500 companies.

Company History
Recently, the firm made the decision to bring in strong guard service operational talent and chose Bill Murphy as a Vice
President and Angel Rosado as the Director of operations, both formerly of a major security firm. Their combined operational
tenure of 35 years and the experience of running 1.5 million guard hours annually in the South Florida provide Security
Alliance with a complete and seasoned management team. With the entire infrastructure in place, Security Alliance, LLC
is poised to grow and is aggressively seeking good opportunities in both the public and private sectors.

Management Team
David Ramirez, Chief Executive Officer

Principal of Security Alliance with control of all administrative and operational functions. As founder of Security Alliance David
personally oversees all strategic planning, business development, investigative assignments and all consulting services. David
designed and implemented an unmatched standard of excellence philosophy that clients have come to enjoy. As a mentor of his
vision and these initiatives David strives to change the face of the security industry by elevating the standards. David is the current
2nd Vice Chair of ASIS International's Miami Chapter and member of the Military Liaison Council along with chairing its Military
Appreciation Committee. David managed operations in New York and Miami for both Wackenhut and Pinkerton before forming
Security Alliance. David served his military career in the Marine Corps, attached to a special operations unit.
Carl St. Phillip, Sr. Vice President/Chief Financial Officer

Principal of Security Alliance, providing oversight for all its offices. Responsibilities include all financial, administrative and
compliance functions within the organization. In addition, reviews all service proposals and participates in strategic planning,
corporate governance, diversification initiatives and business development. Carl's career has seen much success, as a Certified
Public Accountant and the former CFO of Steiner Leisure (NASDAQ: STNR). Carl was responsible for the financial aspects of taking
Steiner public in 1996, reporting to the SEC thereafter and maintaining banking relationships related to its $50 million dollar
revolving credit facility. Carl is a graduate of the University of Florida's school of accounting and Florida International University's
MBA program. He also served as the Treasurer of ASIS International's Miami Chapter in 2004.

William Murphy, Vice-President

Ultimately responsible for all company operations including oversight of management in all of its offices. Bill provides direction of
critical processes to include business development, client relations, strategic planning, human resources, compliance and legal
matters. Bills career started in investigations before transitioning to a Miami-based security company. Bill was largely responsible
for its swift growth and success and subsequent reputation as an industry leader. Bill serves his community through his support of
charities and as a board member of Crime Stoppers, Police Officers Assistance Trust (POAT), Salvation Armys Miami Advisory
Council and as the former Vice Chairman of ASIS International's Miami Chapter for 2005 and 2006. He earned his bachelors
degree from Barry University.
Angel Rosado, Director Of Operations

Oversees the daily management and field operations for all its offices. Angel serves in various capacities requiring goal-oriented
leadership and mentors his managers and supervisors as he follows the companys standards of excellence. Always willing to
accept new challenges, Angel develops new programs and initiatives that lead to the companys overall successes. Angels
strength is his ability to optimize time, communicate with staff and clients, delegate responsibilities and manage resources. His
private sector service began with a local security company that he helped grow through his leadership. Angel served his country
with U.S. Army.

Security Alliance is a Miami-based provider of full-spectrum security and investigation services, specializing in security guard
services. We currently operate services out of six (6) offices in five (5) states, including our Miami headquarters office. Security
Alliance is a growing company whose principles and operators bring a combined 50+ years of security management experience.
Security Alliance is the current provider of services to government agencies at the federal, state, and local levels, and as such,
has established a reputation as a quality service provider and a responsive management team. We strongly believe that our
credentials, our history of exemplary performance for all our customers, and our commitment to quality make Security Alliance
a positive choice for any client.
Our company currently operates over 20,000 hours per week of guard services throughout the Southeastern United States,
