RESUMEN EJECUTIVO
El presente trabajo consiste en el desarrollo del plan de negocios para la empresa
exportadora de fruta EXPORTADORA OTC SPA (cuyo nombre de fantasa es
Overseas Trading Company).
Los productos a exportar son fruta fresca, fruta deshidratada, fruta congelada
(bloques IQF), vinos (embotellados y granel), licores (pisco), productos del mar
(salmones, otros), y todo producto agroindustrial que sea posible de exportar y
que exista la necesidad en los mercados externos. Los mercados objetivos son;
Estados Unidos de Norteamrica, Europa, Lejano Oriente, Asia (China), Mxico,
Colombia y El Salvador.
La empresa tiene el propsito de, en una primera etapa, trabajar como trader
(comercializador) entre el productor y los recibidores externos. Adems en esta
etapa tambin se trabajar como representante de recibidores en tres mercados
principales; Europa, EEUU y Asia. En Europa, como representantes de la cadena
STAAY FOOD GROUP, en EEUU como representantes de PRODEX INT. LLC. y
en Asia de una serie de recibidores chinos (FULLBLOOM, POMINA
ENTERPRICE co, etc), a travs de nuestro trader Ingeniero Agrnomo Sr.
Guillermo Ray (asentado en Taipei, Taiwan).
Por lo tanto no necesariamente se
requiere exportar directamente, al ser representantes de recibidores, se ha
negociado un fee (honorario) de un 8% del valor de venta CIF por los volmenes
de fruta que exporten terceros a nuestros recibidores (y cuya gestin de ventas
haya realizado OTC).
La Exportadora OTC se proyecta a futuro como una empresa que arriende o
compre su propia produccin desde campos propios.
Adems la
internacionalizacin de la Exportadora va de la mano de ampliarse a los
mercados de Per y Argentina. Y en un futuro a ms largo plazo; abrir una
empresa recibidora de fruta en Estados Unidos de Norte Amrica. Todo enfocado
a generar una economa de escala tendiente a maximizar las utilidades de la
exportadora.
En la primera etapa, la principal actividad operativa, es el trasporte del producto,
que consiste en el diseo logstico de una cadena de valor, caracterizado

principalmente por no interrumpir la cadena de fro del producto durante el
traslado, resguardando la durabilidad para entregar un producto en buenas
condiciones despus de al menos 15 de viaje. La logstica se basa en la
distribucin desde el campo hasta el pas de destino.
Mencionado lo anterior se respalda la proyeccin de la exportadora con una
cadena de proveedores integrados, de alto nivel de experiencia, infraestructura,
capacidad tcnica y operativa, con una variedad de cultivos certificados
asegurando la venta de productos de alta calidad.
INTRODUCCIN
Nuestro pas, tiene grandes potencialidades para ser uno de los principales
productores agrcolas del mundo con diversidad de climas y con barreras
geogrfica naturales, que permiten estar aislado de problemas de pestes y
enfermedades vinculadas a productos vegetativos.
En consecuencia, Chile es de los principales productores de fruta en el hemisferio
sur, siendo una actividad de altas ventajas comerciales, con clientes cautivos en
el consumo de productos agropecuarios, por el concepto geogrfico de la
contraestacin. De esta forma, nuestro pas se ha posicionado en el mercado de
pases desarrollados, con una alta participacin en la venta de fruta fresca hacia
los principales mercados de hemisferio norte.
La industria frutcola ha tenido gran auge durante los ltimos 40 aos,
obteniendo un crecimiento sostenido.

el contrario, cada empresa ejecuta su propio modelo. Podemos destacar que
se exportan 110 millones de cajas de uva de mesa, donde la compaa con
mayor volumen, exporta solo 8 millones de cajas, esto nos indica que hay un
quiebre en la industria que Exportadora OTC puede aprovechar para
posicionarse en el mercado dentro del rango medio de al menos 50.000 cajas.

1.3. Oportunidad
Se ha identificado una oportunidad atractiva, durable en el tiempo. Existen
ganancias estables y un favorable margen de ingresos bruto al exportar.
Tenemos la oportunidad de generar mayores ingresos, en menor tiempo y de
forma transparente con el cliente.
Con la exportadora se puede evaluar la forma de crear nuevas necesidades en
los mercados, tomando en cuenta posibles sub productos de los cultivos, tales
como frutos secos, jugos o congelados con al apoyo de la alta probabilidad de
ejercer de forma activa la transferencia tecnolgica adquirida posteriormente al
proceso de exportacin.

Estructura del diseo del plan operacional para la exportacin, definiendo mtodos
de distribucin y logstica para determinar las necesidades a satisfacer tanto con
funciones internas como subcontrataciones.
Es fundamental una gestin operativa eficaz, ya que el proceso exportador, se
basa en la gestin logstica y comercial, de alta exigencia operativa que exige el
producto. Se debe considerar las responsabilidades de Exportadora OTC y cules
sern externalizadas.

Elementos como la publicidad, promociones, participacin en ferias del rubro se

El poder negociador del cliente est condicionado al volumen de la oferta del
producto. Los clientes estn diversificados por mercados, en este caso el cliente es
el recibidor que compra el producto en el mercado de destino. El precio que transa
est en relacin al volumen de la oferta internacional del producto a comprar. Su
poder est condicionado al volumen de stock del mercado interno, respecto al
volumen de la oferta externa que pueda recibir. Se explica lo anterior, hay
mercados que almacenan la produccin interna de fruta en frigorficos, a un bajo
valor de venta, una vez sin inventarios el valor aumenta y se regula segn la
demanda interna, por lo tanto los precios aumentan y el importador est obligado a
comprar a un precio mayor.
El poder negociador del cliente es bajo, en este caso nuestra empresa est
diversificada, con suficiente flexibilidad para abrir las opciones con un
posicionamiento en el mercado tenga una alternativa favorable.
B.
Lo proveedores tienen un gran poder, debido que son costos indispensables para la
exportacin. Existen dos tipos de proveedores a considerar, los proveedores de
productos y los proveedores de servicios. Los productos son principalmente los
materiales de embalaje quienes regulan sus precios segn la calidad del material.
Los proveedores de servicios son el transporte, frigorfico, seguros y aduana y
costos portuarios. Estos servicios en general estn regulados por lo tanto el poder
de negociacin es muy fuerte.
En ambos casos, con los proveedores solo se pude negociar por la magnitud de
economas de escala, por muy grandes cantidades.

Estados Unidos ha duplicado sus importaciones de armdanos durante la
dcada 2002-2011, al igual que Canad. El Reino Unido presenta un incremento
de diez veces su volumen importado de arndanos frescos entre los aos 2002
y 2011, mientras que las importaciones de los Pases Bajos han experimentado
un aumento de veinte veces.

El volumen de las importaciones mundiales de cerezas ha registrado un
importante crecimiento entre 2001 y 2010, segn cifras del Centro de Comercio
Internacional (CCI), incrementndose en 74,2% en el perodo, al registrar un
aumento de 144.045 toneladas, desde 194.100 toneladas en 2001 a 338.145
toneladas en el ao 2010.

Fueron creadores y artfices de la Exportadora Sun Valley Intenational, la cual
vendieron a empresarios americanos.
Esta exportadora lleg a exportar 150.000 cajas de fruta fresca y 100.000 cajas de
fruta congelada por temporada, entre los aos 2009 al 2011.

6.3.1 Precio Mnimo Garantizado: Esta dinmica de negociacin
establece un precio mnimo por la fruta independiente de las
condiciones de mercado, las cuales deben ser aprovechadas
para obtener siempre el mejor precio de mercado.
6.3.2 Precio Fijo o en Firme:
Este tipo de fijacin de precio corresponde al trato realizado
entre recibidor y exportador el cual garantizada un precio fijo
por la fruta vendida, independiente del resto del mercado. Se
negocia un precio FOB final el cual se paga un porcentaje a la
salida del embarque y otro a la llega del producto a destino.
6.3.3 Precio Libre Consignacin:
Corresponde al mejor precio obtenido por el recibidor en la
venta de la fruta exportada, aprovechando las condiciones de
mercado, de esta manera se asegura el mejor reporte tanto
para el recibidor como para el exportador y productor. Se
negocia un precio FOB o Mnimo Garantizado (MG), y una
diferencia de precio entre el MG y el precio final de venta. Para
este caso se hace entrega de una liquidacin final a los 45-50
das de llegada la fruta a destino.
Segn la experiencia de ventas, una buena opcin es llegar a negociar la
venta del producto combinando un precio mnimo garantizado con libre
consignacin, asegurando un valor base para aumentarlo en el caso que el precio
en los mercados sea mayor.
El medio de pago es a travs de depsito o transferencia bancaria. Esto debe
estar regulado por las entidades bancarias asociadas a las empresas.
En todos los casos se paga un porcentaje al embarque, contra la presentacin de
los documentos de embarque, dentro de los cinco (5) das hbiles despus de la
salida del buque de transporte de los cultivos a los (originales de seguir a travs de
correo urgente);
(I) Resumen el envo por contenedor (variedad de peso, la
etiqueta y el tamao);
(II) Conocimiento de embarque;
(III) Factura pro-forma (que se utilizar para el despacho de
aduanas);
(IV) Certificado fitosanitario;
(V) Certificado u origen y cualquier otra informacin solicitada
por el agente.

6.3.3 Ingreso por Rebate (Confidencial)
El rebate es un ingreso directo a los accionistas de la
exportadora, sin pasar por contabilidad ni SII.
El rebate es un monto que paga las navieras por la exportacin
de contenedores Reefer o Naves Reefer.
Este, en resumen, consiste en la
diferencia entre el costo del flete a pblico y el costo del flete real. El flete
naviero es pagado collet por los recibidores, por lo tanto el monto del rebate lo
define la exportadora (USD / por caja).
6.4 Presentacin de dos (2) modelos de negocio
En el anlisis financiero se entrega dos modelos de negocio diferentes:
6.4.1 Compra y venta de producto terminado
En este esquema se compra la fruta ya embalada o por
embalar y se negocia un precio de venta. Este precio se paga
en un 50% al embarque y 50% a la buena condicin de llegada.
Por lo tanto el pago del 50% al arribo est desfasado entre 45 a
60 das desde salido el barco (tiempo de transporte y tiempo
de pago final)
Se presenta este esquema para la Campaa de Invierno, que
est dada por la compra de producto terminado de Kiwis,
Paltas, Ctricos principalmente.
Este mismo esquema, con un riesgo prcticamente nulo, se
aplica a la fruta congelada, con la ventaja que en fruta
congelada se puede factorizar inmediatamente embarcada la
fruta.
6.4.2 Captacin de Productores
En este esquema, el objetivo es compra la fruta en huerto, y la
exportadora asume los costos de cosecha (en algunos casos),
packing y materiales. Se entrega anticipos por la fruta a los
productores. Este esquema permite mayores rentabilidades
que el esquema anterior, ya que se asume que la exportadora
es la que financia, y este financiamiento tiene un costo que se
compensa con el precio ms bajo de compra. Los flujos de la
fruta para este modelo de negocio se detallan a continuacin;

enfermedades fitosanitarias en la fruta, eliminando su presencia para posterior
traslado al puerto. Se realiza de forma aleatoria a los pallets desarmndolos para
revisar las cajas marcadas y aplicando el producto determinado para eliminar
eventuales plagas y as ser re embalado, cabe sealar que las revisiones son
hechas dentro de las cmaras frigorficas sin romper la cadena de fro del
producto.

Descarga en Puerto:
Corresponde a la descarga de la fruta en el puerto de llegada segn el mercado.

Control de calidad:
Corresponde a las inspecciones aleatorias realizadas por el equipo de control de
calidad del recibidor con el fin de corroborar las condiciones de la fruta y el
cumplimiento de los requerimientos del mercado. Si la fruta cumple con los
estndares exigidos, sigue con el proceso de traslado. De manera contraria es
informado el proveedor y esta fruta es rechazada y debe ser renegociada o
destinada a otros recibidores o mercados. Se debe fumigar segn exigencias de
cada mercado en el destino.

Flete y Distribucin

El traslado del producto se realiza en dos etapas; una desde el packing al frigorfico
y otro desde el frigorfico hasta el embarque. El transporte se inicia desde el
packing con el producto empacado en pallets de 1,20 mt x 1,20 metros (de 96
cajas de 8,2 kilos en el caso de uva de mesa, como ejemplo) en un transporte
tradicional envuelto con una carpa trmica, con un mximo de 14 pallets, volumen
que vara segn la cosecha diaria.
La segunda etapa del transporte comprende el traslado desde el frigorfico al
puerto y posterior embarque en conteiner de atmsfera controlada.
Desde el frigorfico, los pallets son transportados en conteiner de 40 ft, de
equipamiento climatizado con capacidad para 20 pallets. Cada conteiner tiene un
cdigo detallado para cada recibidor que importar el producto en destino.
La carga es embarcada por personal portuario en el buque de transporte, equipado
con equipos que permiten mantener la cadena de fro requerida por el producto
durante el transporte. El y transporte martimo es programado segn la
disponibilidad y programacin del terminal portuario. Las empresas de transporte
martimo con ms presencia son Naviera Hambg Sud y Compaa Sudamericana
de Vapores. Las tarifas son calculadas segn tarifa pblica.
Costos de materiales son de U$D 3,2 por caja de 8,2 kilos (ejemplo
de uva de mesa).
Los costos de transporte varan segn el mercado de destino, tomaremos en
cuenta el costo de transporte por pas de destino, una vez que el producto llega a
destino.
Comisin Recibidor
Los costos estarn determinados por la negociacin realizada con cada importador,
quien cobra por sus servicios un mximo de un 10% (promedio 8%) del precio de
venta, ms los costos de desembarque y distribucin.
Los contactos realizados son con importadores en destino y tambin con empresas
que tienen presencia en los distintos mercados, as poder comparar tarifas con
respecto al volumen que en esta primera etapa se puede abarcar.

Si bien los tiempos de pago estn determinados segn cada caso en particular,
tomaremos una referencia de 60 das posteriores al zarpe del embarque con el
producto acordado. El depsito se hace a travs de transferencia electrnica
realizada bajo las necesidades del banco relacionado a la cuenta bancaria de cada
una de las partes.

Este punto es clave para la comercializacin del producto, el cual debe estar bajo
las exigencias de calidad de cada mercado de destino. El compromiso de
cumplimiento de los estndares de calidad son responsabilidad del jefe de control
de calidad, aun as todo el personal encargado de produccin debe estar instruido
para as informar cualquier seal que no cumpla con las exigencias impuestas por
los mercados de destino.

El objetivo principal del Plan de marketing es posicionar a la marca Exportadora
OTC en los principales mercados de destino, caracterizando a la marca por su
confiabilidad en la entrega acordada bajo los estndares de calidad exigidos.
Siguiendo lo anterior se debe tomar en cuenta la flexibilidad para adaptarse a las
caractersticas especficas de la negociacin en los distintos pases segn aspectos
culturales.

travs del trato directo con el productor.
6.
Desempeo
Garantizar un proceso superior al de nuestros competidores directos, con productos
de primera calidad.

Reduccin de Riesgo
Disminuir riesgos del proceso fomentando una comunicacin efectiva entre el
cliente y el proveedor. Esto permite corregir errores en forma eficiente y eficaz.

Reduccin de Costos
Minimizar los costos del cliente eliminando aumentos de costos que genera la
presencia de intermediarios.
9.
Diseo
El diseo del empaque incluir el logo de la marca adaptado a la materialidad de la
caja que puede ser de madera o de cartn. Se debe contemplar el diseo de una
etiqueta especial para embalajes especiales de peso fijo eventualmente
determinados por el cliente. Dentro del formato a trabajar se tomarn en cuenta
exigencias requeridas para exportar.

Customizacin
Adaptar el producto a los distintos clientes con un nivel de respuesta eficaz, a los
cambios que se producen en el proceso de venta, en beneficio de la flexibilidad a
favor de mejores alternativas de precio final, generando beneficios tanto para el
exportador como para el cliente.

Promocin
Para dar a conocer nuestra empresa, se desarrollar la imagen corporativa de la
empresa con papelera y folletos promocionales con el objetivo de difundir la
historia agrcola de la empresa y sus fundadores, distribuidas hacia las principales
empresas que representen a nuestros clientes. Este material fsico sirve de apoyo
para entregar informacin en los encuentros comerciales que participaremos, tales
como seminarios y ferias de la industria.
Una estrategia de asociatividad con las principales entidades tales como ASOEX,
FEDEFRUTA, FUTEXPORT y PROCHILE son alguna de las entidades encargadas
apoyar la industria y sus actores principalmente exportadores de fruta fresca,
contando con una batera de informacin de los mercados, proveedores y clientes
proyectando la industria de sostenible favorable en el tiempo.
Para asegurar la permanencia y dinmica de Exportadora OTC en el mercado, se
propone la asistencia del equipo gerencial y comercial a ferias especializadas de
fruta y alimentos, tanto en Chile como en el extranjero, donde se realiza el

PMA Fresh Summit (EEUU): es la convencin de mayor tamao e importancia en
el rubro de la compra y venta de fruta fresca a nivel mundial. A ella asisten tanto
productores como exportadores e importadores y mayoristas del sector frutcola,
operadores de servicios frutcolas, agencias gubernamentales, entre otros. El
ltimo ao el 94% de los asistentes estableci relaciones comerciales.

Fruit Logstica Berln (Europa): es la principal feria anual que se realiza en
Europa. Emplazada en la ciudad de Berln, con un registro de 62.000 participantes
de 141 pases del mundo. En este encuentro se han preocupado de crear un
ambiente propicio para el desarrollo en la entrega de informacin y la generacin
de negocios entre sus expositores y participantes. La presencia de 2.600
expositores de 84 de distintos llega a ofrecer negocios en todos los rangos que
ofrece la industria. Se caracteriza por impulsar las tendencias en productos frescos
y as ofrecerlos a los consumidores a nivel mundial.

Asia Fruit Logstica (Hong Kong, China): es una feria anual que se realiza en la
ciudad de Hong Kong, donde el 58,4% de los participantes es de origen asitico.
Del total de participantes de la feria el 57,2% son importadores o exportadores
sumado al 38,3% de productores de algn tipo de fruta fresca. Otro punto
importantsimo a destacar es que de los participantes de la feria el 83,7% son
tomadores de decisiones dentro de las empresas que representan.

Fruit Trade (Chile): es, indiscutidamente, lder en produccin de frutas y
vegetales en el hemisferio sur, abasteciendo a ms de 80 mercados de los 5
continentes. Posee ms de 308 mil hectreas plantadas de frutales, gracias a sus
especiales condiciones fitosanitarias que posibilitan el desarrollo de una industria
con menor uso de productos qumicos, al contar con barreras naturales que
impiden el ingreso de plagas y enfermedades presentes en otras latitudes. As,
Chile y sus productores pueden ofrecer al mundo ms de 100 especies
hortofrutcolas. Esta es la mejor oportunidad para comenzar y afianzar los
negocios agroindustriales con sus actores cara a cara.

Conclusin:
Este Plan de Negocio define a grandes rasgos la estructura de funcionamiento de la
Exportadora OTC SPA. Contiene informacin confidencial que es crucial para el
desarrollo del negocio, el cual est muy bien estudiado y armado. Por lo tanto
confiamos en que este plan se ejecute como est trazado y visualizado.

FRESH FRUIT MARKETING AGREEMENT
This agreement is made and entered into this May, 2015, by and between EXPORTADORA OTC SPA, RUT
76.506.657-3, a corporation organized and existing under the laws of Chile, with legal address at LASTARRIA 89,
OF. 31, Santiago, Chile, hereinafter (EXPORTER), and SAVASUN FRESH GROUP IBERICA S.L. a corporation
organized and existing under the laws of the EEC, with legal address at C/ MAJOR 75, DESPATX 7,
MERCABARNA, Barcelona, Spain, CIF B 66342015, VAT ES B66342015 hereinafter (AGENT). The parties agree
on the following terms.

Trade condition. EXPORTER hereby appoints SAVASUN FRESH GROUP IBERICA S.L. as its AGENT to
handle, distribute and market fresh fruit on a free consignment basis on behalf of EXPORTER. This appointment
shall apply to spice KIWIFRUIT.

Final liquidation-terms. Upon the completion of sales, AGENT will remit a final sales report and final
account sale to EXPORTER within 15-20 days after arrival in Europe.
Upon presenting the account to sale (referred to in above paragraph), The AGENT shall remit the sales proceeds
due to the EXPORTER net of all AGENTS selling margin, costs incurred or paid on the EXPORTER account unless
the EXPORTER Account shall carry a balance owing to the AGENT on a prior consignment of products or PreSeason Advance, or the AGENT shall reasonably anticipate that such a balance owing will result.
4.
Reporting. Unless the parties agree otherwise in writing, within five (5) business days after the departure
of any vessel transporting the crops to the (originals to follow via priority mail);

5.
5.1.
Packing. EXPORTER shall pack the crops, at Exporters sole risk and expense, in adequate shipping
containers marked and indentified in accordance with all applicable regulations and this Agreement. EXPORTER
shall pack the crops in the styles and pursuant to other specifications from time-to-time requested by the AGENT.
EXPORTER shall be responsible for ensuring that the crops are packed in cartons each marked with the labels and
other symbols specified by the AGENT. Each pallet shall be labeled with a numbered pallet tag containing the
following information:

EXPORTERS name;

variety of crops;
(III)

container number
and any other information requested by the AGENT or the regulations in effect at the market of destination.
5.2.
Shipping. At EXPORTERS sole cost and expense, the crops shall be delivered to the ports of destination
designated by the AGENT (the Shipping Destination).
5.3.
EEC Laws and Regulation. In performing its duties and obligations under this agreement, exporter shall
comply with all EEC applicable laws, rules and regulations. EXPORTER is fully responsible for any fine or penalty
levied by any governmental agency resulting from any failure to abide by the said agencies rules and regulations.
6.
Pre-Season and Season Advance and Reimbursement. Pre-season advance of USD 20,600.00 (twenty
thousand six hundred, American dollars) will be paid at the signing of this agreement, by the AGENT to the
EXPORTER. The Pre-season advance, shall be remitted via wire transfer. This pre-season advance will be discount
from the payments made by the AGENT (against BL and / or arrival of the fruit to destination and / or at the final
account of sale).
6.1.
Outstanding balance. In the event at end of the season there is a balance due to AGENT, EXPOTER and
AGENT will redefine repayment terms within 60 days at end of season. If an agreement is not reached with these 60
days the balance is deemed due within 30 days.
6.2.
On Shipment Advance and Reimbursement. AGENT shall advance 50% of the FOB price per box,
against bill of lading for vessels, and 50% of the FOB price at arrival of the vessel, within five (5) business days.
Each Shipment Advance shall be remitted via wire transfer within five (5) business days of each departure of crops
from Chile and the AGENTS receipt of a clean on-board bill of lading in favor of the AGENT, to be deducted from
final account of sale.
6.3.
Material Reimbursement Schedule. If Applicable, the reimbursement for any packaging material that
agents supplies to exporter.
7.
Security Interest. As security for the payment of any and all advances and expenses paid or incurred by
AGENT with respect to the production and all commissions under this agreement or any renewal or replacement of
this agreement, AGENT shall have the right to file, register or record any and all documents under the Uniform
Commercial code or other appropriate legislation as necessary or appropriate to create, preserve, protect, and

Season and Season Advance and Reimbursement pursuant to this agreement or any renewal or replacement of this
agreement upon full payment, performance and satisfaction of all advance, expenses and commissions owing to
AGENT under this agreement or any related agreement or any renewal or replacement of this agreement as timely
satisfaction of the AGENT. EXPORTER shall enter into legal the laws of Chile.
8.
Remedies. In the event of any breach of any term of this agreement, AGENT shall have all of the rights and
remedies afforded a secured party under the Uniform commercial code and all other remedies allowed under
applicable law.
9.
Operations, Logistics and Size Manual. EXPORTER shall adhere to all requirements of AGENTS
Operation, Logistics and Size Manual including all shipping and transportation requirements. This manual is
available at AGENT at EXPORTER request.
10.
Commission. AGENT shall pay the EXPORTER a commission equal 8% of the final sales price, in case
the selling prices are higher than the FOB price.

Insurance Policy.
Basic insurance for maritime coverage, offered by the shipping company.
In case to enroll in other insurance, this shall be paid by the AGENT at final port (inspect the fruit in case
that the fruit present quality or condition problems at arrival).
12.
Quality Inspection and notice of loss damage or delay.
12.1.
EXPORTER shall install temperature recorders a strip chat recorder on an electronic device approximately
every 20 pallet in order to control the temperature and monitor the cold chain during transportation. Each
temperature recorder will be appropriately indentified by a serial number.
12.2.
After ever shipment arrives, within seven days since the merchandise has been put at the disposal of the
AGENT. AGENT shall have all fruit inspected by their respective Quality Control Company and check that
temperature was.
12.3.
In case of; (I) delay at the arrival; (II) during the inspection the AGENT detected some fruit with condition
problems; or, (III) if the temperature recorders shows breakdowns on the cold chain, AGENT shall inform to the
EXPORTER and present a writing claim again the shipping line, their agents the Air company or any other
responsible, specifying the general nature of such loss or damage. AGENT shall also call for the maritime insurance
company authorized surveyor. A copy of that claim shall be forwarded to the EXPORTER.
12.4.
AGENT reserves the right to use an independent third party or (the Quality Control Inspector) to inspect all
of the crops prior to departure or the crops from Chile. AGENT also reserve the right to cancel the shipping if, in the
opinion of the Quality control inspector, the crops do not meet the quality and/or condition requirements of AGENT.
The pre-crops by the quality control inspector shall not constitute any representation as to the marketability or quality
of any of the crops.
12.5
Grade. Product shall have been cultivated, sprayed and treated in accordance will all applicable laws and
regulations pertaining to the importation of fresh of produce into the EEC, and shall be unadulterated and shall not
have been sprayed or treated with any pesticides, fungicides, fertilized, hormones or other chemical or substance
that are not registered for use, or are banned, in the EEC.
12.6.
Size. This Agreement sets out the size designation for specific products. The Exporter agrees to comply
with any restrictions on volume of fruit of specific sizes contained in this agreement. The sizes for KIWIFRUITS are
from 20s to 27s, with no more than 10% of size 30.
12.7. Compliance. All product will comply will all applicable provisions of the EEC, state, provincial and local laws
and administrative orders, as amended (collectively the Laws and Regulations).
12.8. All products shipped by the exporter to the importer during the season shall have been entirely produced and
packaged in the republic of Chile.
13.
Trademark. The AGENT expressed to the EXPORTER in this agreement does not require any particular
brand or label.
14.
Termination of the agreement. The current term of this agreement, shall be from May 2015 through and
including October 2015.

15.
Force Majeure. The rights and obligations the parties hereunder shall be suspended during any period that
an event of majeure has occurred and is continuing.
16.
Arbitration. In the event of any dispute arising out of or in connection with the present contract, any of the
parties shall request from the other to start, in a first stage, a direct negotiation process (DNP) in order to solve such
dispute between themselves and only in a second stage the DNP may consider including their respective attorneys.
It is understand that direct negotiation process fails, when parties do not reach an agreement in a term of 20 days, or
any other agreed, since one party requests the other to start the negotiation according notifying section and the
provisions of the contract herein. If such negotiation fails the controversy must be resolved by arbitration
administered by the fruit & vegetable dispute resolution corporation in accordance with its published rules and
procedures, and that any such arbitration decision is final, no-appealable and enforceable. Judgment on the award
rendered by the arbitrator(s) may be entered in any court having jurisdiction. In the event the dispute resolution
corporation refuses to hear any dispute between the parties, then parties shall have the right to enforce their rights
under applicable law.
17. Hold Harmless. EXPORTER shall retain title to the consigned product and shall bear all risk of loss related to
the product until AGRENT receives the fruit in destination port.
19. Representations and warranties. EXPORTER hereby represent and warrants that: (II) is has the full power,
authority, and legal capacity to enter onto and perform its obligations pursuant to the terms and subject to the
conditions set forth in this agreement; (II) it is not presently a party to any other contract or agreement providing for
the importing. Marketing or distribution of the crop (KIWIFRUIT) during the term of this agreement will not seek
additional pre-harvest advance from the AGENT or any other third-party handler for the same; (III) is it has no other
commitments to deliver crops.
20.
Entire Agreement. This agreement, and all documentation incorporated or referred to herein, constitutes
the entire agreement between the parties with respect to the subject matter of this agreement, and no party has
made or been authorized to make any promise, representations, covenants or agreement not contained herein that
pertain in any way to the subject matter of agreement.
21.
Severability of provisions. If any provision of this agreement shall be prohibited by or invalid under
applicable law, such provision shall be ineffective only to the extent of such prohibition or invalidity, without
invalidating the remainder of such provision or any remaining provisions of this agreement.
22.
Counterparts. This agreement may be executed in any number counterparts, each of which shall be
deemed an original and all of which shall be effective from the date specified in the amendment.
23.
Modification. Any changes in this agreement shall be embodied in a written amendment to this
agreement, singed by both parties, and shall be effective from the date specified in the amendment.
24.
Successors and Assignment. This agreement shall be binding upon, and inure to benefit of, the heirs,
executors, administrators, successors, and assigns of the parties hereto; provided, however, that neither party shall
assign this agreement or any of the rights, duties, or obligations under this agreement without the prior written
consent of other party, which consent shall not be unreasonably withheld.
25.
Warranties. EXPORTER and AGENT hereby represent and warrant to each other that the person(s)
executing this agreement has full authority to enter into this agreement, and that such agreement are enforceable in
accordance with their terms.
26.
Incorporation of attachments. Each party agrees all attachments and referenced in this agreement are
hereby incorporated into this agreement.
27.
Notice and contact information. All notice given according to this agreement shall be sent by mail to the
parties address below.
