MEMORANDUM OF AGREEMENT

This Memorandum of Agreement made and executed between:


The _____________________________________________ (Company), a domestic corporation duly organized
and existing under Philippine Laws with office address at ______________________ No. 25 Central Avenue,
iliman, Quezon City, represented herein by its President and ________________________________ (Company
representative), hereinafter referred to as __________________________________________ (Company).
and
NEW ERA UNIVERSITY, a non-stock, non-profit educational institution, duly organized and existing under
Philippine laws with office address at No. 9 Central Avenue, New Era, Quezon City, represented herein by its
President, Dr. Nilo L. Rosas, hereinafter referred to as NEU.
Witnesseth:
The parties hereby bind themselves to undertake a Memorandum of Agreement for the purpose of supporting
NEUs On-the-Job training for student-trainees under the following terms and conditions:
A. __________________(Name of Company) shall:
1.

Screen, select and deploy to its different offices and operating units the students recommended by
NEU to undergo On-the-Job Training under the _____________________________ (Name of
Company).

2. Assign a Supervising Officer to take charge and supervise the On-the-Job Training of students, it
being understood that they will be required to perform duties and functions along their areas of
specialization;
3. Accomplish the necessary forms required by NEU in connection with the On-the-Job Training of their
student-trainees;
4. Issue certificates of completion to students who successfully finish their training under the program;
5. Adopt and enforce rules that will govern the conduct of the Program, which shall be made known to
NEU and student trainees before the start of the training;
6. Terminate the training period of and report to NEU any student-trainee who is found to misbehave
and/or act in defiance to its existing standards, rules and regulations, for the imposition of necessary
university sanctions to the said students;

7. Provide relevant hands-on training and actual exposure to student-trainees, as it may see fit, in
accordance with _______________________ (Company) existing rules and regulations.
A Take all necessary precautions to ensure that the student-trainee will not be exposed to unnecessary
hazards and other risks to his/her life and general well-being during the course of the training.
B. New Era University Shall:
1. Pre-select and recommend students who will undergo On-the-Job Training under the Program, it
being understood that only students taking courses wherein this training is an academic requirement
for graduation will be recommended;
2. Designate a Program Coordinator who will coordinate with ___________________ (Company)
regarding the various activities the various activities under the Program;
3. Submit ________________ (Company) the documents required under the Program i.e. ID,
curriculum vitae, letter of endorsement, and signed Training Agreement;
4. Provide briefing and basic orientation on work values, behaviour and discipline for the studenttrainees prior to the start of their On-the-Job Training;
5. Issue an official endorsement vouching for the qualification of the students, which shall be used by
_________________ (Company) for processing the application of the student-trainee;
6. Together with the students and parents concerned, renounce and waive any claim against
_________________ (Company) for any injury that the students may sustain or suffer, personal or
pecuniary, in the performance of their duties and functions while under training. The training
agreement with waiver of the student trainees shall be submitted to __________________
(Company) prior to the commencement of the training.
7. Hold _________________ (company) free from any claims or suit and shall forever defend
_______________ (company) from any such claim or suit whatsoever in connection with this
Agreement.
A ______________(Company) and New Era University also agree on the following:
1.

It is expressly understood that there will be no employer-employee relationship between


__________ (Company) and the students of NEU, and ____________ (company) control over the
student shall be limited to general supervision of their tasks during training, in accordance with the
rules and regulations as provided in the student traineeship program.

2. The parties agree that no allowance and/or honorarium shall be provided to the students during the
entire course of their training.

3. NEU wants the basic qualifications and legal capacity of the students, subject to ________________
(company) right to require qualified students to submit themselves to interviews and file pertinent
documents to support their application, i.e. identification card, letter of endorsement, curriculum vitae,
and signed training agreement.
4. The student-trainee and/or his/her parents or guardian shall be personally responsible for any and all
liabilities arising from negligence in the performance of the student-trainees duties and functions
while under training.
5. The student trainees and the Program Coordinator shall abide by ______ (company) rules and
regulations and comply with those imposed for the Program, otherwise, they shall be excluded from
further participation.
6. ___________(company) reserves the right to discontinue the On-the Job Training of any studenttrainee upon prior one-week written notice to NEU, including reason and justification of
discontinuance thereof.
7. NEU may pull out any student from the ____________ (company) STUDENT TRAINEESHIP
PROGRAM upon prior one-week written notice to __________ (company).
8. _________ (company) consents to an evaluation of its Student Traineeship Program, to be
conducted by NEU by requiring the student-trainee to accomplish an evaluation form upon
completion of his/her training period; provided, that NEU and the student-trainee shall maintain the
confidentiality and security of any information obtained from such evaluation even after the
termination of this agreement; provided further, that a copy of such evaluation form will be furnished
to _________ (company) for its perusal.
9. NEU reserves the right to conduct an ocular inspection and/or site visit of _______ [premises as well
as other venues where the traineeship program or a portion of it will be conducted, for the purpose of
ensuring the safety and security of the student-trainee; subject to the prior agreement of
__________________________________.
A

Duration and other provisions


1.

The duration of the program shall be equivalent to ________ working hours, unless other agree
upon by ______ (company) and NEU;

2. Any violation of the foregoing covenants will warrant the cancellation of the Memorandum of
Agreement, within fifteen (15) days upon notice by either party to the other;
3. This Memorandum of Agreement shall become effective upon signature both parties and
implementation will begin immediately and shall continue to be valid hereafter until written notice is
given by either party, fifteen (15) days prior to the date of intended termination.
