1.
TERM
ThisleaseisbasedonaMonthtoMonthAgreement
2.
RENT
TenantshallpaytoLandlordatotalrentalofFortySixHundredDollarsperMonth,Dollars,
payableonthefirstdayofeachmonthbeginningNovember1,2014
attheofficeofthe
LandlordoratsuchotherplaceasLandlordmayfromtimetotimedesignateinwriting.Ifthe
Premisesareoccupiedforafractionofamonthatthebeginningorendoftheterm,Tenantshall
payaproportionatepartoftheapplicablemonthlyinstallment.
2.1
LATEFEES:Rentispayableonorbeforethe1stofeachmonth,rent
receivedafterthe5thofthemonthwillincuralatechargeequalto5%oftheamountdue

AllElectricalUpgradesaswellasGAWLabsshareofLandlordMeteredElectricaluse.
3.
SECURITYDEPOSIT
UponexecutionofthisLease,TenantshalldepositwithLandlordthesumof

)Dollarsassecurityforthefaithfulperformanceofeveryprovisionofthis
LeasetobeperformedbyTenant.IfTenantdefaultswithrespecttoanyprovisionofthisLease,
includingbutnotlimitedtotheprovisionsrelatingtothepaymentofrentorAdditionalRent,
Landlordmayuse,applyorretainalloranypartofthissecuritydepositforthepaymentofany
otheramountwhichtheLandlordmayspendorbecomeobligatedtospendbyreasonofTenants
default.Ifanyportionofsaiddepositissousedorapplied,Tenantshall,withinfive(5)daysafter
writtendemandtherefore,depositcashwithLandlordinanamountsufficienttorestorethe
securitydeposittoitsoriginalamountandTenantsfailuretodososhallbeamaterialbreachof
thisLease.IfTenantshallfullyandfaithfullyperformeveryprovisionofthisLeasetobe
performedbyTenant,thesecuritydeposit,oranybalancethereof,shallbereturnedtoTenant(or,
atLandlordsoption,tothelastassigneeofTenantsinteresthereunder)attheexpirationofthe
Leaseterm.
4.
USEOFPREMISES
TenantshalluseandoccupythePremisesabusinessW/HandOfficeforcomputer
operationsandstorage.TenantshallnotuseoroccupythePremisesinviolationoflaworofthe
certificateofoccupancyissuedfortheBuildingofwhichthePremisesareapart,andshall,upon
five(5)dayswrittennoticefromLandlorddiscontinueanyuseofthePremiseswhichisdeclared
byeitheranygovernmentalauthorityhavingjurisdictionortheLandlordtobeaviolationoflaw
orofsaidcertificateofoccupancyofthePremisesorwithrespecttotheuseoroccupationthereof.
Tenantshallnotdonorpermittobedoneanythingwithwillinvalidateorincreasethecost
ofanyfireandextendedcoverageinsurancepolicycoveringtheBuildingand/orpropertylocated
thereinandshallcomplywithallrules,orders,regulationsandrequirementsoftheappropriate
FireRatingBureauoranyotherorganizationperformingasimilarfunction.Tenantshall
promptlyupondemandreimburseLandlordforanyadditionalpremiumchargedforsuchpolicy
byreasonofTenantsfailuretocomplywiththeprovisionsofthisparagraph,providedTenant
hasreceivedfromLandlordpriorwrittennoticeofsuchfailuretocomply.
5.
BUILDINGSERVICES
TenantagreestopayallseparatelymeteredutilitiesrequiredandusedbyTenant
intheleasedPremises.AllutilitiesforthePremiseswhicharenotseparatelymeteredaswellas
allutilitiesforthecommonareasoftheBuildingandmaintenanceserviceswillbepaidforbythe
Landlord,exceptforwhatisspecifiedinArticle2.2.IfTenantshallmakeanyalterations,
improvementsoradditionstothePremises,LandlordmayrequireTenant,attheexpirationof
thisLease,torestorethePremisestosubstantiallythesameconditionasexistedatthe
commencementofthetermhereof.Anymechanicsormaterialmenslienfiledagainstthe
PremisesoranyotherpropertyofLandlordarisingoutofworkdonefor,ormaterialsfurnished
totenantshallbedischarged,bondedover,orotherwisesatisfiedbyTenantwithinten(10)daysat
Tenantsexpense.IfTenantfailstodischarge,bondover,orotherwisesatisfyanysuchlien,
LandlordmaydosoatTenantsexpenseandtheamountexpended,includingreasonable
attorneysfees,byLandlordinsodoingshallbecollectibleasadditionalrentandshallbepaidby
Tenantwithinfifteen(15)daysafterLandlordsubmitsabilltoTenantthereof.
7.
DAMAGETOPROPERTYINJURYTOPERSONS
TenantshallandherebydoesindemnifyandholdLandlordharmlessfromand
againstanyandallclaimsarisingfrom1)TenantsuseofthePremisesfortheconductofhis
businessorprofession,2)anyactivity,work,orthingdone,permittedorsufferedbytheTenantin
oraboutthePremises,3)anybreachordefaultintheperformanceofanyobligationonTenants
parttobeperformedunderthetermsofthisLease,or4)anyactornegligenceoftheTenant,orof
itsagentsoremployeesandTenantshallandherebydoesfurtherindemnifyandholdLandlord
harmlessfromandagainstallcosts,attorneysfees,expensesandliabilitiesincurredinorabout
anysuchclaimoranyactionorproceedingbroughtthereon.Incaseanyactionorproceedingbe
broughtagainstLandlordbyreasonofanysuchclaim,TenantuponnoticefromLandlordshall
defendthesameatTenantsexpense.
DuringthetermthereofTenantshallmaintainpublicliabilityinsuranceonthePremisesof
atleast$500,000.00forinjuryordeathtoanyoneperson,$1,000,000.00foranyoneaccident,and
$100,000.00withrespecttodamagetopropertyandwithfullcoverageforplateglass.Asevidence
thereof,TenantshallprovidetoLandlordcurrentCertificatesofInsuranceevidencingsuch
coverageduringthetermhereof.
Atsuchtimeashasknowledge,TenantshallgivepromptnoticetoLandlordincaseoffire
oraccidentsinthePremisesorintheBuildingordefectsthereinorinthefixturesorequipment.
8.
ASSIGNMENTANDSUBLETTING
Tenantshallnot,eithervoluntarilyorbyoperationoflaw,sell,hypothecate,
assignortransferthisLease,orsubletthePremisesoranypartthereof,orpermitthePremisesor
anypartthereoftobeoccupiedbyanyoneotherthanTenantorTenantsemployees,withoutthe
priorwrittenconsentofLandlordineachinstance,whichconsentwillnotbeunreasonably
withheld.Notwithstandingtheabove,TenantmayassignortransferthisLeasetoawhollyowned
subsidiaryortoanentitythatcontrolsorisundercommoncontrolofTenant.Anysale,
assignment,mortgagetransferorsublettingofthisLeasewhichisnotincompliancewiththe
provisionsofthisArticle9shallbevoidandshall,attheoptionofLandlord,terminatethisLease.
9.
DAMAGEORDESTRUCTION
IfthePremisesortheBuildingofwhichtheyareapartisdamagedbyfireor
othercasualty,thedamageshallberepairedbyandattheexpenseofLandlord,providedsuch
repairscan,inLandlordsopinion,bemadewithinsixty(60)daysaftertheoccurrenceofsuch
damagewithoutthepaymentofovertimeorotherpremiums.Untilsuchrepairsarecompleted,
therentshallbeabatedinproportiontothepartofthePremiseswhichisunusablebyTenantin
theconductofhisbusinessorprofession(butthereshallbenoabatementofrentbyreasonofany
portionofthePremisesbeingunusableforaperiodequaltoonedayorless).Ifthedamageisdue
tothefaultorneglectofTenantorhisemployees,thereshallbenoabatementofrent.
Ifsuchrepairscannot,inLandlordsopinion,bemadewithinsixty(60)daysorifLandlord
doesnotsoelecttomakesuchrepairswhichcannotbemadewithinsixty(60)days,theneither
partymay,bywrittennoticetotheother,cancelthisLeaseasofthedateoftheoccurrenceofsuch
damage.LandlordselectiontomakesuchrepairsmustbeevidencedbywrittennoticetoTenant
withinthirty(30)daysaftertheoccurrenceofthedamage.AtotaldestructionoftheBuildingin
whichthePremisesarelocatedshallautomaticallyterminatethisLease.
10.
EMINENTDOMAIN
IfthewholeofthePremisesorsomuchthereofastorenderthebalanceunusable
byTenantshallbetakenunderpowerofeminentdomain,thisLeaseshallautomaticallyterminate
asofthedateofsuchcondemnation,togetherwithanyandallrightsofTenantorhereafter
arisinginortothesameoranypartthereof,provided,however,thatnothingcontainedherein
shallbedeemedtogiveLandlordanyinterestinortorequireTenanttoassigntoLandlordany
awardmadetoTenantforthetakingofpersonalpropertyandfixturesbelongingtoTenant
and/orfortheinterruptionordamagetoTenantsbusinessorprofessionand/orforTenants
unamortizedcostofleaseholdimprovements.
11.
DEFAULTS
Theoccurrenceofanyofthefollowingshallconstituteamaterialdefaultand
breachofthisLease:
1.1
ThevacatingorabandonmentofthePremisesbyTenant.
1.2
AfailurebyTenanttopaytherent,ortomakeanyotherpaymentrequiredtobemadeby
Tenanthereunder,whendue,orwithinten(10)daysthereafter.
1.3
AfailurebyTenanttoobserveandperformanyotherprovisionofthisLeasetobe
observedorperformedbyTenant.
1.4
ThemakingbyTenantofanygeneralassignmentforthebenefitofcreditorsthefilingby
oragainstTenantofapetitiontohaveTenantadjudgedabankruptorofapetitionfor
reorganizationorarrangementunderanylawrelatingtobankruptcy(unless,incaseofa
petitionfiledagainstTenant),thesameisdismissedwithinsixty(60)daystheappointment
ofatrusteeorreceivertotakepossessionofsubstantiallyallofTenantsassetslocatedat
thePremisesorofTenantsinterestinthisLease,wherepossessionisnotrestoredto
Tenantwithinthirty(30)daysortheattachment,executionorotherjudicialseizureof
substantiallyallofTenantsassetslocatedatthePremisesorofTenantsinterestinthis
Lease,wheresuchseizureisnotdischargedwiththirty(30)days.
1.5
Tenantshallnotbeindefaultintheperformanceofanyobligationprovidedherein,except
withreferencetothepaymentofrentandAdditionalRent,unlessanduntilTenanthas
failedtoperformsuchobligationwithinthirty(30)daysafterwrittennoticebyLandlordto
TenantspecifyingwhereinTenanthasfailedtoperformsuchobligationprovided,however,
thatifthenatureofTenantsobligationissuchthatmorethanthirty(30)daysare
requiredforitsperformance,thenTenantshallnotbedeemedtobeindefaultifitshall
commencesuchperformancewithinsuchthirtydayperiodandthereafterdiligently
prosecutethesametocompletion.
12.
REMEDIES
LandlordshallhavethefollowingremediesifTenantcommitsadefault.These
remediesarenotexclusivetheyarecumulativeinadditiontoanyremediesnoworlaterallowed
bylaw.
1.1
LandlordcancontinuethisLeaseinfullforceandeffectandshallhavetheright
tocollectrentandAdditionalRentwhendue.DuringtheperiodTenantisindefault,
LandlordcanreenterthePremiseswithorwithoutlegalprocessandreletthem,orany
partofthem,thethirdpartiesforTenantsaccount,andTenantherebyexpresslywaives
anyandallclaimsfordamagesbyreasonofsuchreentryaswellasanyandallclaimsfor
damagesbyreasonofanydistresswarrantsorproceedingsbywayofsequestrationwhich
Lessormayemploytorecoversaidrentsexceptfordamagescausedbythenegligentact,
errororomissionofLandlord.TenantshallbeliableimmediatelytoLandlordforallcosts
LandlordincursinrelettingthePremises,including,withoutlimitation,brokers
commissions,expensesofremodelingthePremisesrequiredbythereletting,andlikecosts.
RelettingcanbeforaperiodshorterorlongerthantheremainingtermofthisLease.
TenantshallpaytoLandlordtherentandAdditionalRentdueunderthisLeaseonthe
datessuchrentisdue,lesstherentLandlordreceivesfromanyreletting.Noactby
LandlordallowedbythisparagraphshallterminatethisLeaseunlessLandlordnotifies
TenantthatLandlordelectstoterminatethisLease.However,innoeventshallthe
LandlordbeunderanyobligationtoreletthePremises.
1.2
LandlordcanterminatethisLeaseatanytimeforcause.Upontermination,
Landlordshallhavetherighttocollectanamountequaltoallexpenses,ifany,including
reasonablecounselfees,incurredbytheLandlordinrecoveringpossessionofthePremises
andallreasonablecostsandchargesforthecareofthePremiseswhilevacant,aswellas
theamountbywhichtheentirerentandAdditionalRentfortheremainderoftheterm
exceedsthelossofrentthatTenantprovescouldhavebeenreasonablyavoided.
Shouldanyoftheseremedies,oranyportionthereof,notbepermittedbythelawsofthe
stateinwhichtheBuildingissituated,thensuchremedyorportionthereofshallbe
considereddeletedandunenforceable,andtheremainingremediesorportionsthereof
shallbeandremaininfullforceandeffect,andLandlordmayavailitselfoftheseaswellas
anyotherremediesordamagesallowedbylaw.
2.
DEFAULTBYLANDLORDTENANTSREMEDY
Landlordshallnotbeindefaultintheperformanceofanyobligationrequiredto
beperformedbyithereunderunlessanduntilithasfailedtoperformsuchobligationwithin
thirty(30)daysafterwrittennoticebyTenanttoLandlordspecifyingwhereinLandlordhasfailed
toperformsuchobligationprovided,however,thatifthenatureofLandlordsobligationissuch
thatmorethanthirty(30)daysarerequiredforitsperformance,thenLandlordshallnotbe
deemedtobeindefaultifitshallcommencesuchperformancewithinsuchthirtydayperiodand
thereafterdiligentlyprosecutethesametocompletion.
IntheeventLandlordfailstoperformsuchobligationasrequiredabove,Landlordshallbe
deemedindefaultandTenantshallbeentitledto:
(i)curesuchdefault,andallcosts
incurredbyTenantindoingsomaybeoffsetbyTenantagainstanyamountsowedbyTenantto
Landlordhereunder,orshallbedueandpayablebyLandlordwithinthirty(30)daysafterTenant
makesdemandforsuchcosts,or(ii)
Landlord.
terminatethisLease,withoutanyfurtherobligationto
3.
RULESANDREGULATIONS
TenantshallobservefaithfullyandcomplystrictlywiththeRulesandRegulations
attachedtothisLeaseandmadeaparthereof,andsuchotherrulesandregulationsasLandlord
mayfromtimetotimereasonablyadoptandwhichTenanthasknowledgeforthesafety,careand
cleanlinessoftheBuildingorthepreservationofgoodordertherein.Landlordshallnotbeliable
toTenantforviolationofanysuchRulesandRegulations,orforthebreachofanycovenantor
condition.
4.
RIGHTOFACCESS
LandlordanditsagentsshallhavereasonableaccesstotheleasedPremisesduring
allreasonablebusinesshoursforthepurposeofexaminingthesametoascertainiftheyarein
goodrepair,tomakereasonablerepairswhichLessormayberequiredtomakehereunderandto
exhibitthesametoprospectivepurchasersortenants,uponpriornoticetoTenant.
5.
ENDOFTERM
AttheterminationofthisLease,TenantshallsurrenderthePremisestoLandlord
inasgoodconditionandrepairasreasonablyproperusethereofwillpermitandwillleavethe
Premisesbroomclean,normalwearandtearexcepted.Tenantshallhavetherightpriortosaid
terminationtoremoveanyequipment,furniture,tradefixturesorotherpersonalpropertyplaced
inthePremisesbyTenant.
IntheeventofholdingoverbyTenantafterexpirationorterminationofthisLease,Tenant
shallpaydoublerentandAdditionalRentfortheentireholdoverperiod.Anyholdingoverwith
theconsentofLandlordinwritingshallthereafterconstitutealeasefrommonthtomonth.
17.
ATTORNEYATTORNEYSFEES
Intheeventthatsuitisbroughtbyeitherpartyagainsttheotherforabreachor
defaultunderthetermsofthisLease,theprevailingpartyshallbeentitledtoreasonable
attorneysfeeswhichshallbefixedbythecourt.
18.
TIMEOFESSENCE
Timeisoftheessencewithrespecttotheperformanceofeveryprovisionofthis
Leaseinwhichtimeofperformanceisafactor.
19.
HEADINGS
ThearticlecaptionscontainedinthisLeaseareforconvenienceonlyandshallnot
beconsideredintheconstructionorinterpretationofanyprovisionhereof.
20.
TRANSFEROFLANDLORDSINTEREST
IntheeventofanytransferofLandlordsinterestinthePremisesorinthereal
propertyofwhichthePremisesareapart,thetransferorshallbeautomaticallyrelievedofany
andallobligationsandliabilitiesonthepartofLandlordaccruingfromandafterthedateofsuch
transfer.
21.
SUBORDINATION
ThisLeaseandleaseholdestatecreatedherebyareandshallbe,attheoptionand
uponwrittendeclarationofLandlord,subject,subordinate,andinferiortothelienandestateof
anyliensandencumbrances,renewals,extensions,orreplacementsthereof,noworhereafter
imposedbyLandlorduponthePremisesoranypartthereofoftheBuildingofwhichthePremises
areapart.Landlordherebyexpresslyreservestheright,atitsoptionanddeclaration,toplace
liensandencumbrancesonandagainstthePremisesand/oranypartthereofand/ortheBuilding
superiorinlienandeffecttothisLeaseandtheestatecreatedhereby.Tofurtherassurethe
foregoingsubordination,Tenantshall,uponLandlordsrequest,togetherwiththerequestofany
mortgageeorbeneficiaryunderanysuchdeedoftrust,mortgageoranygroundormasterlease,
executeaninstrument(includingwithoutlimitationanamendmenttothisLeasethatdoesnot
materiallyandadverselyaffectTenantsrightsordutiesunderthisLease)orinstruments
intendedtosubordinatedthisLeasetoanysuchmortgage,deedoftrust,orgroundormaster
lease.
Landlordhereunder,however,shallavailitselfofthetermsofthisclauseinagoodfaith
mannerandshallnotuseitforthepurposesofattemptingtoterminateTenantsleasehold
interest.
22.
WAIVER
NowaiverbyLandlordofanyprovisionofthisLeaseshallbedeemedtobea
waiverofanyotherprovisionhereoforofanysubsequentbreachbyTenantofthesameorany
otherprovision.LandlordsconsenttoorapprovalofanyactbyTenantrequiringLandlords
consentorapprovalshallnotbedeemedtorenderunnecessarytheobtainingofLandlords
consentorapprovalofanysubsequentactofTenant,whetherornotsimilartotheactso
consentedtoorapproved.NoactorthingdonebyLandlordorLandlordsagentsduringthe
termofthisLeaseshallbedeemedanacceptanceofasurrenderofthePremises,andno
agreementtoacceptsuchasurrendershallbevalidunlessinwritingandsignedbyLandlord.No
employeeofLandlordorofLandlordsagentsshallhaveanypowertoacceptthekeystothe
PremisespriortotheterminationofthisLease,andthedeliveryofthekeystoanysuchemployee
shallnotoperateasaterminationoftheLeaseorasurrenderofthePremises.
23.
ESTOPPELCERTIFICATE
Tenantshallatanytimeandfromtimetotimeuponnotlessthanten(10)days
priorwrittennoticefromLandlordexecute,acknowledgeanddelivertoLandlordastatementin
writing(i)certifyingthatthisLeaseisunmodifiedandinfullforceandeffect(or,ifmodified,
statingthenatureofsuchmodificationandcertifyingthatthisLease,assomodified,isinfull
forceandeffect)andthedatestowhichtherentalandotherchargesarepaidinadvance,ifany,
and(ii)acknowledgedthattherearenot,toTenantsknowledge,anyuncureddefaultsonthepart
ofLandlordhereunder,orspecifyingsuchdefaults,ifanyareclaimed.Anysuchstatementmay
berelieduponbyanyprospectivepurchaserorencumbrancerofalloranyportionofthereal
propertyofwhichthePremisesareapart.Tenant'sfailuretodeliversuchstatementwithinsuch
timeshallbeconclusiveuponTenant(i)thatthisLeaseisinfullforceandeffect,without
modificationexceptasmayberepresentedbyLandlord,(ii)thattherearenouncureddefaultsin
Landlordsperformance,and(iii)thatnotmorethanonemonthsrentalhasbeenpaidin
advance.
24.
QUIETENJOYMENT
ProvidedTenantisnotindefault(beyondanyperiodgivenTenanttocuresuch
default)intheperformanceofanyoftheterms,covenantsorconditionsofthisLeaseonTenants
parttobeperformed,includingthepaymentofrentoradditionalpayments.Tenantshall
peaceablyandquietlyholdandenjoythePremisesduringthetermhereofandanyextensions
thereof,freefrominterferenceordisturbancebyLandlordandotherpersonssubjecttotheterms
andconditionsofthisLeaseprovided,however,Landlordshallnotbeliableforanysuch
interferenceordisturbancebyotherpersons,norshallTenantbereleasedfromanyofits
obligationspursuanttothisLeasebecauseofsuchinterferenceordisturbance.
25.
NOTICES
